除本協議并不給予乙方任何經濟補償。First party has the right to reward or punish second party according to regulations, if second party committed a serious breach of regulations, first party has the right to make dissolution of compact without economic compensation to second party.第八條 由于雙方的勞動聘用關系，乙方將有機會了解并使用甲方的有關商業秘密(包括但不限于經營策略、軟件系統、薪酬系統、營銷渠道、員工或客戶資料、供應商、價格系統、知識產權等所有資料及文件)，乙方有在協議期內及協議解除后保守甲方商業秘密不對外泄露的義務，也不能用于為自己謀取利益的經營活動中。乙方不得將涉及甲方商業秘密的實物、文字材料、電子文檔等以竊取、摘抄、復制、傳真、拍照、電子郵件等方式占有、傳播、出售、使用或允許他人使用甲方的商業秘密。本條款所規定行為，乙方如有違反，應向甲方支付違約金。Because of the employer-employee relationship, second party would know and use the trade secret from first party(include but not limited to marketing tactics、software system、salary system、marketing channel、material of employee and client、supplier、price system、intellectual property rights and all sort of materials and documents),second party is in duty bound to not disclose the trade secret of first party, nor take advantage of company’s trust to seek profit for one’s own.Second party must not occupy、spread、sale、use、or let other people use the article、written materials、electronic document by stealing、extracting、copying、faxing、photographing、emailing and other methods.All the actions under this clause, if second party committed the breach, should pay penal sum of.第九條 乙方有下列情形之一的，甲方可以解除本協議，但是應當提前十日以書面形式通知乙方：

First party could carry out rescission of compact in any of the following circumstances, however, should notice second party by written form 10 days early.⑴ 患病或者非因工負傷，醫療期滿后，不能從事原工作也不能從事由甲方另行安排的工作的;In the case of fall ill or wound in line of duty, when the medical treatment expires, if not be able to participate former work or other appointed work from first party;

⑵ 不能勝任工作，經過培訓或調崗，仍不能勝任工作的;

Incompetent, after training or transfer-position, still incompetent;

⑶ 本協議訂立時所依據的客觀情況發生重大變化，致使協議無法履行，經甲乙雙方協商不能就變更協議內容達成一致的;Due to objective reasons, unable to fulfill compact,moreover, can not reach to an agreement with variation on contract.⑷ 法律、行政法規規定可以解除協議的。

Rescission of compact is in accord with law and administrative regulation.第十條 乙方有下列情形之一的，甲方可以單方面隨時解除協議，并對乙方不作任何經濟補償;乙方因下列行為給公司造成損害的，甲方有權要求乙方賠償損失：First party could carry out rescission of compact in the following circumstances at any time, without

making any compensation;first party has the right to let the second party compensate for loss in any of the following circumstances.⑴ 在應聘過程中提供的個人證件、體檢、簡歷等個人資料有欺詐行為的;If there were fraud acts on personal papers、medical certificates、resume;⑵ 按公司獎懲的有關規定，嚴重失職，工作不負責任，玩忽職守、消極懈怠給公司利益造成損害的;In accordance with correlative provision of reward/punish, gross neglect of duty,irresponsible, listless during work, result loss to profit of company.⑶ 乙方盜竊公司、員工或客戶財物的;報銷費用時有虛報或假報金額等行為的;Second party steal property from company or employees;deception during the process of applying for reimbursement.⑷ 泄露公司商業秘密;利用職務以權謀私、損公肥私的;Breach of confidence;take advantage of duty to seek person profit.⑸ 欺詐客戶、公司，謀取私利的，私下從事同業工作的;Sting client、company to seek personal profit, participate same type of work in secret

⑹ 結黨營私、破壞員工關系，生活作風不端正的;Form cliques, wreck relationships Between employees, bad lifestyle(immoral love).⑺ 違法行為或不良社會行為而給甲方形象造成巨大傷害的;unlawful act or bad behavior which diminish the reputation of Talent.⑻ 有賭博、吸毒等不良行為的;gamble、drug taking or other bad behavior

⑼ 被依法追究刑事責任或違法被處罰的;Being undertaken for criminal responsibility or punished for breaking the law.⑽ 嚴重違反公司的勞動紀律、規章制度的;法律規定或雙方約定的其它情形。

Committing a serious breach of discipline、regulation or other agreement between two parties.第十一條 乙方解除協議，應當提前三十日以書面形式通知甲方。Second party make early rescission of compact，should provide 30 days prior notice to first party.第十二條 甲乙雙方約定無論何種情形解除協議，乙方都對工作交接負有責任，須按甲方規定的程序進行工作交接。乙方不按甲方的規定交接工作的，甲方有權扣發乙方服務費;乙方不按規定交接工作致使甲方遭受損失時，甲方將依法向乙方索賠。No matter what type the rescission of compact is, second party does have the obligation of carrying out the handover of his work, and fulfill it according to the appointed process from first party.If the second party failed to do so, the first party has the right to deduct wages of second party;first party would ask second party for compensation if the non-fulfillment of second party led to economic losses of first party.第十三條 特別約定：special compact

Party B works 8 hours per day, 40 hours per week, and Saturday andSunday are set as the official weekly rest days.Party A may extend Party’s B’s working hours on the basis of mutual agreement, and party B shall get corresponding deferred holidays or paid for the extended work hours in accordance with relevant laws and regulations.2.3工作地點Place

三、報酬及其他福利

ⅢRemuneration and other welfare benefits

3.1 乙方的報酬為稅前人民幣5000_元/月，大寫：人民幣伍仟元每月

Party B’s salary is RMB 3.2 甲方應于每月8號以貨幣或轉帳形式足額支付乙方上述報酬。如遇節假日或休息日，應提前到最近的工作日支付，如因特殊原因延期支付報酬的，甲方應在五個工作日內向乙方說明原因。

Party A shall pay salary to Party B before the 8th day of every month in the form of cash or bank-transfer.If the 8th day of the month falls in the weekend or holiday, the payment shall be brought forward to the nearest weekday.Party A shall inform Party B and explain the detailed reason within 5 work days in case Party A fails to pay the salary due to special reasons.3.3乙方在合同期內享受中國法律規定的節日，公休假日。

Party B is entitled with all legal holidays in accordance with the state’s regulations.3.4 甲方為乙方提供合同時間段內的住宿

四、雇傭合同的解除和終止

ⅣContract Cancellation and Termination

4.1 合同期滿雙方不再續簽或者雙方約定的合同終止條件出現時，雇傭合同即終止。

This contract shall be terminated once it expires and both parties do not extend the contract.4.2 經合同雙方當事人協商一致，本合同可以解除。

The contract may be canceled based on both parties’ mutual negotiation.4.3 乙方應遵守中國政府的法律、法規及有關規定，乙方如違反上述規定，甲方有權即時解除合同；乙方因健康原因，經醫生證明連續病休15工作日后仍不能繼續工作，甲方有權提前終止合同。

Party B should abide by China laws, decrees and related regulations and Party A’s working systems.During the duration, Party A is entitled to cancel the contract in case Party B violates China laws and decrees, and terminate the contract before expiration in case Party B cannotresume his or her work for health reasons after the medical certification of continuous sick rest for 15 working days.4.4 乙方因歸國或其他私人原因未正常出勤且超過五天且未向甲方做出書面說明的，本合同自動終止。The contract will automatically terminate in case Party B is absent for over 5 days without written explanation due to homecoming or other private reasons.4.5 乙方被證明無法完成本合同項下的工作任務，甲方有權隨時解除本合同。

In case Party B is proved to be not competent for the work under the contract, Party A is entitled to cancel the contract at any time.4.6 乙方應嚴格遵守甲方的工作規定以及規章制度，盡職盡責，否則，甲方有權隨時解除合同并追究因此而造成的經濟損失，并有權對所造成的經濟損失在乙方的報酬中作相應扣除。

Party B should abide by Party A’s working systems, rules and regulations.Otherwise, Party A is entitled to cancel the contract and claim a corresponding compensation of any economic loss from Party B’s payment.4.7 乙方有權提前10日以書面形式通知甲方解除本合同。

Party B should inform Party A in written form 10 days in advance for canceling the contract.五、特別約定

Ⅴspecial compact

5.1由于乙方為兼職人員，故甲方不需為乙方繳納社會保險。

PartyB is part-time Job, no need to pay social insurance for.5.2乙方因病或非因工負傷醫療費用自行解決，醫療期內甲方不支付報酬。

PartyB get sick or get wounded not in the line of duty, second party should pay himself.5.3雙方解除、終止本協議，甲方無需支付乙方任何經濟補償。

If compact was determined by two parties, partyA does not have to pay second party compensation.六、其他事項

Ⅵ Others

6.1 其他未盡事宜，雙方可參照甲方公司內部的相關規章制度執行。

Other items not stipulated by the two parties can be implemented according to the internal rules and regulations of Party A.6.2 甲乙雙方均應遵守本合同之約定，任何一方違約，非違約方均有權要求違約方承擔相應的損失。

The two parties should abide by the contract.In case one party tears up the contract, the other party has the right to require the defaulting party to undertake corresponding loss.6.3 甲乙雙方在本合同的執行中如有爭議，可協商解決。

For disputes during the execution of the contract, the two parties can settle them through negotiations.6.4 本合同分為中英兩種文本，每種文本具有相同的法律效力；如兩種文本產生沖突，則中文文本作為準文本。

The contract has two versions in Chinese and in English.The twocopies are equally authentic.In case any dispute happens, the Chinese version shall prevail.6.5 本合同一式兩份，甲、乙雙方各執一份，每份具有同等法律效力。本合同經甲、乙雙方簽字蓋章后生效。

Party A can adjust Party B’s salary according to its operating conditions, Party B’s workload and performance.3.4 當乙方的工作任務發生變化時，甲方可按規定調整其相應的報酬。乙方接受新的工作任務后，即視作接受甲方按照該工作任務重新確定的報酬。

Party B’s labor remuneration will be adjusted in case Party A adjusts Party B’s job responsibilities.Accepting thenew position is regarded as accepting the adjusted salary.3.5 乙方應遵守國家及地方的稅法制度，自行繳納其個人收入的個人所得稅，甲方無義務為其代繳。

Party B shall pay personal income tax voluntarily according to the state’s tax law.Party A doesn’t shoulder theresponsibility to withhold and remit taxes for Party B.3.6 乙方在合同期內享受中國法律規定的節日，公休假日，另外公司每年為其提供5 天的帶薪休假。

Party B is entitled with all legal holidays in accordance with the state’s regulations, In addition, Party B enjoys apaid leave of 5 days each year.四、雇傭合同的解除和終止

ⅣContract Cancellation and Termination 4.1 合同期滿雙方不再續簽或者雙方約定的合同終止條件出現時，雇傭合同即終止。This contract shall be terminated once it expires and both parties do not extend the contract.4.2 經合同雙方當事人協商一致，本合同可以解除。

The contract may be canceled based on both parties’ mutual negotiation.4.3 乙方應遵守中國政府的法律、法規及有關規定，乙方如違反上述規定，甲方有權即時解除合同；乙方因健康原因，經醫生證明連續病休15 工作日后仍不能繼續工作，甲方有權提前終止合同。

Party B should abide by China laws, decrees and related regulations and Party A’s working systems.During theduration, Party A is entitled to cancel the contract in case Party B violates China laws and decrees, and terminatethe contract before expiration in case Party B cannot resume his or her work for health reasons after the medicalcertification of continuous sick rest for 15 working days.4.4 乙方因歸國或其他私人原因未正常出勤且超過十天且未向甲方做出書面說明的，本合同自動終止。

The contract will automatically terminate in case Party B is absent for over 10 days without written explanation due to homecoming or other private reasons.4.5 乙方被證明無法完成本合同項下的工作任務，甲方有權隨時解除本合同。

In case Party B is proved to be not competent for the work under the contract, Party A is entitled to cancel thecontract at any time.4.6 乙方應嚴格遵守甲方的工作規定以及規章制度，盡職盡責，否則，甲方有權隨時解除合同并追究因此而造成的經濟損失，并有權對所造成的經濟損失在乙方的報酬中作相應扣除。Party B should abide by Party A’s working systems, rules and regulations.Otherwise, Party A is entitled to cancelthe contract and claim a corresponding compensation of any economic loss from Party B’s payment.4.7 乙方有權提前30 日以書面形式通知甲方解除本合同，在試用期內提前3 日通知甲方即可解除。

Party B should inform Party A in written form 30 days in advance for canceling the contract, and 3 days inadvance during the probation period.五、其他事項 ⅤOthers 5.1 其他未盡事宜，雙方可參照甲方公司內部的相關規章制度執行。

Other items not stipulated by the two parties can be implemented according to the internal rules and regulations ofParty A.5.2 甲乙雙方均應遵守本合同之約定，任何一方違約，非違約方均有權要求違約方承擔相應的損失。

1.乙方在船工作期間，月工資標準是美元（包括基薪，固定加班費，養老保險，醫療保險，工傷保險，生育保險）。乙方按照甲方的規定領取外派工資和相關津貼，甲方按照國家規定的繳費基數即平均工資的三倍繳納養老保險，醫療保險。失業保險，工傷保險，生育保險。如不滿一個月，按照實際天數/當月天數*月工資計算，上下船工資結算時間為上船當日起至下船前一日止（以交接單日期為準）。B works onboard，the salary is

One month(include base salary，fixed overtime，endowment insurance，medical insurance，injury insurance，maternity insurance)，B get the salary regularly，A pay the endowment insurance，medical insurance，injury insurance，maternity insurance according to the national regulation。If shorter than one month，calculate as ：actual days/ days of the month * month salary, the date calculated from the first day onboard to the last two day get off on the pass-on sheet。

2.甲方根據乙方提供的詳細匯款賬號，每月以銀行匯款方式于15日—20日之間結清上月工資，下船工資的結算時間為收到正常下船差費，交接清單后一并結清。A pay off last month salary during the 15th---20thof the month according to the detailed bank account number which B send to the company.when crew get off the ship ,the salary of departure should be pay off when receive the normal ship sent fee invoice and pass-on sheet

3.甲方提供乙方在船生活費為每日4.0美金。提供在船期間相應勞動保護補助及醫療補助。A offer B living cost 4.0USD one day on board，offer labor protection and medical subsidy

4.乙方正常上下船的費用由甲方承擔，但乙方必須按照甲方的規定的標準執行，超出部分非特殊情況下甲方不予承擔，未完成合同提前下船的差費乙方承擔。A offer the normal ship sent fee for B according to the company regulation，if B don’t have reasonable excuse ,the beyond part should be paied by B himself.get off the ship before the ending of the contract ,Bpay all the bill.5.合同期內，甲方負責為乙方提供風險保障：如死亡，受傷，生病等情況，甲方根據P&I協會條款或者保險公司條款為乙方提供保障，但以下情況除外：A offer risk guarantee for death，injury，illness etc according to P&I association，but except：

（1）并非在船上是發生的受傷，死亡 injury or death not on board

（2）受傷或者患病是由于乙方的故意行為，違章，酗酒或者不正當舉止所致 injury or illness caused by intentional action，peccancy intemperance or other incorrect action

（3）簽訂合同時故意隱瞞疾病等 hide the truth when sign the contract

6.乙方在工作期間享受甲方的各項獎勵，自修費，勞務費等地分配。

B have the right to share the reward，self-maintenance fee，labor fee ect

三，雙方的權利和義務both sides’ right and duty

1.乙方應保證身體健康，保證持有有效的主管機關簽發的有效的船員服務薄，基本安全培訓合格證，海員證，職務證書以及公約要求的其他技術證書。根據需要乙方應接受甲方的ISM 培訓，遵守甲方的SMS 體系文件的規定。B should be ensure not only healthy and have valid crew service book，the basic safety training certificate，seamen’s certificate，post certificate and other technical certificate required by international conventions.B should receive the ISM training and obey the SMSregulations made by the company.2.甲方負責為乙方辦理外籍證書及出境手續，正常情況下所發生的費用由乙方自負，在船工作滿個月之后所發生的費用，酌情報銷。Aarrange the foreign certificate and exit formalities for B，B pay all the bill，can apply for some refund

3.根據配員要求，乙方需要值班的，船長要求必須會操作使用船上的通導設備。

If discharge required，B should can operate the communication equipments on board

4.乙方在合同期內，應忠于職守，遵紀守法，盡職盡責，如有下列行為者，甲方有權終止合同，乙方除自行承擔后果外，對甲方造成的損失應負賠償責任，甲方亦有權根據乙方行為后果的嚴重程度給予相應的經濟處罰：B should be on duty and responsible for his act onboard，if B do the following action，A have rights to end the contract at once and ask for compensation，and have rights to punish B with economic methods

（1）乙方工作失職，給船舶安全性或者正常航行造成危險或者損失的 B neglect his duty cause danger or loss

（2）乙方不遵守甲方的管理制度或者不服從公司管理的B break company rules or management regulations

（3）乙方漏船或者擅自離船的 Bget off the ship without permission

（4）乙方參與盜竊，走私，偷渡，販毒，色情等活動的 B join the following act ：steal Smuggle，stowaway，drug trade，eroticism ect

（5）乙方不遵守所在港國家法令等被追究地方責任給甲方造成損失的B break port station rules，is punished by the state，caused problems or loss

（6）乙方私自與ITF 及其他國際公會組織接觸的B contact with ITF or other international associations privately

（7）其他嚴重違法違紀情形other seriousillegal acts

四，違約責任 defaultresponsibilities

合同履行期間任何一方違約將導致合同終止，違約方應向對方支付合同期內月工資總額的10%的違約金。each side break the contract lead to the ending of the contract and the breaker should pay 10% salary of one month as liquidate damages

五，爭議解決dispute resolution

合同履行期間內，雙方如有爭議，應協商解決，如協商不成，雙方同意由甲方所在地的法院解決。If there is a dispute between A and B，should be consulted，if the argument can not be dissolved，apply for the court where A located in

六，簽約生效 contract come into force

本合同雙方共同簽訂于本合同一式兩份，甲乙各執一份，合同自簽訂之日起生效。The crew contract signed in the city of，one for each side.The contract come into force from the signed date
