3.Term of validity合同效力期限

4.Force Majeure不可抗力

“Force Majeure” under the contract means the external circumstances that can not be foreseen, avoided and surmounted in the process of fulfilment of the contract, the incidents of which makes either party fails to fulfill the obligations under the contract, such as wars, riots, government behaviors, earthquake, fire, storms, floods or other severe weathers.本合同下的“不可抗力”是指在執行合同的過程中不能被預見、避免、克服的外在因素,從而導致合同任意一方無法履行合同責任,如戰爭、**、政府行為、地震、火災、風暴、洪水或其他惡劣天氣。

6.DISPUTE SETTLEMENT

第四篇:項目管理咨詢服務合同(中英文對照)

第三條為保證乙方有效進行技術服務工作,甲方應當向乙方提供下列工作條件:甲方若已有以下資料應免費提供乙方一份;

① 建設單位情況;

② 項目建議書及批準文件;

③ 建設項目選址意見書;

④ 規劃局有關規劃參數的批準文件;

⑤ 經有關方面征詢的地塊建設項目的規劃、環境保護、園林綠化、衛生防疫、水、電、煤、通信、交通和消防等; ⑥ 土地權屬證明(房地產權證)及其他相關文件;

⑦ 建設基地動遷量及市政配套情況(包括動遷安置補償情況、大市政配套情況等);

⑧ 地形圖、地質資料;

⑨ 規劃設計總體位置平面圖;周圍環境及其規劃情況;擬建項目的規劃用途及分類情況;

⑩ 規劃設計方案想法說明:(總建筑面積、容積率、綠化率、設計戶型、結構類型、裝修標準、供配電、煤氣容量)? 如享受減免優惠政策的文件或說明(公建配套費、人防費等)

? 建設項目的資金籌措及資金流入情況;

2.其他

? 甲方提供的資料應準確無誤,若乙方對甲方提供的資料或數據有異議時,甲方應及時負責解答,并盡可能給乙方的工作提供方便;

? 甲方應對乙方工作提供及時的、合理的相關協助。同時甲方應該提前半天通知乙方急需要解決的相關事情;

第四條甲方向乙方支付技術服務費及支付方式:

1.乙方項目管理服務費暫按萬元的基數和優惠后的包干費率工程造價的1%

2.設計、勘察、監理、施工、材料招標代理費可以減免甲方部分相關費用,如甲方要收取乙方相關費用,可以在招標時招標文件中說明。

3.服務費有甲方分期支付乙方:

具體支付方式和時間如下:

a、本合同簽定后3日內,甲方向乙方預付項目管理服務費的20%,作為項目啟動資金;

b、施工招標代理工作完成后,甲方向乙方支付到項目管理服務費的40%;

c、根據總工期按每月平均支付項目管理服務費的95%;

d、竣工驗收完畢,甲方向乙方一次性付清余款。

1.質量獎勵:

如本工程獲市級文明工地,甲方將按相應建筑面積×3元/㎡計算給予乙方獎勵。

3.如由于甲方的資金不能及時到位而導致的工程延誤或索賠損失,由甲方承擔。

4.工程籌建和施工期間有乙方原因造成工程質量問題(事故)視問題(事故)大小、責任程度,承擔相關責任并予以處罰。

5.甲乙雙方優勢互補,乙方應充分發揮甲方的前期優勢,具體合作由甲乙雙方另行友好商量。

第八條雙方確定在本合同有效期內,甲方指定為甲方聯系人,乙方指定為乙方聯系人。

第九條雙方確定出現下列情況,致本合同的履行行為不必要或不可能,可能解除本合同:

1.發生不可抗力;
