CONTRACT OF CHINESE FOREIGN EQUITY JOINT VENTURES
1.1.1所依據(jù)的法規(guī)條文 Applied Laws and Regulations
1.依照《中外合資經(jīng)營企業(yè)法》批準在中國境內(nèi)設(shè)立的中外合資經(jīng)營企業(yè)(以下簡稱合營企業(yè))是中國的法人,受中國法律的管轄和保護。
1.Chinese-foreign equity joint ventures(hereinafter referred to as joint ventures)established within Chinese territory upon the approval in accordance with the Law on Chinese-Foreign Equity Joint Ventures are Chinese legal persons, who shall be governed and protected by Chinese law.2.在中國境內(nèi)設(shè)立的合營企業(yè),應(yīng)當能夠促進中國經(jīng)濟的發(fā)展和科學技術(shù)水平的提高,有利于社會主義現(xiàn)代化建設(shè)。
國家鼓勵、允許、限制、或者禁止設(shè)立合營企業(yè)的行業(yè),按照國家指導外商投資方向的規(guī)定及外商投資產(chǎn)業(yè)指導目錄執(zhí)行。
2.Joint ventures established within Chinese territory shall be able to promote the development of the economy and the enhancement of the science and technology of China and facilitate China’s socialist modernization.Industries in which the establishment of joint ventures is encouraged, permitted, restricted or prohibited by the State shall be determined in accordance with provisions of the State in the Regulations on Foreign Investment Guidelines and the Guideline Catalogue of Foreign Investment Industries.3.在中國境內(nèi)設(shè)立合營企業(yè),必須經(jīng)中華人民共和國對外貿(mào)易經(jīng)濟合作部(以下簡稱對外貿(mào)易合作部)審查批準。批準后,由對外貿(mào)易經(jīng)濟合作部發(fā)給批準證書。3.The establishment of a joint venture within Chinese territory shall be subject to the examination and approval by the Ministry of Foreign Trade and Economic Cooperation of the People’s Republic of China(MOFTEC).Upon approval, MOFTEC shall issue a certificate of approval thereof.4.凡具備下列條件的,國務(wù)院授權(quán)省、自治區(qū)、直轄市人民政府或者國務(wù)院有關(guān)部門審批:(1)投資總額在國務(wù)院規(guī)定的投資審批權(quán)限以內(nèi),中國合營者的資金來源已經(jīng)落實的;
(2)不需要國家增撥原材料,不影響燃料、動力、交通運輸、外貿(mào)出口配額等方面的全國平衡的。
依照前款批準設(shè)立的合營企業(yè),應(yīng)當報對外貿(mào)易合作部備案。
對外貿(mào)易合作部和國務(wù)院授權(quán)的省、自治區(qū)、直轄市人民政府或者國務(wù)院有關(guān)部門,以下統(tǒng)稱審批機構(gòu)。
4.The State Council shall delegate to the people’s governments of the provinces, autonomous regions and municipalities directly under the Central Government or the relevant departments under the State Council the power to examine and approve joint ventures which meet the following conditions:(1)The total investment of a joint venture is within the amount limited by the authority as granted by the State Council for examination and approval of investment, and the source of capital of the Chinese party has been ascertained;and(2)No additional allocation of raw materials by the State is required and the national balance in respect of fuel, power, transportation, foreign trade export quota is not affected.Joint ventures established in accordance with provisions of the proceeding paragraphs shall be reported to MOFTEC for record.MOFTEC and the people’s governments of provinces, autonomous regions, municipalities directly under the Central Government authorized by the State Council or the relevant departments under the State Council shall hereinafter be referred to as the examination and approval authority.5.申請設(shè)立合營企業(yè),由中外合營者共同向?qū)徟鷻C構(gòu)報送下列文件:(1)設(shè)立合營企業(yè)的申請書;
(2)合營各方共同編制的可行性研究報告;
(3)由合營各方授權(quán)代表簽署的合營企業(yè)協(xié)議、合同和章程;
(4)由合營各方委派的合營企業(yè)董事長、副董事長、董事人選名單;
(5)審批機構(gòu)規(guī)定的其他文件。
前款所列文件必須用中文書寫,其中第(2)、(3)、(4)項文件可以同時用合營各方商定的一種外文書寫。兩種文字書寫的文件具有同等效力。
審批機構(gòu)發(fā)現(xiàn)報送的文件有不當之處的,應(yīng)當要求限期修改。
5.When applying for establishing a joint venture, the Chinese and foreign partners shall jointly submit the following documents to the examination and approval authority:(1)an application for the establishment of the joint venture;(2)the feasibility study report jointly prepared by the parties to the joint venture;(3)the joint venture agreement, contract and articles of association executed by the duly authorized representatives of the parties to the joint venture;(4)list of the candidates for the chairman, vice-chairman and directors of the joint venture nominated by the parties to the joint venture;and(5)other documents specified by the examination and approval authority.The documents listed in the proceeding paragraphs must be written in Chinese, among them.Documents(2),(3)and(4)may be written simultaneously in a foreign language agreed upon by the parties to the joint venture.Documents written in both languages shall be equally authentic.If anything inappropriate is found in the documents submitted, the examination and approval authority shall require that it be amended within the specified time.6.審批機構(gòu)自接到本條例第五條規(guī)定的全部文件之日起,3個月內(nèi)決定批準或不批準。6.The examination and approval authority shall, within three months of the receipt of all the documents stipulated in Article 5 of these regulations, decide whether to approve or not to approve such documents.7.申請者應(yīng)當自收到批準證書之日起1個月內(nèi),按照國家有關(guān)規(guī)定,向工商行政管理機關(guān)辦理登記手續(xù)。合營企業(yè)的營業(yè)執(zhí)照簽發(fā)日期,即為該合營企業(yè)的成立日期。
7.The applicant shall, within one month of the receipt of the certificate of approval, go through the registration procedures with the administrative authority of industry and commerce in accordance with the relevant stipulations of the State.The date on which the business license of a joint venture is issued shall be the date of the establishment of the joint venture.1.2.1 成立公司 Establishment of Company
1.根據(jù)《中華人民共和國中外合資經(jīng)營企業(yè)法》和中國其他有關(guān)法律法規(guī),上海太陽有限公司(以下簡稱“甲方”)與沃倫有限公司(以下簡稱“乙方”)本著平等互利的原則,通過友好協(xié)商,同意在中華人民共和國(“中國”)上海共同成立一家合資經(jīng)營公司(“合營公司”),特簽訂本合資經(jīng)營合同(“合同”)。
1.In accordance with the Law of the People’s Republic of China on Chinese-Foreign Equity Joint Ventures and other relevant Chinese laws and regulations, Shanghai Sun Co., Ltd.(hereinafter referred to as “Party A”)and Warren Inc.(hereinafter referred to as “Party B”), adhering to the principles of equality and mutual benefit, and through friendly consultations, agree to jointly establish an equity joint venture company(the “JV company”)in Shanghai, the People’s Republic of China(“China”), and hereby enter into this Equity Joint Venture Contract(“Contract”).2.合營公司的中文名稱為“上海太陽-沃倫有限公司”,英文名稱為“Shanghai Sun-Warren Co., Ltd.”。合營公司的法定地址為中國上海市東怡路1705號。
The name of the JV company is “上海太陽-沃倫有限公司” in Chinese, and “Shanghai Sun-Warren Co., Ltd.” in English.The legal address of the JV Company is 1705 Dong Yi Road, Shanghai, China.如果合營期限內(nèi)任何時候一方不再作為合營公司的合營方,而其時合營公司名稱和/或標識的任何一部分帶有與該方公司名稱或標識相同或近似的任何語言的字眼和/或標識,另一方則應(yīng)促使合營公司在該另一方不再作為合營公司一方后60日內(nèi)更改合營公司的名稱,刪去公司名稱內(nèi)所包含的該等字眼和/或標識,并促使立即銷毀所有載有上述公司名稱和/或標識的所有文具、書面材料和出版物。
If either party ceases to be a party of the JV Company at any time during the Joint Venture Term, and if at such time any word in any language and/or logo which is the same as or similar to the corporate name and/or logo of that party appears in any part of the name and/or logo of the JV Company, the other party shall procure that the JV Company shall forthwith change its name to exclude such word and/or logo from the corporate name within sixty(60)days of that party ceasing to be a party to the JV Company, and shall procure that the all stationary, written materials and publications containing any reference to such corporate name and/or logo shall be forthwith destroyed.3.合營公司為有限責任公司,以其所有資產(chǎn)對外承擔責任。各方對合營公司的責任以其根據(jù)本合同認繳的、對合營公司注冊資本的出資額為限。除各方另有約定外,任何一方對合營公司不負超出其認繳的出資額的任何責任。任何一方均不就合營公司債務(wù)和義務(wù)對任何第三方有任何連帶責任。
3.The JV Company shall be a limited liability company.It shall be liable to the full extent of its assets.The liability of each party to the JV Company shall be limited to the amount it has contributed to the registered capital of the JV Company pursuant to this Contract.Unless otherwise agreed by the parties, neither party shall have any liability to the JV Company in excess of such amount.Neither of the party shall be jointly and severally liable to any third party for the JV Company’s liabilities and obligations.4.合營公司組織形式為有限責任公司。各方以其認繳的出資額對合營公司的債務(wù)承擔責任。各方按其出資額在合營公司注冊資本中的比例分享利潤和分擔風險及虧損。
4.The JV Company shall be a limited liability company.Each party’s liability to the Company shall be limited to the amount of capital contribution subscribed by it.The parties shall share the profits and bear the risks and losses in proportion to their respective contribution to the registered capital of the JV Company.5.合營公司為中國法人,受中國法律管轄和保護。合營公司的一切活動應(yīng)遵守中國的法律法規(guī)的規(guī)定。5.JV Company is a legal person in China who shall be governed and protected by Chinese law.All its activities shall comply with the provisions of Chinese laws and regulations.6.本合同各方根據(jù)《中華人民共和國外資企業(yè)法》及其實施細則和中國其他有關(guān)法規(guī),同意在中國上海市共同經(jīng)營一家外商獨資企業(yè)。
6.In accordance with the Law of the People’s Republic of China on Foreign Investment Enterprises and its implementation rules and other relevant laws and regulations of China, the Parties to this Contract agree to jointly operate a wholly foreign-owned enterprise in Shanghai, China.7.公司為中國法人,性質(zhì)為外商獨資經(jīng)營企業(yè),受中國法律管轄和保護。公司的一切活動必須遵守中華人民共和國法律、法規(guī)的規(guī)定,并享受中國國家以及地方給予外商獨資經(jīng)營企業(yè)的一切優(yōu)惠待遇。
7.The company shall be a legal person in China, which is by nature a wholly foreign-owned enterprise.It shall be governed and protected by Chinese law.And, it shall comply with the provisions of the laws and regulations of China in all its activities.It shall be entitled to all preferential treatment accorded by the State and the local governments to wholly foreign-owned enterprises.unit 2投資總額和注冊資本 2.1.1 所依據(jù)的法規(guī)條文
1.合營企業(yè)的投資總額(含企業(yè)貸款),是指按照合營企業(yè)合同、章程規(guī)定的生產(chǎn)規(guī)模需要投入的基本建設(shè)資金和生產(chǎn)流動資金的總合。1.The total amount of investment(including borrowings)of a joint venture refers to the sum total of the capital construction funds and the circulating funds required to be invested in conformity with the joint venture’s production scale as set out in the contract and the articles of association of the joint venture.2.合營企業(yè)的注冊資本,是指為設(shè)立合營企業(yè)在登記管理機構(gòu)登記的資本總額,應(yīng)為合營各方認繳的出資額之和。
合營企業(yè)的注冊資本一般應(yīng)當以人民幣表示,也可以用合營各方約定的外幣表示。
2.The registered capital of a joint venture refers to the total capital registered with the registration authority for the establishment of the joint venture.It shall be the sum of the capital contributions subscribed by all parties to the joint venture.The registered capital shall generally be denominated in Renminbi or may be in a foreign currency agreed upon by the parties to the joint venture.3.合營企業(yè)在合營期內(nèi)不得減少其注冊資本。因投資總額和生產(chǎn)經(jīng)營規(guī)模等發(fā)生變化,確需減少的,須經(jīng)審批機構(gòu)批準。
3.No joint venture may reduce its registered capital during the term of the joint venture.If there is a real need for reduction of the registered capital due to changes in the total amount of investment, the scale of production and operation, or other circumstances, such reduction shall be subject to approval by the examination and approval authority.4.合營一方向第三者轉(zhuǎn)讓其全部或部分股權(quán)的,須經(jīng)合營他方同意,并報審批機構(gòu)批準,向登記管理機構(gòu)辦理變更登記手續(xù)。合營一方轉(zhuǎn)讓其全部或部分股權(quán)時,合營他方有優(yōu)先購買權(quán)。
合營一方向第三者轉(zhuǎn)讓股權(quán)的條件,不得比向合營他方轉(zhuǎn)讓的條件優(yōu)惠。
違反上述規(guī)定的,其轉(zhuǎn)讓無效。
4.If a party to a joint venture intends to transfer all or part of its equity to a third party, consent shall be obtained form the other parties to the joint venture, and approval from the examination and approval authority shall be required.Such transfer shall be registered with the registration authority for the corresponding changes in the registration particulars.When a party transfers all or part of its equity, the other parties shall have the preemptive right.In case one of party to the Joint Venture intends to transfer all or part of its interest rights, the other party shall be entitled to the preemptive right to buy such interest rights.When a party transfers its equity to a third party, the conditions offered for such transfer may not be more favorable than those offered to the other parties to the joint venture.Any transfer in contravention of the above provisions shall be invalid.Any transfer in breach of the proceeding provisions shall be void.5.合營企業(yè)注冊資本的增加、減少,應(yīng)當由董事會會議通過,并報審批機構(gòu)批準,向登記管理機構(gòu)辦理變更登記手續(xù)。
5.Any increase in or reduction of the registered capital of a joint venture shall be approved by a board meeting and submitted to the examination and approval authority for approval.Such increase or reduction shall be registered with the registration authority for the corresponding changes in the registration particulars.6.合營者可以用貨幣出資,也可以用建筑物、廠房、機器設(shè)備或者其他物料、工業(yè)產(chǎn)權(quán)、專有技術(shù)、場地使用權(quán)等作價出資。以建筑物、廠房、機器設(shè)備或其其他物料、工業(yè)產(chǎn)權(quán)、專有技術(shù)作為出資的,其作價由合營各方按照公平合理的原則協(xié)商確定,或者聘請合營各方同意的第三者評定。
6.A party to a joint venture may make its capital contribution in money, or in the form of buildings, factory premises, machinery, equipment or other materials, industrial property, proprietary technology or site use rights, the value of which shall be appraised.Where the contribution is in the form of buildings, factory premises, machinery, equipment or other materials, industrial property or proprietary technology, the value thereof shall be determined by the parties to the joint venture through consultation and on the principle of fairness and reasonableness or shall be appraised by a third party agreed upon by parties to the joint venture.7.外國合營者出資的外幣,按繳款當日中國人民銀行公布的基準匯率折算成人民幣或者套算成約定的外幣。中國合營者出資的人民幣現(xiàn)金,需要折算成外幣的,按繳款當日中國人民銀行公布的基準匯率折算。
7.The foreign exchange contribution made by the foreign party shall be converted into Renminbi or cross exchanged into a predetermined foreign currency at the standard exchange rate published by the People’s Bank of China on the day the payment is made.Where the cash contribution in Renminbi made by the Chinese party needs to be converted into a foreign currency, it shall be converted at the standard exchange rate published by the People’s Bank of China on the day the payment is made.8.作為外國合營者出資的機器設(shè)備或其他物料,應(yīng)當是合營企業(yè)生產(chǎn)所必需的。前款所指的機器設(shè)備或者其他物料的作價,不得高于同類機器設(shè)備或者其他物料當時的國際市場價格。8.The machinery, equipment or other materials contributed by the foreign party shall be those that are indispensable for the production of the joint venture.The valuation of the machinery, equipment or other materials mentioned in the proceeding paragraph may not be higher than the current international market price of machinery, equipment or other materials of the same kind.9.作為外國合營者出資的工業(yè)產(chǎn)權(quán)或者專有技術(shù),必須符合下列條件之一:(1)能顯著改進現(xiàn)有產(chǎn)品的性能、質(zhì)量,提高生產(chǎn)效率的;
(2)能顯著節(jié)約原材料、燃料、動力的。
9.The industrial property or proprietary technology contributed by the foreign party shall meet one of the following conditions:(1)It is capable of notably improving the performance and quality of existing products and raising productivity;or(2)It is capable of notably economizing on raw materials, fuel or power.10.外國合營者以工業(yè)產(chǎn)權(quán)或者專業(yè)技術(shù)作為出資,應(yīng)當提交該工業(yè)產(chǎn)權(quán)或者專有技術(shù)的有關(guān)資料,包括專利證書或者商標注冊證書的復制件、有效狀況及其技術(shù)特性、實用價值、作價的計算根據(jù)、與中國合營者簽訂的作價協(xié)議等有關(guān)文件,作為合營合同的附件。
10.A foreign party who contributes industrial property or proprietary technology shall deliver documentation relating to, including photocopies of the letters patent or trademark registration certificates, statements of validity, technical features and practical value thereof, the basis for calculating the price, and the agreement signed with the Chinese partner on the value thereof, as annexes attached to the joint venture contract.11.外國合營者作為出資的機器設(shè)備或其他物料、工業(yè)產(chǎn)權(quán)或者專有技術(shù),應(yīng)當報審批機構(gòu)批準。
11.The machinery, equipment or other materials, industrial property or proprietary technology contributed by the foreign parties shall be submitted to the examination and approval authority for approval.12.合營各方應(yīng)當按照合同規(guī)定的期限繳清各自的出資額。逾期未繳或未繳清的,應(yīng)當按合同規(guī)定支付遲延利息或者賠償損失。
12.Each party to a joint venture shall make its capital contribution in full and within the time limited prescribed in the contract.If a party delays in making its contribution or fails to make its contribution in full, it shall pay interest on such default or compensate for any losses pursuant to the provisions of the contract.13.合營各方繳付出資額后,應(yīng)當由中國的注冊會計師驗證,出具驗資報告后,由合營企業(yè)據(jù)以發(fā)給出資證明書。出資證明書載明下列事項:合營企業(yè)名稱;合營企業(yè)成立的年、月、日;合營者名稱(或者姓名)及其出資額、出資的年、月、日;發(fā)給出資證明書的年、月、日。
13.After the parties have made their capital contributions to the joint venture, such contributions shall be verified by a certified public accountant registered in China.Upon the issuance of the capital verification report by the said accountant, the joint venture shall issue a capital contribution certificate to each party, which shall contain the following particulars: the name of the joint venture, the date, month and year of the establishment of the joint venture, the names of the parties and their capital contribution, the date, month and year on which their capital contribution is made, and the date, month and year of the issuance of the capital contribution certificate.2.2.1 1.合營公司的投資總額為一千五百萬美元,注冊資本為一千萬美元。
1.The total amount of investment of the JV Company is fifteen million(15,000,000)US Dollars, and the registered capital of the JV Company is ten million(10,000,000)US dollars.2.甲方向合營公司出資相當于八百萬美元的人民幣現(xiàn)金,占合營公司注冊資本的80%。乙方向合營公司出資相當于二百萬美元的人民幣現(xiàn)金,占合營公司注冊資本的20%,但乙方必須提供其人民幣合法來源的證明。
2.Party A shall contribute the Reminbi(“RMB”)equivalent of eight million(8,000,000)US Dollars in cash to the JV Company, accounting for 80% of the registered capital of the JV Company.Party shall contribute the RMB equivalent of two million(2,000,000)US Dollars in cash to the JV Company, accounting for 20% of the registered capital of the JV Company, provided, however, that Party B will provide evidence proving the lawful source of its RMB contribution.3.乙方應(yīng)在合營公司獲得營業(yè)執(zhí)照后90天內(nèi),向合營公司注冊資本繳納其100%的出資額(即二百萬美元等值的人民幣)。甲方應(yīng)(i)在合營公司獲得營業(yè)執(zhí)照后的90天內(nèi),向合營公司注冊資本繳納其25%的出資額(即二百萬美元等值的人民幣);(ii)在2002年5月底前向合營公司注冊資本繳納其25%的出資額(即二百萬美元等值的人民幣);(iii)在合營公司獲得營業(yè)執(zhí)照后三年內(nèi),向合營公司注冊資本繳納其50%的出資額(即四百萬美元等值的人民幣)。
3.Party B shall contribute 1000% of its share of the registered capital of the JV Company(i.e.the RMB equivalent of US $ 2,000,000)within ninety(90)days after the JV Company obtains its business license.Party A shall contribute(i)25% of its share of the registered capital of the JV Company(i.e.the RMB equivalent of US $ 2,000,000)within ninety(90)days after the JV Company obtains its business license;(ii)25% of its share of the registered capital of the JV Company(i.e.the RMB equivalent of US $ 2,000,000)by the end of May, 2002;(iii)50% of its share of the registered capital of the JV Company(i.e.the RMB equivalent of US $ 4,000,000)within three years after the JV Company obtains its business license.4.如果任何一方未能按照以上第三條要求出資,應(yīng)按《中外合資經(jīng)營企業(yè)合營各方出資的若干規(guī)定》第六條和第七條處理。此外,自第三條規(guī)定的出資日起至實際出資日期間,該方應(yīng)為每筆遲付款項向合營公司支付累積的利息,利率相當于倫敦銀行同業(yè)拆放美元月息加百分之一。
4.If either party fails to make its contribution to the registered capital as required by Article 3 above, such failure shall be dealt with in accordance with Article 6 and 7 of the Several Provisions Concerning Capital Contributions by Parties to the Chinese-Foreign Equity Joint Venture Enterprises.In addition, interest shall accrue and shall be payable by such party to JV Company on the value of each late contribution from its scheduled contribution date specified in Article 3 till the date when such contribution is actually made.The rate of interest shall be equal to one percent over the monthly London interbank offered rate for US Dollars.5.在(i)乙方全部繳清其對合營公司注冊資本的出資額,且甲方繳納其第二期對合營公司注冊資本的出資額后,及(ii)甲方繳清其對合營公司注冊資本的出資額后,合營公司應(yīng)聘請在中國注冊的會計師(“注冊會計師”)對各方的出資進行驗資。注冊會計師出具驗資報告后,合營公司應(yīng)向各方頒發(fā)由董事長簽字的出資證明書,寫明該方的名稱及其累計的出資額。5.The JV Company shall engage a certified public accountant registered in China(“CAP”)to verify the contribution to the JV Company made by each of the Parties(i)after party B has contributed its share of the registered capital of the JV Company in full and Party A has paid its second installment of contribution to the registered capital of the JV Company, and(ii)after Party A has paid in full its contribution to the registered capital of the JV Company.After the CPA has issued each capital verification report, the JV Company shall issue to each Party a capital contribution certificate signed by the Chairman of the Board of directors, indicating the name of the party and the cumulative amount of its contribution.6.合營公司的投資總額與注冊資本的差額為五百萬美元(“差額”)。雙方同意為籌措差額進行合作。為此,乙方應(yīng)促使其一家關(guān)聯(lián)公司分期貸給合營公司最高為四百二十萬美元的款額(“乙方貸款”)。乙方貸款的具體條款和條件,包括但不限于利率、每期貸款預付的先決條件及其他有關(guān)條款,應(yīng)在合營公司與乙方的關(guān)聯(lián)公司簽訂的貸款協(xié)議中作出規(guī)定。乙方貸款的本金和利息,應(yīng)自頒發(fā)合營公司營業(yè)執(zhí)照之日起十年內(nèi)償還。
差額中的不足部分(即八十萬美元)將由合營公司另行按董事會的決定在中國國內(nèi)或國外籌措。
6.The difference between the total investment and the registered capital of the JV Company is five million(5,000,000)US Dollars(the “Difference”).The Parties agree to cooperate in raising the Difference for the JV Company.To this end Party B shall procure one of its affiliates to lend to the JV Company an amount of up to four million two hundred thousand(4,200,000)US Dollars in installments(the “Party B Loan”).The specific terms and conditions of the Party B Loan, including without limitation the interest rates, conditions precedent to advancement of each installment and other relevant terms shall be set forth in a Loan agreement to be entered into by and between the JV Company and Party B’s affiliate.The principal of and interest on the Party B Loan shall be repaid over a term of ten years from the date of issuance of the JV Company’s business license.The amount to make up the shortage in the Difference(i.e.800,000 US Dollars)shall be borrowed by the JV Company in or out of PRC pursuant to the decisions of the board of directors.7.如果一方轉(zhuǎn)讓其對合營公司注冊資本的全部或部分出資,應(yīng)事先獲得另一方的書面同意。此外,該另一方在相同的條款和條件下,在法律允許范圍內(nèi)有優(yōu)先購買權(quán)。
7.Should one Party transfer all or part of its share of the registered capital of the JV Company, prior consent shall be obtained in writing from the other Party.In addition, the other Party shall have the preemptive right on the same terms and conditions and to the extent permitted by law.任何一方對合營公司注冊資本的全部或部分出資轉(zhuǎn)讓后,受讓方應(yīng)承擔本合同規(guī)定的出讓方的相應(yīng)義務(wù)和責任。
Upon the transfer of all or part of either Party’s share of the registered capital to the JV Company, the transferee thereof shall assume the corresponding obligations and responsibilities of the transferring Party as stipulated in this contract.unit 3董事會

1.A joint venture shall set up a board of directors, the member and composition of which shall be specified in the contract and articles of association by the parties to the joint venture through consultation.The directors shall be appointed and replaced by the parties.Chairman or vice-chairman shall be determined by the parties to the joint venture through consultation or elected by the board of directors.Where the Chinese party or the foreign party assumes the office of chairman, the other party shall be the vice-chairman.The board of directors shall decide important matters concerning the joint venture on the principles of equality and mutual benefit.2.董事會的職權(quán)是按合營企業(yè)章程規(guī)定,討論決定合營企業(yè)的一切重大問題:企業(yè)發(fā)展規(guī)劃、生產(chǎn)經(jīng)營活動方案、收支預算、利潤分配、勞動工資計劃、停業(yè),以及總經(jīng)理、副總經(jīng)理、總工程師、總會計師、審計師的任命或聘請及其職權(quán)和待遇等。
2.As its functions and powers, the board of directors shall, in accordance with the provisions of the articles of association of the joint venture, discuss and decide all important matters concerning the joint venture, namely, the enterprise expansion plan, plans for production and business activities, budget for revenues and expenditures, profit distribution, plans concerning labor and wages and winding up, as well as the appointment or engagement of the general manager, deputy general manager, chief engineer, chief accountant, and auditors and their functions and powers, and salaries and benefits.3.董事會是合營企業(yè)的最高權(quán)力機構(gòu),決定合營企業(yè)的一切重大問題。
3.The board of directors shall be the highest authority of a joint venture.It shall decide all major matters concerning the joint venture.4.董事會成員不得少于3人。董事名額的分配由合營各方參照出資比例協(xié)商確定。董事的任期為4年,經(jīng)合營各方繼續(xù)委派可以連任。
4.The board of the directors shall consist of no less than three members.The number of directors to be appointed by each party shall be determined through consultation by the parties to the joint venture with reference to the proportion of their respective capital contribution.The term of office for each director shall be four years.Such term shall be renewed when a director is re-appointed by the original appointing party to the joint venture.5.董事會會議每年至少召開一次,由董事長負責召集并主持。董事長不能召集會議時,由董事長委托副董事長或其他董事負責召集并主持董事會會議。經(jīng)1/3以上董事提議,可以由董事長召開董事會臨時會議。
董事會會議應(yīng)當由2/3以上董事出席方能舉行。董事不能出席的,可以出具委托書委托他人代表其出席和表決。
董事會會議一般應(yīng)當在合營企業(yè)法定地址所在地舉行。
5.The board meeting shall be convened at least once a year, which shall be called and presided over by the chairman of the board.If the chairman is unable to call the meeting, he shall appoint the vice-chairman or another director the power to call and preside over the meeting.The chairman may convene an interim meeting upon a proposal made by more than one third of the total number of directors.The board meeting shall be held only when over two-third of the directors are present.If a director is unable to attend the meeting, he may issue a power of attorney to appoint a proxy to represent him and vote on his behalf.The board meeting shall generally be held at the location of the joint venture’s legal address.6.下列事項由出席董事會會議的董事一致通過方可做出決議:(1)合營企業(yè)章程的修改;
(2)合營企業(yè)的終止、解散;(3)合營企業(yè)注冊資本的增加、減少;
(4)合營企業(yè)的合并、分立。
其他事項,可以根據(jù)合營企業(yè)章程載明的議事規(guī)則做出決議。
6.Resolutions on the following matters shall be made only after they have been unanimously approved by the directors present at the board meeting:(1)amendment to the articles of association;(2)termination and dissolution of the joint venture;(3)increase in and reduction of the joint venture’s registered capital;and(4)merger or division of the joint venture.Resolutions on other matters may be made in accordance with the rules of procedure stated in the articles of association of the joint venture.7.董事長是合營企業(yè)的法定代表人。董事長不能履行職責時,應(yīng)當授權(quán)副董事長或者其他董事代表合營企業(yè)。
7.The chairman of the board is the legal representative of the joint venture.When the chairman is unable to perform his duties, he shall authorize the vice-chairman or another director to represent the joint venture.3.2.1 1.合營公司營業(yè)執(zhí)照頒發(fā)之日,即為合營公司和董事會成立之時。1.The day of the issuance of the JV Company’s business license shall be date of the establishment of the JV Company and the board of directors.2.董事會由5名董事組成,其中3名董事由甲方委派,2名董事由乙方委派。.董事長由甲方委派。董事長和其他董事的任期為3年,經(jīng)委派方再次委派可連任。
董事會席位出現(xiàn)空缺時,原委派方應(yīng)立即委派繼任董事。任一方均可再隨時委派一名新董事(包括董事長)。委派新董事、董事長或副董事長時,委派方應(yīng)提前7日通知董事會及另一方。
2.The board of directors shall consist of 5 directors, of whom three(3)shall be appointed by Party A and two(2)shall be appointed by Party BThe chairman of the board shall be appointed by Party A.The term of office of the chairman and other directors shall be three(3)years, and they may serve consecutive terms when they are re-appointed by the original appointing Party.When a vacancy arises on the board of directors, the original appointing Party shall promptly appoint a successor.Any Party may at any time appoint a new director(including the chairman of the board).When a new director, chairman or vice-chairman is appointed, the appointing party shall notify the board of directors and the other party seven(7)days in advance.3.董事長是合營公司的法定代表人。董事長負責召集和主持董事會會議。未經(jīng)董事會事先以決議的形式書面授權(quán),董事長無權(quán)單方面采取對合營公司或董事會有約束力的行動。董事長因故不能履行其職務(wù)時,應(yīng)指派另一位董事暫時履行董事長職務(wù)及代表合營公司。
3.The chairman of the board is the legal representative of the JV Company.He shall be responsible for calling and presiding over the board meeting.Without the prior written authorization by the board of directors in the form of a resolution, the chairman shall have no right to take any action that is binding on the JV Company or the board of directors.Should the chairman be unable to perform his duties, he shall appoint another director to perform the duties of the chairman and represent the JV Company for the time being.4.董事會會議每年至少召開一次。董事長應(yīng)在董事會開會前14天向每一位董事發(fā)出書面會議通知,說明會議的議程、時間和地點。董事長發(fā)出的會議通知上載明的開會日期之前,每位董事可隨時經(jīng)提前至少5天向董事長發(fā)出通知,請求增加在該次會議上討論的事項。董事長在收到請求后,應(yīng)立即向每一位董事發(fā)出經(jīng)過修改的會議通知。除非經(jīng)全體董事一致批準,董事會不得在董事會會議上就會議通知未列明的事項作出任何決議。
4.The board meeting shall be convened at least once a year.The chairman of the board shall give each director a written notice fourteen(14)days prior to the date of the board meeting, stating the agenda, time and place of the meeting.Each director may at any time prior to the date of a meeting specified in the notice of meeting issued by the chairman, by giving at least five(5)days’ notice to the chairman, request for additional matters to be discussed at such meeting.The chairman of the board shall forthwith distribute a revised notice of meeting to each of the directors following receipt of any such request.The board of directors may not at any meeting adopt any resolutions on subjects not specified in the notice of the meeting unless approved by all the directors.5.董事因故不能出席董事會會議,可以書面授權(quán)委托代理人出席董事會。如屆時未出席也未委托代理人出席,則作為棄權(quán)。
出席董事會會議的法定人數(shù)為全體董事的2/3,不夠2/3人數(shù)時,其通過的決議無效。
5.Where the director is unable to attend a board meeting for any reason, he may appoint a proxy by a power of attorney to attend the meeting on his behalf.If the director or his proxy fails to attend the duly convened board meeting, such director shall be deemed to have abstained form voting.The quorum of the board meeting shall be two-thirds of the total number of directors.Resolutions passed by a board meeting attended by less than two-thirds of the directors shall be invalid.6.董事會會議應(yīng)由總經(jīng)理辦公室用中文和英文作詳細記錄,并在會議結(jié)束后14日內(nèi)送交每位董事,由出席董事會會議的各位董事簽字確認。會議記錄應(yīng)全面真實地記錄與會董事或其代理人對要解決的問題所發(fā)表的意見,董事或其代理人的反對意見也應(yīng)一并記錄在案。任何董事不得以反對董事會會議通過的決議為由拒絕在會議記錄上簽字。經(jīng)董事簽字的董事會會議記錄,是董事會會議討論和表決的事項的真實反映,由總經(jīng)理辦公室保存并付諸實施。該等會議記錄的復印件應(yīng)立即交董事長(或其出席會議的代理人)簽字,并分發(fā)給各位董事。如果會議的中文記錄與英文記錄不一致,則應(yīng)以中文記錄為準。
6.Detailed minutes of the board meeting shall be prepared in Chinese and English by the General Manager’s office and shall be delivered to each director within fourteen(14)days of the conclusion of the meeting to be signed and confirmed by each of the directors who attended the board meeting.The minutes of the board meeting shall actually fully and truly record the opinions of the directors or their proxies on the matters being resolved, and any objection raised by any director or his proxy shall also be recorded in the minutes.No director may refuse to sign the minutes of the board meeting on the ground that he objects to any resolution adopted at the board meeting.The minutes of the board meeting that are signed by the directors shall be the true record of the matters discussed and voted on at the board meeting, and shall be kept and complemented by the General Manager’s office.Photocopies thereof shall be promptly signed by the chairman(or his proxy attended at the time)and distributed to each director.In case of any discrepancy between the Chinese and English versions, the minutes of the meeting prepared in Chinese shall prevail.7.如果全體董事書面同意,董事會可以不召開會議而采取行動。該等書面同意應(yīng)記錄在案,并具有有正式召開的董事會會議的一種表決相同的效力。7.An action may be taken by the board of directors without the convening of a board meeting if all the members of the board of directors consent in writing to the action.Such written consent shall be placed on record, and shall have the same force and effect as a unanimous affirmative vote taken at a duly convened board meeting.unit 4經(jīng)營管理機構(gòu) 4.1.1所依據(jù)的法規(guī)條文

1, A joint venture shall establish its business management organization, which shall be responsible for its day-to-day business management.The business management organization shall have one general manager and several deputy general managers, who shall assist the general manager in his work.2.總經(jīng)理執(zhí)行董事會會議的各項決議,組織領(lǐng)導合營企業(yè)的日常經(jīng)營管理工作。在董事會授權(quán)范圍內(nèi),總經(jīng)理對外代表合營企業(yè),對內(nèi)任免下屬人員,行使董事會授予的其他職權(quán)。2.The general manager shall carry out the various decisions of the board meeting, and organize and lead the daily management work of the joint venture.The general manager shall, within the authority given by the board of directors, represent the joint venture externally and appoint and dismiss his subordinates in the joint venture and exercise other powers granted by the board of directors.3.總經(jīng)理、副總經(jīng)理由合營企業(yè)董事會聘請,可以由中國公民擔任,也可以由外國公民擔任。經(jīng)董事會聘請,董事長、副董事長、董事可以兼任合營企業(yè)的總經(jīng)理、副總經(jīng)理或者其他高級管理職務(wù)。
總經(jīng)理處理重要問題時,應(yīng)當同副總經(jīng)理協(xié)商。
總經(jīng)理或副總經(jīng)理不得兼任其他經(jīng)濟組織的總經(jīng)理或者副總經(jīng)理,不得參與其他經(jīng)濟組織對本企業(yè)的商業(yè)競爭。
3.The general manager or deputy general manager shall be engaged by the board of directors of the joint venture.These positions may be held either by Chinese citizens or by foreign citizens.As the invitation of the board of directors, chairman, vice-chairman or directors may concurrently be the general manager, deputy general manager or other officer of the joint venture.In handling important matters, the general manager shall consult with the deputy general managers.The general manager or deputy general manager may not hold posts concurrently as the general manager or deputy general manager of another economic organization and they may not join other economic organizations in commercial competition with their own enterprise.4.總經(jīng)理、副總經(jīng)理及其他高級管理人員有營私舞弊或者嚴重失職行為的,經(jīng)董事會決議可以隨時解聘。
4.The general manager, deputy general manager or other officer commits an act of graft or serious dereliction of duty, the board of directors may adopt a resolution to dismiss him at any time.5.合營企業(yè)需要在國外和港澳地區(qū)設(shè)立分支機構(gòu)(含銷售機構(gòu))時,應(yīng)當報對外貿(mào)易經(jīng)濟合作部批準。5.When a joint venture needs to establish branches(including sales offices)overseas or in the Hong Kong or Macao Special Administrative Region of China, approval from the Ministry of Foreign Trade and Economic Cooperation shall be required.6.合作企業(yè)設(shè)總經(jīng)理一人,負責合作企業(yè)的日常經(jīng)營管理工作,對董事會或者聯(lián)合管理委員會負責。
合作企業(yè)的總經(jīng)理由董事會或者聯(lián)合管理委員會聘任、解聘。
經(jīng)董事會或者聯(lián)合管理委員會聘任,董事或者委員可以兼任合作企業(yè)的總經(jīng)理或其他高級管理職務(wù)。
6.The cooperative joint venture shall have a general manager who shall be responsible for its day-to-day business management.The general manager shall be responsible to the board of directors or the joint management committee.The general manager of the cooperative joint venture shall be engaged and dismissed by the board of directors or joint management committee.At the invitation of the board of directors or the joint management committee, a director or committee member may concurrently be the general manager or other officers of the cooperative joint venture.7.總經(jīng)理及其他高級管理人員不勝任工作的,或者由營私舞弊或者嚴重失職行為的,經(jīng)董事會或者聯(lián)合管理委員會決議,可以解聘;給合作企業(yè)造成損失的,應(yīng)當依法承擔責任。7.The general manager or any other officer may be dismissed for incompetence or an act of graft or serious dereliction of duty, subject to a resolution of the board of directors or the joint management committee.He who has caused losses to the cooperative joint venture shall be legally liable for such losses.4.2.1 1.合營公司實行董事會領(lǐng)導下的總經(jīng)理負責制。合營公司設(shè)總經(jīng)理一名,由甲方提名;副總經(jīng)理一名,由己方提名。總經(jīng)理、副總經(jīng)理由董事會聘任,任期為三年,經(jīng)董事會批準后可以連任。總經(jīng)理直接對董事會負責,副總經(jīng)理協(xié)助總經(jīng)理工作。
1.The JV Company shall practice the general manager responsibility system under the leadership of the board of directors.The JV Company shall have a general manager, who shall be nominated by Party A, and a deputy general manager, who shall be nominated by Party B.The general manager, deputy general manager shall be appointed by the board of directors, for a term of three(3)years.Their term of office may be renewed with the approval by the board of directors.The general manager shall be directly responsible to the board of directors, and the deputy general manager shall assist the general manager in his work.2.經(jīng)營管理機構(gòu)內(nèi)設(shè)若干部門,分別負責公司各部門的工作,辦理總經(jīng)理和副總經(jīng)理交辦的事項,并對總經(jīng)理和副總經(jīng)理負責。總經(jīng)理有權(quán)根據(jù)勞動合同和中國有關(guān)法律規(guī)定,對公司部門經(jīng)理及其以下各級職工的雇傭、解聘、升級、降職、調(diào)動等做出決定并予以執(zhí)行。2.The business management organization shall comprise several departments, which shall take charge of various works of the company, handle the matters assigned by the general manager or deputy general manager and be responsible to the general manager and the deputy general manager.The general manager shall have the right to make and implement decisions on hiring, dismissal, promotion, demotion or transfer of the managers of the various departments and the staff and workers at lower levels in accordance with the labor contracts and the provisions of the relevant laws of China.3.總經(jīng)理的主要職責是執(zhí)行董事會的各項決定,組織領(lǐng)導日常生產(chǎn)、經(jīng)營和管理,編制并向董事會提交年度計劃和預算,包括財務(wù)預算,資本投資和處分、借款計劃,價格水平、銷售量、開支、收益、可分配利潤和業(yè)務(wù)經(jīng)營所需的其他項目的預測。此外,總經(jīng)理還應(yīng)行使下列權(quán)利和職責:
(1)定期向董事會提交有關(guān)公司收入和支出的書面報告及改進建議;
(2)制定公司經(jīng)營管理的規(guī)章制度及各部門勞力、責任和職能的分配,并在董事會批準后予以落實;
(3)制定人員培訓計劃,經(jīng)董事會審查批準后執(zhí)行;
(4)處理對外關(guān)系,代表公司與第三方簽訂商業(yè)文件或其他公司文件;
(5)在提起訴訟、抗辯或仲裁程序中擔任公司的授權(quán)代表;
(6)董事會委托的其他權(quán)利和職責(由公司規(guī)定)。
3.The main responsibilities of the general manager shall be to implement the various decisions of the board of directors, to organize and lead the day-to-day production, operation and management, and to prepare and submit to the board of directors the annual plan and budget, including the financial budget, and the plan for capital investments and dispositions, borrowings, and forecasts of price level, sales volumes, expenses, earnings, distributable profits and such other items as are required for business operations.In addition, the general manager shall exercise the following rights and duties:(1)submit periodic written reports to the board of directors on the incomes and expenditures of the company together with suggestions of improvement;(2)formulate rules and regulations for the operation and management of the Company and a plan for the division of labor, and responsibilities and functions of various departments, and implement same after they are approved by the board of directors;(3)formulate personnel training programs and implement such programs following their examination and approval by the board of directors;(4)handle external relations, and represent the Company in signing commercial documents and other corporate documents with third parties;(5)act as the authorized representative of the Company in connection with the institution or defense of any lawsuits or arbitration proceedings;and(6)exercise such other rights and duties as are entrusted by the board of directors(which shall be specified by the Company).4.公司設(shè)總會計師一名,負責領(lǐng)導公司的財務(wù)會計工作。總會計師應(yīng)按照董事會要求和中國法律有關(guān)規(guī)定要求編制月度財務(wù)報告。
4.The Company shall have a chief accountant, who shall be responsible for directing the financial and accounting work of the Company.The chief accountant shall prepare monthly financial reports required by the board of directors and in compliance with the relevant provisions of Chinese laws.5.總經(jīng)理、副總經(jīng)理、總會計師或其他高級職員應(yīng)維護公司的合法權(quán)益,未經(jīng)董事會批準均不得在可能與公司形成競爭的任何經(jīng)濟組織中任職,或參與該等經(jīng)濟組織與公司的競爭。5.The general manager, deputy general manager, chief accountant or other officers shall protect the legitimate rights and interests of the Company.Without the approval by the board of directors, none of them may concurrently hold any position in any economic organization that is likely to compete against the Company, or joint it in competing against the Company.6.總經(jīng)理、副總經(jīng)理、總會計師或其他高級職員請求辭職時,應(yīng)提前3個月向董事會提出書面報告。
以上人員由營私舞弊或者嚴重失職行為的,經(jīng)董事會決議,可隨時解聘。觸犯刑律的,要依法追究刑事責任。
6.If the general manager, the deputy general manager, the chief accountant or any other officer wishes to resign from his office, he shall submit a prior written report to the board of directors three(3)months in advance.If any of the above personnel commits an act of graft or serious dereliction of duty, the board of directors may decide to dismiss him at any time.He who has violated the criminal law shall be prosecuted according to law.用地及其費用
5.1.1所依據(jù)的法規(guī)條文
1.合營企業(yè)使用場地,必須貫徹執(zhí)行節(jié)約用地的原則。所需場地,應(yīng)當由合營企業(yè)向所在地的市(縣)級土地主管部門提出申請,經(jīng)審查批準后,通過簽訂合同取得場地使用權(quán)。合同應(yīng)當訂明場地面積、地點、用途、合同期限、場地使用權(quán)的費用(以下簡稱場地使用費)、雙方的權(quán)利與義務(wù)、違反合同的罰則等。
1.Joint ventures must implement the principle of economizing on land in their use of sites.A joint venture shall submit an application for the use of a site to the local land administration authority at municipal(county)level and shall, upon approval from the said authority, obtain the right to sue the site through the conclusion of a contract.The contract shall specify the area, location and purpose of the site, the term of the contract, the fee for the right to use the site(hereinafter referred to as the site use fee), the rights and obligations of the parties to the contract, and the penalty for breach of contract.2.合營企業(yè)所需場地的使用權(quán),已為中國合營者所擁有的,中國合營者可以將其作為對合營企業(yè)的出資,其作價金額應(yīng)當與取得同類場地使用權(quán)所應(yīng)繳納的使用費相同。
2.If the right to use the site needed by a joint venture is already owned by the Chinese party, it may contribute such right as its investment in the joint venture.The amount appraised for such right shall be equivalent to the site use fee payable for obtaining the right to the use of a site of the same kind.3.場地使用費標準應(yīng)當根據(jù)該場地的用途、地理環(huán)境條件、征地拆遷安置費用和合營企業(yè)對基礎(chǔ)設(shè)施的要求等因素,由所在地的省、自治區(qū)、直轄市人民政府規(guī)定,并向?qū)ν赓Q(mào)易經(jīng)濟合作部和國家土地主管部門備案。
3.The rate for the use of a site shall be determined by the people’s government of the province, autonomous region or municipality directly under the Central Government where the site is located in consideration of such factors as the purpose and geographical and environmental conditions of the site, expenses for land requisition, demolishing of the houses on the site and relocation of the residents, and the joint venture’s requirements in respect of the infrastructure, which shall be filed with the Ministry of Foreign Trade and Economic Cooperation and the State Land administration authority for the record.4.場地使用費在開始用地的5年內(nèi)不調(diào)整。以后隨著經(jīng)濟的發(fā)展、供需情況的變化和地理環(huán)境條件的變化需要調(diào)整時,調(diào)整的間隔期應(yīng)當不少于3年。
場地使用費作為中國合營者投資的,在該合營期限內(nèi)不得調(diào)整。
4.The site use fee shall not be adjusted within the first five(5)years of the commencement of land use.Thereafter, when adjustment is necessitated by economic development and changes in supply and demand and in geographical and environmental conditions, the interval in between such adjustment shall not be less than three years.The site use fee contributed by the Chinese party as its investment may not be adjusted during the term of contract.5.合營企業(yè)按前述第一條取得的場地使用權(quán),其場地使用費應(yīng)當按合同規(guī)定的用地時間從開始時起按年繳納,第一日歷年用地時間超過半年的按半年計算;不足半年的免繳。在合同期內(nèi),場地使用費如有調(diào)整,應(yīng)當自調(diào)整的年度起按新的費用標準繳納。
5.If its right to the use of a site is obtained pursuant to Article 1 above, the joint venture shall pay the site use fee per annum from the commencement of the use of the site during the term of site use as specified in the contract.For the first calendar year, a half-year fee shall be paid if the site has been in use for more than six months;the site use fee shall be exempted if the use of the site is less than six months.During the term of the contract, if the site use fee is adjusted, it shall be paid at the new rate beginning from the year of adjustment.6.合營企業(yè)除依照本章規(guī)定取得場地使用權(quán)外,還可以按照國家有關(guān)規(guī)定取得場地使用權(quán)。6.In addition to obtaining the site use right pursuant to the provisions of this chapter, joint ventures may acquire such right in accordance with the relevant stipulations of the State.7.外資企業(yè)的用地,由外資企業(yè)所在地的縣級或者縣級以上地方人民政府根據(jù)本地區(qū)的情況審核后,予以安排。
7.Land to be used by a wholly foreign-owned enterprise shall be arranged by the local people’s government at county level or above in the light of the local conditions after it has been verified by the said government.8.外資企業(yè)應(yīng)當在營業(yè)執(zhí)照簽發(fā)之日起30天內(nèi),持批準證書和營業(yè)執(zhí)照到外資企業(yè)所在地縣級或縣級以上地方人民政府的土地管理部門辦理土地使用手續(xù),領(lǐng)取土地證書。
8.A wholly foreign-owned enterprise shall, within thirty(30)days of the issuance of its business license, present the approval certificate and the business license to the land administration authority of the local people’s government at county level or above, go through the land use procedures and collect the land use certificate.9.土地證書為外資企業(yè)使用土地的法律憑證。外資企業(yè)在經(jīng)營期限內(nèi)未經(jīng)批準,其土地使用權(quán)不得轉(zhuǎn)讓。
9.The land use certificate shall be the legal proof for a wholly foreign-owned enterprise to use the land.During the term of operation, the wholly foreign-owned enterprise may not assign its land use right without approval.10.外資企業(yè)在領(lǐng)取土地證書時,應(yīng)當向其所在地土地管理部門繳納土地使用費。10.When collecting the land use certificate, a wholly foreign-owned enterprise shall pay the land use fee to the local land administration authority.11.外資企業(yè)使用經(jīng)過開發(fā)的土地,應(yīng)當繳付土地開發(fā)費。
前款所指土地開發(fā)費包括征地拆遷安置費用和為外資企業(yè)配套的基礎(chǔ)設(shè)施建設(shè)費用。土地開發(fā)費可由土地開發(fā)單位一次性計收或者分年計收。11.If a land to be used by a wholly foreign-owned enterprise has been developed, it shall pay the land development fee.The land development fee mentioned in the preceding paragraph includes the expenses for land requisition, demolishing of the houses on the land and relocation of the residents and the expenses involved in the building of the infrastructure for the wholly foreign-owned enterprise.The land development fee may be collected by the land development unit in one lump sum or by yearly installments.12.外資企業(yè)使用未開發(fā)的土地,可以自行開發(fā)或者委托中國有關(guān)單位開發(fā)。基礎(chǔ)設(shè)施的建設(shè),應(yīng)當由外資企業(yè)所在地縣級或者縣級以上地方人民政府統(tǒng)一安排。
12.If a land to be used by a wholly foreign-owned enterprise is undeveloped, it may develop the land by itself or commission relevant Chinese unites to develop it.The building of the infrastructure on the land shall be arranged by the local people’s government at county level or above under unified planning.Where the land used by the wholly foreign-owned is undeveloped, the wholly foreign-owned enterprise may develop the land by itself or commission relevant Chinese units to develop it.13.外資企業(yè)的土地使用費和土地開發(fā)費的計收標準,依照中國有關(guān)規(guī)定辦理。13.The land use and land development rates to be collected from wholly foreign-owned enterprises shall be in accordance with the relevant regulations of China.14.外資企業(yè)的土地使用年限,與經(jīng)批準的該外資企業(yè)的經(jīng)營期限相同。14.The term for land use by a wholly foreign-owned enterprise shall coincide with the approved term of its operation.15.外資企業(yè)除依照本章規(guī)定取得土地使用權(quán)外,還可以依照中國其他法規(guī)的規(guī)定取得土地使用權(quán)。
15.In addition to obtaining the land use right pursuant to the provisions of this chapter, wholly foreign-owned enterprises may acquire such right pursuant to other regulations of China.5.2.1 1.甲方謹此向乙方出讓上海嘉定區(qū)位于新村路以北、東風路以西的535號地塊(“土地”),面積為15,150平方米。土地的確切面積、位置和四至見本合同附件一的地塊圖,該地塊圖已經(jīng)雙方簽字確認。
1.Party A hereby grants to Party B a parcel of land, Lot No.535 located to the north of Xin Cun Road and to the west of Dong Feng Road, Jiading District, Shanghai and covering an area of 15,150 square meters.The exact area, location and four boundaries of the Land are shown on the map attached to this Contract as Appendix I, which map has been affirmed through signature of both parties.2.乙方應(yīng)向甲方支付每平方米20美元的土地使用權(quán)出讓金(“土地出讓金”),共計三十萬三千(303,000)美元以獲得該土地為期50年的使用權(quán)(“土地使用期”),從本合同簽署后第六十天開始。但土地出讓費的總額應(yīng)根據(jù)土地的實測面積經(jīng)甲方確認后相應(yīng)調(diào)整。
2.Party B shall pay Party A a Land Use Rights grant fee(the “Land Grant Fee”)of US $ 20 per square meter for a total of Three Hundred and Three Thousand U.S.Dollars(US $303,000)to obtain the Land Use Rights to the Land for a term of fifty(50)years(the “Land Use Term”), which commences from the 60th day of the execution of this contract.However, the total amount of the Land Grant Fee shall be adjusted according to the actual area of the Land measured and confirmed by Party A.Party B shall pay 20 US Dollars for every square meters of land to Party A as the transference price on the land use right(“l(fā)and transference price“), the total of which shall be 303,000 US Dollars, to obtain the right to use such land for 50 years(“l(fā)and use term”).Such term shall be commencing from the sixtieth day after the execution of this contract
3.另外在土地使用期期間,乙方還須每年向甲方支付每平方米人民幣1元的土地使用費(“土地使用費”)。土地使用費每年分兩次支付,第一期付款于每年6月30日到期,第二期付款于每年12月31到期。
3.In addition, Party B shall pay Party A a land use fee(the “Land Use Fee”)for the Land of RMB 1.00 per square meter per year during the Land Use Term.The Land Use Fee shall be payable in two(2)semi-annual installments, with the first installment due by June 30 and the second installment due by December 31 each year.4.本合同簽署后7天內(nèi),乙方應(yīng)向甲方支付定金1萬美元(“土地出讓定金”),作為本合同項下乙方應(yīng)支付的土地出讓金額的一部分。
4.Party B shall pay Party A, within seven(7)days after the execution of this contract, Ten Thousand U.S.Dollars(US $ 10,000)as a deposit(the “Land Grant Fee”), which shall constitute part of the payment of the Land Grant Fee payable by Party B under this contract.5.本合同簽署后60天內(nèi),乙方應(yīng)向甲方支付土地出讓金的余額二十九萬三千(293,000)美元。5.Party B shall pay Party A, within sixty(60)days after the execution of the contract, the remaining amount of the Land Grand Fee of Two Hundred and Ninety Three Thousand US Dollars(US $293,000)in full.6.土地出讓金包括乙方使用土地所需支付的一切費用(以上第三條規(guī)定的每年每平方米人民幣1元的土地使用費除外)。
6.The Land Grant Fee shall cover all payments(other than the Land Use Fee of RMB 1.00 per square meter per year as set forth in Article 3 above)that Party B will be required to pay in order to use the Land.7.如果乙方未按時支付土地出讓金,甲方有權(quán)解除本合同并要求乙方做出違約賠償,但解除本合同和要求賠償前,甲方應(yīng)向乙方發(fā)出該方未如期支付土地出讓金的通知,且給予乙方自收到甲方通知后30天時間改正其違約行為。如果乙方有意延期支付土地出讓金,則須在土地出讓金支付日到期前向甲方提出書面申請。如果甲方同意乙方延期付款,乙方則應(yīng)支付每天0.3%的滯納金。
7.If Party B fails to pay the Land Grant Fee on time, Party A shall have the right to terminate this contract and claim damages from Party B for breach of contract;provided that prior to such termination and claim for damages, Party A shall provide Party B with a written notice of Party B’s failure to pay the Land Grant Fee and Party B shall have thirty days from the receipt of Party A’s notice to cure such failure.If Party B intends to postpone the payment of the Land Grant Fee, a written application shall be made to Party A before such payment is due.Where Party A consents to such delay, a 0.3% per day late payment penalty shall be charged.8.乙方全額支付土地出讓金、甲方出具收據(jù)后10天內(nèi),乙方應(yīng)向上海市房地產(chǎn)登記處(“登記處”)提交土地使用權(quán)初期登記申請。登記處接受乙方登記申請后30天內(nèi),應(yīng)向乙方簽發(fā)上海市房地產(chǎn)產(chǎn)權(quán)證。
8.Party B shall file an application with the Shanghai Municipal Real Estate Registration Office(the “Registration Office”)for initial registration of the Land Use Rights within seven(7)days after having paid the Land Grant Fee in full and being issued a receipt in respect thereof.The Registration Office shall issue to Party B a “Shanghai Municipal Real Estate Title Certificate” within thirty(30)days after its acceptance of Party B’s filing of the said registration.9.出讓土地使用權(quán)的土地仍歸國家所有。國家對土地保留司法權(quán)、行政權(quán)和法律賦予的其他權(quán)力以及為了公眾利益所必須的其他權(quán)利和權(quán)益。
9.The ownership of the Land, for which the Land Use Rights are granted, still belongs to the State.The State shall retain, over the Land, its judicial power, the administrative power and other powers granted by law, as well as other rights and interests which are necessitated by public interest.10.上海市人民政府保留對土地的城市規(guī)劃設(shè)計權(quán)。土地使用期到期展延時,應(yīng)服從其時有效的城市規(guī)劃。因城市規(guī)劃給乙方造成的后果,政府不予賠償。
10.The Shanghai Municipal People’s Government retains the power of urban planning and design in respect of the Land.When the Land Use Term is due for renewal, the then effective urban planning must be complied with.The government shall not compensate Party B for consequences brought to Party B by the modification of the planning.11.在土地使用期期間,在不影響乙方保護自身及客戶機密信息的前提下,甲方有權(quán)依法監(jiān)督和檢查土地的土地使用權(quán)的開發(fā)、使用、轉(zhuǎn)讓、租賃、抵押和終止的情況。如果甲方意欲檢查乙方使用土地的情況,應(yīng)在進行檢查前5個工作日書面通知乙方。
11.During the Land Use Term, Party A shall, subject to Party B’s right to protect its and its customers’ confidential information, have the right to supervise and inspect, in accordance with law, the development, utilization, assignment, lease, mortgage and termination of the Land Use Right to the Land.If Party A desires to inspect Party B’s use of the Land, Party A shall notify Party B of the contemplated inspection in writing five(5)working days prior to the date on which the inspection will be conducted.12.土地使用期到期時,乙方應(yīng)在到期之日辦理向甲方歸還土地的手續(xù)。如果乙方有意延長土地使用期,則應(yīng)在到期日之前1年向甲方提交申請。甲方同意延長的,乙方則應(yīng)重新辦理土地使用權(quán)出讓手續(xù)。
12.Upon expiration of the Land Use Term, Party B shall go through the formalities for reverting the Land to Party A on the expiration date.If Party B wishes to renew the Land Use Term, it shall submit an application to Party A one(1)year prior to the expiration date.Upon Party A’s consent to the renewal, Party B shall again carry out the procedures for the grant of Land Use Rights.unit 6 購買物資和銷售產(chǎn)品 6.1.1所依據(jù)的法規(guī)條文
1.合營企業(yè)所需的機器設(shè)備、原材料、燃料、配套件、運輸工具和辦公用品(以下簡稱物資),有權(quán)自行決定在中國購買或者向國外購買。1.A joint venture shall have the right to decide for itself to purchase required machinery and equipment, raw materials, fuels, accessories and fittings, means of transport and office supplies, etc,(hereinafter referred to as materials)in China or from abroad.2.合營企業(yè)需要在中國購置的辦公、生活用品,按需要量購買,不受限制。
2.There is no limit on quantities of office supplies and articles for daily use to be purchased in China by joint ventures to meet their needs.A joint venture may purchase the office and live supplies in accordance with the requirement, and without any restriction.3.中國政府鼓勵合營企業(yè)向國際市場銷售產(chǎn)品。
3.The Chinese government encourages joint ventures to sell their products to the international market.4.合營企業(yè)有權(quán)自行出口其產(chǎn)品,也可以委托外國合營者的銷售機構(gòu)或者中國的外貿(mào)公司代銷或者經(jīng)銷。
4.A joint ventures shall have the right to export its products by itself, or commission the sales agencies of the foreign party to the joint venture or Chinese foreign trade companies to sell its products on a consignment or distribution basis.5.合營企業(yè)在合營合同規(guī)定的經(jīng)營范圍內(nèi),進口本企業(yè)生產(chǎn)所需的機器設(shè)備、零配件、原材料、燃料,凡屬國家規(guī)定需要領(lǐng)取進口許可證的,每年編制一次計劃,每半年申領(lǐng)一次。外國合營者作為出資的機器設(shè)備或其他物料,可以憑審批機構(gòu)的批準文件直接辦理進口許可證進口。超出合營合同規(guī)定范圍進口的物資,凡國家規(guī)定需要領(lǐng)取進口許可證的,應(yīng)當另行申領(lǐng)。
合營企業(yè)生產(chǎn)的產(chǎn)品,可以自主經(jīng)營出口,凡屬國家規(guī)定機需要領(lǐng)取出口許可證的,合營企業(yè)按照本企業(yè)的年度出口計劃,每半年申領(lǐng)一次。
5.If a machinery and equipment, spare parts and fittings, raw materials, and fuels to be imported by a joint venture to meet the needs of its production within the business scope as set out in the joint venture contract shall require import licenses under State regulations, the joint venture shall work out a plan per annum and apply for such licenses every six months.For the importation of machinery and equipment and other goods contributed by the foreign party, the joint venture may directly apply for import licenses on the strength of the approval documents issued by the examination and approval authority.A joint venture may directly apply the import license upon the approval documents issued by the examination and approval authority for the machine and equipment or other material contributed to the joint venture by the foreign party to the contract.In respect of the importation of materials beyond the scope as set out in the joint venture contract, the joint venture shall make a separate application for import licenses required under State regulations.A joint venture may operate the business of exporting products manufactured by itself.Where export license for its products are required under State regulations, the joint venture shall apply for them every six months in line with its annual export plan.6.合營企業(yè)在國內(nèi)購買物資的價格以及支付水、電、氣、熱、貨物運輸、勞務(wù)、工程設(shè)計、咨詢、廣告等服務(wù)的費用,享受與國內(nèi)其他企業(yè)同等的待遇。
6.With respect to prices of materials to be purchased in China and fees charged for the supply of water, electricity, gas and heat and the services such as transportation of goods, labor, project designing, consulting and advertising, joint ventures shall enjoy equal treatment accorded to other domestic enterprises.7.合營企業(yè)與中國其他經(jīng)濟組織之間的經(jīng)濟往來,按照有關(guān)的法律規(guī)定和雙方訂立的合同承擔經(jīng)濟責任,解決合同爭議。
7.In business intercourse between a joint venture and another Chinese economic organization, the two parties shall undertake economic responsibilities and settle disputes in connection with their contract pursuant to relevant laws and the contract concluded between them.8.合營企業(yè)應(yīng)當依照《中華人民共和國統(tǒng)計法》及中國利用外資統(tǒng)計制度的規(guī)定,提供統(tǒng)計資料,報送統(tǒng)計報表。
8.A joint venture shall provide statistical data and submit statistical statements in accordance with the Law of the People’s Republic of China on Statistics and Chinese regulations concerning the statistical system for the utilization of foreign capital.9.外資企業(yè)有權(quán)自行決定購買本企業(yè)自用的機器設(shè)備、原材料、燃料、零部件、配套件、元器件、運輸工具和辦公用品等。
外資企業(yè)在中國購買物資,在同等條件下,享受與中國企業(yè)同等的待遇。
9.A wholly foreign-owned enterprises shall have the right to decide for itself to purchase machine and equipment, raw materials, fuels, parts and components, accessories, elements, means of transport and office supplies for its own use.In purchasing materials in China, the wholly foreign-owned enterprises shall enjoy equal treatments accorded to Chinese enterprises under the same conditions.10.外資企業(yè)可以在中國市場銷售其產(chǎn)品。國家鼓勵外資企業(yè)出口其生產(chǎn)的產(chǎn)品。10.A wholly foreign-owned enterprise may sell its products on the Chinese domestic market;The State encourages wholly foreign-owned enterprises to export their products.11.外資企業(yè)有權(quán)自行出口本企業(yè)生產(chǎn)的產(chǎn)品,也可以委托中國的外貿(mào)公司代銷或者委托中國境外的公司代銷。
外資企業(yè)可以自行在中國銷售本企業(yè)生產(chǎn)的產(chǎn)品,也可以委托商業(yè)機構(gòu)代銷其產(chǎn)品。
11.A wholly foreign-owned enterprise shall have the right to export its products by itself, or may commission Chinese foreign trade companies or companies outside Chinese territory to sell its products on a consignment basis.A wholly foreign-owned enterprise may sell its products buy itself, or commission commercial organizations to sell its products on a consignment basis.12.外國投資者作為出資的機器設(shè)備,依照中國規(guī)定需要領(lǐng)取進口許可證的,外資企業(yè)憑批準的該企業(yè)進口設(shè)備和物資清單直接或者委托代理機構(gòu)向發(fā)證機關(guān)申領(lǐng)進口許可證。
外資企業(yè)在批準的經(jīng)營范圍內(nèi),進口本企業(yè)自用并為生產(chǎn)所需的物資,依照中國規(guī)定需要領(lǐng)取進口許可證的,應(yīng)當編制年度進口計劃,每半年向發(fā)證機關(guān)申領(lǐng)一次。
外資企業(yè)出口產(chǎn)品,依照中國規(guī)定需要領(lǐng)取出口許可證的,應(yīng)當編制年度出口計劃,每半年向發(fā)證機關(guān)申領(lǐng)一次。
12.If the machinery and equipment contributed by a foreign investor as investment shall require import licenses under Chinese regulations, the wholly foreign-owned enterprise shall directly apply or entrust an agency to apply with the license issuing authority for the import licenses on the strength of the list of equipment and materials approved for importation by the enterprise.Where materials to be imported by a wholly foreign-owned enterprise for its own use and for the needs of its production within the approved business scope shall require import licenses under Chinese regulations, the wholly foreign-owned enterprise shall work out an annual import plan, and apply with the license issuing authority for import license every six months.Where products to be exported by the wholly foreign-owned enterprises shall require export licenses under State regulations, the enterprises shall work out the annual export plan and apply with the license issuing authority for such export licenses every six months.13.外資企業(yè)進口的物資以及技術(shù)勞務(wù)的價格不得高于當時的國際市場同類物資以及技術(shù)勞務(wù)的正常價格。外資企業(yè)的出口產(chǎn)品價格,由外資企業(yè)參照當時的國際市場價格自行確定,但不得低于合理的出口價格。用高價進口、低價出口等方式逃避稅收的,稅務(wù)機關(guān)有權(quán)根據(jù)稅法規(guī)定,追究其法律責任。
13.Prices for materials and skilled labor to be exported by a wholly foreign-owned enterprise may not be higher than the normal prices of materials and skilled labor of the same kind prevailing on the international market.Prices of export products of a wholly foreign-owned enterprise shall be determined by the enterprise itself with reference to the current international market prices.If a wholly foreign-owned enterprise employs high import prices and low export prices to evade taxation, the tax authorities shall have the right to take a legal action against it according to tax l 6.2.1 1.合營公司所需采購的物資,應(yīng)提出采購計劃和預算,并開列清單存檔;凡屬重大固定資產(chǎn)投資項目,應(yīng)報董事會批準后方可執(zhí)行。
1.For the purchase of required materials and goods, the JV Company shall work out a purchase plan and budget and make a detailed list for the record.All major investment projects involving fixed assets must be reported to the board of directors for approval before they may be carried out.2.合營公司所需的原料、機器設(shè)備、零部件、化學品、燃料等,可以根據(jù)質(zhì)量要求和公平合理的原則,在國內(nèi)市場或向國外購買。
2.The raw materials, machinery and equipment, components, spare parts, chemicals, fuels and the like required by the JV Company may be purchased on the domestic market or from abroad based on their quality and on the principles of fairness and reasonableness.3.如果甲方根據(jù)《經(jīng)營管理合同》代表合營公司或安排合營公司購買物資,甲方應(yīng)遵循公平合理的原則,并保護合營公司的利益。在此等情況下購買物資,合營公司須支付的購買價款,應(yīng)相當于甲方或其關(guān)聯(lián)公司購買同類物資支付的價款加上運費、雜費和保險費。如果合營公司有意通過其他途徑(包括不經(jīng)甲方安排)在國內(nèi)或國外購買物資,應(yīng)由合營公司自行作出決定。
3.If Party A shall purchases on behalf of the JV Company or arrange for the JV Company to purchase materials in accordance with the Business Management Contract, Party A shall abide by the principles of fairness and reasonableness, and safeguard the interests of the JV Company.For purchase under such circumstances, the purchase price of such materials to be paid by the JV Company shall be equal to the purchase price of materials of the same kind paid by Party A or its Affiliates plus freight, incidental expense and insurance.The JV Company shall decide for itself if it intends to purchase materials within China or from abroad by other means(not including the arrangement by Party A).Where the JV Company intending to purchase materials in or outside of the PRC by other means(including purchase not under the arrangement of Party A), the JV Company shall make its own decision.4.甲方將協(xié)助合營公司辦理申請并獲得進口必要數(shù)量的機械設(shè)備、原料和物資(如有)的許可證。應(yīng)乙方或合營公司要求,甲方應(yīng)協(xié)助合營公司在中國采購原料,但對此不負主要責任。
4.Party A shall assist the JV Company in applying for and procuring licenses for the importation of necessary quantities of machinery, equipment, raw materials and supplies(if any).At the request of Party B or the JV Company, Party A shall assist the JV Company in purchasing raw materials in the PRC, without being primarily responsible thereof.5.甲方將協(xié)助合營公司采購某些設(shè)備,包括甲方出售的附件一所列輔助設(shè)備和設(shè)施(“甲方設(shè)備”)。甲方保證,其只能以合理的市場價格向合營公司出售甲方設(shè)備,出售前乙方應(yīng)已對甲方設(shè)備的評估給予確認。甲方在此進一步保證,甲方設(shè)備狀況良好,可用于生產(chǎn),且在向合營公司出售之時,為甲方完全擁有,不存在使任何第三方受益的任何分期付款購買安排、租賃、抵押、質(zhì)押、留置或其他負擔,而且在完成向合營公司出售的交易后,將成為合營公司完全擁有的、無負擔的財產(chǎn)。
5.Party A shall assist the JV Company in purchasing certain equipment, including the sale by Party A of the auxiliary equipment and facilities listed in Appendix 1(“Party A Equipment”).Party A hereby warrants that it shall only sell the Party A Equipment to the JV Company following Party B’s confirmation of the valuation of the Party A Equipment.Party A hereby further warrants that the Party A Equipment shall be in good workable condition and, at the time of sale to the JV Company, shall be wholly owned by it and shall not be subject to any hire purchase arrangement, lease, mortgage, pledge, lien or other encumbrances in favor of any third party whatsoever and shall, upon completion of the sale to the JV Company, constitute the wholly owned, unencumbered property of the JV Company.6.乙方將協(xié)助合營公司向海外供應(yīng)商購買附件二所列的專用設(shè)備,并為購買該等設(shè)備獲得最佳商業(yè)條款和條件。

(1)按照合同規(guī)定作為外國合營者出資的機器設(shè)備、零部件和其他物料(其他物料系指合營企業(yè)建廠(場)以及安裝、加固機器所需材料,下同);
(2)合營企業(yè)以投資總額以內(nèi)的資金進口的機器設(shè)備、零部件和其他物料;

3.Taxes on the following materials imported by a joint venture shall be reduced or exempted in accordance with the relevant provisions of the Chinese tax law:(1)Machinery and equipment, spare parts and components, and other goods(“other goods” shall, herein and hereinafter, mean materials needed by a joint venture to build its factory or site and to install and consolidate the machinery.)contributed by the foreign party to the joint venture as investment under the joint venture contract;(2)Machinery and equipment, spare parts and components, and other goods imported with funds out of the total investment of a joint venture;(3)Machinery and equipment, spare parts and components and other goods imported by a joint venture with additional capital and upon the approval by the examination and approval authority, the production and supply of which cannot be guaranteed in China;
(4)Raw materials, auxiliary materials, components, elements, spare parts, and packing material imported by a joint venture for the production of export goods.When the above-mentioned materials on which taxes are reduced or exempted are approved for resale in China or used for products to be sold in China, taxes shall be paid or the balance in tax payment shall be made up in accordance with the relevant provisions of the Chinese tax law.4.合營企業(yè)生產(chǎn)的出口產(chǎn)品,除中國限制出口的以外,依照中國稅法的有關(guān)規(guī)定減稅、免稅或者退稅。

5.All matters relating to foreign exchange of joint ventures shall be handled in accordance with the Regulations of the People’s Republic of China on Foreign Exchange Control and the provisions of relevant administrative measure.6.合營企業(yè)憑營業(yè)執(zhí)照,在境內(nèi)銀行開立外匯賬戶和人民幣賬戶,由開戶銀行監(jiān)督收付。6.A joint venture shall, on the strength of its business license, open accounts in foreign exchange and in Renminbi with banks in China, which shall supervise its receipts and payments.7.合營企業(yè)在國外或者港澳地區(qū)的銀行開立外匯賬戶,應(yīng)當經(jīng)國家外匯管理局或者其分局批準,并向國家外匯管理局或者其分局報告收付情況和提供銀行對賬單。
7.Approval from the State Administration of Exchange Control or one of its branches shall be required for a joint venture to open a foreign exchange account with a bank overseas or in Hong Kong SAR or Macao SAR, and the joint venture shall report its receipts and payments and provide the bank statements to the State Administration of Exchange Control or its branch.8.合營企業(yè)在國外或者港澳地區(qū)設(shè)立分支機構(gòu),其年度資產(chǎn)負債表和年度利潤表,應(yīng)當通過合營企業(yè)報送國家外匯管理局或者其分局。
8.Branches set up by a joint venture in foreign countries or in Hong Kong SAR or Macao SAR shall submit their annual balance sheet and annual profit statement to the State Administration of Exchange Control or its branches through the joint venture.9.合營企業(yè)根據(jù)經(jīng)營業(yè)務(wù)的需要,可以向境內(nèi)的金融機構(gòu)申請外匯貸款和人民幣貸款,也可以按照國家有關(guān)規(guī)定從國外或者港澳地區(qū)的銀行借入外匯資金,并向國家外匯管理局或者其分局辦理登記或者備案手續(xù)。
9.A joint venture may, in light of its operation needs, apply with financial institutions in China for loans in foreign exchange and in Renminbi.It may also borrow funds in foreign exchange from banks abroad or in Hong Kong SAR or Macao SAR in accordance with the relevant stipulations of the State, and carry out the procedures for registration or filing for the record with the State Administration of Exchange Control or one of its branches.10.合營企業(yè)的外籍職工和港澳職工的工資和其他正當收益,依法納稅后,減去在中國境內(nèi)的花費,其剩余部分可以按照國家有關(guān)規(guī)定購匯匯出。
10.After paying taxes on their salaries and other legitimate incomes according to law and deducting their expenses in China, foreign employees and employees from Hong Kong SAR AND Macao SAR may remit the remainder of their foreign exchange out of China in accordance with the relevant stipulations of the State.11.合營企業(yè)的各項保險應(yīng)向中國境內(nèi)的保險公司投保。
11.Joint ventures shall take out various insurance policies with insurance companies in China.7.2.1 1.公司應(yīng)根據(jù)中國的有關(guān)法律法規(guī)和工業(yè)園區(qū)的有關(guān)政策(或適用政策),就其經(jīng)濟活動繳納稅收并享受稅收優(yōu)惠待遇。
1.The company shall pay taxes and enjoy preferential tax treatment in respect of its economic activities in accordance with the relevant laws and regulations of PRC and the relevant policies of(or applicable in)the Industrial Park.2.公司職工應(yīng)按中國有關(guān)法律法規(guī)繳納個人所得稅。公司外籍員工的所有利潤和工資可以自由的匯出中國,但與稅收、外匯管理有關(guān)的事宜須按中國的有關(guān)法律法規(guī)辦理。
2.The staff and workers of the company shall pay individual income tax in accordance with the relevant PRC laws and regulations.All profits and salaries of the expatriate staff of the company may be freely remitted out of the PRC, provided that matters relating to taxation and foreign exchange control shall be handled in accordance with the relevant laws and regulations of PRC.3.公司的一切外匯事宜,應(yīng)根據(jù)《中華人民共和國外匯管理條例》和中國其他有關(guān)法律法規(guī)的有關(guān)規(guī)定辦理。
3.All foreign exchange matters of the Company shall be handled in accordance with the relevant provisions of the Regulations of the People’s Republic of China on Foreign Exchange Control and other relevant PRC laws and regulations.4.公司的所有外匯交易,應(yīng)通過中國銀行或國家外匯管理局授權(quán)的其他銀行辦理。
4.All transactions of the Company’s foreign exchange shall be handled through the Bank of China or other banks authorized by the State Administration of Exchange Control.5.公司及本合同各方可以按有關(guān)中國法律規(guī)定匯出其合法外匯收入及開支,其中包括但不限于:(1)本合同各方向公司提供的股東貸款及有關(guān)利息;(2)本合同各方依法納稅后所得的利潤;(3)本合同各方轉(zhuǎn)讓其股權(quán)應(yīng)得的款項;
(4)公司結(jié)算清理后,本合同各方應(yīng)得的款項。
5.The Company and the parties to this contract may remit their lawful incomes and expenditures in foreign exchange out of the PRC in accordance with the regulations of the relevant Chinese laws, including but not limited to:(1)the shareholder’s loans and provided by the parties hereto to the Company and the interests thereon;(2)the profits earned by the Parties hereto after taxes have been paid according to law;(3)the amount receivable by the Parties hereto for the transfer of their equity interests;and(4)the amount receivable by the parties hereto after the settlement and liquidation of the Company.6.在中國法律許可的范圍內(nèi),合營公司付給一方的一切款項應(yīng)以美元支付。如果是以人民幣結(jié)算,合營公司應(yīng)安排通過有關(guān)外匯銀行,按照支付日中國人民銀行公布的美元買入和賣出匯價的中間價將該等人民幣兌換為美元,向乙方支付美元。但根據(jù)中國法律,將人民幣兌換成美元和/或?qū)⒚涝獏R至境外所發(fā)生的稅費(包括但不限于匯兌手續(xù)費、預扣稅等)均由乙方承擔。
6.To the extend permitted by the PRC law, all payment by the JV Company to Party B shall be made in U.S.Dollars.In case of Renminbi settlement, the JV Company shall arrange for payments to be made to Party B in U.S.Dollars through the relevant foreign exchange bank by converting such Renminbi into U.S.Dollars at the middle price between the buying and selling rates for U.S.Dollars published by the People’s Bank of China on the date of payment, provided that all taxes and expenses incurred in converting Renminbi into U.S.Dollars and/or remitting U.S.Dollars out of the PRC(including but not limited to foreign exchange remittance fees and withholding taxes)shall be borne by Party B under the PRC law.7.公司需求的各種保險,應(yīng)向在中國注冊的保險公司購買。如果中國注冊的保險公司在險種和保險范圍方面達不到公司的要求,公司可在中國法律允許的范圍內(nèi),在中國境外投保。公司開業(yè)前,應(yīng)與有關(guān)保險公司辦妥中國雇員的保險,包括人身傷害保險。
7.The various types of insurance required by the Company shall be purchased from insurance companies registered in the PRC.If insurance companies registered in the PRC are unable to meet the Company’s requirements in respect of the types of insurance and scope of coverage, the Company may purchase such insurance policies outside the PRC to the extend permitted by the PRC law.Prior to commencing operations, the Company shall complete the formalities for taking out insurance policies for its Chinese employees, including overage against bodily injury, with the relevant insurance companies.8.合營公司應(yīng)從中國境內(nèi)聲譽良好的保險公司購買能給予合營公司足夠保障的保險。具體的保險險種、價值和期限經(jīng)與保險公司協(xié)商后由董事會討論決定。

2.A joint venture shall have a chief accountant, who shall assist the general manager in managing the financial affaires of the enterprise.When necessary, a deputy chief accountant may also be appointed.3.合營企業(yè)設(shè)審計師(小的企業(yè)可以不設(shè)),負責審查、稽核合營企業(yè)的財務(wù)收支和會計賬目,向董事會、總經(jīng)理提出報告。

5.A joint venture shall adopt the internationally accepted accrual system and debit and credit bookkeeping method to keep accounts.All vouchers, account books and statements prepared by the joint venture must be written in Chinese.They may simultaneously be written in foreign language agreed upon by the parties to the joint venture.6.合營企業(yè)原則上采用人民幣作為記賬本位幣,經(jīng)合營各方商定,也可以采用某一種外國貨幣作為記賬本位幣。
6.In principle, a joint venture shall adopt Renmibi as the standard currency for accounting.It may also adopt a foreign currency for the same purpose upon agreement by the parties to the joint venture.7.合營企業(yè)的賬目,除按記賬本位幣紀錄外,對于現(xiàn)金、銀行存款、其他貨幣款項以及債權(quán)債務(wù)、收益和費用等,與記賬本位幣不一致時,還應(yīng)當按實際收付的貨幣記賬。以外國貨幣作為記賬本位幣的合營企業(yè),其編報的財務(wù)會計報告應(yīng)當折算為人民幣。

7.In addition to keeping account in the standard currency, a joint venture shall record the actual receipts and payments of cash, bank deposits, sums in other currencies, and claims, liabilities, incomes, expenses, etc.in currencies other than the standard currency for accounting.Where a foreign currency is adopted as the standard currency for accounting, the joint venture shall convert such currency into Renminbi when it prepares and submits its financial and accounting statements.Differences arising from conversion into the standard currency for accounting due to different exchange shall be entered as losses or gains on exchange.Balance on foreign currency accounts due to changes in the exchange rate in account keeping shall be handled as the year-end settlement of account in accordance with the relevant Chinese laws and rules for financial affairs and accounting.8.合營企業(yè)按照《中華人民共和國外商投資企業(yè)和外國企業(yè)所得稅法》繳納所得稅后的利潤分配原則如下:

乙方對技術(shù)轉(zhuǎn)讓提供如下保證:(在乙方負責向合營公司轉(zhuǎn)讓技 術(shù)的合營合同中的才有此條款。)1.乙方為合營公司提供的_________(注:要寫明產(chǎn)品名稱)的設(shè) 計、制造技術(shù)、工藝流程、測試和檢驗等全部技術(shù)是完整的、準確的、可靠的,是 符合合營公司經(jīng)營目的要求的,保證能達到本合同要求的產(chǎn)品質(zhì)量和生產(chǎn)能力; 2.乙方保證本合同和技術(shù)轉(zhuǎn)讓協(xié)議規(guī)定的技術(shù)全部轉(zhuǎn)讓給合營公司,保證提供的技術(shù)是乙方同類技術(shù)中最先進的技術(shù),設(shè)備的選型及性能質(zhì)量是優(yōu)量的,并 符合工藝操作和實際使用的要求; 3.乙方對技術(shù)轉(zhuǎn)讓協(xié)議中規(guī)定的各階段提供的技術(shù)和技術(shù)服務(wù),應(yīng)開列詳細 清單作為該協(xié)議的附件,并保證實施; 4.圖紙、技術(shù)條件和其它詳細資料是所轉(zhuǎn)讓的技術(shù)的組成部分,保證如期提 交;5.在技術(shù)轉(zhuǎn)讓協(xié)議有效期內(nèi),乙方對該項技術(shù)的改進,以及改進的情報和 技術(shù)資料,應(yīng)及時提供給合營公司,不另收費用; 6. 乙方保證在技術(shù)轉(zhuǎn)讓協(xié)議有效期內(nèi)使合營公司技術(shù)人員和工人掌握所轉(zhuǎn) 讓的技術(shù)。第十七條 如乙方未按合同及技術(shù)轉(zhuǎn)讓協(xié)議的規(guī)定提供設(shè)備和技術(shù),或發(fā)現(xiàn) 有欺騙或隱瞞行為,乙方應(yīng)負責賠償合營公司的直接損失。第十八條 技術(shù)轉(zhuǎn)讓費采取提成方式支付。提成率為產(chǎn)品出廠凈售額的_%。提成支付期限按照本合同第十九條規(guī)定的轉(zhuǎn)讓期限為期限。第十九條 產(chǎn)品的銷售第二十條 合營公司的產(chǎn)品,在中國境內(nèi)外市場上銷售,外銷部分占__%,內(nèi)銷部分占__%。(注:可根據(jù)實際情況寫明各個內(nèi)外銷的比例和數(shù)額。一般情況下,外 銷量至少應(yīng)能滿足合資公司外匯支出的需要。)第二十一條 產(chǎn)品可由下述渠道向國外銷售: 由合營公司直接向中國境外銷售的占__%。由合營公司與中國外貿(mào)公司訂立的銷售合同,委托其代銷,或由中國外貿(mào)公 司包銷的占__%; 由合營公司委托乙方銷售的占__%,乙方應(yīng)及時將貨款匯回合營公司。第二十二條 合營公司內(nèi)銷產(chǎn)品可由甲方包銷或代銷,或由合營公司直接銷 售。第二十三條 為了在中國境內(nèi)外銷售產(chǎn)品和進行銷售后的產(chǎn)品維修服務(wù),經(jīng) 中國有關(guān)部門批準,合營公司可在中國境內(nèi)外設(shè)立銷售維修服務(wù)的分支機構(gòu)。第二十四條 合營公司的產(chǎn)品使用商標為__。第九章 董事會第二十五條 合營公司注冊登記之日,為合營公司董事會成立之日。第二十六條 董事長是合營公司法定代表。董事長因故不能履行其職責時,可臨時授權(quán)副董事長或其他董事為代表。董事長如放棄履行職責,須三分之一以 上的董事提議,副董事長可召集并主持會議。第二十九條 董事會會議每年至少召開一次,由董事長召集并主持會議。經(jīng) 三分之一以上的董事提議,董事長可召開董事會臨時會議。會議記錄應(yīng)歸檔保存。董事會會議一般應(yīng)在合營公司法定地址所在地舉行。第十章 經(jīng)營管理機構(gòu)第三十條 合營公司設(shè)管理機構(gòu),負責公司的日常經(jīng)營管理工作。經(jīng)營管理 機構(gòu)設(shè)總經(jīng)理一人,副總經(jīng)理__人,總經(jīng)理、副總經(jīng)理由董事會聘請,任期_ _ 年。第三十一條 總經(jīng)理的職責是執(zhí)行董事會會議的各項決議,組織領(lǐng)導合營公 司的日常經(jīng)營管理工作。副總經(jīng)理協(xié)助總經(jīng)理工作。經(jīng)營管理機構(gòu)可設(shè)若干部門經(jīng)理,分別負責企業(yè)各部門的工作,辦理 總經(jīng)理和副總經(jīng)理交辦的事項,并對總經(jīng)理和副總經(jīng)理負責。第三十二條 總經(jīng)理、副總經(jīng)理有營私舞弊或嚴重失職的,經(jīng)董事會決議可隨時撤換。第十一章 設(shè)備購買第三十三條 合營公司所需的機器設(shè)備、原材料、燃料、配套件、運輸工具 和辦公用品等,在同等條件下,應(yīng)盡先在中國購買。第三十四條 合營公司委托乙方在國外市場選購設(shè)備時,應(yīng)邀請甲方派人參 加,在取得董事會的書面認可后,方可進行。第十二條 籌備和建設(shè)第三十五條 合營公司在籌備、建設(shè)期間,在董事會下設(shè)立籌建處。籌建處 由__人組成,其中甲方__人,乙方__人。籌建處主任一人,由___方推薦,副主任一人,由__方推薦。籌建處主任、副主任由董事會任命。第三十六條 籌建處具體負責審查工程設(shè)計,簽訂工程施工承包合同,組織 生產(chǎn)設(shè)備、材料等物資的采購和驗收,制定工程施工總進度,編制用款計劃,掌 握工程財務(wù)支付和工程決算,制定有關(guān)的管理辦法,做好工程施工過程中文件、圖 紙、檔案、資料的保管和整理等工作。第三十七條 甲乙雙方指派若干技術(shù)人員組成技術(shù)小組,在籌建處領(lǐng)導下,負責對設(shè)計、工程質(zhì)量、設(shè)備材料和引進技術(shù)的審查、監(jiān)督、檢驗、驗收和性能 考核等工作。第三十八條 籌建處工作人員的編制、報酬及費用,經(jīng)甲乙雙方同意后,列 入工程預算。第三十九條 籌建處在工程建設(shè)完成并辦理完畢移交手續(xù)后,經(jīng)董事會批準 撤銷。第十三章 勞動管理第四十條 合營公司職工的招收、招聘、辭退、工資、勞動保險、生活福利 和獎懲等事項,按照《中華人民共和國勞動法》和《中華人民共和國中外合資經(jīng) 營企業(yè)勞動管理規(guī)定》及其實施辦法,經(jīng)董事會研究制定方案,由合營公司和合 營公司的工會組織集體或個別職工之間訂立勞動合同加以規(guī)定。勞動合同訂立后,報當?shù)貏趧庸芾聿块T備案。第四十一條 合營公司的高級管理人員的聘請和工資待遇、社會保險、福利、差旅費標準等,由董事會會議討論決定。第十四章 稅務(wù)、財務(wù)、審計第四十二條 合營公司按照中國的有關(guān)法律和條例規(guī)定繳納各項稅金。第四十三條 合營公司職工按照《中華人民共和國個人所得稅法》繳納個人 所得稅。第四十四條 合營公司按照《中華人民共和國中外合資經(jīng)營企業(yè)法》的規(guī)定 提取儲備基金、企業(yè)發(fā)展基金及職工福利獎勵基金,每年提取的比例由董事會根 據(jù)公司經(jīng)營情況討論決定。第四十五條 合營公司的會計從每年一月一日起至十二月三十一日止,一切記帳憑證、單據(jù)、報表、帳簿,均用中文書寫。(注:也可同時用甲乙雙方同意的一種外文書寫。)第四十六條 合營公司的財務(wù)審計聘請在中國注冊的會計師審查、稽核,并 將結(jié)果報告董事會和總經(jīng)理。如乙方認為需要聘請其他國家的審計師對財務(wù)進行審查,甲方應(yīng)予以同 意。其所需要的一切費用由乙方負擔。第四十七條 每營業(yè)的頭三個月,由總經(jīng)理組織編制上一的資產(chǎn)負 債表、損益計算書和利潤分配方案,提交董事會會議審查。第十五章 合營期限第四十八條 合營公司的期限為___年。合營公司的成立日期為合營公司 營業(yè)執(zhí)照簽發(fā)之日。經(jīng)一方提議,董事會會議一致通過,可以在合營期滿六個月前向有關(guān)的審批 機構(gòu)(或其委托的審批機構(gòu))申請延長合營期限。第十六章 合營期滿財產(chǎn)處理第四十九條 合營期滿或提前終止合營,合營公司應(yīng)依法進行清算,清算后的財產(chǎn),根據(jù)甲、乙雙方投資比例進行分配。第十七章 保 險第五十條 合營公司的各項保險均在____保險公司投保,投保險別、保 險價值、保期等按照該保險公司的規(guī)定由合營公司董事會會議討論決定。第十八章 合同的修改、變更與解除第五十一條 對本合同及其附件的修改必須經(jīng)甲、乙雙方簽署書面協(xié)議,并 報原審批機構(gòu)批準,方可生效。第五十二條 由于不可抗力,致使合同無法履行,或是由于合營公司連年虧 損、無力繼續(xù)經(jīng)營,經(jīng)董事會一致通過,并報原審批機構(gòu)批準,可以提前終止合 營期限和解除合同。如董事會無法就解除合同達成一致,則任何一方可申請仲裁。第五十三條 由于一方不履行合同、章程所規(guī)定的義務(wù),或嚴重違反合同章 程規(guī)定,造成合營公司無法經(jīng)營或無法達到合同規(guī)定的經(jīng)營目的,視作違約方單 方面終止合同,他方除有權(quán)向違約一方索賠外,并有權(quán)按合同規(guī)定申請仲裁裁決 終止合同。如甲、乙雙方同意繼續(xù)經(jīng)營,違約方應(yīng)賠償合營公司的經(jīng)濟損失。第十九章 違約責任第五十四條 甲、乙任何一方未按本合同第五章的規(guī)定依期按數(shù)完成出資的,從逾期第一個月算起,每逾期一個月,違約一方應(yīng)支付應(yīng)繳出資額的百分之__ 的違約金給守約的一方。如逾期三個月仍未提交,除累計收取違約方應(yīng)繳出資額 的百分之__的違約金外,守約一方有權(quán)按本合同第五十五條規(guī)定終止合同,并 要求違約方賠償損失。第五十五條 由于一方違約,造成本合同及其附件不能履行或不能完全履行 時,由違約一方承擔違約責任;如屬雙方違約,根據(jù)實際情況,由雙方分別承擔 各自應(yīng)負的違約責任。第五十六條 為保證本合同及其附件的履行,甲乙各方應(yīng)相互提供履行的_ _____擔保。第二十章 不可抗力第五十七條 由于地震、臺風、水災(zāi)、火災(zāi)、戰(zhàn)爭以及其它不能預見并且對 其發(fā)生和后果不能防止或避免的不可抗力事件出現(xiàn),致使直接影響合同的履行或 者不能按約定的條件履行時,遇有上述不可抗力的一方,應(yīng)立即電報通知對方,并 應(yīng)在十五天內(nèi),提供不可抗力詳情及合同不能履行、或者部分不履行、或者需要 延期履行的理由的有效證明文件。此項證明文件應(yīng)由事故發(fā)生地有權(quán)證明的機構(gòu) 出具。按其對履行合同影響的程度,由雙方協(xié)商決定是否解除合同,或者部分履 行合同,或者延期履行合同。第二十一章 適用法律第五十八條 本合同的訂立、效力、解釋、履行和爭議的解決均受中華人民 共和國法律的管轄。第二十二章 爭議的解決第五十九條 凡因本合同引起的或與本合同有關(guān)的任何爭議,均應(yīng)提交 仲裁委員會,按照申請仲裁時該會實施的仲裁規(guī)則進行仲 裁。仲裁裁決是終局的,對雙方均有約束力。第六十條 在仲裁過程中,除雙方有爭議正進行仲裁的部分外,本合同應(yīng)繼 續(xù)履行。第二十三章 文 字第六十一條 本合同用中文和__文寫成,兩種文字具有同等效力。上述兩 種文本如有不符,以中文本為準。第二十四章 合同生效及其它第六十二條 按照本合同規(guī)定的各項原則訂立如下的附屬協(xié)議文件,包括: etc.;Assisting the cooperative venture in recruiting Chinese management personnel, technical personnel, workers and other personnel needed;Assisting foreign workers and staff in applying for entry visas, work licenses and handling their travel procedures;Responsible for handling other matters entrusted by the cooperative venture company.Responsibilities of party B: providing cash, machinery and year.The meeting shall be called and presided over by the chairman of the board.The chairman may convene an interim meeting based on a proposal made by more than one third of the total number of directors.Minutes of the meetings shall be placed on file.Article 25 The meeting shall be valid only when more than two thirds of the total number of directors attend.In case of absence, the director shall entrust another person to attend and vote for him with a trust deed.Chapter 10 Business Management OfficeArticle 26 The cooperative venture company shall establish a management office which general manager and deputy general managers whose terms of office is _____years shall be appointed by the board of directors.Article 27 The responsibility of the general manager is to carry out the serious dereliction of duty on the part of the general manager and deputy generalrs, the board of directors shall have the power to dismiss them at any time.Chapter 11 Labour ManagementArticle 30 Labor contract covering the recruitment, employment, dismissal and resignation, wages, labor insurance, welfare, rewards, penalties and other matters concerning the staff and workers of the cooperative venture company shall be drawn up between the cooperative venture company and the trade union of the cooperative venture company as a whole, or the individual employees in the cooperative venture company as a whole or individual employees in accordance with the law of the people's Republic of China on Chinese-Foreign Cooperative Joint Ventures.The labor contracts shall, after being signed, be filed with the local labor management department.Article 31 The appointment of high-ranking administrative personnel recommended by both parties, their salaries, social insurance, welfare and the standard of travelling expenses etc.shall be decided by the meeting of the board of directors.Chapter 12 Taxes, Finance and AuditArticle 32 The cooperative venture company shall pay taxes in accordance with the provisions of Chinese laws and other relative regulations.Article 33 Staff members and workers of the cooperative venture company shall pay individual income tax according to the Individual Income Tax Law of the people's Republic of China.Article 34 The fiscal year of the joint venture company shall be from January 1 to December 31.All vouchers, receipts, statistic statements and reports shall be written in Chinese.(Note: A foreign language can be used concurrently with mutual consent).Article 35 Financial checking and examination of the cooperative venture company shall be conducted by an auditor registered in China and reports shall be submitted to the board of directors and the general manager.In case party B considers it necessary to employ a foreign auditor registered in another country to undertake annual financial checking and examination, party A shall give its consent.All the expenses thereof shall be borne by party B.Article 36 In the first three months of each fiscal year, the manager shall prepare the previous year's balance sheet, profit and loss statement and proposal regarding the disposal of profits, and submit them to the board of 17 Liability for Breach of ContractArticle 42 Should the cooperative venture company be unable to continue its operation or achieve its business purpose due to the fact that one of the contracting deemed to have unilaterally terminated the contract.The other party shall have the right to terminate the contract in accordance with the provisions of the contract after approval by the original dissolved upon the approval of the board of directors.Chapter 13 Labor Management Article 40 Labor contract covering the recruitment, employment, dismissal and resignation, wages, labor insurance, welfare, rewards, penalties and other matters concerning the staff and workers of the joint venture company shall be drawn up between the joint venture company and the trade union of the joint venture company as a whole, or the individual employees in the joint venture company as a whole or individual employees in accordance with the Regulations of the People’s Republic of China on Labor Management in Joint Ventures Using Chinese and Foreign Investment and its Implementing Rules.The labor contracts shall, after being signed, be filed with the local labor management department.Article 41 The appointment of high-ranking administrative personnel recommended by both parties, their salaries, social insurance, welfare and the standard of travelling expenses etc.shall be decided by the meeting of the board of directors.Chapter 14 Taxes, Finance and Audit Article 42 The joint venture company shall pay taxes in accordance with the provisions of Chinese laws and other relative regulations.Article 43 Staff members and workers of the joint venture company shall pay individual income tax according to the Individual Income Tax Law of the People’s Republic of China.Article 44 Allocations for reserve funds, expansion funds of the joint venture company and welfare funds and bonuses for staff and workers shall be set aside in accordance with the provisions of the Joint Venture Law.The annual proportion of allocations shall be decided by the board of directors according to the business situation of the joint venture company.Article 45 The fiscal year of the joint 除非得到另一方的同意并經(jīng)審批機關(guān)批準,合同任何一方都不得將其認繳的資本股份全部或部份轉(zhuǎn)讓給第三方。如果一方將其認繳的資本股份全部或部分轉(zhuǎn)讓給第三方,則另一方具有優(yōu)先受讓的權(quán)利,受讓的條件不得苛刻于轉(zhuǎn)讓給第三方的條件。另一方特此表示,如果自己不行使優(yōu)先受讓權(quán),即為同意上述轉(zhuǎn)讓。第十五條 抵押和擔保

——協(xié)助合資公司聯(lián)系落實水、電、交通等基礎(chǔ)設(shè)施;
——協(xié)助合資公司申請所有可能享受的關(guān)稅和稅務(wù)減免以及其它利益或優(yōu)惠待遇;
——協(xié)助合資公司招聘中方管理人員、技術(shù)人員、工人和所需的其他人員; ——協(xié)助外籍工作人員辦理所需的入境簽證、工作許可證和旅行手續(xù)等; ——負責辦理合資公司委托的其它事宜。16.2 乙方責任:
——按第五章規(guī)定出資并協(xié)助安排資金籌措;
——辦理合資公司委托在中國境外選購機械設(shè)備、材料等有關(guān)事宜;
——提供需要的設(shè)備安裝、調(diào)試以及試生產(chǎn)技術(shù)人員、生產(chǎn)和檢驗技術(shù)人員; ——培訓合資公司的技術(shù)人員和工人; ——如乙方同時又是技術(shù)轉(zhuǎn)讓方,則應(yīng)負責合資公司在規(guī)定期限內(nèi)按設(shè)計能力穩(wěn)定地生產(chǎn)合格產(chǎn)品;
——負責辦理合資公司委托的其它事宜。第七章 技 術(shù) 轉(zhuǎn) 讓
第十七條 許可與技術(shù)引進協(xié)議

第三十二條 合資公司所需原材料、燃料、零部件、運輸工具等,在條件相同情況下,盡先在中國購買。第十二章 勞 動 管 理
第三十三條 合資公司職工的招聘、處罰、辭退、合同期限、工資、勞動保險、生活福利等事宜,按照《中華人民共和國勞動法》和《中華人民共和國中外合資經(jīng)營企業(yè)勞動管理規(guī)定》及其實施辦法,經(jīng)董事會研究制定方案,由合資公司和合資公司工會組織集體或個別地訂立勞動合同。勞動合同訂立后,報當?shù)貏趧庸芾聿块T備案。
第三十四條 外籍職工有關(guān)的勞動事務(wù)詳細規(guī)定見附件。第十三章 工 會
第三十五條 工會的任務(wù)為:(略)

第三十七條 根據(jù)中國法律和法規(guī)的有關(guān)規(guī)定,合資公司應(yīng)每月依法撥交按公司全部職工實際工資總額的_____%作為工會經(jīng)費。第十四章 稅務(wù)、財務(wù)和審計
第三十八條 合資公司應(yīng)按有關(guān)的中國法律和法規(guī)的規(guī)定支付各類稅款。第三十九條 合資公司職工應(yīng)按中國的稅法支付個人所得稅。
第四十條 合資公司按照《中華人民共和國合資經(jīng)營企業(yè)法》的規(guī)定提取儲備基金、企業(yè)發(fā)展基金和職工福利基金,每年提取的比例由董事會根據(jù)公司經(jīng)營情況討論決定。
第四十一條 合資公司的會計與公歷年相同,從每年1月1日起至12月31日止,一切記帳憑證、單據(jù)、報表、帳簿,用中文或雙方同意的一種外文書寫。第四十二條 合資公司的財務(wù)帳冊應(yīng)每年一次由一個在中國注冊的會計事務(wù)所進行審計,費用由合資公司承擔。合同各方有權(quán)各自承擔費用自行指定審計師審計合資公司的帳目。
第四十三條 每一營業(yè)的頭三個月,由總經(jīng)理組織編制上一的資產(chǎn)負債表,損益計算書和利潤分配方案,提交董事會會議審查。第十五章 保 險
第四十四條 合資公司在經(jīng)營期內(nèi)為保護公司不因各類災(zāi)害而受損失,應(yīng)向中國人民保險公司投保。保險的險別,投保的價值和期限等應(yīng)由董事會作出決定。發(fā)生的保險費由合資公司承擔。
第十六章 合資公司的期限及正常終止。
第四十五條 合資公司的期限為_____年。合資公司的成立日期為合資公司營業(yè)執(zhí)照簽發(fā)之日。經(jīng)一方提議,董事會會議一致通過,可以在合資期滿6個月前向原審批機構(gòu)申請延長合資期限。

第十七章 合同的修改、變更和終止
第四十七條 對合同及其附件所作的任何修改,須經(jīng)合同雙方在書面協(xié)議上簽字并經(jīng)原審批機構(gòu)批準后方能生效。
第四十八條 由于不可抗力,致使合同無法履行,或是由于合資公司連年虧損,無力繼續(xù)經(jīng)營,經(jīng)董事會一致通過,并報原審批機構(gòu)批準,可以提前終止合同。第四十九條 由于一方不履行合同、章程規(guī)定的義務(wù),或嚴重違反合同、章程的規(guī)定,造成合資公司無法經(jīng)營或無法達到合同規(guī)定的經(jīng)營目的,視作違約方片面終止合同,對方除有權(quán)向違約方索賠外,并有權(quán)按合同規(guī)定報原審批機構(gòu)批準終止合同。
第十八章 違 約 責 任
第五十條 如果任何一方未及時繳納第十二條規(guī)定的注冊資本金額,則每拖欠一個月該方即應(yīng)支付相當于出資額_____%的違約賠償金。如逾期3個月仍未提交,除累計支付出資額的_____%作為違約金外,守約一方有權(quán)按本合同第四十九條規(guī)定終止合同,并要求違約方賠償損失。
第五十一條 由于一方違約,造成本合同及其附件不能履行或不能完全履行時,由違約方承擔違約責任;如屬雙方違約,根據(jù)實際情況,由雙方分別承擔各自應(yīng)負的違約責任。第十九章 不 可 抗 力
第五十二條 由于地震、臺風、水災(zāi)、火災(zāi)、戰(zhàn)爭以及其它不能預見且對其發(fā)生和后果不能防止或避免的不可抗力,致使直接影響合同的履行或者不能按約定的條件履行時,遇有上述不可抗力的一方,應(yīng)立即電報通知對方,并應(yīng)在15天內(nèi),提供不可抗力詳情及合同不能履行,或者部分不能履行,或者需要延期履行的理由的有效證明文件,此項證明文件應(yīng)由不可抗力發(fā)生地區(qū)的公證機構(gòu)出具。按其對履行合同影響的程度,由雙方協(xié)商決定是否解除合同,或者部分免除履行合同的責任,或者延期履行合同。第二十章 適 用 法 律
第五十三條 本合同的訂立、效力、解釋、履行受中華人民共和國法律的管轄。在某一具體問題上如果沒有業(yè)已頒布的中國法律可適用,則可參考國際慣例辦理。
第二十一章 爭議的解決 第五十四條 凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議,雙方應(yīng)通過友好協(xié)商解決,如果協(xié)商不能解決,應(yīng)提交北京中國國際貿(mào)易促進委員會對外經(jīng)濟貿(mào)易仲裁委員會根據(jù)該會的仲裁程序暫行規(guī)則進行仲裁。或,應(yīng)提交__國__地__仲裁機構(gòu)根據(jù)該仲裁機構(gòu)的仲裁程序進行仲裁。或,仲裁在被訴人所在國進行。仲裁裁決是終局的,對雙方都有約束力。

——辦理合資公司委托在中國境外選購機械設(shè)備、材料等有關(guān)事宜;
——提供需要的設(shè)備安裝、調(diào)試以及試生產(chǎn)技術(shù)人員、生產(chǎn)和檢驗技術(shù)人員;
——培訓合資公司的技術(shù)人員和工人;
——如乙方同時又是技術(shù)轉(zhuǎn)讓方,則應(yīng)負責合資公司在規(guī)定期限內(nèi)按設(shè)計能力穩(wěn)定地生 產(chǎn)合格產(chǎn)品;
——負責辦理合資公司委托的其它事宜。
第七章 技術(shù)轉(zhuǎn)讓
第十七條 許可與技術(shù)引進協(xié)議 合資公司和__公司的“許可與技術(shù)引進協(xié)議”應(yīng)與本合同同時草簽。
第八章 商標的使用及產(chǎn)品的銷售
第十八條 合資公司和__公司就使用__公司的商標簽訂“商標使用許可協(xié)議”,所有同商標有關(guān)的事宜均應(yīng)按照“商標使用許可協(xié)議”的規(guī)定辦理。或合資公司的產(chǎn)品使用商標為________。

第九章 董事會
第二十二條 合資公司注冊登記之日,為合資公司董事會成立之日。

第十章 經(jīng)營管理機構(gòu)

第三十一條 合資公司生產(chǎn)中所需要的有關(guān)設(shè)備、儀器等物資,其采購權(quán)歸合資公司。
第三十二條 合資公司所需原材料、燃料、零部件、運輸工具等,在條件相同情況下,盡先在中國購買。
第十二章 勞動管理

第三十三條 合資公司職工的招聘、處罰、辭退、合同期限、工資、勞動保險、生活福利等事宜,按照《中華人民共和國勞動法》和《中華人民共和國中外合資經(jīng)營企業(yè)勞動管理 規(guī)定》及其實施辦法,經(jīng)董事會研究制定方案,由合資公司和合資公司工會組織集體或個別 地訂立勞動合同。勞動合同訂立后,報當?shù)貏趧庸芾聿块T備案。
第三十四條 外籍職工有關(guān)的勞動事務(wù)詳細規(guī)定見附件。
第十三章 工會

第十四章 稅務(wù)、財務(wù)和審計

第三十九條 合資公司職工應(yīng)按中國的稅法支付個人所得稅。
第四十條 合資公司按照《中華人民共和國合資經(jīng)營企業(yè)法》的規(guī)定提取儲備基金、企業(yè)發(fā)展基金和職工福利基金,每年提取的比例由董事會根據(jù)公司經(jīng)營情況討論決定。
第四十一條 合資公司的會計與公歷年相同,從每年1月1日起至12月31日止,一切記帳憑證、單據(jù)、報表、帳簿,用中文或雙方同意的一種外文書寫。
第四十二條 合資公司的財務(wù)帳冊應(yīng)每年一次由一個在中國注冊的會計事務(wù)所進行審計,費用由合資公司承擔。合同各方有權(quán)各自承擔費用自行指定審計師審計合資公司的帳目。
第四十三條 每一營業(yè)的頭三個月,由總經(jīng)理組織編制上一的資產(chǎn)負債表,損 益計算書和利潤分配方案,提交董事會會議審查。
第十五章 保險
第四十四條 合資公司在經(jīng)營期內(nèi)為保護公司不因各類災(zāi)害而受損失,應(yīng)向中國人民保 險公司投保。保險的險別,投保的價值和期限等應(yīng)由董事會作出決定。發(fā)生的保險費由合資公司承擔。
第十六章 合資公司的期限及正常終止
第四十五條 合資公司的期限為_____年。合資公司的成立日期為合資公司營業(yè)執(zhí) 照簽發(fā)之日。經(jīng)一方提議,董事會會議一致通過,可以在合資期滿6個月前向原審批機構(gòu)申請延長合資期限。

第十七章 合同的修改、變更和終止
第四十七條 對合同及其附件所作的任何修改,須經(jīng)合同雙方在書面協(xié)議上簽字并經(jīng)原 審批機構(gòu)批準后方能生效。
第四十八條 由于不可抗力,致使合同無法履行,或是由于合資公司連年虧損,無力繼續(xù)經(jīng)營,經(jīng)董事會一致通過,并報原審批機構(gòu)批準,可以提前終止合同。
第四十九條 由于一方不履行合同、章程規(guī)定的義務(wù),或嚴重違反合同、章程的規(guī)定,造成合資公司無法經(jīng)營或無法達到合同規(guī)定的經(jīng)營目的,視作違約方片面終止合同,對方除有權(quán)向違約方索賠外,并有權(quán)按合同規(guī)定報原審批機構(gòu)批準終止合同。
第十八章 違約責任
第五十條 如果任何一方未及時繳納第十二條規(guī)定的注冊資本金額,則每拖欠一個月該方即應(yīng)支付相當于出資額_____%的違約賠償金。如逾期3個月仍未提交,除累計支付 出資額的_____%作為違約金外,守約一方有權(quán)按本合同第四十九條規(guī)定終止合同,并要求違約方賠償損失。

第五十二條 由于地震、臺風、水災(zāi)、火災(zāi)、戰(zhàn)爭以及其它不能預見且對其發(fā)生和后果 不能防止或避免的不可抗力,致使直接影響合同的履行或者不能按約定的條件履行時,遇有上述不可抗力的一方,應(yīng)立即電報通知對方,并應(yīng)在15天內(nèi),提供不可抗力詳情及合同不能履行,或者部分不能履行,或者需要延期履行的理由的有效證明文件,此項證明文件應(yīng)由 不可抗力發(fā)生地區(qū)的公證機構(gòu)出具。按其對履行合同影響的程度,由雙方協(xié)商決定是否解除合同,或者部分免除履行合同的責任,或者延期履行合同。
第二十章適用法律
第五十三條 本合同的訂立、效力、解釋、履行受中華人民共和國法律的管轄。在某一具體問題上如果沒有業(yè)已頒布的中國法律可適用,則可參考國際慣例辦理。
第二十一章 爭議的解決
第五十四條 凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議,雙方應(yīng)通過友好協(xié)商解決,如果協(xié)商不能解決,應(yīng)提交北京中國國際貿(mào)易促進委員會對外經(jīng)濟貿(mào)易仲裁委員會根據(jù)該會的仲裁程序暫行規(guī)則進行仲裁。或,應(yīng)提交__國__地__仲裁機構(gòu)根據(jù)該仲裁機構(gòu)的仲裁程序進行仲裁。或,仲裁在被訴人所在國進行。仲裁裁決是終局的,對雙方都有約束力。

2.Party B guarantees that the technology specified in this contract and the technology transfer agreement shall be fully transferred to the joint venture company, and pledges that the provided technology should be truly advanced among the same type of technology produced by Party B, the model, specification and quality of the equipment are excellent and it is to meet the requirement of technological operation and practical usage;
3.Party B shall work out a detailed list of the provided technology and technological service at various stages as specified in the technology transfer agreement to be an appendix to the contract, and guarantee its performance;
4.The drawings, technological conditions and other detailed information are part of the transferred technology and shall be provided on time;
5.During the term of the technology transfer agreement, Party B shall provide the joint venture company with any improvements in the technology and the improved information and technological materials in time, and shall not charge separate fees;
6.Party B shall guarantee that the technical personnel and the workers in the joint venture company can master all the technology transferred within the period specified in the technology transfer agreement.Article 17
In case Party B fails to provide equipment and technology in accordance with the provisions of this contract and the technology transfer agreement or in case any deceiving or concealing actions are found, Party B shall be responsible for compensating the direct losses to the joint venture company.Article 18

Article 35

Should either of the parties to the contract be prevented from executing the contract by force majeure, such as earthquake, typhoon, flood, fire, war or other unforeseen events, and their occurrence and consequences are unpreventable and unavoidable, the prevented party shall notify the other party by telegram without any delay, and within 15 days thereafter provide detailed information of the events and a valid document for evidence issued by the relevant public notary organization explaining the reason of its inability to execute or delay the execution of all or part of the contract.Both parties shall, through consultations, decide whether to terminate the contract or to exempt part of the obligations for implementation of the contract or whether to delay the execution of the contract according to the effects of the events on the performance of the contract.Chapter 21 Applicable Law

第七章 董事會
第十五條 合資公司注冊登記之日,為合資公司董事會成立之日。撤換董事,每次應(yīng)向中國有關(guān)政府部門備案。
第十六條 董事會由 人組成,其中:甲方委派 人,乙方委派 人。董事長由 方委派,副董事長由 方委派。董事長、副董事長和董事任期三年,經(jīng)委派方繼續(xù)委派可以連任。
第十七條 董事會是合資公司的最高權(quán)力機構(gòu),決定合資公司的一切重大事宜。下列事項,由出席董事會會議的董事一致通過方可作出決議:
一、合資公司章程的修改;
二、合資公司的中止、解散和延長合資期限;
三、合資公司注冊資本的增加、減少;
四、合資公司與其他經(jīng)濟組織的合并、分立。
對下列其他事宜,可采取參加董事會會議的多數(shù)或三分之二多數(shù)董事通過決定:
一、決定公司的經(jīng)營計劃和投資方案;
二、決定公司內(nèi)部管理機構(gòu)的設(shè)臵;
三、聘任或者解聘總經(jīng)理,根據(jù)總經(jīng)理的提名,聘任或者解聘副總經(jīng)理、總工程師、總會計師等高級管理人員,決定其報酬;

第八章 監(jiān)事會
第十九條 合資公司設(shè)監(jiān)事會,由 人組成。監(jiān)事會應(yīng)當包括投資者代表和適當比例的公司職工代表。

第九章 經(jīng)營管理機構(gòu)

經(jīng)營管理部門可設(shè)若干部門經(jīng)理,分別負責企業(yè)各部門的工作,辦理總經(jīng)理和副總經(jīng)理交辦的事項,并對總經(jīng)理和副總經(jīng)理負責。
第二十三條 總經(jīng)理、副總經(jīng)理有營私舞弊或嚴重失職的,經(jīng)董事會會議決議可隨時撤換。
第十章 勞動管理
第二十四條 合資公司職工的雇用、辭退、工資、勞動保險、生活福利和獎懲等事宜,按照《中華人民共和國勞動法》及其實施辦法,經(jīng)董事會研究制定方案,由合資公司和合資公司的工會組織集體或個人訂立勞動合同加以規(guī)定。
勞動合同訂立后,送當?shù)貏趧庸芾聿块T備案。
第二十五條 各方推薦的高級管理人員的聘請和工資獎勵待遇,社會保險、福利、差旅費標準等,由董事會會議討論決定。
第十一章 稅務(wù)、財務(wù)、會計
第二十六條 合資公司應(yīng)按中國的稅法和有關(guān)條例規(guī)定繳納各項稅金。
第二十七條 合資公司職工按《中華人民共和國個人所得稅法》繳納個人所得稅。
第二十八條 合資公司按《中華人民共和國中外合資經(jīng)營企業(yè)法》的規(guī)定提取儲蓄基金、企業(yè)發(fā)展基金、職工福利及獎勵基金,每年提取的比例由董事會根據(jù)企業(yè)經(jīng)營情況討論決定。
第二十九條 合資公司的會計自公歷每年一月一日起至十二月三十一日止。一切記賬憑證、單據(jù)、報表、賬簿,用中文書寫。
第三十條 合資公司的財務(wù)決算應(yīng)聘請在中國注冊的會計師審查,并將查賬報告送董事會和總經(jīng)理。
如其中一方認為需要另行聘請其他的會計師對財務(wù)進行審查,另一方應(yīng)予以同意。其所需要一切費用由聘請方負擔。
第三十一條 每一會計的頭四個月,由總經(jīng)理組織編制上一營業(yè)的資產(chǎn)負債表、損益計算表和利潤分配方案,提交董事會審查通過。
第十二章 外匯管理
第三十二條 本合資公司的一切外匯事宜,按中華人民共和國外匯管理規(guī)定辦理。
第三十三條 本合資公司應(yīng)分別開立外幣和人民幣帳戶。第三十四條 本合資企業(yè)的一切外匯收入都必須入中國銀行或經(jīng)外匯管理局批準的其他國外銀行,一切外匯支出由合資企業(yè)外匯存款帳戶中支付。
第三十五條 本合資公司的外籍和港澳員工的工資和其他正當收益,在依法繳納稅款后,有權(quán)匯出國外。乙方分得的紅利,依法繳納稅收后匯出國外。
第十三章 合資期限
第三十六條 合資公司的期限為 年,自合資公司營業(yè)執(zhí)照簽發(fā)之日起計。
如需延長經(jīng)營期限,經(jīng)董事會會議一致通過,可以在經(jīng)營期滿六個月前向本合同審批機關(guān)申請延長。如需提前終止,經(jīng)董事一致同意,報本合同審批機關(guān)批準。
第十四章 合資期滿財產(chǎn)處理
第三十七條 合資期滿或提前終止經(jīng)營,由合資公司組成的清算委員會對企業(yè)的財產(chǎn)、債權(quán)、債務(wù)進行全面清查。清償債務(wù)、損失以及支付清算費用后的剩余財產(chǎn),按照合資各方投資比例進行分配。資產(chǎn)凈額或剩余財產(chǎn)超過注冊資本的增值部分,應(yīng)依法繳納所得稅。
第十五章 保 險
第三十八條 合資公司的各項保險均在中國境內(nèi)保險機構(gòu)投保,投保險別,保險價值、保期等按中國人民保險公司的規(guī)定由合資公司決定。
第十六章 合同修改、變更與解除
第三十九條 對本合同及其附件的修改,必須簽署書面協(xié)議,并報原審批機關(guān)批準,才能生效。第四十條 由于不可抗力,致使合同無法履行、或是由于合資公司連年虧損、無力繼續(xù)經(jīng)營,經(jīng)董事會一致通過,并報原審批機關(guān)批準,可以提前終止經(jīng)營期限和解除合同。
第四十一條 由于合資一方不履行合同(協(xié)議)、章程規(guī)定的義務(wù),或嚴重違反合同、章程規(guī)定,造成合資公司無法經(jīng)營或無法達到合同規(guī)定的經(jīng)營目的,視作違約方單方終止合同,對方除有權(quán)向違約一方索賠外,并有權(quán)按合同規(guī)定向原審批機關(guān)申請批準終止合同。如合資各方同意繼續(xù)經(jīng)營,違約方應(yīng)賠償合資公司的經(jīng)濟損失。
第十七章 違約責任
第四十二條 合資公司任何一方未按本合同第五章投資的各條規(guī)定依期出資,從逾期第一個月算起,每逾期一個月,違約一方應(yīng)繳付應(yīng)出資額的百分之 的違約金給守約的一方。如逾期三個月仍未提交,除累計繳付應(yīng)交出資額的百分之 的違約金外,守約一方有權(quán)按本合同第四十一條規(guī)定終止合同,并要求違約方賠償損失。
第四十三條 由于一方的過失,造成本合同及其附件不能履行或不能完全履行時,由有過失的一方承擔違約責任;如屬各方的過失,根據(jù)實際情況,由各方分別承擔各自應(yīng)負的違約責任。
第十八章 不可抗力
第四十四條 由于地震、臺風、水災(zāi)、戰(zhàn)爭以及其他不能預見并且對其發(fā)生和后果不能防止或避免的不可抗力事故,致使直接影響合同的履行或者不能按約定的條件履行時,遇有上述不可抗力事故的一方,應(yīng)立即將事故情況電告知各方,并應(yīng)在十五天內(nèi);提供事故詳情及合同不能履行或者需要延期履行,部分履行的理由的有效證明文件,此項證明文件應(yīng)由事故發(fā)生地區(qū)的公正機構(gòu)出具。按事故對履行合同影響的程度,由各方協(xié)商決定是否解除合同;或者部分免除履行 合同的責任或者延期履行合同,一旦不可抗力消失后,受影響的一方應(yīng)立即采取措施,繼續(xù)履行需履行的合同。
第十九章 適用法律
第四十五條 本合同訂立、效力、解釋、履行和爭議的解決均受中華人民共和國法律的管轄。
第二十章 爭議的解決
第四十六條 凡應(yīng)執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議,各方應(yīng)通過友好協(xié)商解決;如果協(xié)商不能解決,可提交中國國際經(jīng)濟貿(mào)易仲裁委員會根據(jù)該會仲裁規(guī)則進行仲裁。仲裁裁決是終局的,對雙方都有約束力。
第四十七條 在仲裁過程中,除各方有爭議的部分外,本合同應(yīng)繼續(xù)履行。
第二十一章 文字
第四十八條 本合同用中文寫成。
第二十二章 合同生效及其他
第四十九條 按本合同規(guī)定的各項原則訂立的附屬協(xié)議文件,為本合同的組成部分。
第五十條 本合同及其附件,均須經(jīng)中華人民共和國審批機關(guān)批準,自批準之日起生效。修改時亦同。
