甲方保證該房地產產權清晰、權屬明確，無異議登記、單方預告登記，無司法、行政查封等限制性交易情形存在；若因本條所述情況導致本協議效力瑕疵，甲方應返還乙方所有已付房款并賠償乙方實際損失。

Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades.If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.五、【爭議解決】

6.DISPUTE SETTLEMENT

各方在本協議履行過程中發生爭議的，應友好協商；協商不成的，應向該房地產所在地人民法院起訴。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.六、【合同效力】

6.VALIDITY

本協議自甲、乙雙方簽署起對甲、乙生效，丙方簽署后對丙方生效，一式三份，甲、乙、丙三方各執一份。

This Contract shall have binding force to Party A and Party B upon signatures of such two Parties are made hereon, and shall have binding force to Party C if signature of Party C is also made hereon.This Contract shall be executed in triplicate and each Party shall have one copy.

1.Terms of the contract 合同條款

2.Project stages項目階段

4.Force Majeure不可抗力

“Force Majeure” under the contract means the external circumstances that can not be foreseen, avoided and surmounted in the process of fulfilment of the contract, the incidents of which makes either party fails to fulfill the obligations under the contract, such as wars, riots, government behaviors, earthquake, fire, storms, floods or other severe weathers.本合同下的“不可抗力”是指在執行合同的過程中不能被預見、避免、克服的外在因素，從而導致合同任意一方無法履行合同責任，如戰爭、**、政府行為、地震、火災、風暴、洪水或其他惡劣天氣。

The period required to complete the obligations shall be extended accordingly due to the affect of the force majeure, the extension shall be the same as the period of time affected by the force majeure or the period of time is agreed upon both parties.由于不可抗力造成的影響，履約責任期可被相應延長，延長期應與不可抗力的影響期相同或通過雙方協商確定。

5.Intellectual Property Rights and confidentiality 知識產權與保密

All technologies, laws and financial informations relating to this contract are trade secrets, shall not be disclosed to the third parties listed out of the contract without the consent of all parties under the contract, otherwise, the telltale party shall be liable to assume 10% of the total contract price for breach of the contract to the other party.Should the compensation not be sufficient for the actual losses, the amount of the compensation shall be increased in accordance with the actual losses.與本項目相關的所有技術、法律和金融信息都被視為商業秘密，任何一方不得透露給合同外的第三方，否則，泄密的一方因違約須賠償合同總額的10%予另一方。如果賠償不足以賠付實際損失的，賠償額應根據實際損失相應的增加。

Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires or on the day when this contract is cancelled.and party B clears the premises and has paid all due rental and other expenses.3)、因乙方違反本合同的規定而產生的違約金、損壞賠償金和其它相關費用，甲方可在押金中抵扣，不足部分乙方必須在接到甲方付款通知后十日內補足。

In case party B breaches this contract, party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit.In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the written notice of payment from Party A.4)、因甲方原因導致乙方無法在租賃期內正常租用該物業，甲方應立即全額無息退還押金給乙方，且乙方有權追究甲方的違約責任。并且甲方需要適當的支付乙方必要的損失。

If Party B can’t normally use the apartment because of Party A , Party A should return the deposit to Party B at once.And,Party A should pay the reasonable compensation required by Party B.6、甲方義務Obligations of Party A

.1)、甲方須按時將房屋及附屬設施（詳見附件）交付乙方使用。

Party A will provide the premises and attached facilities(see the appendix of furniture list for detail)on schedule to Party B for using.2)、房屋設施如因質量原因、自然損耗、不可抗力或意外事件而受到損壞，甲方有修繕并承擔相關費用的責任。如甲方未在兩周內修復該損壞物，以致乙方無法正常使用房屋設施，乙方有權終止該合約，并要求退還押金。

In case the premise and attached facilities are damaged by quality problems, natural damages or accidents, Party A will be responsible to repair and pay the relevant expenses.If Party A can’t repair the damaged facilities in two weeks so that Party B can’t use the facilities normally, Party B has the right to terminate the contract and Party A must return the deposit.3)、甲方應確保出租的房屋享有出租的權利，如租賃期內該房屋發生所有權全部或部分轉移、設定他項物權或其他影響乙方權益的事件，甲方應保證所有權人、他項權利人或其他影響乙方權益的第三者能繼續遵守本合同所有條款，反之如乙方權益因此遭受損害，甲方應負賠償責任。

Party A will guarantee the lease right of the premises.In case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party B, party A shall guarantee that the new owner and other associated, third parties shall be bound by the terms of this

contract.Otherwise, Party A will be responsible to compensate party B’s losses.7、乙方義務Obligations of Party B

1)、乙方應按合同的規定按時支付租金及押金。

Party B will pay the rental and the deposit on time.2)、乙方經甲方同意，可在房屋內添置設備。租賃期滿后，乙方將添置的設備搬走，并保證不影響房屋的完好及正常使用。

Party B may add new facilities with Party A’s approval.When this contract expires, Party B may take away the added facilities without changing the good conditions of the premises for normal use.3)、未經甲方同意，乙方不得將承租的房屋轉租或分租。

Party B will not transfer the lease of the premises or sub without Party A’s approval.4)、乙方應按本合同規定合法使用該房屋，不得擅自改變使用性質。乙方不得在該房屋內存放危險物品。否則，如該房屋及附屬設施因此受損，乙方應承擔全部責任。

Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it.Otherwise, Party B will be responsible for the damages caused by it.5)、乙方應承擔租賃期內的水、電、煤氣、電話費、寬帶費、物業管理費和電視費等一切因實際使用而產生的費用，并按單如期繳納。

Party B will bear the cost of utilities such as telephone communications, water, electricity, Gas,management fees,internet and cable television on time during the lease term.6）、乙方應愛護租用的房屋及其設備，嚴格按專門的使用要求使用，如因乙方人為使用不當而導致損壞，乙方負責賠償及修復費用，乙方必須做到：

Party B must take care of the property and its contents, and use them exactly according to the specific instructions;otherwise Party B should pay for the compensation and repairing fees to Party A for its improper use of the property.Party B must do as follows:

6.1 足夠經常清潔房屋，復合地板、木地板、地毯、瓷磚地面要按不同要求清潔；

Do regularly clean the house.Clean the laminate floor, the parquet floor, the carpet, and the tile correctly according to the specific instructions.6.2足夠經常通風、開足空調（特別是在雨季、冬天）以避免冷凝水損壞房屋，導致霉變； Do regularly open the window and ventilate with the air conditioner(especially in rainy season and winter)in the house, in order to prevent the condensation water from damaging the house and going mouldy.6.3 足夠經常清潔廚房、爐灶等電器；

Keep the kitchen clean, such as electric apparatuses.6.4 浴缸、沖淋房、洗菜盆的排水口必須使用專門的濾網阻止頭發、硬物等進入排污管，抽水馬桶內不能倒其它雜物進入,疏通下水道的費用由乙方承擔。

The outlet of bathtub, the shower, and the basin must be added special network to prevent the hair, hard things, etc.from getting into the pipeline.Mess and other things cannot be poured into the toilet bout.The fee for unchoking the sewer will be borne by Party B.6.5 日常損耗物品及維修由乙方承擔更換費用（比如掛取窗簾、疏通下水道、換燈泡等）The normal wear ＆ tear fees of the property shall be borne by Party B(Such as hanging and fetching curtains, unchoking the sewer, changing the bulb etc).7）、乙方如長期或經常不在，乙方必須安排人員看管房屋，刮風下雨時關好門窗，經常通風、開足空調，還必須保證甲方及代理人能及時實施緊急和必要的維修修復工作，否則，造成的損失由乙方負責。

If Party B is out regularly or for a long time, Party B must arrange someone to look after the leased property.Make sure the doors and the windows are closed when blowing and raining, often ventilate the house, run the air conditioner, and guarantee for Party A and the Agent to make implement urgent and essential maintenance.Otherwise, the losses caused should be borne by Party B.8.中介方義務：Obligations of Intermediary

1）督促雙方提供必要的證明文件，對出租方而言，需提供房產證（或者相關的證明性文件）及身份證復印件；對承租方而言，需提供身份證復印件或公司營業執照復印件。

Supervision both sides provide the essential proof document, speakingof hires the side, must provide the real estate property card(orcorrelation certificate document)and the status card duplicate presswork;Speaking of rents the side, must provide the status cardduplicate press work or the company does business the licenseduplicate press work.9.合同終止及解除的規定Termination and dissolution of the indenture

1)、乙方在租賃期滿后如需續租，應提前一個月通知甲方，由雙方另行協商續租事宜。在同等條件下乙方享有優先續租權。在合同期內，甲乙雙方均不得擅自解除合同，如一方因故需解除合約，需提前一個月向另一方以書面形式提出終止請求，并賠償另一方相當于一個月租金的違約金。如甲方提出終止請求，應退回剩余的房屋租金給乙方。

Within one month before the contract expires, Party B will notify Party A if it intends to extend the lease.In this situation, two parties will discuss matters over the extension.Under the same terms Party B has the priority to lease the premises.In contract period, both Party A and Paty B cannot relief this contract without authorization, if any one party needs to cancel this contract, this party must notify another party by writing at least one month before the intended termination, and this party must pay one months rent to another party as compensation.If Party A needs cancel this contract, Party A must return surplus rent which Party A was received to Party B.2)、本合同一經雙方簽字后立即生效；未經雙方同意，不得任意終止，如有未盡事宜，甲、乙雙方可另行協商。

This contract will be effective after being signed by both parties.Any party has no right to terminate this contract without both party’s agreement.Anything not covered in this contract will

be discussed separately by both parties.10、違約及處理Breach of the contract

1)、甲、乙雙方任何一方在未征得對方諒解的情況下，不履行本合同規定條款，導致本合同中途終止，則視為該方違約，雙方同意違約金為元整，若違約金不足彌補無過錯方之損失，則違約方還需就不足部分支付賠償金。

During the lease term, any party who fails to fulfill any article of this contract without the other party’s understanding will be deemed to breach the contract.Both parties agree that the default fine will be.In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.2)、若雙方在執行本合同或與本合同有關的事宜發生爭議，應首先友好協商；協商不成，可向有管轄權的人民法院提起訴訟。

Both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation.In case the agreement cannot be reached, any party may submit the dispute to the court that has the jurisdiction over the matter.11、其他Miscellaneous

1)合同簽定之日,甲方按本合同月租金的100%,一次性向丙方支付中介信息服務費,即元,大寫.Party A will pay RMB,100% rental of one month in this contract, to the Party C for the intermediate service on the day of signing the contract.3)、本合同附件是本合同的有效組成部分，與本合同具有同等法律效力。
