⑧ The seller’s Certificate and waybill certifying that extra documents have been dispatched according to the contract terms by express airmail.賣方有關另外用特快郵寄壹套單據給開證申請人的證明書及郵寄底單.⑨ Certificate of No Wooden Packing or Certificate of Fumigation.非木包裝聲明或熏蒸證.In addition, the Sellers shall, within three days after shipment, send by express airmail one extra sets of the aforesaid documents directly to the Buyers.另外，賣方應于貨物發運后三天內，用特快專遞寄送一套上述的單據給買方。

11.SHIPMENT: The Sellers shall ship the goods within the shipment time from the port of shipment to the destination.Transshipment is allowed.Partial shipment is not allowed.運輸：賣方應于交貨期內將合同貨物從裝貨港運到目的港，不許分批，允許轉運。

12.SHIPPING ADVICE: The sellers shall, immediately upon the completion of the loading of the goods, advise by fax the buyers of the Contract No., commodity, quantity, invoiced value, gross weight, name of vessel and date of delivery etc.In case due to the sellers not having faxed in time, all losses caused shall be borne by the sellers.裝運通知：賣方應于裝貨后，立即用傳真將有關合同號、貨物、數量、發票價值、毛重、運輸工具名稱、交貨日期、貨物預計抵達日等資料通知買方。如果由于賣方未能通知買方而造成的所有損失均由賣方承擔。13.GUARANTEE OF QUALITY: The Sellers guarantee that the Commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract.The guarantee period shall be 12 months counting from the date of signing the Acceptance Report of this machine at the end-user‘s site.質量保證：賣方保證合同貨物采用最好的材料、精湛的做工、全新、未使用過、質量和技術規格均符合合同的要求。質保期為最終用戶簽定驗收報告后12個月內。

14.CLAIMS: Within 90 days after the arrival of the goods at destination, should the quality, specification, or quantity be found in unconformity with the stipulations of the Contract except those claims for which the insurance company or not the owners of the vessel are liable, the Buyers shall, on the strength of the Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C.or the site inspection report issued by the seller’s engineer, have the right to claim for replacement with new goods, or for compensation, and all expenses(such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage and loading and unloading charges etc.)shall be borne by the Sellers.As regards quality, the Sellers shall guarantee that if within 12 months from the date of signing the acceptance report of this machine, damages occur in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C..The Certificate so issued shall be accepted as the base of a claim.The Sellers, in accordance with the Buyers' claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s),.If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Sellers.索賠：貨物抵達目的地后90天內，如果質量、技術規格或數量發現與合同的規定不符(除過保險公司和運輸公司的責任所負)，買方應該依據中華人民共和國出入境檢驗檢疫局的檢驗報告或者是賣方的調試人員在安裝調試時出具的報告，有權要求替換或補償，所有的費用(包括商檢費、替補件來回的運費、保險費、倉儲費、貨物裝貨卸貨費等)均由賣方承擔。賣方的質量保證為簽定關于此批貨物的驗收報告后12個月內；由于貨物內在的質量、差的做工、選材不當而造成操作中的貨物損壞，買方應立即書面通知賣方，并同時隨附中國商檢局出具的檢驗報告作為索賠依據。賣方在接到買方的索賠后，有責任立即解決相應的質量問題、全部或部分地替換貨物或根據貨物損壞的程度進行折價； 如果賣方在收到買方的上述索賠后一個月內未能作出答復，則視為索賠已為賣方所接受。

15.FORCE MAJEURE: The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit.The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof.Under such circumstances the Sellers, however, are still under the obligation to take 3

all necessary measures to hasten the delivery of the goods.In case the accident lasts for more than 10 weeks, the Buyers shall have the right to cancel the Contract.不可抗力：對于制造或裝船運輸過程中可能產生的不可抗力而造成的遲交貨或不能交貨，賣方可以不承擔責任。賣方應立即在不可抗力產生的十四日內將有關情況通知買方，并且賣方應用航空郵件將有關政府當局部門出具的證明不可抗力產生的文件寄送給買方。在此情況下，賣方仍應盡最大努力采取各種措施促使貨物的發運。如果事故持續十周，買方有權取消該合同。

16.LATE DELIVERY AND PENALTY: Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract.The Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment.The Penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery.The rate of penalty is charged at 0.5% for every seven days.Odd days less than seven days should be counted as seven days.In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.遲交貨和罰金：如果賣方未能按合同規定及時交貨(除了本合同15條款所言的不可抗力)，買方同意在賣方付罰金的前提下遲交貨。罰金的金額不超過遲交貨的合同貨物部分的價值的5%，罰金按每7日0.5%計算，少于7日的增加天數按7日計。如果賣方未能于合同規定的交貨期之后的十周內發運，買方有權取消該合同，除此之外，賣方仍要將有關罰金不加拖延地付給買方。17.ARBITRATION: Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration.The arbitral award is final and binding upon both partied.Arbitration fee shall be borne by the losing party.仲裁：與此合同有關的爭議應通過友好協商解決。如果協商無法解決，提交中國國際經濟貿易仲裁委員會進行仲裁。按照申請仲裁時該會現行有效的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。仲裁費用由敗訴方承擔。18.BANK CHARGES: All bank charges outside China will be on the account of the Sellers.銀行費用：所有中國之外的銀行費用均由賣方承擔。

19.OTHER: This contract signed in three copies, the seller holds one copy and the buyer hold two copies.其它：本合同一式叁份，賣方執壹份, 買方執貳份。

該信用證必須在45天前開到賣方, 信用證的有效期應為裝船期后15天, 在上述裝運口岸

到期, 否則賣方有權取消本售貨合約并保留因此而發生的一切損失的索賠權.The covering Letter of Credit must reach the Sellers45 Days Prior to the Shipment Date

and is to remain valid in above indicated Loading Ports 15 days after the date of shipment, failing

which the Sellers reserve the right to cancel this Sales Contract and to claim from the Buyers

compensation for losses resulting therefrom.其他條款OTHER TERMS :

（1）異議 : 品質異議須于貨到目的口岸之日起30天內提出,數量異議須于貨到目的口岸之日 ALL RISK AND WAR RISK COVERED BY BUYER

起15天內提出。但均須提供經賣方同意的公證行的檢驗證明.如責任屬于賣方者賣方于收到異議20天內答復買方并提出處理意見.QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim should be filed by the Buyers within 30 days after the arrival of the goods at port of destination, while for quantity discrepancy claim should be filed by the Buyers within 15 days after the arrival of the goods atport of destination.In all cases, claims must be accompanied by Survey Reports of Recognized Public Surveyors agreed to by the Sellers.Should the responsibility of the subject under claim be found to rest on part of the Sellers, the Sellers shall, within 20 days after receipt of the claim, send his reply to the Buyers together with suggestion for settlement..（2）信用證內應明確規定賣方有權可多裝或少裝所注名的百分數，并按實際裝運數量議付。（信用證之金額應較本售貨合約的金額增加相應的百分數）

The Sellers reserve the option of shipping the indicated percentage more or less than the quantityhereby contracted, and the Letter of Credit shall be negotiated for the amount covering the value of quantity actually shipped.(The Buyers are requested to establish the L/C in accord with the indicated percentage over the total value of order as per this Sales Contract.)

（3）信用證內容須嚴格符合本售貨合約的規定，否則修改信用證的費用由買方負擔，賣方亦不負因修改信用證而延誤裝運的責任。并保留因此而發生的一切損失的索賠權。

The contents of theLetter of Credit shall be in strict accordance with stipulations of theSales Contract;in case of any variation thereof necessitating amendment of the L/C, the Buyersshall bear the expenses for effecting the amendment.The sellers shall not be held responsiblefor possible delay of shipment resulting from awaiting the amendment of the L/C, and reserve theright to claim from the Buyers compensation for the losses resulting therefrom..（4）除經約定保險歸買方投保者外，由賣方向中國的保險公司投保。如買方須增加保險額或須加保其他險，可于裝船前提出，經買方同意后代為投保，其費用由買方負擔。

Except where the insurance is covered by the Buyers as arranged, insurance is to becovered by the Sellers with a Chinese insurance company.If insurance for additional amount and/or for other insurance terms is required by the Buyers, prior notice to this effect must reach the Sellers before shipment and is subject to the Sellers’ agreement, and the extra insurancepremium shall be for the Buyers’ account..（5）買方須將申請許可證副本（經有關銀行副署）寄給賣方俟許可證批出后再即用傳真通知

賣方，假如許可證被駁退，買方須征得賣方的同意方可重行申請許可證。

The Buyers are requested to send the Sellers authentic copy of the License-application(endorsed by the relative bank)filed by the Buyers and to advise the Sellers by fax immediately when the said License is obtained.Should the Buyers intend to file reapplication for License in cases of rejection of the original application, the Buyers shall contact the Sellers and obtain the latter’s consent before filing reapplication..（6）商品檢驗：產地證明書或中國有關機構所簽發的品質數量/重量檢驗證，作為品質數量/ 重

量的交貨依據。

INSPECTION:The Certificate of Origin and/or the Inspection Certification ofQuality/Quantity/Weightissuedbytherelative institute shall be taken as the basis for the shippingQuality/Quantity/Weight..（7）因人力不可抗拒事故，使賣方不能在本售貨合約規定期限內交貨或不能交貨，賣方不負

責任，但是賣方必須立即以傳真通知買方，如果買方提出要求，賣方應以掛號函向買方提供由中國國際貿易促進委員會或有關機構出具的證明，證明事故的存在。買方不能領到進口證不能被認為系屬人力不可抗拒范圍。

4）Delivery.At the date on which all transfer prices，party A shall deliver this real estate to Party B and the Certificate of Transfer and Handover shall be concluded by the Parties therefore.Property Management Fees and Utilities Expenses arising out of or in connection with this real estate shall be borne by Party A prior to such delivery, or shall be borne by Party B upon such delivery.Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer price and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein.5）相關費用：Miscellaneous Charge.[交易稅費]：雙方同意，交易中所涉及的上述買賣雙方的稅費由 □各自承擔并支付；□由甲方承擔并支付；□由乙方承擔并支付。

甲方保證該房地產產權清晰、權屬明確，無異議登記、單方預告登記，無司法、行政查封等限制性交易情形存在；若因本條所述情況導致本協議效力瑕疵，甲方應返還乙方所有已付房款并賠償乙方實際損失。

Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades.If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.五、【爭議解決】

6.DISPUTE SETTLEMENT

各方在本協議履行過程中發生爭議的，應友好協商；協商不成的，應向該房地產所在地人民法院起訴。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.六、【合同效力】

6.VALIDITY

本協議自甲、乙雙方簽署起對甲、乙生效，丙方簽署后對丙方生效，一式三份，甲、乙、丙三方各執一份。

This Contract shall have binding force to Party A and Party B upon signatures of such two Parties are made hereon, and shall have binding force to Party C if signature of Party C is also made hereon.This Contract shall be executed in triplicate and each Party shall have one copy.
