第一條 根據(jù)建設(shè)部《城市房地產(chǎn)中介服務(wù)管理規(guī)定》(建設(shè)部令第97號(hào))及建設(shè)部、中國(guó)人民銀行《關(guān)于加強(qiáng)房地產(chǎn)經(jīng)紀(jì)管理、規(guī)范交易結(jié)算資金賬戶管理有關(guān)問題的通知》(建住房〔2006〕321號(hào))規(guī)定,制定本暫行規(guī)定。
第二條 本市實(shí)行存量房交易結(jié)算資金賬戶管理制度,設(shè)立“存量房交易結(jié)算資金專用存款賬戶”(以下簡(jiǎn)稱“專用賬戶”)劃轉(zhuǎn)存量房交易結(jié)算資金。商業(yè)銀行可為符合條件的房地產(chǎn)經(jīng)紀(jì)機(jī)構(gòu)或交易保證機(jī)構(gòu)(以下統(tǒng)稱“保證機(jī)構(gòu)”)開設(shè)“專用賬戶”。同時(shí),建立政府部門監(jiān)管,行業(yè)自律,社會(huì)公眾、新聞媒體監(jiān)督的工作機(jī)制。
第三條 房地產(chǎn)經(jīng)紀(jì)機(jī)構(gòu)居間或代理存量房買賣的,須通過“專用賬戶”劃轉(zhuǎn)交易結(jié)算資金。未設(shè)立“專用賬戶”的房地產(chǎn)經(jīng)紀(jì)機(jī)構(gòu),其成交業(yè)務(wù)的交易結(jié)算資金應(yīng)通過保證機(jī)構(gòu)的“專用賬戶”實(shí)施劃轉(zhuǎn),不得自行或委托其他經(jīng)濟(jì)組織代收代付存量房交易結(jié)算資金。
第四條 買賣雙方當(dāng)事人約定通過“專用賬戶”劃轉(zhuǎn)交易結(jié)算資金的,應(yīng)與設(shè)立“專用賬戶”的保證機(jī)構(gòu)簽訂《存量房交易結(jié)算資金劃轉(zhuǎn)協(xié)議》,由保證機(jī)構(gòu)出具《存量房交易結(jié)算資金托管憑證》。
買賣雙方當(dāng)事人在房屋權(quán)屬登記部門辦理轉(zhuǎn)移登記手續(xù)時(shí),應(yīng)提交《存量房交易結(jié)算資金托管憑證》,房屋權(quán)屬登記部門應(yīng)在發(fā)給買房人房屋所有權(quán)證的同時(shí),向賣房人出具《轉(zhuǎn)移登記辦結(jié)單》。賣房人持辦結(jié)單到保證機(jī)構(gòu)按照《存量房交易結(jié)算資金劃轉(zhuǎn)協(xié)議》的約定辦理資金劃轉(zhuǎn)手續(xù)。
第五條 買賣雙方當(dāng)事人約定自行劃轉(zhuǎn)交易結(jié)算資金的,辦理轉(zhuǎn)移登記手續(xù)時(shí)應(yīng)提交《存量房交易結(jié)算資金自行劃轉(zhuǎn)聲明》,不得委托房地產(chǎn)經(jīng)紀(jì)從業(yè)人員辦理。
第六條 設(shè)立“專用賬戶”的保證機(jī)構(gòu)應(yīng)符合下列條件:
(一)熟悉房屋交易市場(chǎng)的相關(guān)法律法規(guī),有健全的管理制度,其信用檔案無不良行為記錄;
(二)注冊(cè)資本應(yīng)不低于100萬元;
(三)在存量房交易保證金專用賬戶(以下簡(jiǎn)稱“保證金賬戶”)存入100萬元 1
保證金;
(四)房屋行政主管部門規(guī)定的其他條件。
第七條 保證金由北京房地產(chǎn)中介行業(yè)協(xié)會(huì)(以下簡(jiǎn)稱“中介協(xié)會(huì)”)負(fù)責(zé)監(jiān)管,保證機(jī)構(gòu)開設(shè)“專用賬戶”的同時(shí)將保證金存入簽約商業(yè)銀行設(shè)立的保證金賬戶內(nèi)。保證金賬戶內(nèi)的保證金所有權(quán)屬于保證機(jī)構(gòu),存續(xù)期間,開戶行按國(guó)家有關(guān)規(guī)定結(jié)息并返還給保證機(jī)構(gòu)。
第八條 保證機(jī)構(gòu)在從事交易結(jié)算資金劃轉(zhuǎn)業(yè)務(wù)之前,應(yīng)向北京市建設(shè)委員會(huì)備案,領(lǐng)取《設(shè)立“專用賬戶”保證機(jī)構(gòu)備案證明》。備案工作由北京市建設(shè)委員會(huì)委托中介協(xié)會(huì)具體承辦。
第九條 保證機(jī)構(gòu)持《備案證明》等相關(guān)材料與商業(yè)銀行簽署合作協(xié)議,開設(shè)“專用賬戶”。
第十條 設(shè)立“專用賬戶”的保證機(jī)構(gòu)與商業(yè)銀行簽訂合作協(xié)議之日起3個(gè)工作日內(nèi),應(yīng)持有關(guān)材料到中介協(xié)會(huì)進(jìn)行信息發(fā)布。
設(shè)立“專用賬戶”保證機(jī)構(gòu)的名單通過“北京房地產(chǎn)中介行業(yè)協(xié)會(huì)信息網(wǎng)”并鏈接至“北京市房地產(chǎn)交易管理網(wǎng)”和“北京建設(shè)網(wǎng)”公布。
第十一條 中介協(xié)會(huì)負(fù)責(zé)制定存量房交易結(jié)算資金劃轉(zhuǎn)操作規(guī)范。存量房買賣各方當(dāng)事人應(yīng)按照存量房交易結(jié)算資金劃轉(zhuǎn)操作規(guī)范辦理存量房交易結(jié)算資金劃轉(zhuǎn)業(yè)務(wù)。
第十二條 中介協(xié)會(huì)應(yīng)當(dāng)加強(qiáng)行業(yè)自律工作,對(duì)保證機(jī)構(gòu)的“專用賬戶”開立情況、交易資金支付情況加強(qiáng)監(jiān)管。
北京市建設(shè)委員會(huì)應(yīng)支持并監(jiān)督中介協(xié)會(huì)的工作。
第十三條 保證機(jī)構(gòu)及其從業(yè)人員在交易結(jié)算資金劃轉(zhuǎn)過程中存在違法違規(guī)行為的,存量房買賣當(dāng)事人可向所在區(qū)縣建委(房管局)房地產(chǎn)經(jīng)紀(jì)管理部門投訴或舉報(bào)。
各區(qū)縣建委(房管局)負(fù)責(zé)本轄區(qū)存量房交易市場(chǎng)的監(jiān)管,規(guī)范房地產(chǎn)經(jīng)紀(jì)行為,嚴(yán)格查處存量房買賣過程中的違法違規(guī)經(jīng)紀(jì)行為。中介協(xié)會(huì)及各區(qū)縣建委(房管局)在監(jiān)管過程中發(fā)現(xiàn)保證機(jī)構(gòu)有違反本規(guī)定或侵害存量房買賣當(dāng)事人權(quán)益行為的,應(yīng)及時(shí)上報(bào)北京市建設(shè)委員會(huì)注銷該機(jī)構(gòu)“專用賬戶”備案。
第十四條 本暫行規(guī)定適用于個(gè)人之間的存量房買賣,其他存量房買賣可參照本暫行規(guī)定執(zhí)行。
第十五條 本暫行規(guī)定自2007年4月15日起試行。凡2007年4月15日后簽訂存量房買賣合同的,均應(yīng)按本暫行規(guī)定劃轉(zhuǎn)交易結(jié)算資金;2007年4月15日之前已簽訂存量房買賣合同的可按原規(guī)定辦理轉(zhuǎn)移登記手續(xù),但雙方當(dāng)事人應(yīng)在2007年6月15日前申請(qǐng)辦理,逾期未申辦的,按本暫行規(guī)定執(zhí)行。

Party C(guarantor): Nanjing Housing Real Estate Guarantee Co., Ltd.In order to guarantee the transaction settlement fund of the housing stock and protectrights of both parties, in the principles of equality and good faith, Party A, Party B and Party C enter into the following agreements upon consensus.Article 1 Party A and Party B signed the Sales and Purchase Contract for Nanjing Housing Stock on Apr.10, 2012.The house is located at Room 702, Sijiyuan, 20 Nenjiang Road, Gulou District and the Parcel No.is 080180-IX-28.The total house payment is RMB 2,000,000 Yuan including deposit of RMB 0 Yuan, final payment of RMB 0 Yuan, down payment of RMB 0 Yuan and loan of RMB 0 Yuan(wherein the commercial loan of RMB 0 Yuan and policy-based loan of RMB 0 Yuan).Article 2 With the common entrustment of Party A and Party B, Party C agrees to escrow and transfer the total house payment except the deposit and final payment, and the amount of transaction fund to be escrowed and transfer is RMB 1,980,000 Yuan.Party B shall deposit all the house payment besides deposit(including loans)to the “Special Deposit Account for Transaction Settlement Fund of Housing Stock”(hereunder referred to as “Escrow Account”), and when the house transfer registration formalities have been done, Party C shall go through the formalities of escrow fund transfer and transfer the principal and interest of the fund to the settlement account of Party A.Where the house is mortgaged, Party C shall transfer the escrow fund according to the “Entrustment Agreement for Housing Stock Transaction” signed by Party A, Party B and Party C, wherein, the transaction fund(except loans)used by Party C is RMB 0 Yuan of the loan repaid by Party A.Article 3 Details of the “Escrow Account” are as follows:

Article 5 Where Party B applies for loan for purchasing house, while the loan bank fails to grant the commercial loan within 3 workdays since the next day after the date of applying for house transfer registration, Party A and Party B agree to go through formalities of revocation at the ownership registration window timely, and when the revocation formalities are done, they shall go through formalities of escrow cancellation at the fund escrow window.Article 6 Where Party A and Party B terminates the transaction, Party C shall transfer all the principal and interest of the escrow fund to Party B's account after the fund escrow is cancelled;where Party B applies for loan and the loan has been granted, Party C shall transfer the loan to the loan bank, the interests generated thereof shall be borne by Party B, and Party C shall transfer the fund with the certificate of loan settlement issued by the loan bank.Article 7 The interest within the escrow period shall be calculated according to interest rate of current deposit stipulated by the bank for the corresponding period from the time when the fund actually enter into the account.Article 8 Party A and Party B guarantee that any disputes occurred due to the house transaction(including the safety and feasibility of the transaction and other matters irrelevant to the agreement)are irrelevant to Party C and Party C shall bear no obligations for the disputes.Any disputes occurred when Party A and Party B sign, perform and terminate the Transaction Contract shall be solved through negotiation or legal ways.Article 9 Liabilities for Breach of Contract
(1)Where Party A has any behaves which may endanger safety of the transaction settlement fund or lead Party B or Party C to economic losses when signing and performing the contract, Party A shall bear liabilities of compensation according to laws.(2)Where the escrow fund is lost due to improper keeping of the vouchers and information of the personal banking settlement account by Party A and Party B, they shall bear corresponding liabilities by themselves.(3)Where the escrow fund is frozen or transferred by the judicial organs due to reasons of either Party A or Party B, the responsible party shall bear corresponding responsibilities;where the other two parties also suffer from economic losses, the responsible party shall compensate for the losses according to laws.(4)After signing the contract, where either party fails to perform the contract unilaterally, thus leading to economic losses, the responsible party shall compensate for the losses.(5)Where the transaction is terminated due to reasons of both parties or either party, Party C is entitled to suspend the transaction funds transfer and bear no economic or legal responsibilities, until Party A and Party B reach consensus or provide valid judicial documents.(6)Where the transaction is terminated due to disapproval of registration by the registration authority, Party A and Party B shall bear corresponding responsibilities
respectively.Where Party B applies for bank loan, he/she shall actively assist to go through formalities of loan repayment and bear corresponding interest.(7)Any responsibilities and obligations of the entrusted agents during performing the contract shall be born by Party A and Party B respectively.Article 10 Any disputes occurring during performing the contract shall be solved upon negotiation of Party A, Party B and Party C;where such negotiation fails, the disputes shall be submitted to the local people's court for lawsuit.Article 11 This contract is in quadruplicate which will take into effect with signatures or seals of Party A, Party B and Party C.Party A and Party B hold one copy respectively and Party C holds two copies.Party A:(signature)

北京市存量房交易結(jié)算資金劃轉(zhuǎn)操作規(guī)范
(試行)
為確保存量房買賣雙方當(dāng)事人交易結(jié)算資金安全,維護(hù)交易雙方合法權(quán)益,特制定存量房交易結(jié)算資金劃轉(zhuǎn)操作規(guī)范如下:
一、存量房交易結(jié)算資金劃轉(zhuǎn)協(xié)議的簽訂
存量房買賣雙方當(dāng)事人經(jīng)協(xié)商一致后,簽訂《北京市存量房買賣合同》(以下簡(jiǎn)稱“買賣合同”),并與設(shè)立“專用賬戶”的房地產(chǎn)經(jīng)紀(jì)機(jī)構(gòu)或交易保證機(jī)構(gòu)(以下簡(jiǎn)稱“保證機(jī)構(gòu)”)簽訂《北京市存量房交易結(jié)算資金劃轉(zhuǎn)協(xié)議》(以下簡(jiǎn)稱“劃轉(zhuǎn)協(xié)議”,見附件1至附件4)。買賣雙方當(dāng)事人自行辦理轉(zhuǎn)移登記手續(xù)并簽署《存量房交易結(jié)算資金自行劃轉(zhuǎn)聲明》的,可自行劃轉(zhuǎn)交易結(jié)算資金。
二、交易結(jié)算資金的入賬及房屋交易過戶手續(xù)的辦理
根據(jù)存量房的抵押狀況及付款方式,分別按以下四種程序辦理:
(一)房屋未設(shè)定抵押,買房人一次性全額付款
《買賣合同》及《劃轉(zhuǎn)協(xié)議》簽訂后,買房人將交易結(jié)算資金一次性或分期存入保證機(jī)構(gòu)的“專用賬戶”內(nèi)(除買賣雙方在《劃轉(zhuǎn)協(xié)議》內(nèi)約定由賣房人直接收取購房定金(不超過房?jī)r(jià)款的20%)的,全部房?jī)r(jià)款均應(yīng)通過“專用賬戶”進(jìn)行劃轉(zhuǎn))。銀行以買方名義建立子賬戶,并向買房人開具《存量房交易結(jié)算資金專用存款賬戶交存憑證》(以下簡(jiǎn)稱“《交存憑證》”)。買房人持《買賣合同》、《劃轉(zhuǎn)協(xié)議》及《交存憑證》向保證機(jī)構(gòu)領(lǐng)取《存量房交易結(jié)算資金托管憑證》。賣房人已直接收取定金的,還應(yīng)提供收款憑證。
買賣雙方持《存量房交易結(jié)算資金托管憑證》及其他相關(guān)材料可自行辦理或委托保證機(jī)構(gòu)等其他主體辦理房屋轉(zhuǎn)移登記手續(xù)(具體流程見附圖一)。
(二)房屋未設(shè)定抵押,買房人抵押貸款
《買賣合同》及《劃轉(zhuǎn)協(xié)議》簽訂后,買房人或保證機(jī)構(gòu)持相關(guān)材料向貸款銀行辦理抵押貸款業(yè)務(wù)。貸款銀行對(duì)買房人資信狀況等審核合格后,對(duì)待交易房屋進(jìn)行評(píng)估,確定貸款額度,并出具《批貸證明》。買房人將購房首付資金一次性或分期存入保證機(jī)構(gòu)的“專用賬戶”內(nèi)(除買賣雙方在《劃轉(zhuǎn)協(xié)議》內(nèi)約定由賣房人直接收取購房定金的,全部首付房?jī)r(jià)款均應(yīng)通過“專用賬戶”進(jìn)行劃轉(zhuǎn))。銀行以買方名義建立子賬戶,并向買房人開具《交存憑證》。買房人持《買賣合同》、《劃轉(zhuǎn)協(xié)議》、《交存憑證》及《批貸證明》向保證機(jī)構(gòu)領(lǐng)取《存量房交易結(jié)算資金托管憑證》。賣房人已直接收取定金的,還應(yīng)提供收款憑證。
由于抵押貸款業(yè)務(wù)需要辦理抵押登記手續(xù),根據(jù)《劃轉(zhuǎn)協(xié)議》約定,買房人可將轉(zhuǎn)移登記及抵押登記手續(xù)委托保證機(jī)構(gòu)辦理。保證機(jī)構(gòu)持相關(guān)材料代理買房人向房屋權(quán)屬登記部門申辦轉(zhuǎn)移登記及抵押登記手續(xù),賣房人可自行辦理或委托保證機(jī)構(gòu)等其他主體辦理房屋轉(zhuǎn)移登記手續(xù)(具體流程見附圖二)。
(三)房屋已設(shè)定抵押,買房人一次性全額付款
《買賣合同》及《劃轉(zhuǎn)協(xié)議》簽訂后,買房人將交易結(jié)算資金一次性或分期存入保證機(jī)構(gòu)的“專用賬戶”內(nèi)(除買賣雙方在《劃轉(zhuǎn)協(xié)議》內(nèi)約定由賣房人直接收取購房定金的,全部房?jī)r(jià)款均應(yīng)通過“專用賬戶”進(jìn)行劃轉(zhuǎn))。銀行以買方名義建立子賬戶,并向買房人開具《交存憑證》。買房人持《買賣合同》、《劃轉(zhuǎn)協(xié)議》及《交存憑證》向保證機(jī)構(gòu)領(lǐng)取《存量房交易結(jié)算資金托管憑證》。賣房人已直接收取定金的,還應(yīng)提供收款憑證。
已設(shè)定抵押的房屋進(jìn)行交易應(yīng)先行辦理抵押注銷手續(xù)。賣房人無法自行辦理抵押注銷手續(xù)的,買賣雙方及保證機(jī)構(gòu)可在《劃轉(zhuǎn)協(xié)議》中選擇不同的抵押注銷途徑:(1)三方均同意授權(quán)保證機(jī)構(gòu)可將“專用賬戶”下的部分或全部交易結(jié)算資金用于辦理抵押注銷手續(xù);(2)若買房人不同意將其交存的交易結(jié)算資金用于辦理抵押注銷手續(xù),賣房人應(yīng)尋求擔(dān)保或其他途徑辦理。
三方約定按上述第一種方式辦理抵押注銷手續(xù)的,在抵押注銷手續(xù)辦理完畢后,保證機(jī)構(gòu)可代理賣房人持相關(guān)材料向房屋權(quán)屬登記部門申辦轉(zhuǎn)移登記手續(xù),買房人可自行辦理或委托保證機(jī)構(gòu)等其他主體辦理房屋轉(zhuǎn)移登記手續(xù);三方約定按上述第二種方式辦理抵押注銷手續(xù)的,在抵押注銷手續(xù)辦理完畢后,買賣雙方持相關(guān)材料可自行辦理或委托保證機(jī)構(gòu)等其他主體辦理房屋轉(zhuǎn)移登記手續(xù)(具體流程見附圖三)。
若買房人不同意將其交納的交易結(jié)算資金用于抵押注銷手續(xù),且賣房人尋求其他途徑也無法解除抵押,買賣雙方應(yīng)解除《買賣合同》,保證機(jī)構(gòu)應(yīng)將買房人已付交易結(jié)算資金退還。
(四)房屋已設(shè)定抵押,買房人抵押貸款
賣房人無法自行辦理抵押注銷手續(xù)的,應(yīng)尋求擔(dān)保或其他途徑來辦理抵押注銷手續(xù)。若賣房人無法通過擔(dān)保或其他途徑解除抵押,買賣雙方應(yīng)解除《買賣合同》。
買房人或保證機(jī)構(gòu)可持相關(guān)材料向貸款銀行辦理抵押貸款業(yè)務(wù),貸款銀行出具《批貸證明》。買房人將購房首付資金一次性或分期存入保證機(jī)構(gòu)的“專用賬戶”內(nèi)(除買賣雙方在《劃轉(zhuǎn)協(xié)議》內(nèi)約定由賣房人直接收取購房定金的,全部首付房?jī)r(jià)款均應(yīng)通過“專用賬戶”進(jìn)行劃轉(zhuǎn))。銀行以買方名義建立子賬戶,并向買房人開具《交存憑證》。買房人持《買賣合同》、《劃轉(zhuǎn)協(xié)議》、《交存憑證》及《批貸證明》向保證機(jī)構(gòu)領(lǐng)取《存量房交易結(jié)算資金托管憑證》。賣房人已直接收取定金的,還應(yīng)提供收款憑證。
抵押注銷手續(xù)辦理完畢且保證機(jī)構(gòu)出具《存量房交易結(jié)算資金托管憑證》后,保證機(jī)構(gòu)持相關(guān)材料代理買房人向房屋權(quán)屬登記部門申辦轉(zhuǎn)移登記及抵押登記手續(xù),賣房人可自行辦理或委托擔(dān)保公司、保證機(jī)構(gòu)等其他主體辦理房屋轉(zhuǎn)移登記手續(xù)(具體流程見附圖四)。
三、交易結(jié)算資金的劃轉(zhuǎn)
轉(zhuǎn)移登記手續(xù)辦理完畢,房屋權(quán)屬登記部門向買房人發(fā)放房屋所有權(quán)證的同時(shí),向賣房人出具轉(zhuǎn)移登記辦結(jié)單。賣房人按照《存量房交易結(jié)算資金劃轉(zhuǎn)協(xié)議》約定持辦結(jié)單到保證機(jī)構(gòu)辦理資金劃轉(zhuǎn)手續(xù)。
保證機(jī)構(gòu)向賣房人及銀行出具《存量房交易結(jié)算資金支取憑證》(見附件5),并通知銀行將“專用賬戶”相應(yīng)子賬戶中的交易結(jié)算資金劃轉(zhuǎn)給賣房人。
在房屋已設(shè)定抵押情況下,若賣房人無法自行辦理抵押注銷手續(xù)且買賣雙方均同意授權(quán)保證機(jī)構(gòu)可將“專用賬戶”相應(yīng)子賬戶中的部分或全部交易結(jié)算資金用于辦理抵押注銷手續(xù),保證機(jī)構(gòu)可持《劃轉(zhuǎn)協(xié)議》向銀行辦理交易結(jié)算資金支取手續(xù)。銀行應(yīng)將該部分資金直接劃付原貸款銀行。
四、解除《劃轉(zhuǎn)協(xié)議》

甲乙雙方在認(rèn)真閱讀北京市建設(shè)委員會(huì)發(fā)布的《北京市存量房交易結(jié)算資金賬戶管理暫行規(guī)定》后,經(jīng)雙方協(xié)商決定自行劃轉(zhuǎn)交易結(jié)算資金,特簽署本聲明。交易過程中發(fā)生的資金及權(quán)屬風(fēng)險(xiǎn)由甲乙雙方自行承擔(dān)。
