為 進一步推進我校國際化教育的發(fā)展，加強對外合作與交流，規(guī)范中外合作辦學（聯(lián)合培養(yǎng)項目）的管理，實現(xiàn)學校整體發(fā)展目標，根據(jù)國務(wù)院《中華人民共和國中外 合作辦學條例》（以下簡稱《條例》）、教育部《中華人民共和國中外合作辦學條例實施辦法》（以下簡稱《實施辦法》）及上海市教委的相關(guān)規(guī)定，結(jié)合我校實際 情況，特制定本辦法。第一章總則

第一條本辦法所稱中外合作辦學，是指以上海外國語大學的名義，同外國具有相應(yīng)的辦學資格的教育機構(gòu)在中國境內(nèi)合作舉辦或合作開展的，以中國公民為主要招生對象的教育機構(gòu)或項目，實施教育、教學的活動。中外合作辦學包括設(shè)立“中外合作辦學機構(gòu)”和舉辦“中外合作辦學項目”。

第二條中外合作辦學是我國教育對外開放的重要組成部分，必須遵守我國的憲法和有關(guān)法律、法規(guī)，維護國家的教育主權(quán)。中外合作辦學應(yīng)堅持我國的教育方針，符合中國教育事業(yè)發(fā)展的需要和人才培養(yǎng)的要求，保證教育質(zhì)量，不得以盈利為目的，不得損害國家和社會公共利益。

第三條中外合作辦學的宗旨是引進國外優(yōu)質(zhì)教育資源，借鑒國外先進辦學經(jīng)驗，調(diào)整優(yōu)化學科、專業(yè)結(jié)構(gòu)和人才培養(yǎng)模式，增加教育的多樣性和選擇性，促進教育改革，努力培養(yǎng)國際化創(chuàng)新型人才。

第四條與 我校進行中外合作辦學的外國教育機構(gòu)在其所在國家的教育水平或科研地位應(yīng)高于或者相當于我校在國內(nèi)的教育水平或科研地位。引進國外優(yōu)質(zhì)資源應(yīng)立足于提高學 校的教育、教學質(zhì)量，著重發(fā)展我國急需的新興、幼稚學科以及空白學科，但不得舉辦實施軍事、警察、政治等特殊性質(zhì)教育的機構(gòu)，或者與外國宗教組織、宗教機 構(gòu)、宗教院校和宗教教職人員在國內(nèi)從事合作辦學活動。中外合作辦學機構(gòu)和項目不得進行宗教教育和開展宗教活動。

第五條上海外國語大學是對外簽署合作協(xié)議、開展國際交流與合作活動和合作辦學的主體。作為學校法人代表，校長對外行使協(xié)議簽字權(quán)。各院（系、所）是中外合作辦學的具體承辦單位，可由校長授權(quán)的代表與外國教育機構(gòu)簽訂協(xié)議。各院（系、所）未經(jīng)校長授權(quán)，無權(quán)對外簽署法律文件。

第六條本辦法所稱聯(lián)合培養(yǎng)項目，是指除教育部批準設(shè)立或舉辦的中外合作辦學機構(gòu)或項目之外的，以聯(lián)合培養(yǎng)、互認學分的方式與外國教育機構(gòu)開展學生交流的活動，如3＋1、2＋2、1＋

1、本碩連讀、碩博連讀等，其校內(nèi)立項、申報程序和管理方法參照本辦法執(zhí)行。

第二章立項和申報

第七條立項程序。

申辦單位（院、系、所）與外國教育機構(gòu)商談中外合作辦學達成初步意向后，須向?qū)ν夂献鹘涣魈幪峤弧渡虾Ｍ鈬Z大學中外合作辦學（含聯(lián)合培養(yǎng)項目）立項申請表》（見附件1）。

對外合作交流處組織教務(wù)處、研究生部等相關(guān)部門進行審核后，報主管校領(lǐng)導批準立項。

第八條申報程序。

中外合作辦學經(jīng)學校研究批準立項后，申辦單位最遲應(yīng)于擬正式開辦之日前一年向?qū)ν夂献鹘涣魈幧陥?。為配合教育部每?月和9月對合作辦學申請的集中受理審批，申辦單位負責準備《條例》和《實施辦法》中規(guī)定的各項申報材料（見附件2），并于每年2月28日前和8月31日前將所有材料報對外合作交流處。

對外合作交流處負責申報材料的最終審核，審核無誤后由對外合作交流處呈校領(lǐng)導簽發(fā)，再報送相關(guān)上級主管部門。

第九條對外合作交流處負責辦理中外合作辦學機構(gòu)和項目的報批和登記注冊。在取得合作辦學批準證書，并到相應(yīng)教育行政部門登記注冊、取得辦學許可證前，任何單位都不得以中外合作辦學的名義開展招生和宣傳活動。第三章管理

第十條中外合作辦學的管理堅持“統(tǒng)一領(lǐng)導，兩級管理”的原則。學校進行宏觀控制和政策指導，相關(guān)院（系、所）負責項目的具體實施和管理。項目的管理由中外雙方組成的項目管理委員會嚴格按照《條例》和《實施辦法》的有關(guān)規(guī)定執(zhí)行，雙方各自履行協(xié)議中規(guī)定的各項權(quán)利和義務(wù)。

第十一條對外合作交流處是學校中外合作辦學的歸口管理部門，負責全校中外合作辦學機構(gòu)和項目的報批、監(jiān)督和指導。在項目執(zhí)行過程中負責與上級主管部門的溝通和校內(nèi)的協(xié)調(diào)管理，以及對所有涉外活動進行管理。其主要相關(guān)職責有：

1．審核相關(guān)院（系、所）提交的中外合作辦學機構(gòu)和項目的申報材料，并報送上級主管部門審批；

2．按照國家聘請外國專家的有關(guān)規(guī)定，對各中外合作辦學機構(gòu)和項目的外國專家和外籍管理人員的聘任進行審核，并辦理相關(guān)聘任手續(xù)； 3．組織中外合作辦學評估工作，每年3月1日前接受校內(nèi)各中外合作辦學機構(gòu)和項目的辦學報告，并報上級審批機關(guān)；跟蹤了解中外合作辦學機構(gòu)和項目在國外的教學活動，并協(xié)調(diào)相關(guān)部門對其進行評估。

第十二條教務(wù)處和研究生部是學校中外合作辦學的業(yè)務(wù)管理部門，分別負責對本科和研究生層次項目的教育、教學活動進行監(jiān)督和管理，定期對外國教育機構(gòu)提供的課程和教育質(zhì)量進行評估。相關(guān)院（系、所）和學科點分別協(xié)助教務(wù)處和研究生部做好上述工作。具體辦法由教務(wù)處和研究生部分別制定。

第十三條財務(wù)處是學校中外合作辦學的財務(wù)監(jiān)督及管理部門，負責項目收費標準的審定和經(jīng)費管理。學校設(shè)立中外合作辦學項目專項，統(tǒng)一辦理財務(wù)收支業(yè)務(wù)。具體辦法由財務(wù)處制定。

第十四條中外合作辦學機構(gòu)和項目的收費項目和標準應(yīng)嚴格按照國家有關(guān)規(guī)定執(zhí)行，并在招生簡章或招生廣告中載明。中外合作辦學機構(gòu)或項目收取的費用，應(yīng)當主要用于教育教學活動和改善辦學條件。實施學歷教育的中外合作辦學機構(gòu)和項目應(yīng)按照學年或?qū)W期收取學費，不得跨學年或?qū)W期預收。第四章附則

第十五條本管理辦法未盡事宜，依照《中華人民共和國中外合作辦學條例》、《中華人民共和國中外合作辦學條例實施辦法》等相關(guān)法律、法規(guī)執(zhí)行。

第十六條與港澳臺地區(qū)的教育機構(gòu)合作辦學的，參照本管理辦法的規(guī)定執(zhí)行。國家另有規(guī)定的除外。

第十七條本管理辦法自2013年1月1日起試行。第十八條本管理辦法由對外合作交流處負責解釋。

(一)甲方

負責赴美留學項目開辦的相關(guān)立項和報批手續(xù).負責提供赴美留學英語培訓項目的教學設(shè)施及相關(guān)服務(wù).負責教學質(zhì)量的監(jiān)控,確保教學計劃的順利實施.如乙方所提供的師資質(zhì)量出現(xiàn)問題,甲方有權(quán)保留提出整改并進一步更換師資的權(quán)利

負責項目宣傳和招生.負責收取學生的學費,住宿費等.負責按照本協(xié)議的約定,將乙方應(yīng)分得學費及時,足額地支付給乙方.負責教學安排和學生管理.負責美方教師的食宿安排,并支付規(guī)定的食宿費,共計每人每年人民幣xxxx元,其中住宿費為人民幣xxxx元/年/人,伙食費為xxxx元/年/人.(二)乙方

to agree for party a to launch the study in u.s.a training program of esl in the name of cooperating with xxxx university.to be responsible for offering the main content of the propaganda material and school admission brochure for party a.to be responsible for providing all the teachers of the study in u.s.a preparatory course program,teaching materials, teaching software and esl english certificate commonly recognized among us universities.to be responsible for the us teachers' plane tickets and salary to china.to be responsible for the us teachers' personal accident and medical insurance during their stay in china.to apply for students who participate in the program of studying in u.s.a training program of esl, and ensure that they are admitted by a us university.to be responsible for applying for the best scholarship which the us university can grant to international students for students in the program of studying at u.s.a training program of esl.to offer the necessary training and service of visa application to students in the program of studying in u.s.a training program of esl to facilitate their obtaining the us entry visa.五,收費和雙方利益分配

學費: 培訓,考試及證書費用為每人每期xxxx元人民幣,報到注冊時一次性交清.其中甲方分得xx%,乙方分得xx%;各自用于辦學成本開支.學費由甲方統(tǒng)一收取,在每個學期開學后15個工作日內(nèi)由甲方將乙方應(yīng)分得部分劃入乙方在北京的指定賬戶.教材費:由乙方以合理價格收取.學生住宿費:按甲方標準收取.ⅴ.charges and profits distribution

本協(xié)議自甲,乙雙方簽字之日起生效,有效期兩年.協(xié)議到期前三個月,如雙方一致認為可以繼續(xù)合作,可正式續(xù)簽書面協(xié)議.ⅵ.cooperation term

the agreement shall come into effect after being signed by both sides, and it shall last for two years since the signed date.if both sides consider it necessary to continue the cooperation, then an official written agreement of extension shall be signed three months before the expiration.七,協(xié)議的變更

本協(xié)議未盡事宜,或需變更,需經(jīng)甲,乙雙方共同協(xié)商,做出書面補充協(xié)議;補充協(xié)議與本協(xié)議具有同等法律效力.ⅶ.change of the agreement

any change or affairs not stated in this agreement shall be covered by written supplemental agreement reached between both sides through negotiation.the supplemental agreement has the same legal effect as this agreement.八,協(xié)議的終止和不可抗力

本協(xié)議有效期滿時,自動終止.由于政治原因,自然災害,戰(zhàn)爭及其它不可預見因素,或?qū)ζ浒l(fā)生及后果不能防止或避免的不可抗拒因素影響本協(xié)議的履行或不能按預定條件履行的,遇上述不可抗拒因素的一方應(yīng)立即通知對方,并應(yīng)在三十日內(nèi)提供詳情及有效證明文件.因不可抗力致使本協(xié)議中止時,簽約雙方互不承擔經(jīng)濟責任.因不可抗力致使本協(xié)議中止時,簽約雙方應(yīng)共同對參加本教育項目學習的學生做出妥善安排,并將學生的損失降到最低限度.本協(xié)議執(zhí)行期間,任何一方如有不規(guī)范操作,違背協(xié)議約定,在對方提出三次整改要求后仍未改正的情況下,對方有權(quán)提出解除本協(xié)議.但甲,乙雙方應(yīng)繼續(xù)履行各自職責,完成未完成的培訓,不得侵犯已入學學生的合法權(quán)益.ⅷ.termination and force majeure

1.the agreement will be automatically terminated upon expiration.2.when unpredictable circumstances like political policy, natural disasters, war or other force majeure whose occurrence and consequences cannot be prevented, and which leads to the situation in which the agreement cannot be carried out or be implemented as planned, the party who suffers one of the above shall notify the counterpart without delay and provide details and valid supporting documents within thirty days.if the agreement has to terminate because of force majeure, neither side shall bear the economic responsibilities.in addition, both parties shall make proper arrangements for participants of the education program, and do their best to minimize the students'loss.3.during implementation of the agreement, if any party's improper conducts breach the agreement, and the said party makes no corrections after the counterpart's warning for three times, the counterpart shall have the right to suggest terminating the agreement.nevertheless, both sides have duties to complete the ongoing training and must not violate the legal rights and interests of the enrolled students.九,違約責任的認定和賠償

簽約的任何一方,不能按約定的時間,方式和要求履行本協(xié)議應(yīng)承擔的責任,義務(wù),均視為違約.違約方因其違約行為造成本協(xié)議目標不能實現(xiàn)或給簽約對方造成經(jīng)濟損失,均應(yīng)承擔相應(yīng)的賠償責任.違約方因其違約行為或因已方不當行為侵害了教育項目的學生合法權(quán)益,或社會相關(guān)方面合法權(quán)益,或違反了中國法律及政府法令,均應(yīng)獨自承擔相應(yīng)的法律責任.違約方因其違約行為或因已方不當行為引發(fā)與第三方糾紛,致使無責任的簽約方被要求承擔連帶賠償責任時,無責任的簽約方有權(quán)要求有違約責任或?qū)嵤┎划斝袨榈暮灱s方賠償相應(yīng)的損失.ⅸ.establishment of breach responsibilities and indemnifications

1.it shall be regarded as breach if any side cannot implement the agreement and perform its own duties or responsibilities in accordance with the time, manner and requirements stipulated.2.if behaviors of the breach side cause the objective of the agreement not being realized or cause economic loss for the counterpart, the breach side shall bear the relevant compensation duties.3.if the breach behavior or improper behavior of the breach side violates the legal rights or interests of the students in this education program, or the relevant legal rights or interests of related organizations in the society, or the laws or government decrees of prc, the breach side shall undertake the related legal duties independently.4.if the breach behavior or improper behavior of the breach side causes dispute with a third party and involves the counterpart into the compensation affairs, the party who has no fault shall have the right to request the breach side(or the side which has improper behaviors)to indemnify the relevant loss.十,爭議的解決
