1.1 Party B agrees to lease the Premises from Party A in accordance with the terms hereunder.The gross floor area of the Premises is [ sqm ].The Premises shall be used for residence by Party B and persons designated by Party B, and shall be used by [ ] persons.The Premises or any parts of the Premises shall not be subleased to or be used together with any third party without the prior written consent of Party A.Party B has no right to use the external walls of the building.1.1 根據本合同的條款,乙方向甲方承租的該單元,建筑面積為[ ]平方米。由乙方及其指定之使用人作為居住用途,供[ ]人長期使用。未征得甲方事先書面同意, 不得擅自將該單元全部或部分轉租、轉讓給第三方或與第三方共同使用。乙方無權使用該棟大廈外墻的墻壁。

3.1 Party B shall pay the monthly rent in the amount of RMB [ ] per month, inclusive of property management fee, heating, but exclusive of charges for tax invoice,water, electricity, gas, municipal telephone call, ADSL and Satellite TV & cable fee, IP long distance call, and the use fees of the other specific facilities provided for use by Party B.3.1 乙方須向甲方繳納租金, 租金為人民幣[ ]元整/月, 含物業管理費、供暖費, 但不含發票稅費、水費、電費、煤氣費、市話費、電話及寬帶開通費、衛星電視開通和收視費、寬帶網絡使用費、以及供乙方使用的其他專門設施的使用費。
3.2 Payment method: Party B shall pre-pay the □monthly /□quarterly /□half-yearly /□yearly rental in Renminbi to the Renminbi account designated by Party A.The first installment of rent shall be paid upon the date on which this Contract is signed by the parties, and the due date for subsequent installments of the rent shall be postponed accordingly on a □monthly /□quarterly /□half-yearly /□yearly basis, provided that Party B shall pay the rent [ ] days prior to the due date for each installment of rent.If Party B is not able to pay the rent on time due to business trip or other reasons, it shall notify Party A in advance and the payment of rent may be postponed for five working days from the due date for such installment of rent, failing which Party B shall pay Party A a penalty equal to 5‰ of the outstanding rent per day of delay.If the late payment exceeds fifteen days, Party A is entitled to terminate this Contract.3.3 付款方式:乙方應按 □月/□季/□半年/□年 預先以人民幣交付租金至甲方指定的人民幣帳戶。首期租金在雙方簽署本合同時交付,以后每期租金到期日按□月/□季/□半年/□年順延,但乙方應在每期租金到期日[ ]日前交付租金。如果乙方因出差或其他原因不能及時交付租金,乙方應提前通知甲方,此租金交付可從當期租金到期日起推后五個工作日。否則乙方應向甲方交滯納金。每延遲一天,乙方支付甲方滯納金為當期應付租金的5‰,若逾期十五天,甲方有權終止合同。4.Deposit 第四條 租賃保證金
4.1 The parties agree upon execution of this Contract that, Party B shall pay to Party A a deposit equivalent to one months rent(totaling RMB [ ])before [ ] as the deposit for Party B’s good faith performance of all terms and conditions of this Contract(hereinafter referred to as the “Deposit”).Party A shall issue receipt for such payment to Party B after deposit receiving.4.1 雙方在簽署本合同時同意,乙方在 年 月 日前將相當于一個月租金總計人民幣[ ]元整的租賃保證金支付給甲方,作為乙方忠實履行本合同各項條款規定和條件的保證金。以下簡稱“保證金”。甲方須在收到此款項后,向乙方提供收據。4.2 If Party B breaches any terms and conditions hereunder(including but not limited to provisions regarding rental payment)and consequently causes actual loss to Party A(except for normal wear and tear of decoration, of furniture and of electronic applicances), Party B shall compensate for such loss.During the term of this Contract, Party B has no right to deduct rental and other fees payable under this Contract from the Deposit, and has no right to transfer the Deposit to a third party or to use the Deposit as security for debts.4.2 如乙方違反本合同任何條款規定或條件(其中包括但不限于交付租金的規定)給甲方造成實際損失的(其中對裝修、家具、電器的自然磨損除外),由乙方負責賠償。在合同期內,乙方不得將保證金沖抵租金和本合同規定的各項費用,不得將保證金作為轉讓第三者和用于債務的擔保。
4.3 Party A shall refund the Deposit without interests within five days provided that Party B has fully performed the terms and conditions of this Contract and has handed over the Premises and paid all outstanding fees.4.3 在乙方全部履行本合同各項條款、規定和條件的情況下,并交還該單元、交清所欠費用后,甲方在五日內退還保證金(不計利息)。1.Late Payment Interests 2.延期利息
If Party B fails to pay the Deposit or other fees payable under this Contract, or Party A has paid for Party B such other fees payable by Party, Party B shall pay late payment interests for the period of late payment at the rate of 0.5‰ of the outstanding amount per day.如乙方未能按照本合同規定支付應付的保證金和其他款項給甲方,或甲方為乙方墊付應由乙方支付的其他款項,乙方應付遲延支付期間的遲延利息,該遲延利息應按日息為所欠款項的0.5‰計算。1.Damage and Repair 2.損壞和維修
6.1 Party A shall ensure that the construction structure and the equipment and facility of the Premises conform to the safety conditions concerning construction, fire prevention and others, and the Premises has not any danger to the personal safety.Party B shall ensure that the relevant laws and regulations of national or Beijing government shall be observed during use of the Premises.6.1甲方應保證房屋的建筑結構和設備設施符合建筑、消防等方面的安全條件,不得危及人身安全;乙方應保證在使用過程中遵守國家、北京市的相關法律法規規定。?
6.2 During the Term, both parties shall ensure that the Premises and its contents, equipment and facilities are in usable and safe condition: 6.2租賃期內,甲乙雙方應共同保障房屋及其附屬物品、設備設施處于適用和安全的狀態: 6.2.1Regarding normal wear and tear of the Premises and its contents, equipment and facilities, Party B shall promptly notify Party A for repair and maintenance.Party A shall commence repair and maintenance within 7 days after receipt of Party B’s notice.If Party A failed to do so, Party B can repair and maintain for Party A and, to the extent lawful and reasonable, the expenses shall be borne by Party A.6.2.1對于房屋及其附屬物品、設備設施因自然屬性或合理使用而導致的損耗,乙方應及時通知甲方修復。甲方應在接到乙方通知后的7日內進行維修。逾期不維修的,乙方可代為維修,費用由甲方在合理合法范圍內承擔。
6.2.2 If the Premises and its contents, equipment and facilities are damaged due to Party B’s improper keeping or unreasonable usage, Party B shall be responsible for repair and maintenance and shall be liable for compensation.6.2.2因乙方保管不當或不合理使用,致使房屋及其附屬物品、設備設施發生損壞或故障的,乙方應負責維修或承擔賠償責任。
1.Rights and Obligations of Party A 2.甲方權利及義務
7.1 Party A hereby guarantees that Party A is the legal owner and has the right to lawfully lease the Premises.Otherwise, Party A shall bear the legal liability arising therefrom in full.7.1 甲方保證是項目合法的擁有者,其有權合法出租該單元,否則產生的法律責任均由甲方承擔。7.2 Party A hereby guarantees that the Premises is housing that has been developed, constructed and completed legally.The Premises has not been sold on the signature date of this Contract, and it does not exist other legal impediments which may affect the performance of this Contract.7.2 甲方保證該單元是合法開發建設完成的房屋,本合同簽訂時該單元尚未對外銷售,也不存在影響本合同履行的其它法律障礙。
7.3Party A hereby guarantees that Party B shall have the right to occupy and enjoy the Premises peacefully throughout the Term without any interruption by Party A or its agents, provided that Party B has paid the rent and other fees hereunder and complies with the terms and conditions to be performed by Party B under this Contract.7.3 甲方保證在租期內,乙方將有權平靜地占有和享用該單元,不會受到甲方或甲方代理人的干擾,但前提是乙方支付了本合同規定的租金和其它費用,并遵守和履行了本合同規定的應由乙方遵守和履行的條款。7.4 Party A has the right to terminate this Contract unilaterally upon occurrence of any of the following to Party B: 7.4 乙方出現下列任何情況時, 甲方有權單方解除本合同。
7.4.1 violates the laws or the regulations of PRC or uses the Premises for illegal business operations;7.4.1 違反中華人民共和國的法律/法規, 利用該單元進行不法經營活動; 7.4.2 changes the uses of the Premises without consent of Party A;7.4.2 未經甲方同意擅自更改該單元的用途; 7.4.3 fails to pay the rent pursuant to relevant provisions hereunder;or 7.4.3 未按本合同的有關條款繳納租金;或
7.4.4 sub-lets the Premises or parts of the Premises to others, transfers the Premises to others or uses the Premises jointly with a third party without the consent of Party A.7.4.4未征得甲方同意, 擅自將該單元或該單元的部分轉租、轉讓給第三方或與第三方共同使用。7.5 Party B agrees to waive its right of first refusal in respect of the Premises voluntarily and unconditionally during the Term.During the Term, Party A shall be free to transfer the Premises to any third party, provided that such transfer shall not prejudice Party B’s rights to occupy, control and use the Premises in accordance with the terms and conditions of this Contract.If Party A transfers the Premises to a third party, such third party shall continue to enjoy and bear all rights and obligations of Party A under this Contract.Party B undertakes to cooperate in full with Party A in handling the relevant formalities to sell and hand-over of the Premises.Party B’s failure to cooperate for the hand-over shall not affect the assumption of the rights and obligations of this Contract by the new owner.Party B shall pay rent to the new owner in accordance with this Contract after receipt of Party A’s notice, otherwise Party B shall bear the liability for breach of contract and late payment under this Contract.7.5在租期內,乙方自愿無條件放棄該單元的優先購買權。在租期內,甲方有權自由轉讓該單元予任何第三方,但是該轉讓不得影響乙方根據本合同的條款和條件占有、控制和享用該單元的權利。若甲方將該單元出售予第三方,第三方將繼續享有和承擔甲方在本合同項下的所有權利和義務。乙方承諾充分配合甲方辦理該單元的出售及交接手續,不影響新業主開始繼受出租方在本合同項下的權利義務。乙方須在接到甲方通知之日起按本合同向新業主支付租金,否則須承擔本合同項下的逾期付款違約責任。1.Rights and Obligations of Party B 2.乙方權利及義務
8.1 Party B is entitled to occupy and use the Premises reasonably and legally during the Term provided that it strictly complies with the terms and conditions of this Contract.8.1 如果乙方嚴格遵守本合同的各項條款, 則乙方有權在租賃期內合理、合法占用和使用該單元。8.2 Party B shall pay rent and the expenses of electricity, water, gas, telephone, ID long distance call incurred at the Premises and the service fee of other specific facilities provided for Party B on time(other than the written agreement between the parties).8.3 乙方須按時繳付租金以及該單元的電費、水費、煤氣費、電話費、IP主叫長話費,以及供乙方使用的其他專門設施的服務費,(甲、乙雙方另有書面約定除外)。
8.4 Party B shall keep the internal part of the Premises in clean and good condition and shall prevent damage, pollution and fire, etc.It shall have the duty to supervise his visitors and friends to protect the property of Party A or the public facility of this compound.If there is any damage caused to Party A, other owners or lessees of this compound or the public facility of compound due to Party B’s reason, Party B shall compensate for the losses arising therefrom.8.4 乙方應負責該單元內部的整潔完好,防止破壞、污染、火災等事故,并有責任監督來訪的客人及朋友愛護甲方的物品,以及小區的公共設施。如由于乙方的原因,給甲方其他業主和租戶或該小區的公共設施造成損害時,乙方必須賠償損失。1.Termination of Contract 2.合同的終止
9.1 Upon occurrence of any of the event prescribed under Article 8.4, Party A is entitled to unilaterally terminate this Contract without the need to issue any notice requesting for rectification of the breach.9.1 第8.4條所規定的任何情形發生時,甲方有權單方直接終止本合同而無需發出糾正通知。
9.2 The parties may terminate this Contract early by reaching a written agreement through consultation.9.2 甲、乙雙方經協商,可達成書面協議提前終止本合同。
9.3 If either party cannot perform this Contract due to the occurrence of any force majeure events(such as earthquake, storm, hail and fire)which cannot be predicted or the occurrence and consequence of which cannot be avoided, the party who experience the force majeure event will be exempted from liability for failure to perform relevant obligations of this Contract(save for payment obligations).9.3 因發生地震、暴雨、冰雹、火災等其他不能預見的,其發生和后果不能防止或避免的不可抗力致使任何一方不能履行本合同時,遭受不可抗力的一方可免除未能履行本合同項下相關義務的責任(付款義務除外)。
1.Penalty for Breach 2.違約責任
10.1 Any party who breaches this Contract shall compensate for any economic loss caused to the other party due to the breach.If the economic loss is due to default of both parties, both parties shall bear respective liability for breach in accordance with the circumstance.10.1任何一方有違反本合同的行為,應就違約行為給對方造成的經濟損失進行賠償。如果屬于雙方的過失,應根據情況,由雙方分別承擔違約責任。
10.2 If Party B fails to perform the provisions of Article 9.1 hereof, or Party B fails to perform other provisions of this Contract and fails to rectify the breach after 14 days of receiving Party A’s written notice requesting for rectification of the breach, Party A has the right to terminate this Contract unilaterally.This Contract shall be automatically terminated from the date on which the termination notice is delivered.Upon termination of this Contract, the Deposit shall not be refunded to Party B and Party A shall have the right to claim for further losses or outstanding fees(if any), and Party B shall vacate and return the Premises to Party A within three days from the date of delivery of the termination notice.10.2 如乙方違反本合同第9.1條約定;或乙方違反本合同其它條款并接到甲方書面糾正通知后十四天內不予糾正時,甲方有權單方解除本合同,合同自解除通知送達之日起自動解除。合同解除時,保證金不予退還乙方;若有其它損失或未付費用,甲方仍有權追索。乙方應在解除通知送達之日起三日內遷出并交回該單元于甲方。1.Renewal of Lease 2.續租 Where Party B has fully performed the terms, provisions and regulations of this Contract during the term of this Contract, Party B has the priority right to extend the Term under this Contract provided that it has given written application for extension no later than 30 days before expiry of the Term and that the parties have agreed on the conditions of the extension(including rent and term of lease)and executed the contract for the extension of the lease by no later than 15 days prior to the expiration of the Term, failing which, Party A may lease the Premises to others.Party A may show the Premises to potential tenants by giving reasonable notice to Party B within 30 days prior to the expiration of the Term and Party B shall use its best efforts to cooperate with Party A.在本合同有效期內,乙方全部履行本合同各項條款、規定和條件的情況下,乙方有優先要求將本合同租期延長的權利,但乙方須于不遲于租期期滿前三十天提出書面續租要求,并由雙方在租期期滿前十五天前就續租的條件(包括租金和租賃期)達成一致,簽署續租合同,否則甲方可另行出租。甲方可在租期期滿前三十天內,在給予乙方合理通知后將該單元向未來的租戶展示,乙方應盡量配合甲方。1.Early Termination 2.提前解約
The parties shall not terminate this Contract except for any legal reason such as force majeure under Article 9.3.After the commencing date of the Term under this Contract, if Party A terminates this Contract unilaterally, Party A shall return the [ double ] amount of the Deposit in accordance with Article 4.1.If Party B wishes to terminate this Contract early, Party A will hold the [ total ]Deposit and this Contract shall be automatically terminated.雙方除9.3款不可抗力等法定理由外,不得提前解約。本合同所定租期開始后,若甲方單方終止本合同,則甲方需向乙方[ 雙倍 ]的返還其根據第 4.1條的規定收取的保證金;如乙方要求提前解約,甲方扣留乙方已付保證金的[ 全部 ],則本合同自動終止。1.Notice 2.通知
Any notices sent by one party to the other party under this Contract shall be made in Chinese and shall be delivered by hand, by registered air-mail(with postage pre-paid), express delivery service commonly recognized or by fax to the address stipulated in this Contract.A notice shall be deemed to have been delivered: 任何一方根據本合同發出的通知或其他聯系應以中文書寫并可通過人工送遞或航空掛號郵寄(預付郵資)、公認的快遞服務或以傳真發送至另一方的合同約定地址。通知視為有效送達的日期按以下方法予以確定: 1)if sent by hand, on the date on which the documents is delivered to the designated address;1)人工投遞的通知,視作于人工投遞之日送達;
2)if sent by registered air-mail, on the tenth(10th)day after the notice is mailed(as evidence by stamp chop);2)航空掛號郵寄的通知,視為于投郵日(郵戳日期)后第十(10)天送達;
3)if sent by express delivery, on the fifth(5th)day after the notice is sent by express delivery service commonly recognized;3)快遞送達的通知,視為公認的快遞服務機構發出后第五(5)天送達;
4)if sent by fax, on the first(1st)working day after the notice is sent.4)傳真發送的通知,應視作于發送日后第一(1)個營業日送達。1.Dispute Resolution 2.爭議的解決
14.1 The formation, validity, interpretation, performance and dispute settlement of this Contract shall be governed by the laws of PRC.14.1 本合同的訂立、效力、解釋、履行和爭議的解決,均受中華人民共和國法律的管轄。
14.2 The parties shall try their best efforts to settle any dispute under this Contract through friendly consultation or mediation, failing which, either party may submit the dispute to Beijing Arbitration Committee for arbitration.14.2 甲、乙雙方就本合同發生爭議時, 應盡量通過友好協商方式或通過調解解決。若經協商或調解不能達成一致協議時, 任何一方均可在北京仲裁委員會提出仲裁。1.Miscellaneous 2.附 則
16.1The Contract is written in both English and Chinese.It shall be signed in duplicates, with each party holding one with the same legal validity.16.1本合同一式兩份,以中英文寫成。甲乙雙方各執一份,具有同等法律效力。
16.2 The Chinese language version shall prevail in case of any discrepancy between the Chinese language version and the English language version.16.2 在中英文表述有不一致時,以中文為準。

3.2其它費用
(1)、乙方若需使用電話、傳真、寬帶、有線電視及其他甲方已預留接口之設施,有關接通或安裝使用等費用由乙方自行承擔。
(2)、租賃期內乙方若需租用停車泊位,則由乙方按照甲方管理有關規定辦理。
(3)、租金中未含冬季取暖費,冬季取暖費由乙方按照供熱機構之規定,繳納給甲方。
(4)、租賃期內,乙方同意向甲方交付一切與租賃房屋有關其他費,包括水費、電費、衛生費。該等費用的標準按照收取該等費用的有關機構確定的標準執行。3.3保險責任承擔
所有權不屬于乙方的房屋和設備、設施,其保險責任歸所有權人。所有權屬于乙方的設備、設施和經營責任,其保險責任歸乙方。
4、房屋用途
4.1租賃房屋僅限作為乙方合法經營場所之用。乙方須嚴格遵守中國制定的有關租賃房屋及乙方在租賃房屋內進行其業務的政策和法規。除非事先得到甲方的書面同意,否則乙方不得擅自變更租賃房屋的用途。
4.2甲方有義務保證乙方在本合同存續期間,按本合同確定的使用用途,正常使用租賃房屋和相應設施。4、3合同期間,經通知甲方,乙方有權在合法的前提下以其認為合適的規格、形式等懸掛(或不懸掛)其名稱標牌、商標標志或服務標志。
5、租賃房屋的裝修及維護
5.1租賃期內,租賃房屋的裝修費由乙方自行承擔。合同期內,乙方投資于租賃房屋或為使租賃房屋具備、維持正常使用功能及滿足商業經營特殊需要而投入的裝修、設備及其他附屬物、附著物之所有權屬于乙方。合同解除后,能移動并不破壞房屋外觀及內部結構的部分由乙方拆起。
5.2乙方的裝修方案應經過甲方書面同意后,方可按照有關規定實施。
5.3乙方對租賃房屋的任何改建均需得到甲方的書面許可。5.4租賃期間內,甲方負責租賃房屋的定期檢查和維修并承擔費用,包括自然損壞造成的維修責任。
5.5甲方在暫?;虿粫和W赓U房屋內任何設施的使用的情況下進入租賃房屋進行維修,但應事先征得乙方同意。緊急情況下,甲方可在沒有任何通知的情況下,為了保安、消防和搶修租賃房屋,甲方和其授權人有權不經乙方損失,否則甲方負責賠償,法定緊急避險情況除外。
6、甲方的陳述與保證
6.1保證其作為本合同簽約人依法成立、依法存續,具備簽訂本合同的主體資格。
6.2保證對本合同租賃房屋擁有合法的所有權和以出租方式進行處置的權利,不存在任何形式的權利瑕疵。
6.3保證租賃房屋具備出租的合法條件,并保證該合法條件在合同期內持續存在。
6.4根據乙方要求及時提供與本合同履行有關的資料和法律文件。
7.乙方的陳述與保證
7.1及時、足額地繳付本合同規定的租金及相關費用及其他一切費用。
7.2未經甲方同意,不得將租賃房屋內的設備進行改造、增設或拆除,改變房屋內結構不得改變租賃房屋的用途。7.3保持租賃房屋內部清潔完好,乙方對所租房間的損害,以及對乙方或其客人造成的公用地段的損害,甲方修復時的費用由乙方如數繳付。
7.4在暴風大風等惡劣天氣來臨之前采取一切適當措施,保護租賃房屋的內部不受損害。
7.5如乙方不履行或違反本合同的任何條款、規定或條件,而使租賃房屋遭受損失,被罰款或造成甲方的其他支出,在甲方開出單據的五天內,乙方應如數補償或賠償甲方。7.6不得在租賃房屋存放,也不允許他人存放武器、彈藥、硝石、火藥、火油或其他易爆易燃違法危險物品。7.7不得在租賃房屋內進行,允許、默認任何可能對甲方造成損害的活動。
7.8不得在租賃房屋內進行或允許他人進行有悖社會或行業道德的活動。
7.9乙方在經營期間必須投保。7.10未經甲方書面同意乙方不得轉租。
8.合同終止與解除
8.1本合同于有效期滿之日終止。
8.2依本合同規定或法定條件成就時,從合同終止或者解除之日起一周內,乙方應騰空房屋并完整的向甲方交回房屋租賃房屋的鑰匙,如違此約定甲方有權處置房內任何物品。8.3租賃期內,如因不可抗力(且不可抗力延續兩個月),法律政策變化以及政府城市規劃等原因致使合同無法履行,則本合同可以終止。但受上述事件影響的一方應當在上述事件發生之日起15日內通知另一方,甲、乙雙方互不承擔任何法律責任。
8.4因甲、乙雙方任何一方違約而解除合同,如果違約方在收到守約方一書面糾正通知后15日內未進行任何補救措施或與守約方達成新的協商安排,則守約方可以隨時向違約方發出解約的通知,解約通知自送達違約方之日起生效。守約方有權向違約方追討由此引致的全部損失及開支。
9、通知與聯絡9、1雙方各指定本合同文首列明的聯系人負責收發相關通知、就本合同履行相關事宜傳遞信息并進行必要的協調。9.2如果本合同聯絡人發生變更,變更一方應及時將變更后的人員及聯系方式書面通知對方。任何一方在未收到前述人員變更通知前按照原來的聯絡人及聯系方式發出的相關通知均為有效通知。
9.3除本合同對有關通知事項已有約定外,任何一方發生法定代表人、名稱、住所、企業組織形式等的變更,或發生合并、分立、并購、破產,或發生租賃房屋查封、扣押、監管、變賣、拍賣及其他可能影響本合同履行的任何事項,均應本著誠實信用的原則及時通知對方,履行法定通知義務。
10.征用及不可抗力
10.1由于政府征用土地因素導致本合同被迫終止時,本合同則自政府征用之日起終止執行,但乙方應支付自起租日始至政府征用日止的租金及相關費用。若部分所租賃房屋被政府租用,則甲、乙雙方均有權在一個月內以書面形式通知對方取消或終止本合同。
10.2不可抗力是指嚴重自然災害及其他本合同雙方在訂立本合同時人力不能預見,其發生或后果不能避免且不能克服的事件。在本合同履行過程中,由于發生戰爭、洪水、臺風、地震或其他人力不能控制等不可抗力事件,致使任何一方無法履約后發生不可抗力的,遲延履約一方不能免除責任。遭受不可抗力一方在不可抗力事件發生后的15天內,應向另一方出具經不可抗力發生地公證機構公證的有關權威部門的證明。不可抗力事件消除后,由雙方協商確定是否恢復對本合同的繼續履行。發生不可抗力,對于事故前雙方發生的經濟上的義務不受影響。
11.違約責任
11.1甲、乙雙方任何一方有違反本合同的行為,應就違約行為給對方造成的進行承擔賠償責任。如屬雙方的過失,應根據情況,由甲、乙雙方分別承擔違約責任。
11.2如乙方未能按本合同規定支付租金乙方責任如下:(1)從違約之日起,房租加價10%,直至乙方搬出日為止。(2)從違約之日起,甲方可以單方解除本合同或變更本合同。
12.爭議的解決
12.1本合同之訂立、效力、解釋、履行及爭議的解決均適用中華人民共和國法律。如甲、乙雙方中任何一方有違約行為,另一方可以書面形式通知其糾正,并進行友好協商,解決違約問題。
12.2協商不成的,任何一方有權向租賃房屋所在地有管轄權的中國人民法院提起訴訟。
13.附則:
13.1合同有效期限內,如任何一方由于改制、合并、分立等發生變更,則由變更后的主體承繼該方在本合同項下之各項權利義務。13.2本合同的任何修改均應經雙方同意,并制作書面協議經甲方和乙方雙方法定代表人或授權的委托代理人簽字并加蓋公章后方為有效。
13.3本合同未盡事宜,甲、乙雙方可簽訂補充協議,補充協議與本合同具有同等法律效力。如該等補充協議與本合同有不一致之處,以該等補充協議有關規定為準。
13.4任何一方對另一方違反合同的態度或疏忽都不應視為其放棄權利。任何一方放棄本合同各項條款規定的任何權利,只能以該方書面簽字為準。
13.5本合同及附件正本一式
