working drawing stage is 70,000 m2(excluding the SOHO Area, which is starting from the

Notes: The design documents shall be prepared in compliance with the requirements of design documents for construction projects>(issued by Ministry of Construction dated in April, 2003).第五條 設(shè)計費(fèi)用及支付方法 Article 5.Design fee and the mode of payment: 5.1 甲方應(yīng)支付本合同項目的設(shè)計費(fèi)為。 (含所有乙方應(yīng)繳納的稅費(fèi)及其它政府規(guī)定應(yīng)由乙方繳納的款項) 5.1 Party A shall pay the design fee of RMB Responsibilities of Party A: 6.1.1 甲方按本合同第三條規(guī)定的內(nèi)容,在規(guī)定的時間內(nèi)向乙 方提交資料及文件,并對其完整性、正確性及時限負(fù)責(zé)。 甲方提交上述資料及文件超過規(guī)定期限15 天以內(nèi),乙方按 本合同第四條規(guī)定交付設(shè)計文件時間順延;超過規(guī)定期限15 天以上時,乙方有權(quán)重新確定提交設(shè)計文件的時間。 6.1.1 According to the contents stated in Article 3 of this Contract, Party A shall submit materials and documents to Party B within the stipulated time as described and shall be responsible for the completeness , correctness and validity of such materials and documents.In the event that Party A has delayed the issuance of such materials and documents, but not exceeding 15 days from the stipulated time, Party B could consequently postpone the submittal of the design documents as stipulated in Article 4 of this Contract.In case that Party A has delayed the issuance of materials and documents for more than 15 days exceeding the stipulated time limit, Party B shall have the right to determine the new date for submitting the design documents.6.1.2 甲方變更委托設(shè)計項目、規(guī)模、條件,或?qū)μ峤毁Y料作重 大修改,以致造成乙方設(shè)計需返工時,雙方除需另行協(xié)商簽 訂補(bǔ)充合同、重新明確有關(guān)條款外,甲方應(yīng)按乙方所耗工作 量向乙方支付返工費(fèi)。 6.1.2 If Party A alters greatly the design project, scale, conditions which they have already entrusted to Party B, or the materials provided by Party A is wrong/incomplete or Party A makes major alterations to the approved design and the information given, as a result of which, has caused Party B to redo the design work, or has generated un-necessary abortive works, both parties shall enter into negotiation and to draw up a supplementary contract.Party A shall compensate Party B for the additional work load in accordance to the new agreement.6.1.3 在合同履行期間,甲方單方提出解除合同的,乙方已開始設(shè) 計工作的,甲方應(yīng)根據(jù)乙方已進(jìn)行的實(shí)際工作量支付設(shè)計費(fèi)。 6.1.3 Should Party A terminate the Contract during the contractual period, Party A shall pay Party B according to the actual work done.6.1.4 甲方在收到乙方付款通知書后30 天內(nèi),按本合同第五條規(guī) 定的金額和時間向乙方支付設(shè)計費(fèi)用; 在收到付款通知書的 60 天仍未支付,每逾期支付一天,應(yīng)承擔(dān)應(yīng)支付金額千分 之一的逾期違約金。逾期超過30 天以上時,乙方有權(quán)暫停 履行下階段工作,并書面通知甲方。甲方上級對設(shè)計文件不 審批或本合同項目停緩建,甲方均應(yīng)支付應(yīng)付的設(shè)計費(fèi)。 6.1.4.Party A shall pay the design fee to Party B within Thirty(30)days upon receiving the Notice of Payment from Party A according to the amount and the time stipulated in Article 5.In case that such payment is delayed for Sixty(60)days upon receiving the Notice of Payment, then a penalty of 0.1% of the due amount of payment on a daily basis shall be paid by Party A.In case that such payment is delayed for a period over 30 days, Party B shall have the right to suspend their design work for the next phase and shall inform Party A in writing.In case that the management of Party A does not approve the design documents or the construction of the project of this Contract is stopped or..postponed, Party A shall nevertheless pay the due design fee.6.1.5 甲方要求乙方比合同規(guī)定時間提前提交設(shè)計文件時,甲方 應(yīng)支付趕工費(fèi)。 6.1.5 If Party A requests Party B to submit the design documents ahead of the stipulated time as mentioned in the Contract, Party A shall make additional payment for fast and immediate service.6.1.6 為乙方派往現(xiàn)場的工作人員提供工作方便條件。 6.1.6 Party A shall provide site office and all relevant office stationary for Party B’s personnel who are being sent to work site during the construction stage.6.1.7 甲方應(yīng)保護(hù)乙方的設(shè)計版權(quán),未經(jīng)乙方同意,甲方對乙方 交付的設(shè)計文件不得復(fù)制或向第三方轉(zhuǎn)讓或用于本合同外的項目,如發(fā)生以上情況,乙方有權(quán)索賠。 6.1.7 Party A shall protect the design copyright of Party B.Without Party B’s consent, Party A shall not duplicate of transfer to a third party or use the design documents for other projects.If the above-mentioned is happened, Party B shall have the right to claim.6.2 乙方責(zé)任: 6.2 Responsibilities of Party B: 6.2.1 乙方按本合同第四條規(guī)定的內(nèi)容、時間及份數(shù)向甲方交付設(shè) 計文件。 6.2.1 Party B shall submit to Party A the required design documents in right content, time and copies according to the clause of Article 4.6.2.2 乙方對設(shè)計文件出現(xiàn)的遺漏或錯誤應(yīng)在施工前負(fù)責(zé)修改或 補(bǔ)充。由于乙方設(shè)計錯誤造成工程質(zhì)量事故損失,乙方除負(fù) 責(zé)采取補(bǔ)救措施外,應(yīng)免收損失部分的設(shè)計費(fèi),并根據(jù)損失 程度向甲方償付賠償金,賠償金額根據(jù)乙方與保險公司簽訂的設(shè)計責(zé)任保險合同計算。 6.2.2 Party B shall be responsible for correcting any omission or mistake in their design documents before the construction.If the design mistake made by Party B has caused l osses to Party A, Party B shall not only be responsible for taking the remedial measures, but also shall remit the design fee for the part of such losses and shall pay compensation to Party A according to the degree of such loss.The amount of the compensation shall be determined by party B and his insurance company and to be in accordance to the professional indemnity insurance coverage.6.2.3 由于乙方自身原因,延誤了按本合同第四條規(guī)定的設(shè)計文件 交付時間,每延誤一天,應(yīng)減收該項目應(yīng)收設(shè)計費(fèi)的千分之一。 6.2.3 If it is Party B’s own fault to have delayed the submission of the design documents according to the stipulated time as described in Article 4, Party B shall deduct 0.1% of the due amount of the design fee on a daily basis for the delay period.6.2.4 合同生效后,乙方單方提出解除合同的,乙方應(yīng)當(dāng)按照有 關(guān)規(guī)定賠償甲方損失。 6.2.4 After the Contract comes into forces, if Party B proposes to terminate the Contract,Party B shall compensate Party A’s losses according to the relevant regulations.6.2.5 乙方交付設(shè)計文件后,應(yīng)參加甲方及相關(guān)職能部門的設(shè)計 審查會議及根據(jù)審查結(jié)論負(fù)責(zé)不超出原定計劃任務(wù)書范圍內(nèi)的必要調(diào)整補(bǔ)充;負(fù)責(zé)向甲方及施工單位進(jìn)行設(shè)計交底,處 理有關(guān)的設(shè)計問題和參加竣工驗收。乙方應(yīng)派相關(guān)人員參加 施工期間的例會。乙方應(yīng)優(yōu)化設(shè)計以幫助業(yè)主將造價控制在預(yù)算內(nèi)。 6.2.5 After the design documents has been submitted, Party B shall also attend the approval meetings held by Party A and the relevant competent authorities and shall be responsible for making the necessary adjustments, revisions and supplements which does not exceed the scope of the documents of design requirements as originally defined based on the comments of such meetings.Party B shall be responsible for explaining design details to Party A and the main contractor;and shall be responsible for solving all the relevant design problems and to attend the handing over meeting.Party B shall send the relevant personnel to participate in the regular site meetings during the construction.Party B should optimize the design to assist Party A in meeting the project budget.6.2.6 乙方不得向第三方擴(kuò)散、泄漏、轉(zhuǎn)讓甲方提交的產(chǎn)品圖紙 技術(shù)經(jīng)濟(jì)資料。如發(fā)生以上情況,甲方有權(quán)向乙方索賠。 6.2.6 Party B is not allowed to disclose and transfer to a third party any product drawing,technical and economic data etc.which are provided by Party A.In case that the above-mentioned is happened, Party A shall have the right to claim.6.2.7 未經(jīng)甲方同意乙方不得將本項目的設(shè)計工作全部或部分轉(zhuǎn) 包給第三者。 6.2.7 Party B is not allowed to subcontract the design work completely or partially to any third party without the permission of Party A.第七條 其他約定 Article 7 Other provisions 7.1 甲方要求乙方派專人長期駐施工現(xiàn)場進(jìn)行配合與解決有關(guān)問 題時,雙方應(yīng)另行簽訂技術(shù)咨詢服務(wù)合同。 7.1 When Party A requires Party B to send site personnel to the construction site for a long period, the two parties shall negotiate for these additional work and sign a supplementary service Contract.7.2 乙方為本合同項目所采用的國家或地方標(biāo)準(zhǔn)圖,由甲方自費(fèi) 向有關(guān)出版部門購買。 7.2 Party A shall pay for all the relevant publications and standard collections of drawings issued by the state and local government which are needed by Party B for the purpose of designing the project.7.3 本合同第四條規(guī)定乙方交付的設(shè)計文件份數(shù)超過本合同第四 條規(guī)定的份數(shù),乙方另收工本費(fèi)。 7.3 If Party B is requested to submit design documents , of which, the number of copies are more than those stipulated in Article 4 of this Contract, Party A shall pay for those additional copies.7.4 本工程項目中,建筑材料、設(shè)備的加工訂貨,甲方需要乙方設(shè) 計人員配合時,所需費(fèi)用由甲方承擔(dān)。 7.4 If Party A requires Party B to provide personnel to assist them for procurement purposes, such as the procurement of building material, equipments etcs;the expenses needed shall be borne by Party A.7.5 甲方委托乙方承擔(dān)本合同內(nèi)容之外的工作服務(wù),另行支付費(fèi) 用。 7.5 If Party A entrusts Party B to undertake those work and services which are beyond this Contract, Party A shall pay additional fee.7.6 由于不可抗拒因素致使合同無法履行時, 雙方應(yīng)及時協(xié)商解決。 7.6 When this Contract can not be executed because of the unforeseeable natural forces, the two parties shall timely negotiate to solve the problem.7.7 本建設(shè)工程設(shè)計合同在履行過程中發(fā)生糾紛,雙方應(yīng)及時協(xié)商 解決。協(xié)商不成時,雙方同意由上海市仲裁委員會仲裁。 7.7 Both parties shall timely discuss each other for the settlement of any dispute arising during the execution of this Contract.In case that such discussion fails, both parties have agreed appealing to Shanghai Municipal Arbitration Commission can be accepted.7.8 甲方聘請 為甲方的顧問,協(xié)助甲 方進(jìn)行設(shè)計管理和建筑設(shè)計咨詢。費(fèi)用由甲方另行支付。 7.8 Party A has engaged to act as Party A’s consultants to assist Party A to provide the design management and design consultation services.The fee will be paid by Party A directly and separately.7.9 本合同未盡事宜,雙方可簽訂補(bǔ)充協(xié)議,補(bǔ)充協(xié)議與本合同 具有同等效力。 7.9 Supplementary agreement could be made between the two parties in case that any additional clause shall be added.The supplementary agreement shall have the same effect and power as this Contract.7.10 本合同一式八份,甲執(zhí)四份,乙執(zhí)三份,政府部門一份。 7.10 This Contract shall be made in 8 copies.Party A shall hold 4 copies.Party B shall hold 3 copies.The government authority department shall hold one copy.7.11 本合同以中英對照書寫,如有矛盾,應(yīng)以中文文本為準(zhǔn)。 7.11 This Contract is prepared in both Chinese and English languages, in the event of conflicts in any of the provisions between the two versions;provisions specified in the Chinese language version shall take precedence.7.12 本合同雙方簽章后,在30 日內(nèi)報項目所在地建設(shè)行政主管 部門備案。雙方認(rèn)為必要時,到項目所在地工商行政管理部 門簽證。雙方履行完合同規(guī)定的義務(wù)后,本合同即行終止。 7.12 This Contract, within 30 days after it has been signed and stamped by both parties, shall be submitted to the local government authority for endorsement.When it is considered necessary, both parties could send this Contract to the local industrial and commercial administration departments for supervision services are to be provided.“工程” 是指實(shí)施委托人委托監(jiān)理人監(jiān)理的工程。 (2)“client” means the party whois responsible for the direct investment and who employs the supervisor, andlegal successors to the client.“委托人”是指承擔(dān)直接投資責(zé)任和委托監(jiān)理人的一方,以及其合法繼承人。 (3)“supervisor” means the party whois employed by the client to perform supervision services and assumesupervision liabilities, and legal successors to the supervisor.“監(jiān)理人”是指受委托人委托承擔(dān)監(jiān)理業(yè)務(wù)和監(jiān)理責(zé)任的一方,以及其合法繼承人.(4)“supervision team”means the group of staff sent by the supervisor to carry out supervision on thesite of the project.“監(jiān)理機(jī)構(gòu)”是指監(jiān)理人派駐本工程現(xiàn)場實(shí)施監(jiān)理業(yè)務(wù)的組織.(5)“chief supervisionengineer” means the person certificated by the local authority as chief supervision engineer and designated bythe client and supervisor to be fully responsible for supervising the executionof the contract.“總監(jiān)理工程師”是指經(jīng)當(dāng)?shù)卣块T認(rèn)證為的總監(jiān)理工程師并且由委托人及監(jiān)理人指定對監(jiān)督履行本合同全權(quán)負(fù)責(zé)的人.(6)“contractor” meansthe person(s)other than the supervisor with whom the client signs contract inrelation to the construction of the project.“承包人”是指除監(jiān)理人以外,委托人就本工程的建設(shè)有關(guān)事宜簽訂合同的當(dāng)事人.(7)“normal services”means the scope of supervision work prescribed in the conditions of particular application.“正常工作”是指雙方在專用條件中約定的監(jiān)理工作的范圍.(8)“additional services”means: 1)works outside of the scope of supervision work, and added to thecontract by written agreement of the parties;2)additional works as a resultof addition to the scope of construction work or program delay on the part ofthe client or the contractor.“附加工作”是指: 1)監(jiān)理工作范圍以外,通過雙方書面協(xié)議另外增如本合同的工作;2)建設(shè)工作范圍的增加或者由于委托人或承包人原因致使進(jìn)度的延誤,而造成的附加的工作.(9)“exceptionalservices” means the works other than the normal services and theadditional services, but which are necessarily performed by the supervisor inaccordance with article 33.“額外工作”是指正常工作和附加工作以外,根據(jù)第三十三條規(guī)定監(jiān)理人需要完成的工作。 (10)“day” means the period betweenany one 0:00 a.m.and the next.“日”是指任何一個零時至第二天零時的時間段.(11)“month” means a periodof one month according to the gregorian calendar commencing with any day of themonth.“月”是指根據(jù)公歷從一個月份中任何一天開始的一個月的時間段.article2 this supervision contract shall begoverned by chinese laws, statutes, administrative regulations, anddepartmental rules & regulations, local laws, rules & regulationsspecified in the standard conditions and conditions of particular application.第二條 本建設(shè)工程委托監(jiān)理合同適用的法律是中國的法律,條例,行政法規(guī),以及標(biāo)準(zhǔn)條件及專用條件中載明的部門規(guī)章或地方法規(guī),地方規(guī)章。 article 3 the contract shall be written in both englishand chinese, both of which shall be equally binding.第三條 本合同應(yīng)以中文和英文記載,中英文應(yīng)具有同等效力。 obligations of the supervisor監(jiān)理人的義務(wù) article 4 the supervisor shall designate the supervision team andsuperintendents necessary for carrying out the supervising works;provide tothe client a name-list of the chief supervision engineer, main staff of thesupervision team and a supervision plan and perform the supervision serviceswithin the scope of work as stated in the conditions of particular application.during the execution of the contract, the supervisor shall submit supervisionreport to the client at regular interval as stated in the contract.第四條 監(jiān)理人應(yīng)派出監(jiān)理工作需要的監(jiān)理機(jī)構(gòu)及監(jiān)理人員,向委托人報送委派的總監(jiān)理工程師及其監(jiān)理機(jī)構(gòu)主要成員名單,監(jiān)理規(guī)劃,完成監(jiān)理合同專用條件中約定的監(jiān)理工程范圍內(nèi)的監(jiān)理業(yè)務(wù)。在履行本合同義務(wù)期間,應(yīng)按合同約定定期向委托人報告監(jiān)理工作。 article5 thesupervisor shall exercise reasonable care and diligence, provide advice at anappropriate level in the performance of the obligations under the contract tothe client and indemnify the lawful rights and interests of various parties.第五條 監(jiān)理人應(yīng)認(rèn)真,勤奮地工作,在履行合同義務(wù)時為委托人提供與其水平相應(yīng)的咨詢意見,公正維護(hù)各方的合法權(quán)益。 article6 any facilities and articles supplied by theclient for use by the supervisor shall be properly used and maintained andremain the property to the client.when the services are completed orterminated the supervisor shall deliver to the client such facilities andunconsumed articles in good working order.第六條 監(jiān)理人使用委托人提供的設(shè)施和物品屬委托人的財產(chǎn),應(yīng)恰當(dāng)使用和維護(hù)。在監(jiān)理工作完成或中止時,應(yīng)將其設(shè)施和剩余的物品完好地移交給委托人。 article7 during thecontract period or after the contract is terminated, without the consent of theclient, the supervisor shall not disclose the confidential information inrelation to the project and the contract.第七條 合同期內(nèi)或本合同終止后,未征得委托人同意,不得泄露與本工程和本 合同有關(guān)的保密信息。 obligationsof the client 委托人的義務(wù) article 8 the client shall pay anadvance payment to the supervisor prior to the commencement of the services ofthe supervisor, if such advance payment is stated in the conditions ofparticular application.第八條 委托人在監(jiān)理人開展監(jiān)理業(yè)務(wù)之前應(yīng)向監(jiān)理人支付預(yù)付款,如果該預(yù)付款在專用條件中陳述。 article 9 the client shall beresponsible for all coordination of external relationships in relation to theconstruction of the project.if the client assigns part or all of suchcoordination works to the supervisor as is necessary, then the work to beassigned and relevant terms of remuneration shall be specified in thesupplemental clauses.第九條 委托人應(yīng)當(dāng)負(fù)責(zé)本工程建設(shè)的所有外部關(guān)系的協(xié)調(diào)(監(jiān)理人所屬協(xié)調(diào)關(guān)系除外)。根據(jù)需要,如需將 部分或全部協(xié)調(diào)工作委托監(jiān)理人承擔(dān),則需在補(bǔ)充條款中明確委托的工作和相應(yīng)的報酬條款。 article 10 theclient shall, within the agreed time, provide to the supervisor free of chargeall information pertaining to the project and necessary for the supervisionservices.第十條 委托人應(yīng)當(dāng)在雙方約定的時間內(nèi)免費(fèi)向監(jiān)理人提供與本工程有關(guān)的并為監(jiān)理工作需要的所有信息。 article 11on all matters properly referred to him in writing bythe supervisor, the client shall give his decision in writing within the timespecified in the conditions of particular application of the contract.第十一條 委托人應(yīng)當(dāng)在專用條件約定的時間內(nèi)就監(jiān)理人向委托人以恰當(dāng)?shù)臅嫘问教峤坏囊磺惺乱俗鞒鰰鏇Q定。 article 12 the client shall appoint aclient's representative(to be specified in the conditions of particularapplication)who is familiar with the project and able to make decision withinspecified time for the purpose of contacting the supervisor.should theclient's representative be replaced, the client shall notify the supervisor inadvance.第十二條 委托人應(yīng)當(dāng)授權(quán)一名熟悉本工程情況,能在規(guī)定時間內(nèi)作出決定的委托人的代表(將在專用條件中明確)負(fù)責(zé)與監(jiān)理人聯(lián)系,更換委托人代表要提前通知監(jiān)理人。 article13 the client shall timely notify theawarded contractor, in writing, of the power of the supervisor, roles andauthorities of main staff of the supervisor.such information shall be madeclear in the contract signed by the client and any third party.第十三條 委托人應(yīng)當(dāng)將授予監(jiān)理人的監(jiān)理權(quán)利,以及監(jiān)理人主要成員的職能分工及監(jiān)理權(quán)限及時書面通知已選定的合同承包商,并在與任何第三方簽訂的合同中予以明確。 article14 the client shall notify to contractorto provide the following information to the supervisor within such a time thatthe supervisor's work will not be hampered: 第十四條 委托人應(yīng)通知承包人在不影響監(jiān)理人開展監(jiān)理工作的時間內(nèi)向監(jiān)理人提供如 下資料: (1)listof suppliers & manufacturers of the raw materials, components and parts,mechanical equipment etc.to be used in the project; 與將用于本工程的原材料,構(gòu)配件,機(jī)械設(shè)備等的供應(yīng)和生產(chǎn)廠家名錄; (2)list of coordinators, cooperators inrelation to the development of the project.提供與本工程有關(guān)的協(xié)作人,配合人的名錄。 article15 the client shall furnish free ofcharge(including utility fees)to the supervisor the site office,telecommunication connection, accommodationand other facilities specified in the conditions of particular application.第十五條 委托人應(yīng)免費(fèi)(包括使用費(fèi))向監(jiān)理人提供辦公場所、通訊接口,網(wǎng)路接口住宿及合同專用條件約定的其他設(shè)施。 article16 given certain circumstances, if thetwo parties agree that the client shallarrange at his own expense for the provision of other personnel to thesupervisor, such agreement shall be reflected in the conditions of particularapplication.第十六條 根據(jù)情況需要,如經(jīng)雙方同意委托人將可以自費(fèi)向監(jiān)理人提供其他人員,應(yīng)在合同專用條件中予以反映。 rights of the supervisor 監(jiān)理人的權(quán)利 article 17 the supervisor should havethe following rights within his scope of work.it is hereby understood that anyand all of the following activities shall also be considered as the obligationof the supervisor, who shall perform the following activities whenever it isneeded in order to ensure completion of the project in the best possible mannerand according to the relevant contractual documents and applicable laws: 第十七條 監(jiān)理人在委托的工程范圍內(nèi)應(yīng)具有以下權(quán)利,而且在此雙方確認(rèn)任何如下活動也應(yīng)作為監(jiān)理人的義務(wù),即其有義務(wù)在有必要的情況下為了以最好的方式并以符合全部合同文件和適用的法律的方式完成本項目的目的而進(jìn)行如下活動。 (1)the right andobligation to make recommendations on the selection of the general contractor (1)選擇工程總承包人的建議權(quán)和義務(wù); (2)the right andobligation to make recommendations on the selection of the sub-contractor (2)選擇工程分包人的建議權(quán)和義務(wù); (3)the right and obligation to make recommendations to the client in the respectsof the project including project size, design standard, planning design,technological design and performance requirements.(3)對工程建設(shè)有關(guān)事項包括工程規(guī)模、設(shè)計標(biāo)準(zhǔn)、規(guī)劃設(shè)計、生產(chǎn)工藝設(shè)計和使用功能要求,向委托人的建議權(quán)和義務(wù); (4)the right and obligation to advise, in the principles of safety and optimum,the client on the technical problems in the design.if the design is found tobe not in conformity with the quality standards promulgated by the state orspecified in the design contract, the supervisor shall report to the client inwriting.(4)對工程設(shè)計中的技術(shù)問題,按照安全和最優(yōu)化的原則,有權(quán)利和義務(wù)向委托人提出建議.當(dāng)發(fā)現(xiàn)工程設(shè)計不符合國家頒布的建設(shè)工程質(zhì)量標(biāo)準(zhǔn)或設(shè)計合同約定的質(zhì)量標(biāo)準(zhǔn)時,監(jiān)理人應(yīng)當(dāng)書面報告委托人.并提供處理方案 (5)the right and obligation to review the construction management plan and thetechnical proposal and to makerecommendation to the client for changes that the contractor could implement toensure quality, on-time completion and cost reduction.(5)對審查工程施工組織和技術(shù)方案, 按照保質(zhì)量、保工期和降低成本的原則, 并就承包人有可能采取的變化監(jiān)理人有權(quán)利和義務(wù)向委托人提出建議并提供處理意見.(6)conduct appropriate arrangement andco-ordination with relevant organisations, which can exert beneficial influenceto the development of the project.for all such matters the supervisor shallfirst report to the client in advance and seek the authority of the client tomake such arrangements and co-ordination.(6)主持工程建設(shè)有關(guān)協(xié)作單位的組織協(xié)調(diào), 對于所有協(xié)調(diào)項應(yīng)當(dāng)事先向委托人報告,并要求委托人授權(quán)以進(jìn)行組織協(xié)調(diào)工作.(7)having obtained the consent of the client,the supervisor has the right to give command with regards to commencement,suspension and resumption of the works.but before doing so, he shall report tothe client.the client’s representativewill be available for contacting in phone to discuss emergency and other matters.(7)征得委托人同意,監(jiān)理人有權(quán)發(fā)布開工令,停工令,復(fù)工令,但應(yīng)當(dāng)事先向委托人作出書面報告.委托人代表將可以隨時電話聯(lián)系到以就緊急情況和其他事宜與監(jiān)理人進(jìn)行研究.(8)right and obligation to check and inspect thematerials to be used in the project and quality of construction and to advisethe contractor immediately of any non-conformities.should the contractorcontinue to use the materials after the non-conformity has been identified,then the supervisor must advise the client that the contractor should stopusing them.for materials, components and parts, equipment that are not in conformitywith the design requirements, provisions of the construction contract andnational quality standards, the supervisor has the right to notify the clientthat the contractor should stop using them;for working sequence, divisionaland sub-divisional works that are not in conformity with relevant codes andquality standards, and construction operations that pose safety concerns, thesupervisor has the right to notify the client that the contractor should stop and make corrections or redo the works.the contractor can resume construction only after he has received the workresumption command from the supervision team via the client..(8)工程上使用的材料和施工質(zhì)量的檢驗權(quán)和義務(wù).發(fā)現(xiàn)不合格材料應(yīng)通知承包方,如果承包人在接到通知后仍繼續(xù)使用該不合格材料, 監(jiān)理人必須及時通知委托人, 讓承包人不得繼續(xù)使用.對于不符合設(shè)計要求和合同約定及國家質(zhì)量標(biāo)準(zhǔn)的材料,構(gòu)配件,設(shè)備, 監(jiān)理人有義務(wù)通知委托人讓承包人停止使用;對于不符合規(guī)范和質(zhì)量標(biāo)準(zhǔn)的工序,分部分項工程和不安全的施工作業(yè), 監(jiān)理人有義務(wù)及時通知委托人,監(jiān)理人有權(quán)讓承包人停工整改,返工.承包人只有通過委托人收到監(jiān)理機(jī)構(gòu)發(fā)出復(fù)工令后才能復(fù)工.(9)rights and obligation to check, supervise the progress of theconstruction.right to ratify that theactual completion is ahead or behind the completion date specified in theconstruction contract.(9)工程施工進(jìn)度的檢查、監(jiān)督權(quán)和義務(wù),以及工程實(shí)際竣工日期提前或超過工程施工合同規(guī)定的竣工期限的簽認(rèn)權(quán)和義務(wù); (10)right and obligation to check and certify by signature that the payment to theconstruction contractor is within the scope of the construction contract, torecheck, confirm, and negate to the settlement of the accounts.without thesignature and confirmation from the chief supervision engineer, the client willnot make payment to the construction contractor.(10)在工程施工合同約定的工程價格范圍內(nèi),工程款支付的審核和簽認(rèn)權(quán)和義務(wù),以及工程結(jié)算的復(fù)核確認(rèn)權(quán)與否定權(quán)。未經(jīng)總監(jiān)理工程師簽字確認(rèn),委托人不支付工程款。 article 18 during supervision, if theemployee(s)of the contractor is found to be incapable of his job, thesupervision team shall notify the client of the views of the supervision teamon this matter.第十八條在監(jiān)理過程中如發(fā)現(xiàn)工程承包人員工作不力, 監(jiān)理機(jī)構(gòu)應(yīng)將其對此事的觀點(diǎn)告知委托人.article 19 within the scope of work,if the client and the contractor have any dissent and requirement(includingclaim)to each other, and where such dispute is being mediated by an administrativedepartment in charge of construction or being arbitrated by arbitration body(china international economic and trade arbitration commission, shanghai), thesupervisor shall provide relevant proof.第十九條 在委托的工程范圍內(nèi),當(dāng)委托人和承包人對對方有任何意見和要求(包括索賠要求),雙方爭議由政府建設(shè)行政主管部門調(diào)解或仲裁機(jī)關(guān)(中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會-上海[h1])仲裁時,監(jiān)理人應(yīng)當(dāng)提供相關(guān)證明。 rightsof the client 委托人的權(quán)利 article20 the client has the right to appointthe contractor and enter into a contractwith that contractor.第二十條 委托人有選定工程承包人,以及與其簽訂合同的權(quán)利。 article21 the client has the right to decidethe project size and agree the design standard, planning design, technologicaldesign and designed performance requirements;and the right to approveconstruction cost, programme and design variation.第二十一條 委托人享有對工程規(guī)模、設(shè)計標(biāo)準(zhǔn),規(guī)劃設(shè)計、生產(chǎn)工藝設(shè)計 和設(shè)計使用功能要求的認(rèn)定權(quán),以及對工程造價、進(jìn)度計劃和設(shè)計變更的審批權(quán)。 article 22 in the event that the supervisor want to replace the chief supervisionengineer, he shall obtain the client’s consent in advance during the contractconducting period.第二十二條 在履行本合同期間,監(jiān)理人調(diào)換總監(jiān)理工程師須事先經(jīng)委托人同意。 article23 the client has the right to requirethe supervisor to submit supervisionreport and specific report in each discipline within the supervisor’s scope ofwork..第二十三條 委托人有權(quán)要求監(jiān)理人提交監(jiān)理工作報告及監(jiān)理人業(yè)務(wù)范圍內(nèi)的專項報告。 article 24 in the event that the client find the supervisor’s staff fails to performduties under the contract, or cause any loss to the project or the clientthrough collusion with the contractor, the client shall be entitled to requirethat such staff be replaced by the supervisor or even terminate the contractand demand the supervisor to assume responsibilities or contiguousresponsibilities in paying compensation.第二十四條 當(dāng)委托人發(fā)現(xiàn)監(jiān)理人的職員不按本合同履行監(jiān)理職責(zé),或與承包人串通給本工程或委托人造成任何損失的,委托人有權(quán)要求監(jiān)理人更換該職員,直到終止合同并要求監(jiān)理人承擔(dān)相應(yīng)的賠償責(zé)任或連帶賠償責(zé)任。 liabilities of the supervisor監(jiān)理人的責(zé)任 article25 the supervisor’s liability period isthe valid period of the contract(contract period), including the maintenanceperiod.in the event that the project programme is postponed or delay whichresults in the contract period to be extended, the two parties shall makefurther negotiation to agree an extension of the contract period.第二十五條 監(jiān)理人的責(zé)任期即本合同有效期(合同期),包括維護(hù)期。如果因工程進(jìn)度的推遲或延誤而導(dǎo)致合同期將要延長,雙方應(yīng)進(jìn)一步協(xié)商約定的延長合同期。 article26 the supervisor shall perform hisduties during the contract period.should any financial loss be caused by thefault of the supervisor, he shall pay compensation to the client.accumulatedamount of compensation(except for the compensation specified in article 24)shall not exceed the total payment by the client to the supervisor(excludingincome tax).第二十六條 監(jiān)理人在合同期內(nèi),應(yīng)當(dāng)履行約定的責(zé)任。如果因監(jiān)理人過失而造成了委托人的任何經(jīng)濟(jì)損失,其應(yīng)當(dāng)向委托人賠償。累計賠償總額(除第二十四條規(guī)定的賠償以外)不應(yīng)超過委托人向監(jiān)理人支付的報酬總數(shù)(除去稅金)。賠償按相關(guān)法律執(zhí)行[h2] article27 the supervisor shall be notresponsible for any contractor’s nonconformity in quality requirements andcompletion time(for submitting drawings or delivery of goods).in the event ofany force majeure which cause part or all of the execution of the contract tobe impossible, the supervisor shall not be held responsible.but for anyinfringement to article 5, the supervisor shall pay compensation to the client.第二十七條 監(jiān)理人對承包人違反施工合同規(guī)定的質(zhì)量要求和完工(交圖、交 貨)時限,因監(jiān)理人失責(zé)應(yīng)承擔(dān)相應(yīng)的責(zé)任,因不可抗力導(dǎo)致本合同不能全部或部分履行,監(jiān)理人不承擔(dān)責(zé)任。但對違反第五條規(guī)定引起的與之有關(guān)的事宜,應(yīng)向委托人承擔(dān)賠償責(zé)任。 article28 if the claim made by the supervisorto the client cannot be justified, the supervisor shall be responsible for anycost incurred by the client in relation to the claim.第二十八條監(jiān)理人向委托人提出賠償要求不能成立時,監(jiān)理人應(yīng)當(dāng)補(bǔ)償由 于該索賠所導(dǎo)致委托人的任何費(fèi)用支出。 liabilities of the client委托人的責(zé)任 article29 the client shall carry out his dutiesas stated in the contract.the client shallbe liable to the supervisor if a breach of his duty to the supervisor isestablished against the client, and shall pay compensation for the supervisor’sdirect financial loss.第二十九條 委托人應(yīng)當(dāng)履行本合同約定的義務(wù),如有違反則應(yīng)當(dāng)承擔(dān)違約責(zé)任,賠償給監(jiān)理人造成的直接經(jīng)濟(jì)損失。 article30 if the claim made by the client to thesupervisor cannot be justified, the client shall be responsible for any costincurred by the supervisor in relation to the claim.第三十條委托人如果向監(jiān)理人提出賠償?shù)囊蟛荒艹闪ⅲ瑒t應(yīng)當(dāng)補(bǔ)償由該索賠所引起的監(jiān)理人的各種費(fèi)用支出。 commencement, alteration and termination of the contract本合同的開始、變更與終止 article 31 if the normal services are impeded or delayed bythe client or the contractor so as to incur additional services or increase theduration of the normal services, the supervisor shall timely inform the clientof the circumstances and probable effects.the time for completion of theservices shall be increased accordingly and the supervisor shall be remuneratedfor such additional services.第三十一條 由于委托人或承包人的原因使正常的監(jiān)理工作受到阻礙或延誤,以致發(fā)生了附加工作或延長了正常監(jiān)理工作的持續(xù)時間,則監(jiān)理人應(yīng)當(dāng)將此情況與可能產(chǎn)生的影響及時通知委托人。完成監(jiān)理業(yè)務(wù)的時間相應(yīng)延長,并得到附加工作報酬。 article 32 if circumstances arise which make it legally or physically impossible forthe supervisor to perform in whole or in part the services in accordance withthe contract he shall promptly dispatch a notice to the client.the time forthe completion of the services shall be extended.when the services are resumed,a reasonable period not exceeding 42 days for resumption shall be added and theclient shall pay the supervisor as agreed between them.第三十二條 如實(shí)際情況發(fā)生變化,使得監(jiān)理人由于法律原因或?qū)嶋H原因不能根據(jù)本合同全部或部分執(zhí)行監(jiān)理業(yè)務(wù)時,監(jiān)理人應(yīng)當(dāng)立即通知委托人。經(jīng)委托人認(rèn)可,該監(jiān)理業(yè)務(wù)的完成時間應(yīng)予延長。當(dāng)恢復(fù)執(zhí)行監(jiān)理業(yè)務(wù)時,應(yīng)當(dāng)增加不超過42日的時間用于恢復(fù)執(zhí)行監(jiān)理業(yè)務(wù),并按雙方約定的數(shù)量支付監(jiān)理報酬。 article 33 after the supervisorhas finalized the acceptance check or handover procedures with the client, andthe contractor has signed a defect liability agreement with the client, thesupervisor has received all the payments due from the client, this contractshall be deemed to come to an end, except for any clauses referring to theparties’ liabilities, which may be used, according to statute of limitationsstipulated by the law, for claiming compensation.as to liabilities during thedefect liability period, the two parties can make provisions in the conditionsof particular application.第三十三條 監(jiān)理人向委托人辦理完竣工驗收或工程移交手續(xù),承包人和委托人已簽訂工程保修責(zé)任書,監(jiān)理人收到所有監(jiān)理報酬,本合同即終止,除了有關(guān)雙方的責(zé)任的條款,其應(yīng)可按照相關(guān)法律的時效期限用以索賠。保修期間的責(zé)任,雙方在專用條件中約定。 article 34if either party hereto wishes to alter or abandon thecontract, he shall notify the other party in 42-day advance.if loss is causedto the other party as a result of the abandonment of the contract, theresponsible party shall pay compensation except for circumstance where hisresponsibility can be remitted in accordance with laws.第三十四條 當(dāng)事人一方要求變更或解除合同時,應(yīng)當(dāng)在42[h3]日前通知對方,因解除合同使另一方遭受損失的,除依法可以免除責(zé)任的外,應(yīng)由責(zé)任方負(fù)責(zé)賠償,article 35 if the supervisor has not received a paying voucher within 30 days fromthe due 1.to assist the client to sign theconstruction contract 1.協(xié)助委托人簽訂施工承包合同; 2.to assist the client and thecontractor to draw up the construction commencement report 2.協(xié)助委托人與施工單位編寫開工報告; 3.to organize the meeting on theconstruction drawing explanation and check 3.組織設(shè)計交底與圖紙會審; 4.to review the construction plan,scheme and the master schedule of the contractor 4.審核承建單位提出的施工組織設(shè)計, 施工技術(shù)方案和施工進(jìn)度計劃; 5.to supervise the contractor to execute the construction contract and thenational technical and construction code, as well as the documents referred toat article 1 hereof, to deal with the contractor’s violation against theregulation or the code; 5.對承建單位執(zhí)行工程承包合同和國家工程技術(shù)規(guī)范標(biāo)準(zhǔn),以及第一條所規(guī)定的文件的情況進(jìn)行督促,檢查,參與承包方違約事件的處理; 6.tocheck the list of the 6.1.2發(fā)包人變更委托設(shè)計項目、規(guī)模、條件或因提交的資料錯誤,或所提交資料作較大修改,以致造成設(shè)計人設(shè)計需返工時,雙方除需另行協(xié)商簽訂補(bǔ)充協(xié)議(或另訂合同)、重新明確有關(guān)條款外,發(fā)包人應(yīng)按設(shè)計人所耗工作量向設(shè)計人增付設(shè)計費(fèi)。 在未簽合同前發(fā)包人已同意,設(shè)計人為發(fā)包人所做的各項設(shè)計工作,應(yīng)按收費(fèi)標(biāo)準(zhǔn),相應(yīng)支付設(shè)計費(fèi)。 6.1.3發(fā)包人要求設(shè)計人比合同規(guī)定時間提前交付設(shè)計資料及文件時,如果設(shè)計人能夠做到,發(fā)包人應(yīng)根據(jù)設(shè)計人提前投入的工作量,向設(shè)計人支付趕工費(fèi)。 6.1.4發(fā)包人應(yīng)為派赴現(xiàn)場處理有關(guān)設(shè)計問題的工作人員,提供必要的工作生活及交通等方便條件。 6.1.5發(fā)包人應(yīng)保護(hù)設(shè)計人的投標(biāo)書、設(shè)計方案、文件、資料圖紙、數(shù)據(jù)、計算軟件和專利技術(shù)。未經(jīng)設(shè)計人同意,發(fā)包人對設(shè)計人交付的設(shè)計資料及文件不得擅自修改、復(fù)制或向第三人轉(zhuǎn)讓或用于本合同外的項目,如發(fā)生以上情況,發(fā)包人應(yīng)負(fù)法律責(zé)任,設(shè)計人有權(quán)向發(fā)包人提出索賠。 6.2.5設(shè)計人交付設(shè)計資料及文件后,按規(guī)定參加有關(guān)的設(shè)計審查,并根據(jù)審查結(jié)論負(fù)責(zé)對不超出原定范圍的內(nèi)容做必要調(diào)整補(bǔ)充。設(shè)計人按合同規(guī)定時限交付設(shè)計資料及文件,本年內(nèi)項目開始施工,負(fù)責(zé)向發(fā)包人及施工單位進(jìn)行設(shè)計交底、處理有關(guān)設(shè)計問題和參加竣工驗收。在一年內(nèi)項目尚未開始施工,設(shè)計人仍負(fù)責(zé)上述工作,但應(yīng)按所需工作量向發(fā)包人適當(dāng)收取咨詢服務(wù)費(fèi),收費(fèi)額由雙方商定。 6.2.6設(shè)計人應(yīng)保護(hù)發(fā)包人的知識產(chǎn)權(quán),不得向第三人泄露、轉(zhuǎn)讓發(fā)包人提交的產(chǎn)品圖紙等技術(shù)經(jīng)濟(jì)資料。如發(fā)生以上情況并給發(fā)包人造成經(jīng)濟(jì)損失,發(fā)包人有權(quán)向設(shè)計人索賠。 第七條 違約責(zé)任: 7.1在合同履行期間,發(fā)包人要求終止或解除合同,設(shè)計人未開始設(shè)計工作的,不退還發(fā)包人已付的定金;已開始設(shè)計工作的,發(fā)包人應(yīng)根據(jù)設(shè)計人已進(jìn)行的實(shí)際工作量,不足一半時,按該階段設(shè)計費(fèi)的一半支付;超過一半時,按該階段設(shè)計費(fèi)的全部支付。 7.2發(fā)包人應(yīng)按本合同第五條規(guī)定的金額和時間向設(shè)計人支付設(shè)計費(fèi),每逾期支付一天,應(yīng)承擔(dān)支付金額千分之二的逾期違約金。逾期超過30天以上時,設(shè)計人有權(quán)暫停履行下階段工作,并書面通知發(fā)包人。發(fā)包人的上級或設(shè)計審批部門對設(shè)計文件不審批或本合同項目停緩建,發(fā)包人均按7.1條規(guī)定支付設(shè)計費(fèi)。 7.3設(shè)計人對設(shè)計資料及文件出現(xiàn)的遺漏或錯誤負(fù)責(zé)修改或補(bǔ)充。由于設(shè)計人員錯誤造成工程質(zhì)量事故損失,設(shè)計人除負(fù)責(zé)采取補(bǔ)救措施外,應(yīng)免收直接受損失部分的設(shè)計費(fèi)。損失嚴(yán)重的根據(jù)損失的程度和設(shè)計人責(zé)任大小向發(fā)包人支付賠償金,賠償金由雙方商定為實(shí)際損失的 ____ %。 7.4由于設(shè)計人自身原因,延誤了按本合同第四條規(guī)定的設(shè)計資料及設(shè)計文件的交付時間,每延誤一天,應(yīng)減收該項目應(yīng)收設(shè)計費(fèi)的千分之二。 7.5合同生效后,設(shè)計人要求終止或解除合同,設(shè)計人應(yīng)雙倍返還定金。 第八條 其他 8.1發(fā)包人要求設(shè)計人派專人留駐施工現(xiàn)場進(jìn)行配合與解決有關(guān)問題時,雙方應(yīng)另行簽訂補(bǔ)充協(xié)議或技術(shù)咨詢服務(wù)合同。 8.2設(shè)計人為本合同項目所采用的國家或地方標(biāo)準(zhǔn)圖,由發(fā)包人自費(fèi)向有關(guān)出版部門購買。本合同第四條規(guī)定設(shè)計人交付的設(shè)計資料及文件份數(shù)超過《工程設(shè)計收費(fèi)標(biāo)準(zhǔn)》規(guī)定的份數(shù),設(shè)計人另收工本費(fèi)。 8.3本工程設(shè)計資料及文件中,建筑材料、建筑構(gòu)配件和設(shè)備,應(yīng)當(dāng)注明其規(guī)格、型號、性能等技術(shù)指標(biāo),設(shè)計人不得指定生產(chǎn)廠、供應(yīng)商。發(fā)包人需要設(shè)計人的設(shè)計人員配合加工定貨時,所需要費(fèi)用由發(fā)包人承擔(dān)。 8.4發(fā)包人委托設(shè)計配合引進(jìn)項目的設(shè)計任務(wù),從詢價、對外談判、國內(nèi)外技術(shù)考察直至建成投產(chǎn)的各個階段,應(yīng)吸收承擔(dān)有關(guān)設(shè)計任務(wù)的設(shè)計人參加。出國費(fèi)用,除制裝費(fèi)外,其他費(fèi)用由發(fā)包人支付。 8.5發(fā)包人委托設(shè)計人承擔(dān)本合同內(nèi)容之外的工作服務(wù),另行支付費(fèi)用。 8.6由于不可抗力因素致使合同無法履行時,雙方應(yīng)及時協(xié)商解決。 8.7本合同在履行過程中發(fā)生的爭議,由雙方當(dāng)事人協(xié)商解決,協(xié)商不成的,提交廣州仲裁委員會仲裁; 第一條:對總體方案進(jìn)行一次以上(含一次)的修改(指甲方的修改意見在功能和風(fēng)格上與甲方確認(rèn)的設(shè)計任務(wù)書的要求不一致),甲方每次應(yīng)提前向乙方支付本合同設(shè)計費(fèi)總額的30%,同時約定修改文件的提交日期。 第二條:兩次以上的'局部方案修改(不含兩次,每次修改不限),甲方每次向乙方支付人民幣/次的追加方案修改費(fèi),同時約定修改文件的提交日期。 第三條:本項目的設(shè)計版權(quán)歸乙方所有,甲方有責(zé)任保護(hù),不得將本項目的設(shè)計模型、設(shè)計文件及相關(guān)技術(shù)參數(shù)提供給第三方或其他項目使用。如果甲方將上述圖紙用于其他目的或公開出版,必須事先獲得乙方的書面同意。 第四條:為保證甲方的利益,乙方應(yīng)對甲方的身份背景和項目的各項內(nèi)容保密。 七.違約責(zé)任: 第一條:因乙方原因造成本合同約定的設(shè)計竣工日期延誤的,每延誤一天,乙方應(yīng)向甲方支付設(shè)計費(fèi)總額的1%作為違約金。 第二條:因乙方原因中途停止設(shè)計的,乙方應(yīng)書面通知甲方,向甲方支付設(shè)計費(fèi)總額的20%作為違約金,并將甲方支付的設(shè)計費(fèi)返還給甲方。 第三條:因甲方原因終止委托的,甲方應(yīng)將已支付的費(fèi)用作為違約賠償,乙方有權(quán)不予退還。 八、爭議解決方法: 第一條:雙方協(xié)商解決不了的問題,雙方同意按以下方式解決。 1.到乙方所在地區(qū)的行業(yè)管理仲裁機(jī)構(gòu)解決。 2.向乙方所在地人民法院起訴。 第二條:因不可抗力導(dǎo)致合同終止的,雙方不承擔(dān)違約責(zé)任。 六、全套圖紙完成后,甲方如有更改意見,再與乙方溝通。乙方根據(jù)協(xié)商方案,繪制更改圖紙,再次填寫方案進(jìn)程表,由雙方簽字確認(rèn)。甲方如要求乙方修改圖紙,圖紙完工時間順延或由雙方另行約定。 如果甲方推翻原設(shè)計方案,要求重新修改設(shè)計方案,應(yīng)協(xié)商增加相應(yīng)的設(shè)計費(fèi),并另行約定設(shè)計時間及進(jìn)程,簽訂補(bǔ)充協(xié)議。 七、雙方在對設(shè)計方案和圖紙確認(rèn)后,甲方必須簽字認(rèn)可,乙方必須將整套圖紙交給甲方并辦理交接簽證手續(xù)。 八、施工過程中,乙方應(yīng)委派設(shè)計師去現(xiàn)場進(jìn)行一次性放樣及施工方案交底,并不少于三次去現(xiàn)場指導(dǎo)施工,以達(dá)到設(shè)計效果。 九、違約責(zé)任 1.乙方未在約定時間內(nèi)完成設(shè)計圖且延期時間在20天內(nèi)的,每延期一天應(yīng)當(dāng)支付給甲方設(shè)計費(fèi)總價的3%的違約金。 2.乙方未在約定時間內(nèi)完成設(shè)計圖且延期時間在21天以上的,甲方有權(quán)解除合同,乙方應(yīng)退還甲方的設(shè)計費(fèi)用,并支付給甲方設(shè)計費(fèi)總價的50%的違約金。 3.乙方無故終止合同,除退還甲方所交的設(shè)計費(fèi)用外,還應(yīng)支付給甲方設(shè)計費(fèi)總價的50%的違約金。 4.乙方完成初步設(shè)計方案后,如甲方不愿再履行合同,乙方不退還已收的設(shè)計費(fèi),但必須交給甲方平面布置圖,頂面布置圖及手繪局部效果圖各一張。 十、本合同中如有未盡事宜,由雙方協(xié)商解決,也可向上海市室內(nèi)裝飾行業(yè)協(xié)會申請調(diào)解或向上海市消費(fèi)者權(quán)益保護(hù)委員會投訴。當(dāng)事人不愿通過協(xié)商,調(diào)解解決,或協(xié)商,調(diào)解不成時,可以采取以下第_________種方式解決: 1.向上海仲裁委員會申請仲裁。 1.甲方在本合同第三條規(guī)定的時間內(nèi)向乙方提交資料及文件,并對其完整性、正確性及時限負(fù)責(zé),甲方不得要求乙方違反國家有關(guān)標(biāo)準(zhǔn)進(jìn)行設(shè)計。 2.甲方變更委托設(shè)計類別項目、規(guī)模、條件或因提交的資料錯誤,或所提交資料作較大修改,以致造成乙方設(shè)計需較大返工時,雙方除需另行協(xié)商簽訂補(bǔ)充協(xié)議(或另訂合同)、重新明確有關(guān)條款外,甲方應(yīng)按乙方所耗工作量向乙方增付設(shè)計費(fèi)。 3.甲方應(yīng)對乙方交付的各階段設(shè)計內(nèi)容及時予以簽收,并對符合甲方要求的各階段內(nèi)容及時予以確認(rèn),按照本合同約定的階段及時支付設(shè)計費(fèi)。如甲方要求乙方進(jìn)行設(shè)計變更或調(diào)整,應(yīng)出具書面調(diào)整變更單,否則乙方有權(quán)拒絕修改且不承擔(dān)任何違約責(zé)任。 (二).乙方: 1.乙方應(yīng)按國家技術(shù)規(guī)范、福建省《建筑裝飾裝修工程設(shè)計制圖標(biāo)準(zhǔn)》(DBJ/T 13-123-20__)、福建省住房和城鄉(xiāng)建設(shè)廳匯編的“福建省建筑裝飾裝修工程設(shè)計文件編制深度規(guī)定”及甲方提出的設(shè)計要求進(jìn)行工程設(shè)計。按合同規(guī)定的進(jìn)度要求提交質(zhì)量合格的設(shè)計資料,并對其負(fù)責(zé)。乙方應(yīng)對設(shè)計文件的規(guī)范性、準(zhǔn)確性、完整性負(fù)責(zé),不得違反國家建筑、消防、交通、室內(nèi)等強(qiáng)制性標(biāo)準(zhǔn)。 2.乙方采用的主要技術(shù)標(biāo)準(zhǔn)應(yīng)符合國家相關(guān)規(guī)定。 3.乙方按本合同第三條規(guī)定的內(nèi)容、進(jìn)度及份數(shù)向甲方交付資料及文件。 4.乙方交付各階段的設(shè)計資料及文件后,甲方有權(quán)要求乙方對各階段設(shè)計成果做出不超出合同范圍的修改。并按規(guī)定參加甲方的設(shè)計審核,負(fù)責(zé)向甲方及施工單位進(jìn)行設(shè)計交底、施工現(xiàn)場設(shè)計指導(dǎo)、處理有關(guān)設(shè)計問題和參加竣工驗收。 6.乙方所提交的設(shè)計文件、圖紙應(yīng)能體現(xiàn)甲方的要求、意圖。 7.施工過程中,如因甲方單方原因要求修改方案或重新設(shè)計時,需按設(shè)計合同單價另收取修改面積的設(shè)計費(fèi)。 8.在甲方施工過程中,如需乙方到現(xiàn)場進(jìn)行設(shè)計指導(dǎo)時應(yīng)提前在48小時內(nèi)通知乙方,乙方應(yīng)在約定時間內(nèi)派設(shè)計師提供施工咨詢服務(wù),把關(guān)施工效果。 9.乙方應(yīng)配合甲方確定室內(nèi)空間主要裝飾材料。乙方有義務(wù)對現(xiàn)場效果給予監(jiān)督指導(dǎo)。 3、其它: 第六條 違約責(zé)任 1.在合同履行期間,因甲方原因終止或解除合同,已開始設(shè)計工作的,甲方應(yīng)根據(jù)乙方已完成的實(shí)際工作量,按階段支付相應(yīng)的設(shè)計費(fèi)用。每個階段完成的工作量不足一半時,按該階段設(shè)計費(fèi)的一半支付;超過一半時,按該階段設(shè)計費(fèi)的全部支付。 2.甲方應(yīng)按本合同第二條規(guī)定的金額和時間及時向乙方支付設(shè)計費(fèi),每逾期支付一天,應(yīng)承擔(dān)支付金額的千分之二為逾期違約金。逾期超過30天以上時,乙方有權(quán)暫停履行下階段的設(shè)計工作,并書面通知甲方,乙方有權(quán)單方面解除合同。 3. 若本工程施工周期超過一年(由本合同簽訂之日起計算),甲方須將施工圖設(shè)計階段的設(shè)計余款支付完畢,并需補(bǔ)償乙方在施工工期延長期間的配合費(fèi)用,具體補(bǔ)償金額須另行簽訂補(bǔ)充協(xié)議。 4.乙方對設(shè)計資料及文件出現(xiàn)的遺漏或錯誤應(yīng)負(fù)責(zé)及時修改或補(bǔ)充,采取義務(wù)的補(bǔ)救措施。由于乙方人員錯誤造成工程質(zhì)量事故損失,乙方除負(fù)責(zé)采取補(bǔ)救措施外,應(yīng)免收直接損失部分的設(shè)計費(fèi),并賠償直接經(jīng)濟(jì)損失(以權(quán)威機(jī)構(gòu)鑒定為準(zhǔn)),圖紙存在答疑,施工方未經(jīng)乙方認(rèn)可進(jìn)行施工,由施工方承擔(dān)一切損失。 5.由于乙方自身原因,延誤了本合同第三條及附件一中約定的工作內(nèi)容及交付時間,每延誤一天,應(yīng)減收該項目應(yīng)收設(shè)計費(fèi)的千分之二。逾期超過30天以上時,甲方有權(quán)單方解除本合同。乙方已完成的設(shè)計文件及圖紙應(yīng)無條件提供給甲方做進(jìn)一步設(shè)計。 6.合同生效后,如乙方單方要求終止或解除合同,乙方應(yīng)退還甲方已付的設(shè)計費(fèi),乙方已完成的設(shè)計文件及圖紙應(yīng)無條件提供給甲方做進(jìn)一步設(shè)計。 7.甲乙雙方應(yīng)保護(hù)好本項目的設(shè)計方案、文件、資料圖紙、數(shù)據(jù)、計算軟件和專利技術(shù)。未經(jīng)甲乙雙方書面同意,甲乙雙方對本項目的設(shè)計資料及文件不得復(fù)制或向第三方轉(zhuǎn)讓或用于本合同外的項目,如發(fā)生上述情況,違約方應(yīng)以本合同價款的20%作為違約金賠償另一方,若另一方遭受的實(shí)際損失大于該違約金的,按實(shí)際損失賠償。 第六條 合同糾紛解決方式 1. 本協(xié)議在執(zhí)行過程中發(fā)生糾紛,由雙方友好協(xié)商解決。協(xié)商不成,可提請廈門市室內(nèi)設(shè)計師協(xié)會及有關(guān)部門進(jìn)行調(diào)解,調(diào)解不成的,可通過 下列進(jìn)行解決:1、提請廈門仲裁委員會仲裁;2、向廈門市 (區(qū))人民法院訴訟;在沒有選擇的情況下,本協(xié)議糾紛優(yōu)先通過廈門仲裁委員會解決。 第七條 合同生效 1.本協(xié)議經(jīng)甲、乙雙方簽字蓋章后生效。合同一式 份,甲乙雙方各執(zhí) 份。 2. 乙方需在合同簽訂時向甲方提供以下執(zhí)照及證書復(fù)印件:營業(yè)執(zhí)照、設(shè)計資質(zhì)證書、設(shè)計人員國家職業(yè)資格證書。 3.本合同附件為本合同不可分割的組成部分,與合同條款同樣具有法律效力。 4. 4.工程質(zhì)量及管理約定: A.乙方無條件承諾其承包施工的工程驗收合格(以客戶簽字認(rèn)可工程竣工驗收單為準(zhǔn))。 B.工程驗收合格后,乙方應(yīng)負(fù)責(zé)在一周內(nèi)收取業(yè)主方______%工程尾款,該款作為甲方支付乙方的工程承包款。 5.工程款支付方式: A.合同簽定后,甲方根據(jù)乙方信譽(yù)保證金額度,每次支付不超過該額度的工程進(jìn)度款。乙方應(yīng)在每次領(lǐng)款使用完畢后及時向甲方財務(wù)部上繳相關(guān)票據(jù),乙方超額度用款時應(yīng)與甲方協(xié)商,經(jīng)同意后方可領(lǐng)取。 提供全套施工圖紙和完成工程項目變更手續(xù)。 2. 開工前,向乙方提供確認(rèn)的施工圖紙或做法說明,向乙方進(jìn)行現(xiàn)場交底。 3. 派監(jiān)理對現(xiàn)場施工進(jìn)行工藝、工序、質(zhì)量、進(jìn)度的監(jiān)督。 4. 嚴(yán)格按合同約定的付款方式對乙方進(jìn)行工程結(jié)算。 五、乙方的責(zé)任及義務(wù) 1. 嚴(yán)格遵守公司制定的各項規(guī)章制度。 2. 在前一段工程完工驗收合格后,方可進(jìn)行下一階段的施工。驗收單必須有客戶簽字。 3. 嚴(yán)格遵守甲方規(guī)定的《現(xiàn)場文明施工條例》和《施工隊日常管理條例》,切實(shí)做好現(xiàn)場文明施工及安全工作,因施工不當(dāng)造成的一切經(jīng)濟(jì)損失由乙方承擔(dān)并賠償。 4. 必須對簽字工程的金額保密,違者罰款人民幣壹仟元整。 5. 必須保質(zhì)、保量、保工期原則下完成工程任務(wù),超期每日乙方按工程款的5%向甲方繳納違約金。 6. 甲方有權(quán)指定施工工人,乙方必須服從。 7. 乙方必須到甲方指定的材料經(jīng)銷商購買材料,如發(fā)現(xiàn)有假冒偽劣材料,公司將給予重罰,所造成的損失由乙方承擔(dān)。 8. 乙方不得以甲方名義賒購材料,影響公司形象,如產(chǎn)生嚴(yán)重后果的由乙方自行承擔(dān)。 9. 乙方要確保施工現(xiàn)場作業(yè)人員、相鄰居民人身安全;防止火災(zāi)和水、電、煤氣 事故發(fā)生;防止物品損壞。凡有上述情況發(fā)生,一切責(zé)任由乙方承擔(dān)。 六、爭議或糾紛處理 1. 本合同在履行期間,雙方發(fā)生爭議時,在不影響工程進(jìn)度的前提下雙方可采取協(xié)商解決或報請公司總辦進(jìn)行協(xié)調(diào)。 2. 當(dāng)事人不愿通過協(xié)商、調(diào)解解決或協(xié)商、調(diào)解不成時,雙方可通過仲裁委員會仲裁,或向人民法院起訴。 七、附則 1. 本合同甲、乙雙方各執(zhí)一份。 2. 2、甲方在余款未付清之前對該設(shè)計文件(包括概、預(yù)算文件、材料、設(shè)備清單)不享有任何權(quán)利;甲方在余款未付清之前擅自使用或者修改使用乙方設(shè)計的文件而導(dǎo)致的侵權(quán),乙方有權(quán)依據(jù)《中華人民共和國著作權(quán)法》追究其法律責(zé)任; 2.5.1為使乙方的設(shè)計成果得到更好的實(shí)現(xiàn),乙方有義務(wù)對其設(shè)計成果在實(shí)施過程中全面監(jiān)控,并及時與甲方交流溝通,妥善解決相關(guān)問題; 2.5.2施工過程中的設(shè)計監(jiān)控和現(xiàn)場創(chuàng)作:乙方應(yīng)根據(jù)施工過程中所遇到的相關(guān)問題,及時協(xié)調(diào)自己的設(shè)計成果與其他專業(yè)設(shè)計沖突問題,并能根據(jù)現(xiàn)場實(shí)際情況完善自己的創(chuàng)作成果; 2.5.3施工過程中材料、色彩和質(zhì)感的選擇:乙方應(yīng)積極配合甲方、工程承包方或其他甲方指定的分包方對建筑材料(主要裝飾材料或其他有可能影響到整個工程觀感效果的材料)的選擇,并以一個有經(jīng)驗的設(shè)計師的身份提出合理意見和建議; 2.5.4施工各工種的協(xié)調(diào)配合:乙方應(yīng)委派有經(jīng)驗的項目負(fù)責(zé)人進(jìn)駐施工現(xiàn)場,妥善協(xié)調(diào)甲方及各施工企業(yè)在施工中各工種的協(xié)調(diào)作業(yè)和配合問題; 2.5.5提供施工中的技術(shù)服務(wù):鑒于乙方所提出的設(shè)計成果擁有較多的仿古建筑元素,在實(shí)際施工過程中,乙方應(yīng)委派有經(jīng)驗的技術(shù)人員進(jìn)駐施工現(xiàn)場提供相關(guān)的技術(shù)服務(wù); 2.5.6成本控制:乙方應(yīng)在工程的施工過程中對一些主要裝飾材料的消耗量進(jìn)行控制,并就所選材料的產(chǎn)品說明和價格信息及時與甲方交流溝通,以便甲方控制成本; 2.5.7質(zhì)量控制:乙方應(yīng)委派相關(guān)人員對工程質(zhì)量全過程控制,以便設(shè)計成果更好地得到實(shí)現(xiàn);第三條合同價款及支付 3.1費(fèi)用及支付方式 3.1.1本合同價款為:小寫(人民幣)2,800,000元大寫(人民幣)貳佰捌拾萬元 3.1.2本合同為固定總價合同,固定總價理解為乙方完成承包范圍內(nèi)的全部工作內(nèi)容所發(fā)生的全部費(fèi)用,包含設(shè)計費(fèi)、咨詢費(fèi)、企業(yè)管理費(fèi)、利潤、差旅、住宿、交通及政府規(guī)定的各種稅費(fèi)等。 固定總價為包干總價,不再進(jìn)行調(diào)整; 3.1.3支付方式甲方根據(jù)乙方的工作進(jìn)度分階段支付給乙方相應(yīng)的顧問費(fèi)用,甲方按下表各階段支付乙方相應(yīng)費(fèi)用的前提是乙方提交的設(shè)計成果經(jīng)甲方初審修改調(diào)整后,并達(dá)到甲方滿意后。 第四條甲方應(yīng)向乙方提供的以下相關(guān)資料和文件 4.1全套施工圖的電子文件 4.2項目建筑效果圖 4.3甲方項目施工組織進(jìn)度說明 第五條服務(wù)與承諾 5.1乙方承諾由何亞雄本人親自擔(dān)任項目設(shè)計顧問與技術(shù)服務(wù)的總負(fù)責(zé)人,全程負(fù)責(zé)本項目的設(shè)計顧問與技術(shù)服務(wù)工作,親自擔(dān)任主要設(shè)計工作;乙方同時組建優(yōu)秀的、有經(jīng)驗的設(shè)計師成立設(shè)計小組,專職負(fù)責(zé)本合同約定的有關(guān)項目的全部工作內(nèi)容; 5.2乙方應(yīng)保證總設(shè)計師每月配合甲方在現(xiàn)場工作不少于7天,并全過程負(fù)責(zé)樣板區(qū)和樣板間的設(shè)計和施工服務(wù)工作; 5.3乙方應(yīng)派3-4名技術(shù)人員駐施工現(xiàn)場指導(dǎo)工作,甲方提供相應(yīng)的辦公便利條件; 5.4乙方設(shè)計成果的知識產(chǎn)權(quán)歸甲方所有,甲方有權(quán)使用乙方所提供的設(shè)計成果和相關(guān)資料、圖片為產(chǎn)品推廣、營銷服務(wù)。 乙方保證所提交的設(shè)計成果和相關(guān)資料、圖片不侵犯第三方權(quán)利,如因上述原因造成第三方索賠,乙方將承擔(dān)全部責(zé)任; 5.5乙方應(yīng)保護(hù)甲方的知識產(chǎn)權(quán),不得向第三方泄露、轉(zhuǎn)讓其向甲方提交的產(chǎn)品圖紙等技術(shù)資料,并保證所提交的設(shè)計成果在未來三年內(nèi)不得完全或相似用于北京順義區(qū)市場除本項目以外的其他開發(fā)項目; 第六條合同終止及違約責(zé)任 6.1乙方在某一階段的設(shè)計成果不能令甲方滿意,甲方有權(quán)中止合同; 6.2甲方要求終止或解除合同,甲方可根據(jù)乙方的工作進(jìn)度和階段工作量,合理支付給乙方費(fèi)用; 6.3甲方應(yīng)按本合同第三條所規(guī)定的時間向乙方支付相關(guān)的用,每逾期支付一日,應(yīng)承攬違約責(zé)任并支付合同總價款萬分之二的逾期違約金給乙方; 1、因甲方變更委托設(shè)計項目、規(guī)模、條件或因提交的資料錯誤,而要求乙方對設(shè)計作修改,以致造成乙方設(shè)計需返工時,以面積計算改動10%以內(nèi)乙方不另收費(fèi),改動10%以上,甲方應(yīng)按乙方所耗工作量向乙方增付同比例設(shè)計費(fèi)。 2、乙方嚴(yán)格遵循協(xié)議時間,甲方會積極配合,盡快確認(rèn)乙方選送的設(shè)計方案。 3、合同生效并支付預(yù)付款后,若因乙方自身原因要求終止或解除合同,乙方應(yīng)雙倍返還預(yù)付款。 4、甲方應(yīng)保護(hù)乙方所提供的設(shè)計方案和文件,未向乙方付清設(shè)計費(fèi)或未經(jīng)乙方書面同意,甲方對乙方交付的設(shè)計資料及文件不得擅自進(jìn)行實(shí)際應(yīng)用、修改、復(fù)制或向第三人轉(zhuǎn)讓或用于本合同外的項目,如發(fā)生以上情況,甲方應(yīng)負(fù)法律責(zé)任,乙方有權(quán)向甲方提出索賠。 6、乙方應(yīng)保護(hù)甲方的知識產(chǎn)權(quán),不得向第三方泄露、轉(zhuǎn)讓甲方提交的圖紙、數(shù)據(jù)等技術(shù)經(jīng)濟(jì)資料。如發(fā)生以上情況并給甲方造成經(jīng)濟(jì)損失,甲方有權(quán)向乙方索賠。 1、甲方變更委托設(shè)計項目、規(guī)模、條件或因提交的資料錯誤,或所提交的資料作較大修改,以致造成乙方設(shè)計需返工時,雙方除需要另行協(xié)商簽訂補(bǔ)充合同(或另訂合同)、重新明確有關(guān)條款外,甲方應(yīng)按乙方所耗工作量向乙方支付返工費(fèi)。 2、在合同履行期間,甲方要求終止或解除合同,乙方未開始設(shè)計工作的,不退還甲方已付的定金;已開始設(shè)計工作的,甲方應(yīng)依據(jù)乙方進(jìn)行的實(shí)際工作量,不足一半時,按該階段設(shè)計費(fèi)的一半支付;超過一半時,按該階段設(shè)計費(fèi)的全部支付。 3、甲方應(yīng)按本合同規(guī)定的金額和時間向乙方支付設(shè)計費(fèi)用,每逾期一天,應(yīng)承擔(dān)支付金額________%的違約金。逾期超過______天以上時,乙方有權(quán)暫停履行下階段工作,并書面通知甲方。 4、甲方要求乙方比合同規(guī)定時間提前提交設(shè)計文件時,甲方應(yīng)支付趕工費(fèi)。 5、甲方應(yīng)保護(hù)乙方的設(shè)計版權(quán),未經(jīng)乙方同意,甲方對乙方交付的設(shè)計文件不得復(fù)制或向第三方轉(zhuǎn)讓或用于本合同外的項目,如發(fā)生以上情況,乙方有權(quán)索賠。 乙方責(zé)任: 1、乙方按本合同規(guī)定的內(nèi)容、時間及份數(shù)向甲方交付設(shè)計文件。 2、乙方對設(shè)計文件出現(xiàn)的遺漏或錯誤負(fù)責(zé)補(bǔ)充或修改。 3、由于乙方自身原因,延誤了按本合同規(guī)定的設(shè)計文件交付時間,承擔(dān)相應(yīng)責(zé)任。 4、設(shè)計期間乙方設(shè)計所發(fā)生的差費(fèi)旅費(fèi),由乙方自付。 5、乙方不得向第三方擴(kuò)散、轉(zhuǎn)讓甲方提交的圖紙及其它技術(shù)經(jīng)濟(jì)資料。如發(fā)生以上情況,甲方有權(quán)索賠。 七、爭議解決 1、甲方委托乙方承擔(dān)本合同內(nèi)容之外的工作服務(wù),另行支付費(fèi)用。 2、由于不可抗力因素致使合同無法履行時,雙方應(yīng)及時協(xié)商解決。 3、本設(shè)計合同在履行過程中發(fā)生糾紛,委托方與承擔(dān)方應(yīng)及時協(xié)商解決。協(xié)商不成時,雙方同意向____________人民法院起訴。 八、其它 1、本合同未盡事宜,雙方可簽訂補(bǔ)充協(xié)議作為附件,補(bǔ)充協(xié)議與本合同具有同等效力。 2、合同一式______份,甲乙雙方各執(zhí)______份。
