1.合同標的1.1.賣方負責生產貨物并把貨物(以下簡稱“貨物”)的所有權移交給買方,同時,買方應根據銷售確認書(下單明細)第1-N(“N”為合同附件的序列號)條款規定的條件和數量接收此貨物,該銷售確認書是本合同的有效組成部分。如本合同與銷售確認書有沖突的,應以雙方簽訂的銷售確認書的內容為準。
2.價格及支付方式
2.1.貨物應以美元計價,并以FOB中國INCOTERMS 2000的規定為準)的貿易 語進行交易。貨物的價格應包括:
-原料及其配件的成本
-原料及其配件的發貨前清點和評級的費用
-貨物的剪裁費用
-貨物的休整費用
-貨物的標簽成本
-貨物的包裝費用(按照本合同附錄中買方要求的包裝方法進行包裝)
-貨物的運輸費用
-按照FOB術語的規定,應由賣方承擔相關貨物運輸給買方時產生的所有稅收費用以及其他必需的支出。
2.2.根據本合同的規定,貨款應以美元結算,并按照下列安排,電匯給賣方:
2.2.1.第一部分貨款-賣方開始生產此貨物前,買方應支付相當于賣方開具的形式發票的總金額的20%(百分之二十)的貨款給賣方。
2.2.2.第二部分貨款-買方應在賣方簽發提貨單后的30天內,以收到的賣方商業發票為
準,支付給賣方相當于全部貨款的80%(百分之八十)。
2.3.買方銀行的所有手續費應由買方來承擔,所有其他的費用應由賣方承擔。SWIFT電傳上的日期應視為付款日。
3.發貨、裝運單據的時間和條件
3.1.每批貨物的裝運日期應視為貨代公司出具貨物入倉單據之日,此裝運日期應在相關銷售確認書上標示。發貨日期應為簽發提貨單的日期。只有得到買方的書面同意,才可以提前發貨。
3.2.貨物做好裝運準備后,賣方應立即通知買方。收到通知后,買方應立即提供裝運說明給賣方。賣方應嚴格按照買方的裝運說明安排每次裝運。
3.3.賣方應完全按照買方的說明出具裝運單據。
3.3.1發票應包含下列內容:
1.與本合同一致的賣方和買方的地址和名稱;
2.合同的編號和日期;
3.發票的編號和日期;
4.與本合同一致的發貨條款;
5.與本合同的銷售確認書一致的、準確的貨物描述、商品編號;
6.與本合同的銷售確認書一致的貨物單價;
7.裝運的貨物的總價值以及預付款(第一部分貨款)的金額;
8.原產地;
9.布料成分;
10.賣方的蓋章和簽字;
3.3.2.裝箱單應包含下列內容:
1.與本合同一致的賣方和買方的地址和名稱
2.裝箱單的編號和日期以及相應的發票號的參照符號;
3.貨物的商品編號和描述,每箱中各款號顏色尺寸的貨物數量;
4.毛重、凈重以及每箱的尺寸;
5.混合裝包的數量;
6.賣方的簽字和蓋章
3.3.賣方應在發貨日后的5個自然日內直接用快遞將如下正本裝運單據發送到買方指定的地址:
(一)份商業發票;
(一)份裝箱單
(一)份貨物原產地證明書
賣方應將上述單據的掃描件通過電子郵件發給買方。
3.4.賣方也應向買方提供以下文件的掃描件:
-入倉單-裝運后3
(三)個工作日內
-電放提單的復印件-貨物放行后立即提供
-海關當局或賣方商會確認的出口報關單的復印件-發貨日后的30個自然日內
-賣方商會確認的價格表-發貨日后的30個自然日內。MsOffice格式的價格表應由買方提供。

2.Number and date of the Packing List and reference to the corresponding Invoice number;
3.Article Numbers of the Goods, description of the Goods, quantity of the goods in each box under each color, size;
4.Gross weight, net weight, measurements of each box;
5.Quantity of Mulit-packs;
Signature and stamp of the Seller;
3.3.Original shipping documents shall be sent by the Seller via express mail directly to the address indicated by the Buyer within 5(five)calendar days after the date of delivery:within 3(three)business days after the shipment;
-Copy of Telex Release-immediately after the release is effected;

6.DISPUTE SETTLEMENT

Party A will guarantee the lease right of the premises.Otherwise, Party A will be responsible to compensate Party B's losses.七、乙方義務 Obligations of Party B 1.乙方應按合同的規定按時支付定金、租金及保證金。
Party B will pay the rental, the deposit and other expenses on time.2.乙方經甲方同意,可在房屋內添置設備。租賃期滿后,乙方將添置的設備搬走,并保證不影響房屋的完好及正常使用。
Party B may decorate the premises and add new facilities with Party A's approval.When this contract expires, Party B may take away the added facilities which are removable without changing the good conditions of the premises for normal use.3.未經甲方同意,乙方不得將承租的房屋轉租或分租,并愛護使用該房屋如因乙方過失或過錯致使房屋及設施受損,乙方應承擔賠償責任。
