辦理企業法人營業執照流程

一)公司的形式：

有限責任公司，最低注冊資金3萬元，2個（或以上）股的東。

新公司法規定，允許1個股東注冊有限責任公司，又稱“一人有限公司”（執照上會注明“自然人獨資”），最低注冊資金10萬元,并且一次繳足，登記費用是注冊資金的千分之八，比如注冊資金10萬元登記費是800元，最低是50元。

二)注冊的步驟：

1.核準名稱：

到工商局領取一張“企業（字號）名稱預先核準申請表”，填入你準備取的公司名稱(一共5個)，工商局會檢索是否有重名，如無重名，即可使用并核發“企業（字號）名稱預先核準通知書”，費用是30元(可以檢索5個名稱)。

2.租房：

租寫字樓的辦公室，民用房屋不可以注冊的(北京)。

簽訂租房合同，并讓房屋的產權人提供房產證復印件，再到稅務局買印花稅。稅率是年租金的千分之一，將印花稅票貼在合同的首頁。

3.編寫公司章程：

6.辦理驗資報告：

憑營業執照，組織機構代碼證，去銀行開立基本帳號（同時注銷驗資帳戶）。

11.辦理稅務登記：

領取執照后的30日內到當地稅務局申請領取稅務登記證(國稅,地稅)費用分別是10元，元。

12.領購發票：
