Market Report

為使甲方充分了解現行市場情況，乙方承擔至少每季度一次或在必要時隨時向甲方提供市場報告，內容包括與本協議代理商品的進口與銷售有關的地方規章的變動、當地市場發展趨勢以及買方對甲方按協議供應的貨物的品質、包裝、價格等方面的意見。乙方還承擔向甲方提供其他供應商類似商品的報價和廣告資料。

In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc.of the goods supplied by Party A under this agreement.Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers.9.廣告及費用

Advertising and Expenses

乙方負擔本協議有效期內在中國銷售代理商品做廣告宣傳的一切費用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準。

Party A shall bear all expenses for advertising and publicity in connection with the commodity in question in China within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval.10.傭金

Commission

對乙方直接獲取并經甲方確認接受的訂單，甲方按凈發票售價向乙方支付___%的傭金。傭金在甲方收到每筆訂單的全部貨款后_____天內向乙方支付。

Transactions Between Governmental Bodies

在甲、乙雙方政府部門之間達成的交易不受本協議條款的限制，此類交易的金額也不應計入第五條規定的最低業務量。

Transactions concluded between govenmental bodies of Party A and Party B shall not be restricted by the terms and conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in Article 5.12.工業產權

Industrial Property Rights

在本協議有效期內，為銷售有關洗衣機，乙方可以使用甲方擁有的商標，并承認使用于或包含于洗衣機中的任何專利商標、版權或其他工業產權為甲方獨家擁有。一旦發現侵權，乙方應立即通知甲方并協助甲方采取措施保護甲方權益。

Party B may use the trade-marks owned by Party A for the sale of the Washing Machines covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the

Washing Machines shall remain to be the sole properties of Party A.Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter's rights.13.協議有效期

Validity of Agreement

Force Majeure

由于水災、火災、地震、干旱、戰爭或協議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發生的事件通知另一方，并在不可抗力事件發生15天內將有關機構出具的不可抗力事件的證明寄交對方。

Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.16.仲裁

Arbitration

因凡因本合同引起的或與本合同有關的任何爭議，均應提交中國國際經濟貿易仲裁委員會華南分會，按照申請仲裁時該會實施的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。

In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in Singapore through channels other than Party B;Party B shall not sell, distribute or promote the sales of any products competitive with or similar to the above commodity in Singapore and shall not solicit or accept orders for the purpose of sellingthem outside Singapore.Party A shall refer to Party B any enquiries or orders for the commodity in question received by Party A from other firms in Singapore during the validity of this agreement.8.商情報告

Transactions Between Governmental Bodies

在甲、乙雙方政府部門之間達成的交易不受本協議條款的限制，此類交易的金額也不應計入第五條規定的最低業務量。

Transactions concluded between govenmental bodies of Party A and Party B shall not be restricted by the terms and conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in Article 5.12.工業產權

Any dispute arising from or in connection with this agreement shall first be attempted to be resolved through discussions and consultations between the Parties in good faith.If the dispute remains unresolved upon expiration of 30 days after written notice has been sent by one Party to the other Party, the dispute shall

be submitted to China International Economic and Trade Arbitration Commission, Shanghai Sub-Commission for arbitration, which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration.The arbitral award is final and binding upon both Parties.13.語言

15.Language

本合同以中英文書就，如中英文內容存在不一致，已中文為準

This agreement is made in both Chinese.In the event of any discrepancy between the two versions, the Chinese version shall prevail.14.管轄法律

16.Governing Law

本協議受中華人民共和國法律管轄并按中華人民共和國法律解釋。

If Party B couldn’t fulfill the 70% of sales target required，Party A has the right to

terminate the Agreement unilaterally.Party B shall be treated as qualified exclusive agent

and exclusive exporter if Party B reaches the sales target no less than 70%, the

agreement will be effective.（4）如果乙方完成本協議規定總量的80%，本協議到期日期自動延續到2013年12月31日

If Party B fulfills the 80% of the total sales target, the Agreement will be automatically

extended to 31th Dec.2013.6、市場情況報告：

Reports on Market Conditions:

乙方有義務每三個月就當前市場情況及消費者意見提供詳細報告給甲方，一旦有特殊市場變動，乙方也應即時向甲方提供書面詳情報告。所有對該品種的產品升級改良的要求，只要經濟合理，甲方應予以考慮，依據乙方要求對產品進行改進和開發。

Party B shall have the obligation to forward once every three months to Party A detailed reports on current market conditions and of consumer’s comments, and if there is any special change in the market, Party B shall also report timely to Party A its full particulars in writing.All economically reasonable requests for upgrades and changes to the

products in the line will be considered by Party A and Party A will make improvements according to the feedback or requirements from Party B.7、價格和貨款支付方式：

Price and payment terms:

(1)價格：甲方同意給予乙方相關系列產品最優惠的人民幣價格。

Prices: Party A agrees to provide Party B the most favorable price for the produced

products.(2)貨款支付方式：雙方都同意的付款方式。

Terms of payment: by the terms agreed and accepted by each both parties.8、生產和交貨周期：根據實際生產情況, 最長不得超過30天。

Production and delivery date: according to actual producing situation but it shall within 30 days maximum。

9、商標的使用權和網絡銷售權的授予：

Usufruct of the trade mark and internet marketing right

(1)商標的使用權:甲方同意乙方在本協議有效期內在*******區域使用甲方的”BBB”品牌和BBAB以及“” 商標標志；且品牌和商標的選定最終由乙方決定。

Party A agrees to provide Party B distributing marketing rights for the forementioned products for retail markets.10、廣告宣傳和市場推廣：甲方同意乙方在市場宣傳和推廣中傳播 “BBB” 和“BBAB”的品牌為*******************公司為其生產商和品牌持有人.乙方保證不在代理的目標市場對上述的商標進行注冊。根據乙方的銷售活動和市場運作活動計劃甲方有義務向乙方提供廣告支持，包括提供樣本，宣傳冊，電子版樣本和大型的廣告圖畫等。

Advertisements and market promotion regulation: Part A agrees that Party B use the brand of “BBB”、“BBAB” and trade mark“

(1)技術資料支持:甲方應向乙方提供較為詳細和準確的零部件圖冊和電子版.Technical Support: Party A provides Party B a more detailed and accurate books and electronic components.(2)技術培訓和售后支持:甲方有對乙方售后技術人員來國內進行維修技術培訓的義務.如果需要

派人到目標市場進行售后服務維修工作或者建立服務站工作,甲乙雙方另行協商并簽訂相關的協議,作為本協議的附件.Technical training and services support: Party A has the Obligations to train Party B’s after-sale technical personnel.If there is a need to send people to the target market for after-sales maintenance or establishing service station, Party A and Part B wil sign the relevant agreements as the attachments of the agreement after fully negotiation.(3)經雙方協商達成共識，在服務協議沒有簽訂之前或不能正式為乙方提供售后服務之前，甲方給予乙方每件**********元的買斷***********件，且***********件及************不包含在此內。

為維護合作雙方的合法權益，經雙方協商，甲方同意并委任乙方為其在省市的獨家代理，銷售甲方授權的產品及商品。特簽訂本協議，并共同守約執行。

第三條 代理產品

甲方授權乙方在區域內，獨家銷售安徽天鷹新能源銷售有限公司經營的系列產品，分別是

第五條 最低業務量

乙方同意，在本協議有效期內在上述代理區域內銷售上述商品的訂單價值不低于人民幣元。

第六條價格與支付

1、交貨/訂貨，由乙方下定單至甲方經甲方確認交貨時間，乙方將全部貨款匯入甲方指定帳號，甲方按期將貨物發送至乙方指定的地方。（特殊情況除外）

2、乙方每次訂貨量運輸費用有雙方友好協商確定。

3、票據-本代理協議之營銷價格全部為不含稅之價格，如代理要求發票，則在代理價格上加收稅款。

每一筆交易的貨物價格應由乙方與買主通過談判確定，并須經甲方最后確 1

認。

付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在裝運日期前______天到達甲方。

第七條獨家代理權

基于本協議授予的獨家代理權，甲方不得直接或間接地通過乙方以外的渠道向中國顧客銷售或出口第三條所列商品，乙方不得在中國經銷、分銷或促銷與上述商品相競爭或類似的產品，也不得招攬或接受以到中國以外地區銷售為目的的訂單，在本協議有效期內，甲方應將其收到的來自中國其他商家的有關代理產品的詢價或訂單轉交給乙方。

第八條 商情報告

為使甲方充分了解現行市場情況，乙方承擔至少每季度一次或在必要時隨時向甲方提供市場報告，內容包括與本協議代理商品的進口與銷售有關的地方規章的變動、當地市場發展趨勢以及買方對甲方按協議供應的貨物的品質、包裝、價格等方面的意見。乙方還承擔向甲方提供其他供應商類似商品的報價和廣告資料。

第十條傭金

對乙方直接獲取并經甲方確認接受的訂單，甲方按凈發票售價向乙方支付___%的傭金。傭金在甲方收到每筆訂單的全部貨款后_____天內向乙方支付。

第十三條 協議有效期

本協議經雙方簽署后生效，有效期為_____年，從2____年___月___日至2____年____月____日。除非作出相反通知，本協議期滿后將延長______個月。

第十四條 協議的終止

在本協議有效期內，如果一方被發現違背協議條款，另一方有權終止協議。

五、售后服務

1、乙方應至少有一專職人員負責甲方產品的售后服務，并有能力進

行簡單維修及判定客戶申訴/調換貨物是否合理；甲方承諾由售出之日起月包換，一年內免費保修，所有保修服務按照<保修單>處理。

2、乙方在擔當甲方產品代理時，有銷售與甲方同一類型的產品需與

甲方協商。

3、乙方確定為甲方代理，乙方可以拓展自己的銷售范圍。并能嚴

格執行甲方公司規定的價格體系，監督其他代理商串貨及不執行價格體系銷售的行為。

4、甲方在已確立獨家代理商區域內，不再確立第二家代理商。

5、在市場及產品材料價格變化而引致產品調價時，甲方第一時間通

知乙方并妥善處理價格體系。

6、甲方保證乙方的利益/權益，對代理商的違約行為：不按價格體系及總代理區域銷售等進行懲罰和制止。

7、甲乙雙方正常合作期間 返修費用，雙方各承擔一半。如果乙方月銷售額低于元，或由于乙方項目轉變造成雙方三個月未合作，合同自動失效，甲方將不再承擔維修及其他任何費用。

六、違約及終止

1、乙方違約，甲方將視情況，停止供貨，終止代理代理協議等措施，嚴重損害甲方企業利益及形象/破壞產權等行為，甲方將通過法律手段予與處理。并追究經濟損失。

2、雙方中任一方終止代理代理協議，需提前一個月告知對方，并取得對方同意。有關終止代理代理協議善后工作，雙方商議解決。

七、本代理協議一式兩份，雙方簽字后生效。

八、本協議解釋權在甲方。如有其他未盡事宜，雙方協商解決。若發生糾紛，以甲方所在地法律機關仲裁為準。
