EXCLUSIVE AGENCY AGREEMENT

本協議于年月日，由ABC公司（一家根據中國法律組建并存在的公司，其主營業地在，以下簡稱賣方）與XYZ公司（一家根據XX國法律組建并存在的公司，其主營地在XXX，以下簡稱代理商）共同簽定并一致約定如下：

Thisagreementis made and entered into this XXX day of XXXby and between ABC CO.,LTD.a corporation dully organized and existing under the the laws of People's Republic of China, with its principal place of business at XXX(hereinafter called seller)and XYZ CO.,LTD.a

corporation uly organized and existing under the laws of XXX , with its principal of business at XX(hereinafter called agent),Whereby it's mutually agreed as follows:

第一條委仸與接受

在本協議有效期內，賣方指定代理商為本協議第四條項下商品的獨家代理商，在第三條規定的區域內招攬訂單。代理商同意并接受上述委仸。Article 1 Appointment and AcceptanceDuring the effective period of this agreement, seller hereby appoints agent as its exclusive agent to solicit orders for products stipulated in Article 4 from customers in the territory stipulated in Article 3 and agent accepts and assumes such appointment.第二條代理商的義務

代理商應嚴格遵守賣方隨時給予的仸何指令，而且不得代表賣方作出仸何擔保、承諾以及訂立合同、協議或做其他對賣方有約束力的行為。對于代理上違反賣方指令或超出指令范圍的一切作為或不作為，賣方不承擔仸何責仸。

Article 2 Agents Duty

agent shall strictly conform with any and all instructions given by seller to agent from time to time and shall not make any representation , warranty ,promise,contract, agreement or do any other act binding

seller.seller shall not be held responsible for any acts or failures to act by agent in excess of or contrary to such instructions.第三條代理區域

本協議所指的代理區域是：XXX（以下簡稱區域）

Article 3Territory

the territory covered under this agreement shall be expressly confined to XXX(hereinafter called Territory).第四條代理商品

本協議所指的代理商品是XXX（以下簡稱商品）。

Article 4 Products

the products covered under this agreement shall be expressly confined to XXX(hereinafter called products).第五條獨家代理權

基于本協議授予的獨家代理權，賣方不得在代理區域內，直接或間接地，通過其他渠道銷售、出口代理商品。代理商也不得在代理區域內經銷、分銷或促銷與代理商品類似或有競爭性的商品，也不能招攬或接受以向區域外銷售為目的的訂單。在本協議有效期內，對來自區域內其他顧客有關代理商品的訂單、詢價，賣方都應將其轉交給代理商。

Article 5 Exclusive Right in consideration of the exclusive right herein granted,seller shall not , directly or indirectly , sell or export products to Territory through other channel than agent and agent shall not sell, distribute or promote the sale of any products competitive with or similar to products in territory and shall not solicit or accept orders for the purpose of selling products outside territory.seller shall refer to agent any inquiry or order for

products seller may receive from others in territory during the effective period of this agreement.第六條最低交易金額與價格

在本協議有效期內，如果賣方通過代理商每年（12個月）從顧客處收到的貨款金額低于 XXXXXXX，則賣方有權提前30天書面通知代理商解除本協議。

Article 6 Minimum Transaction and Price

in the event that during one year(12months)during the effective period of this agreement , aggregate payment received by seller from

customers on orders obtained by agent under this agreement amounts to less than XXXX, seller shall have the right to terminated this agreement by giving thirty(30)day's written notice to agent.the seller shall from time to time furnish the agent with a statement of the minimum price and the terms and conditions of sales at which the good are respectively to be sold.第七條訂單

在招攬訂單時，代理商應將賣方銷售合同的一般交易條件給顧客以充分通知，也應告之顧客，仸何合同的訂立都必須經賣方確認。代理商應將收到的訂單立即轉交賣方，由賣方確定接受與否。

賣方有權利拒絕履行或接受代理商轉交的訂單或訂單的一部分，而代理商對于被拒絕的訂單或其中一部分，無權要求傭金。

Article 7 Orders

in soliciting orders , agent shall adequately advise customers of the general terms and conditions of seller's sales note or contract note and of any contract being subject to the confirmation of acceptance by seller.agent shall immediately dispatch any order received to seller for its acceptanec or rejection.the seller shall have the right to refuse to execute or accept any such orders or any part thereof and the agent shall not be entitled to any commission in respect of any such rejected order or part thereof refused.第八條費用分擔

除另有約定，所有費用和支出，如電訊費、差旅費以及其他相關銷售費用，都應由代理商承擔。此外，代理商還應承擔維持其辦公處所、銷售人員以及用于執行賣方有關代理商義務的所有指令而發生的費用。Article 8 Expenses

all expenses and disbursements such as cabling,travelling and other expenses incurred in connection with the sale of products shall be for the account of agents, unless especially arranged.further agent shall ,at his own expenses, maintain offic(s),salesman and other sufficient for the performance of the obligation of agent in conformity with any and all instructions given by seller.第九條傭金

賣方接受代理商直接獲得的所有訂單后，應按發票凈售價XX%，以XX（貨幣）支付給代理商傭金。傭金在賣方收到全部貨款后每六個月以匯款方式支付。

Article 9 Commission

seller shall pay to agent commission in XX currency at the rate of XX% of the net invoiced slling price of products on all orders directly

obtained by agent accepted by seller, such commission shall by payable every six moinths only after seller receives the full amount of all

paymnets due to seller, payments of such commission shall be made to agent by way of remittance.第十條商情報告

賣方和代理商都應按季度或按對方要求提供市場報告，以盡可能促進商品銷售。代理商應向賣方報告商品庫存情況、市場狀況以及其他商業活動。

Article 10 Information and Report both seller and agent shall quarterly and/or on the request of eigher party furnish information and market report each other to promote the

sale of products as much as possible.agent shall furnish to seller report of inventory ,market situation and other commercial actiities.第十一條促銷

在代理區域內，代理商應積極、充分地進行廣告宣傳以促進商品銷售。賣方應向代理商提供一定數量的廣告印刷品、樣本、小冊子以及代理商合理要求的其他材料。

Article 11 Sales Promotion

agent shall diligently and adequately advertise and promote the sale of products throughout territory.seller shall furnish to agent reasonable quantity of advertising literatures catalogues ,leafleats, and the like as agent may reasonable require.第十二條工業產權

在本協議有效期內，代理商可以使用賣方的商標，但僅限于代理商品的銷售。本協議終止后，代理商銷售庫存的代理商品時，仍可使用賣方商標。代理商承認使用于或包含代理商品中的仸何專利、商標、版權以及其他工業產權，都屬于賣方所有，并不得以仸何方式提出異議。一旦發現侵權，代理商應及時通知賣方，并協助賣方采取措施保護賣方的工業產權。

Article 12 Industrial Property Rights

agent may use the trade mark of seller during the effective period of this agreement only in aonnection with the sale of products, provided that even after the termination of this agreement agent may use the trade marketin connection with the sale of products held by it in stock at the time of termination.agent shall also acknowledge that any and all paterns , trade markets,copyright and other industrial property rights used or embodied in products shall remain to be sole properties of

seller and shall not dispute them in any way.if an y infringement being found, agent shall promptly notify sller and assist seller to take steps to protect its right.第十三條協議有效期

本協議經雙方簽字生效。在本協議終止前至少3個月，賣方或代理商應共同協商協議的延續。如雙方一致同意延續，本協議應在上述各項條款（以及相關修改，若有的話）的基礎上，繼續有效 XX年。否則，本協議將于X年X月X日終止。

Article 13 Duration this agreement shall enter into force on the signing of both parties.at least three months before the expiration of the agreement, both seller and agent shall consult each other for renewal of this agreement.if the renewal of this agreement is agreed upon by both parties , this

agreement shall be renewed for anotherXX year(s)period under the terms and conditions herein set forth, with a mendments , if agreed upon by both parties.unless this agreement shall expire on XX.第十四條協議的中止

在本協議有效期內，仸何一方當事人不履行協議或違反協議條款，雙方當事人應力爭及時、友好地解決爭議以期雙方滿意。如果在違反方接到書面通知后30日內問題仍無法解決，非違約方有權終止本協議，由此造成的損失概由違約方承擔。此外，若協議一方發生破產、清算、死亡幾/或被第三放重組，雙方均有權中止本協議。

Article 14 Termination

in case there is any non-performance and/or wiolation of the terms and conditions under this agreement by eigher party during the effective period of this agreement , the parties hereto shall do their best to settle the matter in question as prompt and amicable as posissble to mutual satisfaction.unless settlement should be reached within thirty days after notification in writing of the other party,such other party shall have the right to cancel this agreement and the loss and damages sustained thereby shall be indemnified by the party responsible for the non-performance and/or violation.further in case of bankruptcy or insolvency or liquidation or death and/or reorganization by the third party of the other party, eigher party have the right to terminate this agreement.第十五條不可抗力

仸何一方對因下列原因導致不能或暫時不能履行全部或部分協議義務不負責仸。這些原因包括：自然災害、政府采購或禁令以及其他仸何雙方在簽約時不能預料、無法控制且不能避免和克服的事件。受不可抗力影響的一方應盡快地將發生的時間書面通知對方。

Article 15 Force Majeure

either party shall not be responsible for failure or delay to perform all or any part of the obligations under this agreement ,which include: acts of god, government orders or restriction or any other events which cuold not be predicted at the time of the conclusion of the agreement and could not be controlled, avoided or overcome by the parties.however , the party effected by the event of force majeure shall inform the other party of its occurrence in written as soon as possible.第十六條貿易條件與合同準據法

本協議使用的貿易條件應按INCOTERMS 2000解釋。本協議的有效性、締結及履行受中華人民共和國法律管轄。

Article 16 Trade Terms and Governing Law

the trade terms under this agreement shall be governed and interpreted

under the provisions of INCOTERMS 2000 and this agreement shall be governed as to all matters including validity , construction, and performance under the laws of People's Republic of China.第十七條仲裁

對于因履行本協議發生的一切爭議，雙方應友好協商解決。若無法協商解決，則應提交中國國際經濟貿易仲裁委員會（北京）根據其仲裁規則進行仲裁。仲裁裁決是最終的，對雙方均有約束力。仲裁費用應由敗訴方承擔。

Article 17 Arbitration all disputes arising from the performance of the agreement should be settled through friendly negotiations.should no settlement be reached trhough negotiation, the case shall be submiteted for arbitration to the China International Economic and Trade arbitration Commission(Beijing)and the rules of this commission shall be applied.the award of the arbitration shal be final and binding upon both parties.the arbitration fee shall be born by the losing party.本協議由雙方代表簽字后生效，正本一式兩份，雙方各執一份。WITNESS THEREOF：This agreement shall come into effect

immediately after it is signed by both parties in two original copies;each party hold on copy.

乙方同意，在本協議有效期內在上述代理區域內銷售上述商品的訂單價值不低于人民幣元。

第六條價格與支付

1、交貨/訂貨，由乙方下定單至甲方經甲方確認交貨時間，乙方將全部貨款匯入甲方指定帳號，甲方按期將貨物發送至乙方指定的地方。（特殊情況除外）

2、乙方每次訂貨量運輸費用有雙方友好協商確定。

3、票據-本代理協議之營銷價格全部為不含稅之價格，如代理要求發票，則在代理價格上加收稅款。

每一筆交易的貨物價格應由乙方與買主通過談判確定，并須經甲方最后確 1

認。

付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在裝運日期前______天到達甲方。

第七條獨家代理權

基于本協議授予的獨家代理權，甲方不得直接或間接地通過乙方以外的渠道向中國顧客銷售或出口第三條所列商品，乙方不得在中國經銷、分銷或促銷與上述商品相競爭或類似的產品，也不得招攬或接受以到中國以外地區銷售為目的的訂單，在本協議有效期內，甲方應將其收到的來自中國其他商家的有關代理產品的詢價或訂單轉交給乙方。

第八條 商情報告

為使甲方充分了解現行市場情況，乙方承擔至少每季度一次或在必要時隨時向甲方提供市場報告，內容包括與本協議代理商品的進口與銷售有關的地方規章的變動、當地市場發展趨勢以及買方對甲方按協議供應的貨物的品質、包裝、價格等方面的意見。乙方還承擔向甲方提供其他供應商類似商品的報價和廣告資料。

第十條傭金

對乙方直接獲取并經甲方確認接受的訂單，甲方按凈發票售價向乙方支付___%的傭金。傭金在甲方收到每筆訂單的全部貨款后_____天內向乙方支付。

第十三條 協議有效期

本協議經雙方簽署后生效，有效期為_____年，從2____年___月___日至2____年____月____日。除非作出相反通知，本協議期滿后將延長______個月。

第十四條 協議的終止

在本協議有效期內，如果一方被發現違背協議條款，另一方有權終止協議。

五、售后服務

1、乙方應至少有一專職人員負責甲方產品的售后服務，并有能力進

行簡單維修及判定客戶申訴/調換貨物是否合理；甲方承諾由售出之日起月包換，一年內免費保修，所有保修服務按照<保修單>處理。

2、乙方在擔當甲方產品代理時，有銷售與甲方同一類型的產品需與

甲方協商。

3、乙方確定為甲方代理，乙方可以拓展自己的銷售范圍。并能嚴

格執行甲方公司規定的價格體系，監督其他代理商串貨及不執行價格體系銷售的行為。

4、甲方在已確立獨家代理商區域內，不再確立第二家代理商。

5、在市場及產品材料價格變化而引致產品調價時，甲方第一時間通

知乙方并妥善處理價格體系。

6、甲方保證乙方的利益/權益，對代理商的違約行為：不按價格體系及總代理區域銷售等進行懲罰和制止。

7、甲乙雙方正常合作期間 返修費用，雙方各承擔一半。如果乙方月銷售額低于元，或由于乙方項目轉變造成雙方三個月未合作，合同自動失效，甲方將不再承擔維修及其他任何費用。

六、違約及終止

1、乙方違約，甲方將視情況，停止供貨，終止代理代理協議等措施，嚴重損害甲方企業利益及形象/破壞產權等行為，甲方將通過法律手段予與處理。并追究經濟損失。

2、雙方中任一方終止代理代理協議，需提前一個月告知對方，并取得對方同意。有關終止代理代理協議善后工作，雙方商議解決。

七、本代理協議一式兩份，雙方簽字后生效。

八、本協議解釋權在甲方。如有其他未盡事宜，雙方協商解決。若發生糾紛，以甲方所在地法律機關仲裁為準。

僅限于新加坡

In Singapore only

5、最低業務量 Minimum turnover

乙方同意，在本協議有效期內從上述代理區域內的顧客處招攬的上述商品的訂單價值不低于10萬美元。

Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement for not less than USD 100,000,00.6、價格與支付 Price and Payment

每一筆交易的貨物價格應由乙方與買主通過談判確定，并須經甲方最后確認。付款使用保兌的、不可撤銷的信用證，由買方開出，以甲方為受益人。信用證須在裝運日期前15天到達甲方。

The price for each individual transaction shall be fixed through negotiations between Party B and the buyer, and subject to Party A’s final confirmation.Payment shall be made by confirmed, irrevocable L/C opened by the buyer in favor of Party A ,which shall reach Parth A 15 days before the date of shipment.7、獨家代理權 Exclusive Right

基于本協議授予的獨家代理權，甲方不得直接或間接地通過乙方以外的渠道向新加坡顧客銷售或出口第三條所列商品，乙方不得在新加坡經銷、分銷或促銷與上述商品相競爭或類似的產品，也不得招攬或接受以到新加坡以外地區銷售為目的的訂單，在本協議有效期內，甲方應將其收到的來自新加坡其他商家的有關代理產品的詢價或訂單轉交給乙方。

In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in Singapore through channels other than Party B;Party B shall not sell, distribute or promote the sales of any products competitive with or similar to the above commodity in Singapore and shall not solicit or accept orders for the purpose of selling them outside Singapore.Party A shall refer to Party B any enquiries or orders for the commodity in question received by Party A from other firms in Singapore during the validity of this agreement.8.、商情報告 Market Report

為使甲方充分了解現行市場情況，乙方承擔至少每季度一次或在必要時隨時向甲方提供市場報告，內容包括與本協議代理商品的進口與銷售有關的地方規章的變動、當地市場發展趨勢以及買方對甲方按協議供應的貨物的品質、包裝、價格等方面的意見。乙方還承擔向甲方提供其他供應商類似商品的報價和廣告資料。

In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer’s comments on quality, packing, price, etc.of the goods supplied by Party A under this agreement.Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers.9、廣告及費用 Advertising and Expenses

乙方負擔本協議有效期內在新加坡銷售代理商品做廣告宣傳的一切費用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準。

Party A shall bear all expenses for advertising and publicity in connection with the commodity in question in Singapore within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval.10、傭金 Commission

對乙方直接獲取并經甲方確認接受的訂單，甲方按凈發票售價向乙方支付5%的傭金。傭金在甲方收到每筆訂單的全部貨款后才會支付。

Party A shall pay Party B a commission of 5% on the net invoiced selling price on all orders directly obtained by Party B and accepted by party A.No commission shall be paid until Party A receives the full payment for each order.11.政府部門間的交易Transactions Between Governmental Bodies

在甲、乙雙方政府部門之間達成的交易不受本協議條款的限制，此類交易的金額也不應計入第五條規定的最低業務量。

Transactions concluded between govenmental bodies of Party A and Party B shall not be restricted by the terms and conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in Article 5.12.工業產權 Industrial Property Rights

在本協議有效期內，為銷售有關洗衣機，乙方可以使用甲方擁有的商標，并承認使用于或包含于洗衣機中的任何專利商標、版權或其他工業產權為甲方獨家擁有。一旦發現侵權，乙方應立即通知甲方并協助甲方采取措施保護甲方權益。

Party B may use the trade-marks owned by Party A for the sale of the Washing Machines covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the Washing Machines shall remain to be the sole properties of Party A.Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter’s rights.13.協議有效期 Validity of Agreement

本協議經有關雙方如期簽署后生效，有效期為1年，從1992年10月1日至1993年9月30日。除非作出相反通知，本協議期滿后將延長12個月。

This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from October 1, 1992 to September 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.14.協議的終止 Termination

在本協議有效期內，如果一方被發現違背協議條款，另一方有權終止協議。

During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.15.不可抗力 Force Majeure

由于水災、火災、地震、干旱、戰爭或協議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發生的事件通知另一方，并在不可抗力事件發生15天內將有關機構出具的不可抗力事件的證明寄交對方。

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.16.仲裁 Arbitration

因履行本協議所發生的一切爭議應通過友好協商解決。如協商不能解決爭議，則應將爭議提交中國國際經濟貿易仲裁委員會（北京），依據其仲裁規則進行仲裁。仲裁裁決是終局的，對雙方都有約束力。

Market Report
