鐘山在調(diào)研中表示，今年外貿(mào)形勢嚴(yán)峻復(fù)雜，任務(wù)十分艱巨。我們既要看到世界經(jīng)濟(jì)復(fù)蘇艱難、國際貿(mào)易摩擦增加、我國傳統(tǒng)優(yōu)勢弱化、貿(mào)易便利化水平有待提高等不利因素和挑戰(zhàn)，又要看到國際需求有所回升、外貿(mào)綜合競爭力逐步增強(qiáng)、外貿(mào)發(fā)展環(huán)境不斷優(yōu)化等有利條件和機(jī)遇。各地方商務(wù)部門要貫徹十八屆三中全會精神，進(jìn)一步深化改革、擴(kuò)大開放，堅持穩(wěn)中求進(jìn)的工作總基調(diào)，以“穩(wěn)增長、調(diào)結(jié)構(gòu)”為目標(biāo)，不斷優(yōu)化外貿(mào)發(fā)展環(huán)境，培育外貿(mào)競爭新優(yōu)勢，提高外貿(mào)發(fā)展水平。

鐘山指出，2014年，商務(wù)系統(tǒng)要著力做好外貿(mào)領(lǐng)域三個方面的重點工作：一是著力培育以技術(shù)、品牌、質(zhì)量、服務(wù)為核心的外貿(mào)競爭新優(yōu)勢。這既是外貿(mào)可持續(xù)發(fā)展、實現(xiàn)由大到強(qiáng)轉(zhuǎn)變的迫切任務(wù)，也是我國擴(kuò)大對外開放、提升開放型經(jīng)濟(jì)水平的必然要求，還是轉(zhuǎn)方式、調(diào)結(jié)構(gòu)的重要抓手。二是扎實推進(jìn)“五個優(yōu)化、三項建設(shè)”。繼續(xù)大力優(yōu)化國際市場布局、國內(nèi)區(qū)域布局、經(jīng)營主體、出口商品結(jié)構(gòu)、貿(mào)易方式；加快外貿(mào)生產(chǎn)基地建設(shè)，內(nèi)外貿(mào)結(jié)合專業(yè)市場、跨境電子商務(wù)、國際展會、進(jìn)口促進(jìn)等貿(mào)易平臺建設(shè)和國際營銷網(wǎng)絡(luò)建設(shè)。三是要保持外貿(mào)政策基本穩(wěn)定，不斷優(yōu)化外貿(mào)發(fā)展環(huán)境，提高貿(mào)易便利化水平。希望各地方商務(wù)主管部門和廣大外貿(mào)企業(yè)增強(qiáng)信心，扎實工作，確保今年外貿(mào)實現(xiàn)穩(wěn)定增長。（步欣）

五舉措促教育均衡發(fā)展

一是加強(qiáng)區(qū)域教育的布局規(guī)劃和校園文化規(guī)劃建設(shè)。在推進(jìn)中小學(xué)標(biāo)準(zhǔn)化建設(shè)的基礎(chǔ)上，合理調(diào)整學(xué)校布局，擬成立相對集中地教學(xué)園區(qū)，逐步形成“校園規(guī)劃科學(xué)合理，校園建筑品味高雅”的學(xué)校建筑文化，實現(xiàn)教育均衡發(fā)展，逐步在更大范圍內(nèi)實現(xiàn)優(yōu)質(zhì)均衡。二是堅持采用、領(lǐng)導(dǎo)干部教師交流制度。發(fā)揮交流教師的輻射作用，提高教師的群體教學(xué)水平，幫扶弱勢學(xué)校出新秀。

三是推行學(xué)區(qū)一體化管理模式。開展校長管理經(jīng)驗交流會，觀摩考察活動，創(chuàng)新學(xué)校的管理模式，發(fā)揮強(qiáng)勢學(xué)校的領(lǐng)頭雁的作用。四是開展學(xué)區(qū)內(nèi)、縣域及更廣大區(qū)域的“城鄉(xiāng)結(jié)對，互助互盈”活動，他山之石可攻玉。

五是確保務(wù)工人員子女與本地學(xué)生平等接受義務(wù)教育。

11.發(fā)貨通知Shipping Advice

賣方應(yīng)于貨物包裝完畢后, 立即以書面通知買方合同號, 貨名, 實裝數(shù)量,毛重, 發(fā)票金額和出廠日期.The Seller, immediately upon the completion of the loading of the commodity, shall notify by cable/fax the Buyer of the contract number, name of commodity, quantity, gross weight, invoice value, date of delivery.12.技術(shù)資料Technical Document

賣方向買方提供一整套技術(shù)資料。

The Sellers will provide a set of technical document to the Buyers.13.保修期Guaranty of Quality

賣方保證合同貨物由最好的原料制成, 使用的是第一流的工藝,該產(chǎn)品是全新的, 沒有用過的, 而且與合同所規(guī)定的質(zhì)量, 規(guī)格, 性能相符.賣方保證合同貨物在正確安裝, 操作和維修的條件下, 將會在從貨物后設(shè)備安裝調(diào)試驗收后12個月內(nèi)或貨物發(fā)運后18個月內(nèi)給予滿意的操作運轉(zhuǎn),先到為準(zhǔn).The Seller shall guarantee that the commodity is made of the best materials, with first class workmanship, brand new, unused and complies in all respects with the quality, specification and performance as stipulated in this Contract.The Seller shall guarantee that the goods, when correctly mounted and properly operated and maintained, shall give satisfactory performance for a period of 12 months counting from the date on which the commodity be installed and normal operation, or for a period of 18 months counting from the date on which the goods be shipped, whichever comes first.14.檢驗Inspection

(1)制造商在發(fā)貨前應(yīng)對貨物的質(zhì)量, 規(guī)格, 性能和數(shù)量/重量進(jìn)行精確全面的檢驗, 并且出具證明書, 證明貨物與合同的規(guī)定相符.該證明書將成為向銀行議付的單據(jù)不可分割的組成部分.但對于合同貨物的質(zhì)量, 規(guī)格, 性能和數(shù)量/重量來說, 不能成為最終的證明.制造商所作檢驗的詳細(xì)情況和結(jié)果必須寫出報告,該報告應(yīng)附在質(zhì)量檢驗證書中.The manufacturers shall, before making delivery, make a precise and comprehensive inspection of the goods as regards the quality, specification, performance and quantity/weight and issued certificates certifying that the goods are in conformity with the stipulation of this Contract.The certificate shall form an integral part of the documents to be presented to the paying bank for negotiation of payment but shall not be considered as final in respect of quality, specification, performance and quantity/weight.Particulars and results of the test carried out by the manufacturers must be shown in a statement, which has to be attached to the Quality Certificate.(2)貨物到達(dá)合同所在地之后, 買方應(yīng)委請中國商品檢驗局(以下簡稱商檢局)對質(zhì)量, 規(guī)格, 數(shù)量/重量進(jìn)行初步檢驗, 并且出具檢驗報告.如發(fā)現(xiàn)貨物規(guī)格或數(shù)量與合同不符, 或兩者不符, 除保險公司或船運公司應(yīng)負(fù)責(zé)的以外, 買方在到目的港后60日內(nèi)有權(quán)拒收貨物或向賣方提出索賠.熱處理或熏蒸證明證書正本。Heat Treatment or Fumigation Certificate in 1 original.After the goods arrive at port of destination, the Buyer shall apply to China Commodity Inspection Bureau(hereinafter called the Bureau)for a preliminary inspection of the goods in respect of their quality, specification and quantity/weight.If any discrepancies are found by the Bureau regarding the specification or quantity/weight or both, except those for which either the insurance company or the shipping company is responsible, the Buyer shall, within 60 days after discharge of the goods at the port of destination, have the right either to reject the goods or to claim against the Seller on the strength of the inspection certificate issued by the Bureau.(3)在本合同13條所規(guī)定的保證期內(nèi)如果發(fā)現(xiàn)貨物質(zhì)量和規(guī)格與合同不符, 或如果無論什么理由, 證明貨物有缺陷, 包括潛在缺陷, 或用了不合適的原料,買方應(yīng)請求商檢局進(jìn)行檢驗, 買方有權(quán)根據(jù)商檢局出具的檢驗報告向賣方索賠.Should the quality and specifications of the goods be not in conformity with contract, or should the goods defective within the guarantee period stipulated in Clause 13 for any reason, including latent defect or the use of unsuitable materials, the Buyer shall arrange for a survey to be carried out by the Bureau, and have the right to claim against the Seller on the strength of the survey Report.15.索賠解決辦法Settlement and Claims

(1)如果賣方對買方在合同第13條和14條所規(guī)定的檢驗和質(zhì)量保證期限內(nèi)向賣方提出質(zhì)量不符和索賠要求負(fù)有責(zé)任時, 賣方須經(jīng)買方同意按以下一個或多個綜合的方法來處理該項索賠:In case that the Seller are liable for the discrepancies and a claim is lodged by the Buyer within the time-limit of inspection and quality guarantee period as stipulated in Clauses 15 and 17 of this Contract, the Seller shall settle the claim upon the agreement of the Buyer in one or the combination of the following ways:

A)同意拒收貨物并用合同規(guī)定的相同貨幣歸還拒收貨物部分的貨款, 并且應(yīng)承擔(dān)與此相關(guān)的所有直接損失和費用, 包括由此產(chǎn)生的利息, 銀行費用, 運費, 保險費, 檢驗費, 貯存費, 裝卸費, 以及其它所有保管和維護(hù)被拒收貨物所必需的費用.Agree to the rejection of the goods and refund to the Buyer the value of the goods so rejected in the same currency as contracted herein, and to bear all direct losses and expenses in connection therewith including interest accrued, banking charges, freight, insurance premium, inspection charges, storage, stevedore charges and all other necessary required for the custody and protection of the rejected goods.B)根據(jù)貨物劣質(zhì), 損害程度以及買方所損失和范圍降低貨物的價格.Devalue the goods according to degree of inferiority, extent of damage and amount of losses suffered by the Buyer.C)將不符部分換成與合同規(guī)定的規(guī)格, 質(zhì)量, 性能相符的新部件, 賣方應(yīng)承擔(dān)買方所承受的一切費用和損失.賣方應(yīng)同時保證新?lián)Q的部件按照本合同第15條的規(guī)定延長相應(yīng)的質(zhì)量保證期.Replace new parts, which conform to the specifications quality and performance as stipulated in this Contract, and bear all the expenses and direct losses sustained by the Buyer.The Seller shall at the same time, guarantee the quality of the replaced parts for a further period according to Clause 15 of this Contract.D)由賣方自費派出技術(shù)人員對貨物的不符和有缺陷部分進(jìn)行修理.如賣方不能派出技術(shù)人員時, 買方有權(quán)代為修理, 由此所產(chǎn)生費用應(yīng)由賣方承擔(dān).Repair or remove the defects and discrepancies of the goods under this Contract by Seller personnel at Seller expenses, if Seller can not send their personnel to do it, Buyer will have the right to do the repair or removal upon the Seller agreement and Seller shall bear all the costs occurred thereof.(2)對于上述索賠, 如果賣方在收到買方索賠要求后 30天之內(nèi)不能作出答復(fù)時, 應(yīng)視為賣方接受了買方的索賠要求.The claims mentioned above shall be regarded as being accepted if the Seller falls to

reply within 30 days after the Seller receive the Buyer claim.16.不可抗力Force Majeure

不論是在制造過程或裝船或轉(zhuǎn)運過程中, 因不可抗力這事故如戰(zhàn)爭,嚴(yán)重的火災(zāi), 水災(zāi), 臺風(fēng), 地震和其它雙方承認(rèn)是不可抗力的事故, 造成賣方不能如期交貨或不能交貨時, 賣方可不負(fù)責(zé)任.但賣方必須立即通知買方發(fā)生的事故, 并在以后的十四天內(nèi)提供不可抗力事故發(fā)生地的有關(guān)政府當(dāng)局出具的證明文件, 空郵給買方作為證明.在此情況下, 賣方仍有義務(wù)采取必要的措施加緊供貨, 如果不可抗力事故延續(xù)十周以上, 買方有權(quán)撤銷該合同.The Seller shall not be responsible for the delay in shipment or non-delivery of the goods due to Force Majeure case such as war, serious fire, flood, typhoon, and earthquake and other case which be recognized by both parties upon agreement as being case of Force Majeure, which might occur during the process of manufacturing or the course of loading or transit, Seller shall advise the Buyer.Immediately of the occurrence mentioned above and within fourteen days thereafter, Seller shall send by airmail to the Buyer for their acceptance a certificate of the accident issued by the competent Government Authorities where the accident occurs as evidence hereof.Under such circumstances the Seller however are still under the obligation to take all necessary measures to hasten the delivery of the goods.In case the accident lasts for more then ten weeks Buyer shall have the right to cancel the Contract.17.遲交和罰款Late Delivery and Penalty

除了本合同第19條所規(guī)定的不可抗力事故外, 如果賣方不能按合同規(guī)定時間準(zhǔn)時交貨, 買方可同意推遲交貨, 但以賣方同意支付罰款為條件.該罰款由支付銀行從議付的貨物中扣除, 該罰款不應(yīng)超過遲交貨物總價的 5%.遲交罰款按每七天 0.5% 的計算, 不足七天亦按七天計算.如延期交貨超過 10 個星期, 買方有權(quán)撤銷合同.盡管該合同已撤銷, 賣方仍應(yīng)毫無延遲地支付前面所說的罰金.Should the Seller fail to make delivery on time as stipulated in the Contract , with exception of Force Majeure cases specified in Clause 19 of this Contract , the Party A shall agree to postpone the delivery on condition that the Seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation.The penalty, however, shall not exceed 5% of the total value the goods involved in the late delivery.The rate of penalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days.In case the Seller fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyer shall have the right to cancel the contract and the Seller, in spite of the cancellation, shall still pay the aforesaid penalty to Buyer without delay.18.仲裁Arbitration

與本合同有關(guān)或因執(zhí)行本合同所發(fā)生的一切爭議應(yīng)由雙方通過友好協(xié)商解決, 如果雙方經(jīng)協(xié)商后仍不能解決時, 應(yīng)提請仲裁.All disputes in connection with this contract or the execution thereof shall be settled through friendly negotiation when no settlement can be reached the disputes shall be submitted for arbitration.19.法律的遵守Observance of Laws

(1)賣方及賣方的人員在中華人民共和國境內(nèi)執(zhí)行本合同時應(yīng)遵守中華人民共和國的法律.The Seller and Seller’s personnel shall abide by the relevant laws of the People’s Republic of China when the implement this Contract in the People's Republic Of China.(2)買方及買方的人員在賣方國家內(nèi)執(zhí)行本合同時應(yīng)遵守賣方國家的法律.The Buyer and Buyer personnel shall abide by the relevant laws of the Seller country when they implement this Contract in

the Seller country.20.合同生效及其它Effectiveness of Contract and Miscellaneous
