第二篇：保證函

履約保函

（業主）：

鑒于貴方與(以下簡稱“承包商”)就 簽訂《建設工程施工合同》（以下簡稱“主合同”），應承包商申請，我方愿就承包商履行主合同約定的義務以保證的方式向貴方提供以下擔保：

一、保證的范圍及保證金額

我方的保證范圍是承包商未按照主合同的約定履行義務，給貴方造成的實際損失。

我方保證的金額是主合同約定的合同總價款式的 %，數額最高不超過人民幣 元（大寫： 元整）。

二、保證的方式及保證期間 我方保證的方式為：連帶責任保證。

我方保證的期間為：自本保函生效之日起至合同約定的工程竣工日期后30日內。

貴方與承包商協議變更工程竣工日期的，經我方書面同意后，保證期間按照變更后的竣工日期做相應調整。

三、承擔保證責任的形式

我方按照貴方的要求以下列方式之一承擔保證責任：

（1）由我方提供資金及技術援助，使承包商繼續履行主合同義務，支付金額不超過本第一條規定的保證金額。

（2）由我方在本保函第一條規定的保證金額內賠償貴方的損失。

四、代償的安排

貴方要求我方承擔保證責任的，應向我方發出書面索賠通知及承包商未履行主合同約定義務的證明材料。索賠通知應寫明要求索賠的金額，支付款項應到達的帳號，并附有說明承包商違反主合同造成貴方損失情況的證明材料。

貴方以工程質量不附合主合同約定標準為由，向我方提出違約索賠的，還需同時提供符合相應條件要求的工程質量檢測部門出具的質量說明材料。

我方收到貴方的書面索賠通知及相應證明材料后，在15個工作日內進行核定后按照本保函的承諾承擔保證責任。

五、保證責任的解除

1、在本保函承諾的保證期間內，貴方未書面向我方主張保證責任的，自保證期間屆滿次日起，我方保證責任解除。

2、承包商按主合同約定履行了義務的，自本保函承諾的保證期間屆滿次日起，我方保證責任解除。

3、我方按照本保函向貴方履行保證責任所支付的金額達到本保函金額時，自我方向貴方支付（支付款項從我方帳戶劃出）之日起，保證責任即解除。

4、按照法律法規的規定或出現應解除我方保證責任的其它情形的，我方在本保函項下的保證責任亦解除。

我方解除保證責任后，貴方應自我方保證責任解除之日起 個工作日內，將本保函項原件返還我方。

六、免責條款

1、因貴方違約致使承包商不能履行義務的，我方不承擔保證責任。

2、依照法律法規的規定或貴方與承包商的另行約定，免除承包商部分或全部義務的，我方亦免除其相應的保證責任。

3、貴方與承包商協議變更主合同的，如加重承包商責任致使我方保證責任加重的，需征得我方書面同意，否則我方不再承擔因此而加重部分的保證責任。

七、爭議的解決

因本保函發生的糾紛由貴我雙方協商解決，協商不成的，通過訴訟程序解決，訴訟管轄地法院為 區人民法院。

八、保函的生效

本保函自我方法定代表人簽字或加蓋公章并交付貴方之日起生效。

Guarantee Letter

茲本公司現委托深圳市xxxxxx物流有限公司辦理OCS快件業務，付款方式為運單上列明的收件人付款或指定的第三方付款(最終以本公司所填的OCS運單為依據)。現本公司向貴公司申明如貨物出口后收件人或指定的第三方付款人以任何理由拒付相關的運費、偏遠地區附加費、關稅及燃油附加費等，本公司在接到貴公司的通知之日起15日內無條件按《OCS中國公布價》全額承付所有的費用。包括：運費、關稅、偏遠地區附加費、當日出口OCS在互聯網公布的燃油附加費等。如不能及時處理，愿意承擔一切因催收所產生訴訟費、律師費等相關費用。此保函發件日起一年有效。

Our company consign Shenzhen Tuoweibaishunda Cargo Forwarding International Co., Ltd for delivering express and packages(OCS waybill filled by our company will be the final evidence).The charges will be billed to receiver or the appointed third party as selected on the waybill.We declare that if the receiver of the appointed third party refuses to pay the relative freight, extended area surcharges, duty, fuel surcharges and so on for any reason since the exporting of the shipment, we agree to pay all of the relevant charges according to “OCS China Service Rate” unconditionally within 15 days since we receive the notification, including freight, duty, extended area surcharges, fuel surcharges at the spot time.The extra charge including legal cost and other charges will be billed to the shipper due to shipper’s delay.The validity is One year since the exportation of the shipment.說明：以下內容本保函亦生效：

1、由于所運貨物無法在進口國家海關清關而拒付的；

a.Reversal of charges due to failure of customs clearance in destination country2、由于收件人地址錯誤導致不能派送而拒付的；

b.Reversal of charges due to failure for delivery according to a wrong address provided by the shipper.3、由于到付國家發生**、罷工、自然災害等不可抗力而拒付的；

c.Reversal of charges due to riots, strikes, natural disasters or act of god in the destination country4、由于收件人拒收貨物而拒付的；

d.Reversal of charges due to receiver’s refusal of the shipment5、收件人簽收貨物并不等于已經付款，如收件人最終拒付的，承運方無義務為發件人追討已簽收貨物； e.Receiving of shipments does not mean payment made.The carrier has no obligation to replevy the

delivered shipment if the charges are finally reversed6、承運方無義務向發件人說明相關費用。

f.The carrier has no obligation to explain the relative charges to the shipper.7、接受OCS背書條款的所有內容。

g.We accept all the terms and conditions listed on the back of a OCS waybill
