Contract of Labor Dispatching 甲方: Party A: 乙方: Party B: 根據(jù)《中華人民共和國勞動法》、《中華人民共和國勞動合同法》以及有關(guān)法律、法規(guī)和勞動政策的規(guī)定,經(jīng)平等協(xié)商,甲、乙雙方就有關(guān)人員派遣事宜達成如下協(xié)議:

According to the < Labour Law of the People's Republic of China>, , and relevant law, rules and labour policy, the following agreements are achieved on the basis of equality consultation:

一、乙方根據(jù)工作需要,向甲方租賃派遣工作人員(以下稱派遣人員)。具體派遣人員和派遣期限以加蓋甲乙雙方公章的《人員派遣表》附件為準。

Base on the operational need, Party A hires dispatching labour force(short for labour dispatch below).The specific labour dispatch and valid period is confirmed according to the attached < Labour Dispatch List> stamped with both two parties.二、甲方向乙方收取派遣人員人事管理服務(wù)費每人每月人民幣

元整。甲方出具勞務(wù)費發(fā)票,乙方應(yīng)于每月12號前支付上月全額勞務(wù)費款。

Party A will collect labour dispatch management service charge as

/Month from Party B.Party B must pay for the charge before 12th every month while Party A providing the invoice.三、甲方責(zé)任 Party A duties

1、與派遣人員建立勞動關(guān)系:負責(zé)為派遣人員辦理錄用手續(xù),與派遣人員簽定《勞動合同》。派遣人員在乙方工作期間,不視為與乙方產(chǎn)生勞動關(guān)系。

Set up labor relation with labour dispatch: take charge of employ procedure transaction, sign < Labour Contract> with labour dispatch.During the working period, labour dispatch is not regared as labor relations with Party B.2、甲方負責(zé)派遣人員檔案管理、保險繳納、工資發(fā)放、個人所得稅代繳等工作。Party B is response for the archives administration of labour dispatch, and insurance payment, salary grant, individual income tax payment, etc.3、甲方派遣人員在乙方工作期間必須嚴格遵守乙方的規(guī)章制度,服從乙方的管理和對其工作崗位及工作地點的安排。如有違反乙方規(guī)章制度,需按照乙方規(guī)章制度處理。

Labour dispatch must follow the regulation of Party B strictly, obey the management and position and working location arrangement of Party B.Any person who breaks the rules and regulations of Party B, will be punished in accordance with regulations of Party B.4、甲方應(yīng)接收乙方退回的派遣人員。

Party A must receive labour dispatch returned by Party B.5、甲方派遣的派遣人員給乙方造成經(jīng)濟損失的,甲方應(yīng)積極協(xié)助乙方進行索賠,不足部分由甲方承擔(dān)。

If labour dispatch cause economic losses of Party B, Party A should actively assist Party B to claim, the shortfall is afforded by Party A.6、甲方派遣到乙方的派遣人員發(fā)生工傷事故或其他意外傷害時,甲方應(yīng)迅速派人前往處理并負責(zé)以甲方名義申報工傷,同時負責(zé)工傷鑒定、工傷理賠事宜,甲方承擔(dān)全部責(zé)任。

With the occurrence of industrial injury or other accidental injury of the Labour dispatch,Party A must send relevant people to control and declare inductrial injury, and also responsible for injury identification, injury claims issues, Party A shall bear full responsibility.7、甲方負責(zé)處理所派遣的派遣人員的勞動爭議事宜。

Party A is responsible for dealing with the labour disputes of labour dispatch.8、甲方收到乙方根據(jù)合同約定所支付的管理費用后,未履行相關(guān)義務(wù),導(dǎo)致乙方和派遣人員合法權(quán)益受損,由此造成的損失和責(zé)任由甲方承擔(dān)。

If Party A is failure to act the duty after receiving management service payment according to the contract, cause loss of legitimate rights and interests of Party B or labour dispatch, all the lose and responsibility must be afforded by Party A.9、乙方如委托甲方招錄人員時,甲方根據(jù)乙方用工要求組織人員招聘,甲方根據(jù)乙方提供的“職位說明書”組織初試,并把初試合格人員報給乙方,由乙方復(fù)試最終確定是否錄用。

If Party B authorizes Party B to recruit, Party A must recruit people comply with requirement of Party B.Party A organize preliminary test in accordance with “ Position Introduction” from Party B and send competent person to Party B.Party B organize reexamine and confirm hire or not.10、甲方承諾對所提供的服務(wù)實行上門服務(wù),并派專人駐廠或定期到乙方了解派遣人員的思想動態(tài)、工作表現(xiàn)、遵紀情況以及乙方對甲方的合理要求,提供最佳服務(wù)。

Party A promise to provide visiting service and send specific person to stay at Party B or go to Party B at fixed period, to see the thinking trends, job performance.Party B promise to provide best service to Party A.四、乙方責(zé)任 Party B duties

1、乙方根據(jù)生產(chǎn)需要向甲方提前 15 天書面提出派遣人員需求數(shù)量、用工條件、用工期限和薪資待遇等。

Party B must give the written application of labour dispatch number, job condition, working time and salary 15 days in advance.2、乙方安排甲方派遣人員從事合法工作,并有權(quán)根據(jù)工作需要,對甲方派遣的派遣人員進行工作崗位和工作地點的調(diào)整、變更,甲方派遣人員應(yīng)予以服從。

Party B must arrange the labour dispatch with legal work, and has the right to adjust or change position, working place of the labour dispatch, the labour dispatch must obey.3、乙方應(yīng)對派遣人員進行勞動安全教育,告知安全生產(chǎn)操作規(guī)程、規(guī)章制度、獎懲制度,提供安全保護措施,做好派遣人員的勞動保護。乙方不得強令派遣員工冒險作業(yè),依法用工。

Party B must give safety training to the labour dispatch, tell them safety production operation rules, regulations, reward and punishment rules, and provide safety precautions to the labours.Party B should not force the labours to work in adventure.4、乙方應(yīng)為甲方派遣人員提供必要時的勞動保護用品,并負擔(dān)由此產(chǎn)生的費用。Party B must provide necessary safety precautions appliance and pay for the charge.5、乙方根據(jù)本企業(yè)的性質(zhì),結(jié)合工時制度合理安排派遣人員的加班和調(diào)休。Party B must arrange extra work and days off according to the work schedules reasonably.6、乙方應(yīng)在甲方派遣人員發(fā)生工傷事故時進行及時搶救并立即通知甲方前往處理,配合甲方做好派遣人員的工傷申報工作。

Party B must rescue and save the labour dispatch on time when occurs industrial injury or other accidental injury and inform Party A to come.Then cooperate Party B to report the

industrial injury or other accidental injury.7、甲方派遣人員有下列情況之一的乙方可以退回甲方或要求甲方給予調(diào)換: In the following circumstances, Party B has the right to return or ask Party A to change the labour dispatch:(1)嚴重違反乙方勞動紀律或規(guī)章制度的; Violate labour discipline or regulations seriously;(2)嚴重失職、營私舞弊,給乙方利益造成損害的; Gross neglect of duty, jobbery, cause loss to Party B.(3)被依法追究刑事責(zé)任的; Break the law.(4)因本人身體狀況不能從事乙方安排工作的;

Could not manage the job for physical condition;(5)不能勝任乙方安排的工作,經(jīng)培訓(xùn)或調(diào)換崗位仍不能勝任工作的。Be not competent the job, and after being trainned or adjusted position, still not.8、乙方因生產(chǎn)經(jīng)營變化需減少或退回甲方人員時,應(yīng)提前7個工作日書面通知甲方。

Party B must inform Party A 7 days in advance if they need to return or reduce labour dispatch for production variation.五、其他事項: Other business

1、甲乙雙方如違反上述協(xié)議條款之一而給對方造成損失的,各方都有權(quán)向?qū)Ψ教岢鲑r償要求。

party, the two side has the right to ask for claim.2、在本協(xié)議期內(nèi),甲乙雙方營業(yè)執(zhí)照變更、注銷或歇業(yè)、關(guān)閉、遷址及服務(wù)項目等變化時應(yīng)及時通知對方,并對因此造成的損失負賠償責(zé)任。

甲乙雙方按照中華人民共和國有關(guān)法律,根據(jù)平等互利原則,經(jīng)友好協(xié)商,就甲方向乙方派遣員工事宜達成如下協(xié)議:

According to Chinese relevant laws, and in consideration of the mutual covenants and agreements contained herein, the parties hereby reach the following contract concerning dispatched employee:

第一章

派遣與借用CHAPTER ONE DISPATCH AND BORROWING 第一條 派遣系指甲方按照本合同約定,將與甲方建立勞動關(guān)系的人員派往乙方工作的行為。

Article 1 For the purpose of this Contract, “Dispatching ” means Party A dispatches its employee who has employment relation with itself to work for Party B.第二條 借用系指乙方按照本合同約定,從甲方借調(diào)人員到乙方工作的行為。

Article 2 For the purpose of this Contract, “Borrowing” means Party B borrows, subject to the terms and conditions contained herein, the employee who has employment relation with Party A to work for Party B.第三條 甲方根據(jù)乙方的要求向乙方派遣員工,乙方須按照約定向甲方支付借用費。

Article 3 At the request of Party B, Party A dispatches its employees to work for Party B;and, Party B shall pay Party A the relevant borrowing fees accordingly.第四條 員工與甲方為勞動關(guān)系,與乙方為勞務(wù)關(guān)系。員工的工作地點、崗位、方式由乙方根據(jù)業(yè)務(wù)需要確定。

Article 4 The relation between the Employee who is concerned in this Contract and Party A belongs to employment relation;and the relation between the aforementioned Employee and Party B belongs to labor service relation.The working venue, position and working method of the Employee will be determined by Party B based on its business.第五條 借用費系指乙方借用甲方員工的費用,包括:

Article 5 The “”Borrowing Fees” means the payment that Party B shall make to Party A, which includes:

(一)支付員工的工資。

The wages of the Employee.(二)支付員工的社會保險、住房公積金費用。The social insurance premiums and housing fund of the Employee.(三)甲方為派遣員工提供商業(yè)保險、福利的費用。

Other commercial insurance and welfares that Party A offers to the Employee.(四)甲方對派遣員工的管理、經(jīng)營成本,該費用所占比例不少于借用費的5%。

The management cost and operation cost of the dispatched Employee that Party A spends, which is not less than 5% of the total Borrowing Fees.(五)承擔(dān)企業(yè)稅收等費用。

第二章

甲方的義務(wù)與權(quán)利CHAPTER TWO RIGHTS AND OBLIGATIONS OF PARTY A 第七條 甲方承擔(dān)下列義務(wù):Article 7 Party A shall assume the following obligations:

(一)根據(jù)乙方的要求推薦人選,與乙方?jīng)Q定借用的人員或乙方直接選定的人員簽訂《派遣員工勞動合同》。

to recommend the candidates at the request of Party B, and signs employment contract with the person who Party B decides to borrow or directly chooses.(二)教育派遣員工遵守中華人民共和國法律、法規(guī)和規(guī)章。

to educate the dispatched employee to observe the laws, decrees and relevant regulations enacted by the Chinese government.(三)教育派遣員工遵守乙方的工作制度,保守乙方的商業(yè)秘密。

to educate the dispatched employee to observe the working system and policies of Party B, and keep the business secrets of Party B in confidential.(四)從借用費中支付派遣員工的工資和應(yīng)得收入。

to pay the Employee wages and other remunerations he deserves from the borrowing fees.(五)在乙方支付借用費后,依法承擔(dān)派遣員工的社會保險、住房公積金及福利費用,其中福利及醫(yī)療保險部分內(nèi)容的具體實施按照本合同及其附件條款、甲方有關(guān)派遣員工福利待遇、醫(yī)療費用報銷的規(guī)定執(zhí)行。

Shall pay the social insurance, housing fund and other welfares for the Employee according to the relevant laws after it receives the borrowing fees from Party B.The standards of the aforementioned contents will be subject to the terms and conditions of this contract and its appendixes, as well as the relevant rules and policies of Party A in relation with the welfares and reimbursement of medical treatment fees.(六)為派遣員工提供雙方確定的服務(wù)內(nèi)容。

to provide other services which are agreed by two parties.(七)聽取乙方意見和建議,不斷改進工作。

to accept the advices and suggestions provided by Party B, and improve its work accordingly.第八條

甲方享有如下權(quán)利:

Article 8 Party A shall enjoy the following rights:

(一)如遇特殊情況,甲乙雙方不能達成一致意見時,甲方有權(quán)撤回派遣員工和解除本合同,但應(yīng)提前30天以書面形式通知乙方和派遣員工(派遣員工在試用期內(nèi)除外),同時甲方按下列方式向乙方一次性支付補償費:

派遣員工被派遣時間每滿一年,補償費為一個月的借用費,不足一年的部分按一年計算。補償費以派遣員工被撤回當(dāng)月的借用費為計算標準。

In case in some special situations when two parties cannot reach an agreement, Party A shall have the right to recall its dispatched employee, but a 30 days’ prior written notice shall be made by Party A(except the dispatched employee is in the probation period), and shall be sent to Party B and the dispatched employee.Besides, Party A shall pay Party B compensation according to the following way.The compensation payment shall be made based on the working time of the dispatched employee, which shall be one month’s borrowing fee for each full year worked.Any period of not less than one year shall be counted as one year.The standard of compensation fee shall be the borrowing fee of the same month when the dispatched employee is recalled.(二)甲方有權(quán)對乙方違反本合同有關(guān)條款或損害派遣員工合法權(quán)益的行為提出書面意見,進行交涉。乙方應(yīng)在收到甲方書面意見后六個工作日內(nèi),以書面形式回復(fù)甲方。

Party A is entitled to bring forward its opinions in written when Party B violates this Contract or damages the legal rights of the dispatched employee.And Party B shall reply in written within six(6)working days after it receives the aforementioned written notice made by Party A.(三)乙方若無故拖欠派遣員工的工資或借用費,甲方可隨時無條件解除本合同,并向乙方追索所欠費用。

Party A is entitled to terminate this contract at any time for no reason, and claim for compensation from Party B, if Party B fails to pay the dispatched employee's wages, or fails to pay the borrowing fees.(四)派遣員工若侵害了乙方的合法權(quán)益,甲方可協(xié)助乙方追究員工的相關(guān)責(zé)任。

(4)Party A may offer assistance to Party B in asking the dispatched employee to take his liabilities, if the dispatched employee damages the legal rights of Party B.第三章

乙方的義務(wù)與權(quán)利

CHAPTER THREE THE OBLIGATIONS AND RIGHTS OF PARTY B 第九條

乙方承擔(dān)下列義務(wù):Article 9 Party B shall assume the following obligations:

(一)尊重派遣員工不同的民族習(xí)慣和宗教信抑,不歧視派遣員工。

to respect the custom, religion and belief of the dispatched employee, and not to make any discrimination.(二)為派遣員工提供符合中國政府有關(guān)勞動保護規(guī)定的工作場所和條件,確定其工作崗位和工作內(nèi)容,并依法為派遣員工提供各項社會保險及住房公積金費用。否則,產(chǎn)生的后果由乙方自行承擔(dān)。

shall provide the dispatched Employee with necessary working condition which is in accordance with the relevant statutes in relate to labor protection, and clarify the working position and job description to the dispatched employee.Also, Party B shall pay the social insurance premiums and housing fund for the dispatched employee.Otherwise, Party B will be responsible for the results arising therefrom.(三)實行每天工作不超過8小時,每周工作不超過40小時的標準工時制,如遇特殊情況需派遣員工延長工作時間,乙方須依法支付加班費。

Party B practices the standard working hour system under which the employees shall work for no more than eight hours a day and no more than 40 hours a week.In case of special situation when Party B has to extend working hour, it shall pay the dispatched employee overtime pay.(四)為派遣員工提供差旅等補貼,具體數(shù)額由乙方?jīng)Q定。

shall provide the dispatched employee travelling allowance and other benefits, the amount of the aforementioned allowance and benefits will be determined by Party B.(五)保證派遣員工的法定節(jié)假日休息。為借用滿一年以上(含一年)的員工每年安排一次帶薪休假,具體休假天數(shù)按乙方的規(guī)定執(zhí)行。

Shall guarantee that the dispatched employee can get rest and leave during the legal holidays.Shall also arrange one paid holiday for the dispatched employee whose borrowing period is on and over one year.How long the leave with pay of the dispatched employee is will be based on the regulations of Party B.(六)按照國家標準享受醫(yī)療期及醫(yī)療期內(nèi)的病假工資和疾病救濟費。

shall guarantee that the dispatched employee is entitled to have medical treatment period, and to receive sick wages and disease remedy during his medical treatment period.本條所列第(三)、(四)、(五)項內(nèi)容,乙方可以規(guī)章制度的形式作具體規(guī)定,也可與派遣員工以協(xié)議的形式作具體約定。只要不違反國家法律、法規(guī),且送甲方備案,應(yīng)以規(guī)章制度和協(xié)議為準。

The contents stipulated in Clause(3),(4)and(5)contained in this Article, can be determined by Party B and embodied in its Rules and Regulations of the Company, or is formed by another agreement reached and signed between the dispatched Employee and Part B.Such Rules and Regulations of Party B or agreement shall prevail, as long as they do not violate any laws, decrees or regulations of the state, and, has been already sent to Party A for record.第十條 乙方享有如下權(quán)利:Article 10 Party B shall have the following rights:

(一)對決定借用的員工可以規(guī)定試用期,試用期限應(yīng)根據(jù)借用期限確定:

1.借用期在6個月以下的,試用期不超過15日; Where the borrowing period of the dispatched employee is less than six(6)months, the probation period may not exceed 15 days

2.借用期在6個月以上1年以下的,試用期不超過30日;

Where the borrowing period of the dispatched employee is more than six(6)months but less than one year, the probation period may not exceed 30 days;

3.借用期在1年以上3年以下的,試用期不超過60日;

Where the borrowing period of the dispatched employee is more than one year but less than three years, the probation period may not exceed 60 days;

4.借用期在3年以上的,試用期最長不超過6個月。

Where the borrowing period of the dispatched employee is more than three years, the probation period may not exceed six months.試用期內(nèi),乙方對不符合要求者,有權(quán)終止試用,但應(yīng)支付試用期的借用費(含社會保險及住房公積金費用)。試用期滿,所派遣員工自動轉(zhuǎn)為正式派遣員工,其借用期自試用之日起計算。.試用期內(nèi),乙方對不符合要求者,有權(quán)終止試用,但應(yīng)支付試用期的借用費(含社會保險及住房公積金費用)。試用期滿,所派遣員工自動轉(zhuǎn)為正式派遣員工,其借用期自試用之日起計算。

Party B may terminate this contract during the probation period, however it shall pay the borrowing fees during the probation period(including social insurance premiums and housing fund).The dispatched employee will automatically become regular dispatched employee after his probation is over, and The start time of the borrowing period shall be the start time of the probation period.(二)在借用期內(nèi),有解除派遣員工和解除本合同的權(quán)利,但應(yīng)提前30天以書面形式通知甲方和派遣員工(派遣員工在試用期內(nèi)除外),同時按下列方式向甲方一次性支付補償費:

派遣員工借用時間每滿一年,補償費為一個月的借用費,不足一年的部分按一年計算。補償費以派遣員工被退回甲方當(dāng)月的借用費為計算標準。補償費中包含派遣員工被解除勞動合同的經(jīng)濟補償金。

during the borrowing period, Party B is entitled to dismiss the dispatched employee and terminate this contract, however, it shall make a 30 days’ prior written notice to inform Party A and the dispatched employee, except otherwise the dispatched employee is in his probation period.In the meanwhile, Party B shall pay Party A the compensation fee in one lump sum according to the following ways: The compensation fee shall be paid based on borrowing time at the rate of one month’s wage for each full year.Any period of not less than one year shall be counted as one year.The standard of compensation fee shall be the borrowing fee of the same month when the dispatched employee is returned to Party A.The compensation fee shall includes the severance pay of the dispatched employee who is sent back by Party B.(三)如派遣員工因違反中國法律、法規(guī)和嚴重違反乙方規(guī)定(此規(guī)定對派遣員工和甲方應(yīng)該是公開的)被解除借用,乙方經(jīng)征求甲方意見后可隨時通知甲方和派遣員工,并可不支付補償費。

If the dispatched employee is returned by Party B, by virtue of violating the Chinese laws, decrees and seriously violating the rules and regulations(which shall be public for the employee himself and Party A), after checks the opinion of Party A, Party B may inform the employee himself and Party A about its decision at anytime and without any compensation.(四)可與派遣員工另行簽訂個人協(xié)議作為甲方與派遣員工勞動合同的附件送甲方備案,但該協(xié)議不得違反中華人民共和國的有關(guān)法律、法規(guī)和本合同內(nèi)容。

May sign the individual agreement with the dispatched employee,and send one copy to Party A for record.However, such agreement shall not violate a mandatory provisions of any law, administrative regulation, or terms and conditions of this contract.(五)乙方有權(quán)對甲方違反本合同有關(guān)條款的行為提出書面意見,并進行交涉。甲方應(yīng)在收到乙方書面意見后六個工作日內(nèi),以書面形式回復(fù)乙方。

Party B is entitled to make written advices when Party A violates the terms and conditions of this contract, and make further negotiations.Party A shall reply Party B in written within six(6)working days after it receives the notice made by Party B.第四章

費用及其結(jié)算CHAPTER FOUR THE EXPENSES AND TERM OF PAYMENT 第十一條 借用費為每月人民幣

.第十二條 乙方須于當(dāng)月20日前向甲方支付月借用費、補償費和年終附加的工資(乙方直接支付派遣員工工資的,須于當(dāng)月底前向甲方支付借用費的其它部分),甲方收到后,于次月6日支付派遣員工工資。以上費用每逾期10天按1%加付滯付金。逾期30天的,甲方可視情況提出索要違約金____元,并解除或終止本合同,且不屬違約行為,雙方辦理相應(yīng)手續(xù)。

第五章

爭議與仲裁CHAPTER FIVE DISPUTES AND ARBITRATION 第十四條 在本合同履行過程中,甲乙雙方如發(fā)生爭議,應(yīng)通過友好協(xié)商解決。經(jīng)協(xié)商后仍不能解決的,可提交有管轄權(quán)的人民法院處理。

其它CHAPTER SIX MISCELLANEOUS 第十六條 甲方為派遣員工提供的服務(wù)內(nèi)容在附件2中約定,附件2為本合同不可分割的組成部分。

Article 16 The services that Party A provides to dispatched employee are stipulated in Appendix 2, which is an integral part of this Contract.第十七條 本合同未盡事宜,國家有規(guī)定的按國家規(guī)定辦理,國家無規(guī)定的由甲乙雙方協(xié)商解決,或簽訂合同附件另行約定。

四、勞務(wù)人員的招聘與變更

1、甲方向乙方提供用工的信息和要求,招用勞務(wù)人員的條件、工作崗位、工作地點、職業(yè)危害、工資待遇、工作期限及其他條件,由乙方招聘,并交由甲方選擇乙方派遣的勞務(wù)人員。

2、甲方所需勞務(wù)人員可由甲方自行組織面試,在確定人員后,乙方應(yīng)及時與該勞務(wù)人員簽訂書面勞動合同,然后甲乙雙方應(yīng)擬定《勞務(wù)派遣人員名冊》,并簽字、蓋章,作為本協(xié)議的附件。

3、被派遣勞務(wù)人員基本條件和素質(zhì)要求:品行優(yōu)良、愛崗敬業(yè)、遵紀守法,無不良習(xí)慣;戶籍所在地派出所出具的無違法犯罪和不良行為記錄的證明;年齡滿18周歲以上;持有與乙方簽訂的有效勞動合同書。

五、甲方權(quán)利和義務(wù)

1、甲方對被派遣人員是否符合要求有最終決定權(quán)。

2、甲方有權(quán)選擇乙方派遣的勞務(wù)人員,同時根據(jù)生產(chǎn)經(jīng)營需要,在本企業(yè)內(nèi)部安排勞務(wù)人員在甲方的具體工作崗位,監(jiān)督、檢查、考核勞務(wù)人員完成工作的情況,并負責(zé)日常管理。

3、甲方依法確定和調(diào)整被勞務(wù)派遣人員的勞務(wù)報酬標準。

4、被派遣勞務(wù)人員有下列情形之一的,甲方通知派遣員工和乙方后,可以隨時退回派遣員工,并可不支付經(jīng)濟補償:

(1)在使用期間被證明不符合錄用條件的;勞務(wù)人員不能勝任甲方工作或不服從甲方工作安排的;

(2)勞務(wù)人員嚴重違反甲方勞動紀律、規(guī)章制度的;

(3)嚴重工作失職,營私舞弊,給甲方造成重大經(jīng)濟損失的;

(4)派遣期未滿,勞務(wù)人員因個人原因提出辭職或擅自離崗的;

(5)勞務(wù)人員除與乙方具有勞動關(guān)系外,又與其他單位建立勞動關(guān)系,對完成甲方工作造成影響的,或者經(jīng)甲方提出,拒不改正的;

(6)因甲方生產(chǎn)經(jīng)營發(fā)生重大變化,使生產(chǎn)、經(jīng)營非常困難的;

(7)被依法追究刑事責(zé)任的;

(8)有貪污、盜竊、賭博、吸毒行為的;

(9)無理取鬧,打架斗毆,嚴重影響社會秩序的;

(10)違反計劃生育管理條例及相關(guān)政策的;

(11)甲方與乙方訂立派遣協(xié)議時依據(jù)的客觀情況發(fā)生重大變化,致使與派遣人員協(xié)商不能達成一致的(12)聚眾擾亂甲方生產(chǎn)經(jīng)營秩序的;

(13)經(jīng)甲、乙雙方認定的其他事宜。

5、有下列情形之一的,甲方可提前40天以書面形式通知派遣勞務(wù)人員本人和乙方,或者額外支付派遣勞務(wù)人員1個月工資后,退回派遣員工:

(1)派遣勞務(wù)人員患病或者非因工負傷,在規(guī)定的醫(yī)療期滿后不能從事原工作,也不能從事甲方另行安排的工作的;

(2)派遣勞務(wù)人員不能勝任工作,經(jīng)過甲方培訓(xùn)或者調(diào)整工作崗位,仍不能勝任工作的。

6、甲方可于派遣期滿,終止用工并向乙方退回派遣勞務(wù)人員。

7、派遣員工有下列情形之一的,本協(xié)議中涉及該派遣員工的內(nèi)容終止執(zhí)行,甲方可不支付該派遣員工的經(jīng)濟補償:

(1)派遣員工開始依法享受基本養(yǎng)老保險待遇;

(2)派遣員工死亡,或者被人民法院宣告死亡或者宣告失蹤的。

8、甲方必須依法、規(guī)范用工,甲方應(yīng)為勞務(wù)人員提供基本的勞動條件和崗位勞動保護,并對勞務(wù)人員進行特殊崗位培訓(xùn)和安全教育。

9、甲方應(yīng)遵守有關(guān)安全生產(chǎn)和職業(yè)病防治的法律法規(guī),預(yù)防工傷事故的發(fā)生。發(fā)生工傷事故的由甲方按照《工傷保險條例》有關(guān)規(guī)定承擔(dān)用人單位的義務(wù),乙方負責(zé)辦理。

10、被派遣人員在甲方工作期間,因病、工傷(含職業(yè)病)在醫(yī)療期內(nèi)的及女性職工“三期”期間,甲方繼續(xù)支付乙方派遣人員的病假工資、社保費用和服務(wù)費,甲方不得通知乙方與其終止、解除勞動關(guān)系。

11、甲方對勞務(wù)人員的職業(yè)道德規(guī)范、工作任務(wù)、勞動紀律、安全事項等有告知、教育、管理監(jiān)督的義務(wù)。

12、甲方具有督促、監(jiān)督乙方按《勞動法》和《勞動合同法》及相關(guān)法律、法規(guī)規(guī)定為輸出到甲方的勞務(wù)服務(wù)人員辦理勞動合同、社會保險及薪酬發(fā)放等權(quán)利。

13、甲方具有對勞務(wù)服務(wù)人員進行工作指揮調(diào)度、崗位調(diào)配等業(yè)務(wù)管理的權(quán)利。

5、勞務(wù)人員由乙方負責(zé)按照合同條款組織招錄,也可由甲方推薦,按照擇優(yōu)的原則確定派遣勞務(wù)人員。

三、合同總價款暫定每月 叁拾萬元整(最終據(jù)實結(jié)算)

四、甲方權(quán)利

(一)安排勞務(wù)人員在甲方的具體工作崗位,監(jiān)督、檢查、考核勞務(wù)人員完成工作的情況,并負責(zé)日常管理。

(二)勞務(wù)人員有一下情形之一的,甲方應(yīng)提前3日通知乙方,并于3日后

退回乙方,并有權(quán)要求乙方3日內(nèi)重新派遣符合條件的勞務(wù)人員: 1.在試用期不能勝任甲方工作要求的; 2.不服從甲方工作安排;

3.嚴重違反甲方領(lǐng)導(dǎo)紀律、規(guī)章制度和規(guī)章定額任務(wù)管理; 4.規(guī)章失職,給甲方造成經(jīng)濟損失;

5.派遣期未滿,被派遣勞務(wù)人員提出停止派遣或擅自離崗;

(三)確定和調(diào)整勞務(wù)人員的勞務(wù)報酬標準;

(四)甲方出資對勞務(wù)人員進行業(yè)務(wù)、技能培訓(xùn)的,甲方有權(quán)與勞務(wù)人員簽定培訓(xùn)服務(wù)合同,并書面調(diào)整乙方;

(五)法律、法規(guī)規(guī)定的其他權(quán)利。

五、甲方責(zé)任和義務(wù)

(一)勞務(wù)派遣費用支付義務(wù)

1、甲方按月定期支付乙方當(dāng)月的勞務(wù)報酬費用包括:(1)被派遣勞動者的勞動報酬;(2)被派遣勞動者社會保險金;(3)乙方勞務(wù)派遣服務(wù)費:甲方支付乙方的勞務(wù)派遣服務(wù)費,按工資總額 1 %的標準計算。

2、甲方在每月30日將上月勞務(wù)費按考核把情況支付給乙方,逢節(jié)假日提前支付,同時乙方提供給甲方全額正式勞務(wù)發(fā)票。

(二)甲方義務(wù)

1、甲方應(yīng)執(zhí)行國家勞動標準,為派遣勞動者提供相應(yīng)的勞動條件和必要的勞動保護,負責(zé)派遣勞動者的現(xiàn)場工作管理和安全生產(chǎn)管理;

2、甲方應(yīng)與被派遣勞動者簽訂《崗位協(xié)議書》的形式告知被派遣勞動者的告知要求、勞動報酬、勞動安全衛(wèi)生、勞動定額管理等信息;

3、甲方應(yīng)書面告知被派遣勞動者單位規(guī)章制度;

4、按照國家法律支付加班費、績效獎金、提供與工作崗位有關(guān)的福利待遇;

5、對在崗的被派遣勞動者進行必須的安全生產(chǎn)教育培訓(xùn);

6、連續(xù)用工的,實行正常的工作調(diào)整機制;

7、甲方按《勞動法》、《勞動合同法》及有關(guān)規(guī)定使用被派遣勞動者。

(三)其他義務(wù)

1、甲方不得將被派遣勞動者再派遣到其他用人單位。

2、甲方應(yīng)隨時或定期向乙方提供被派遣勞動者的日常考察情況,違紀違規(guī)情況及被派遣勞動者的日常考核表、培訓(xùn)備案表等入檔材料。

六、乙方的權(quán)利

(一)對甲方不履行合同的,有權(quán)追究違約責(zé)任;

(二)依法維護勞務(wù)人員的合法權(quán)益;

(三)法律法規(guī)規(guī)定的其他權(quán)利;

七、乙方的義務(wù)和責(zé)任

(一)乙方提供派遣人員的義務(wù)

1、乙方應(yīng)當(dāng)根據(jù)甲方所需要的人員條件、用工時間及人數(shù)及時派遣勞動者;

2、乙方應(yīng)當(dāng)根據(jù)甲方所需要的人員條件,在派遣前為甲方初步篩選,并由乙方提供被派遣勞動者名單;

3、被派遣勞動者定崗前,必須接受甲方勞動人事部門的面試,合格者方可從事派遣崗位工作,非經(jīng)甲方勞動人事部門備案認可之人員不給與勞動報酬;

4、乙方須確保其派遣勞動者持有合法證件、身份真實、身體健康無傳染性疾病;

5、乙方因被派遣勞動者不能完成工作的,乙方須提前10天以書面形式通知甲方,事先安排好替崗人員,不得延誤甲方正常工作;

6、乙方在提供勞務(wù)過程中,私自替換被派遣勞動者或冒名頂替的,甲方如有發(fā)現(xiàn)獎不予支付勞務(wù)費用,并扣除乙方管理費10-20元;

7、乙方須有人力資源專員為甲方提供定期上門服務(wù)。

(二)乙方承擔(dān)用人單位的義務(wù)

1、乙方承擔(dān)與被派遣勞動者簽訂勞動協(xié)議義務(wù)

2、乙方對新派遣的人員就業(yè)前培訓(xùn),負責(zé)對勞動者進行職業(yè)技能和繼續(xù)教育培訓(xùn)。

(三)乙方承擔(dān)的責(zé)任

1、被派遣勞動者在勞務(wù)派遣期間,如發(fā)生工傷事故,受傷者的醫(yī)療費用及一次性傷殘津貼,乙方按照《工傷保險條例》的相關(guān)規(guī)定承擔(dān)賠償責(zé)任。

2、甲方發(fā)生安全生產(chǎn)事故,致使被派遣勞動者死亡,屬于工亡的,工亡事故由乙方按照規(guī)定進行處理機承擔(dān)責(zé)任。

3、對被派遣勞動者給甲方造成 的經(jīng)濟損失,乙方應(yīng)積極協(xié)助甲方對被派遣勞動者進行索賠。

4、被派遣勞動者經(jīng)培訓(xùn)或調(diào)崗后不能勝任甲方工作或非因工傷醫(yī)療期滿后被退回的經(jīng)濟補償責(zé)任由乙方承擔(dān);

5、乙方于被派遣勞動者協(xié)商一致解除勞動合同的經(jīng)濟補償責(zé)任由乙方承擔(dān)。

八、賠償與免責(zé)

(一)派遣員工在甲方指定的而工作崗位,履行甲方指定的工作任務(wù)時,不是因自身過錯發(fā)生自身、他人人身損害或造成甲方損失的與乙方無關(guān)。如果派遣員工人身損害構(gòu)成工傷,工傷由乙方負責(zé)協(xié)調(diào)解決。

(二)如因甲方過錯造成乙方派遣員工人身損害或財產(chǎn)損失的,甲方負責(zé),特別是甲方因違反本協(xié)議第五條第(二)

1、項的規(guī)定造成派遣員工人身或財產(chǎn)損害的,由甲方承擔(dān)責(zé)任。

(三)如因甲方按本協(xié)議第五條第(一)

1、項的規(guī)定向乙方支付的勞務(wù)費中,未含派遣員工的社會醫(yī)療保險費用,致使派遣員工未能按規(guī)定繳納社會醫(yī)療保險的乙方不承擔(dān)派遣員工在派遣期間發(fā)生的醫(yī)療費用。

九、協(xié)議的變更、解除、終止、續(xù)訂。

(一)甲乙雙方應(yīng)共同遵守本合同的各項條款。在本合同履行期間,未經(jīng)對方同意,任何一方不得解除或變更;若一方因國家重大政策改變或不可抗力等因素不能履行合同,雙方通過協(xié)商對合同進行變更或解除。

(二)本合同期滿10 日,甲乙雙方就本合同是否終止和續(xù)訂進行協(xié)商,并按協(xié)商結(jié)果辦理終止和續(xù)訂合同手續(xù)。

十、其他

(一)未盡事宜,由雙方協(xié)商解決。

(二)雙方在履行合同時發(fā)生爭議,應(yīng)本著實事求是的精神友協(xié)商解決,協(xié)商不成,可向甲方或乙方屬地人民法院提起公訴。

(三)本合同一式兩份,甲乙方各執(zhí) 壹份。
