2.委任

Appointment

甲方指定乙方為其在中國的全權(quán)采購代理，采購甲方指定的合法產(chǎn)品。

Duties of two parties:

(1)甲方所需的采購業(yè)務(wù)應(yīng)提交給乙方詳細(xì)的詢價(jià)單，比如材質(zhì)、尺寸、數(shù)量、品質(zhì)等具體要求，乙方須在?天內(nèi)提供產(chǎn)品報(bào)價(jià)單給甲方（若遇特殊情況和不可抗拒力因素除外）。

甲方同意按照每筆采購發(fā)票總金額的------%支付傭金給乙方，在出貨后的？？天內(nèi)匯入乙方指定銀行。

Force Majeure

由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing

as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.9.仲裁

Arbitration

因履行本協(xié)議所發(fā)生的一切爭(zhēng)議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭(zhēng)議，則應(yīng)將爭(zhēng)議提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（北京），依據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力，仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。

All disputes arising from the performance of this agreement shall be settled through friendly negotiation.Should no settlement be reached throught negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission(Beijing)and the rules of this Commission shall be applied.The award of the arbitration shall be final and binding upon both parties.Arbitration fees shall be borne by the losing party, unless otherwise awarded.10.協(xié)議有效期

Validity of Agreement

本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為 年，從 年 月 日到年 月日。

Termination

2.1 我們，公司名稱和地址

（填寫中間方公司名稱和地址），同意立即執(zhí)行任何可能有利于促進(jìn)目標(biāo)達(dá)成的增加文件。該簽署的被認(rèn)可和保證的不可撤銷傭金保證協(xié)議在買賣雙方正式交易執(zhí)行前將提交給買賣雙方對(duì)應(yīng)的銀行。由賣方銀行或由主要支付者的指定銀行直接以銀行轉(zhuǎn)賬的方式支付給上述中間方指定銀行。

3.1 該不可撤銷傭金保證協(xié)議直到整個(gè)交易完全結(jié)束和終止方才失效。

4.1 該協(xié)議不可轉(zhuǎn)移，不可分配，不可分開，并且有條件包含所有條款和協(xié)議。交易開始該協(xié)議按照條款1.1所述生效并執(zhí)行，該協(xié)議在有效期中持續(xù)生效和執(zhí)行，若要對(duì)本協(xié)議進(jìn)行更新、擴(kuò)充、轉(zhuǎn)移或另外相關(guān)內(nèi)容的增加需在簽訂本協(xié)議之日起5年內(nèi)提出申請(qǐng)。

5.1 任何一方同意不得直接或間接披露，在簽訂此協(xié)議5年內(nèi)不得設(shè)法避免和/或避開任一方當(dāng)事人進(jìn)行交易且所有當(dāng)事人需遵從本協(xié)議所有條款、條件，有義務(wù)履行在2008（填入和中間方簽訂的保密協(xié)定的時(shí)間）簽訂的保密協(xié)定。所有當(dāng)事人同意該不可撤銷傭金保護(hù)協(xié)議作為保密協(xié)定的附件，該保密協(xié)定涉及到包含如下對(duì)象但不限所有當(dāng)事人、及其雇主、雇員、合作伙伴、代理商、附屬企業(yè)、子公司和總公司。

6.1該不可撤銷傭金的支付于買方

買賣交易合同一簽訂立即生效，并且賣方接受的買方提供的有效支付文書都將有效執(zhí)行合同的所有條款。

傭金協(xié)議

甲方：

根據(jù)中華人民共和國合同法，甲乙雙方本著自愿平等的原則，協(xié)商一致，簽署以下協(xié)議，以資共同遵守。

第一條委托事項(xiàng)

甲方委托乙方尋找海外合作伙伴為甲方銷售的潛在客戶。

第二條傭金的計(jì)算，給付方式，給付時(shí)間

（1）甲方同意按每個(gè)成交客戶的成交總額的10%支付傭金給乙方，訂單，合計(jì)金額，傭金。

（2）給付方式及時(shí)間

在甲方與乙方所介紹的海外合作伙伴簽訂合作協(xié)議并支付款項(xiàng)到賬后，甲方應(yīng)在一周內(nèi)按照本協(xié)議支付給乙方。

（3）乙方促成成交所開支的費(fèi)用，由乙方自己承擔(dān)。

第三條 違約責(zé)任

（1）甲方若不按本協(xié)議第二條（1）執(zhí)行，逾期一天應(yīng)付乙方逾期違約金，按所應(yīng)付款的日萬分之二計(jì)算。

（2）甲方同意乙方介紹的海外客戶，其將來與甲方發(fā)生的每筆業(yè)務(wù)，甲方都將按本協(xié)議的第二條支付傭金給乙方，否則，甲方愿意承擔(dān)本條第（1）款約定的逾期付款違約金。

（3）乙方應(yīng)當(dāng)就有關(guān)訂立協(xié)議的事項(xiàng)向委托人如實(shí)報(bào)告，乙方故意隱瞞與訂立協(xié)議有關(guān)的重要事實(shí)或者提供虛假情況，損害甲方利益的，不得要求支付報(bào)酬并應(yīng)承擔(dān)損害賠償責(zé)任。

第四條 爭(zhēng)議解決方式

對(duì)違約行為若雙方協(xié)商不成，可憑此協(xié)議向甲方所在地的人民法院提出訴訟并按照中文文本含義適用中華人民共和國法律解決糾紛。

第五條 本協(xié)議未盡事宜雙方協(xié)商解決，本協(xié)議一式貳份，雙方各執(zhí)壹份，具有同等法律效用，本協(xié)議雙方簽字蓋章即為有效。

根據(jù)《中華人民共和國合同法》和有關(guān)法律法規(guī)的規(guī)定，生產(chǎn)廠家與中間人就傭金事宜，雙方經(jīng)協(xié)商一致，簽訂本協(xié)議。

一 甲方責(zé)任

1、甲方應(yīng)保證所生產(chǎn)產(chǎn)品的合法性及保證產(chǎn)品質(zhì)量。

2、甲方與海外客商交易的具體價(jià)格，交貨方式，支付方式等由甲方與海外客商雙方協(xié)商約定，并將簽署的協(xié)議、合同等法律文書備份一份給乙方，以便乙方知悉。

3、乙方不對(duì)甲方與海外客商的交易提供任何信用擔(dān)保，以及甲方在以后的協(xié)議履約時(shí)和海外客戶發(fā)生的一切糾紛，乙方概不承擔(dān)連帶和賠償責(zé)任。甲方應(yīng)嚴(yán)格按“FOB、C&F或者CIF或其他條款”執(zhí)行與海外客商所簽訂的合同。

4、甲方對(duì)于乙方介紹的國內(nèi)外買方之間的一切商業(yè)信函，以及附件或者抄送的形式及時(shí)通知乙方。

5、甲方承諾不得為回避乙方而采取直接或者間接的手段與乙方已經(jīng)介紹給甲方國內(nèi)外買方接觸以獲得訂單。如果甲方實(shí)施此行被乙方以相關(guān)材料證明后，則甲方除了應(yīng)付該被查證交易的傭金外，還需向乙方支付不低于改部分傭金50%的違約罰金。本條說是的傭金標(biāo)準(zhǔn)以不低于雙方已經(jīng)發(fā)生的改產(chǎn)品傭金的最高標(biāo)準(zhǔn)執(zhí)行。

二 乙方責(zé)任

1、乙方的主要工作職責(zé)是為甲方介紹國內(nèi)外買方。乙方的工作主要是為甲方尋找買方，一旦國內(nèi)外買方與甲方形成固定交易關(guān)系（包括第一筆交易），則所有今后甲方與國內(nèi)買方之間形成的交易額均視為乙方的工作成果。

2.、乙方對(duì)已經(jīng)介紹給甲方的國內(nèi)外買方的商業(yè)機(jī)密嚴(yán)格保密，如果乙方將介紹給甲方的國內(nèi)外買方的機(jī)密直接或者間接泄露，乙方應(yīng)承擔(dān)由此造成的一切經(jīng)濟(jì)損失和后果。

三 傭金的計(jì)算、支付方式、支付時(shí)間

1、甲方承諾按每筆FOB合同成交總額的5%-10%（視具體情況而定），支付給乙方。第一次介紹，加拿大客戶訂單，傭金按5%來計(jì)算。

2、給付方式及時(shí)間：在甲方與乙方所介紹的國內(nèi)外客商簽訂每筆合同且國內(nèi)外客商貨款100%付至甲方后，甲方承諾在五天內(nèi)將全部傭金一次性支付給乙方，一筆合同支付一次傭金。傭金匯至乙方指定銀行。

四 違約責(zé)任

1、甲方若不按本協(xié)議第三條的第2款執(zhí)行，逾期應(yīng)支付乙方滯納金，滯納金系數(shù)為：每天付總傭金的千分之三。

2、甲方同意凡乙方所介紹的國內(nèi)外客商，其將來與甲方的每筆業(yè)務(wù)，甲方都將按本協(xié)議第三條第1款支付貨款的5%-10%傭金給乙方，否則，甲方愿承擔(dān)本條第1款約定的逾期付款違約金。

五 爭(zhēng)議解決方式

如因本協(xié)議的履行而發(fā)生任何爭(zhēng)議，經(jīng)雙方友好協(xié)商無法解決的，由廣州仲裁委員會(huì)仲裁，仲裁結(jié)果對(duì)于雙方具有法律約束力。

六 其他條款

1、但任何一次單次交易都將以本協(xié)議為基礎(chǔ)，接受本協(xié)議的調(diào)整。涉及到單次交易的傭金、價(jià)格及條件由甲方與乙方根據(jù)本協(xié)議而確定。所有單次交易確認(rèn)書都將作為本協(xié)議的附件并與本協(xié)議具有同等的法律效力。

2、本協(xié)議根據(jù)中華人民共和國法律而制定，并適用中華人民共和國法律。

3、甲乙雙方對(duì)于本協(xié)議的簽署以簽字及加蓋蓋章的方式進(jìn)行。

4、一旦本協(xié)議經(jīng)雙方簽字（蓋章），本合同即生效。

5、本合同未盡事宜雙方協(xié)商解決。本協(xié)議一式兩份，雙方各執(zhí)一份。
