雙方就以下內容達成理解并達成協議：

1．“Party A”)，currently working on the Pre-qualification and following possible tendering works for(hereafter as the “Project”)to be the project main contractor.在，甲方目前正在參與（以下簡稱“項目”）的工作，以

期成為該項目的總承包商。

2．“Party B”“Owner”).（以

下稱為“業主”）有著密切關系。Hereby, Party A appoints Party B as its independent and exclusive Consultants for the Project Pre-qualification and tendering stage, to coordinate, facilitate and make the liaison for Party A with Owner to help Party A to be successfully awarded with the Project and enter into the contract with Owner.在此，甲方委托乙方作為甲方在該項目資格審核及投標階段的獨立和唯一的咨詢顧問，協助

甲方與業主就該項目進行協調、輔助以及聯絡工作，使甲方能成功中標，并與業主簽訂總承

包合同。liaison work with the high officials with Owner during the pre-qualification/bidding work and the possible construction of the Project.乙方作為甲方與業主之間關系的促進和協調機構，在整個資格審核、投標以及可能的項目施

工階段，乙方負責與業主進行溝通。During the whole process of Pre-qualification/bid and the following possible construction work,government related services and collect the local material, labor information and local regulations regarding the Project for/to Party A.Party B shall collect the pre-qualification or bid documents1

(including but not limited to Addendums, bidding drawings and other information or data relating to pre-qualification/bid work)from Owner and obtain all prerequisite information, procedures, bylaws or local regulations, regarding any requirements on pre-qualification of bidders, submission of pre-qualification/bid Documents and all other information or data relating to, and required by the Project, and transmit such documents to Party A for pre-qualification/bid preparation.在整個資格審核和投標以及隨后可能的項目實施工作中，公司應協調和協助甲方與業主的關系，負責進行與本項目有關的與項目所在地政府及其他相關單位的溝通工作，了解搜集并向甲方提供當地的材料信息、人工信息以及當地相關的法律法規。公司負責從業主處搜集該項目的資格審核、投標相關的文件（包括附件、投標圖紙以及其他任何與此相關的文件資料），積極獲得有關資格審核中關于投標者的先決性信息、程序、章程和地方性規定，以及其他與該項目有關的資料文件，并轉交給甲方以便其進行項目資格審合和投標的準備工作。Party A hereto and Party B shall bear its own costs and expenses(including but not limited to costs

for legal, accounting, brokers or finder’s fees, professional or advisory services)in connection with the pre-qualification and following possible bidding preparation for this Project.In the event that Party A has signed the contract with Owner on this Project, Party A agrees to pay Party B commissions for its services in a total amount equal to(percentage)of the signed total contract value(hereafter referred to as the “Commission”)between Party A and Owner.The Commission shall be paid by Party A in the form of check for transfer to Party B or its designated payee.Party A agrees to pay Party B the Commission in 15 installments, on a pro rata basis within 15 working days upon the receipt by Party A of the first ten payments from Owner in accordance with the contract between Party A and Owner.該協議中的甲乙雙方就該項目的資格審核及隨后的投標工作所產生的費用（包括但不限于法律的、會計的、經紀的、現場考察的費用，以及專業性的或建議性的咨詢服務費用）將由各方自己承擔。如果甲方與業主就該項目簽署了總承包合同，甲方同意向乙方（所有的咨詢顧問）一共支付該項目所簽署合同總額的（百分比）作為咨詢服務報酬（以下簡稱“咨詢服務傭金”），咨詢顧問傭金將由甲方以轉帳支票形式支付給乙方或乙方指定的收款人。甲方同意，將根據其與業主簽署的總承包合同的相關條款，在收到業主支付的前十五次工程款后的十五個工作日內，按工程款比例分十五次向咨詢顧問支付咨詢服務傭金。In the event that Party A has not signed the contract with Owner on this Project, Party A has no any

obligations to pay the Consultants any commission for its services.如果甲方沒有與業主簽署任何合同，甲方沒有任何義務向乙方支付任何咨詢服務傭金。Party A agrees to keep all the information on the Project, provided through Party B or directly by

Owner confidential.Party B agrees to keep all the information regarding the works of pre-qualification and bidding of the Project confidential.This provision is strictly construed but shall not prevent the parties from disclosing information to third parties who have obtained the written consent of all the parties, and are necessary to assist accomplishing the purpose of the pre-qualification and bidding of the Project.甲方同意對通過乙方或直接由業主提供的所有關于項目的信息予以保密，乙方將對該項目資格審核和投標準備工作中的所有信息予以保密。該條內容采用嚴格解釋，但不應禁止該協議

中的任一方向由本協議各方當事人一致同意的，且對于完成該項目資格審核和投標內容起到必要協助作用的第三方進行信息披露。Once the agreement comes into effect, it should be strictly observed by both parties hereto.Any

party’s non-performance or incomplete performance of this agreement shall be deemed as a default.Any party violating against the clauses therein shall be claimed by the other party to make remedies to such defaulting act.本合同生效后，甲、乙雙方均應嚴格履行。任何一方不履行或不完全履行本合同規定的義務，均構成違約，并應承擔違約責任。任何一方違約，應承擔其違約行為給守約方造成的全部損失。If there are any disputes arising out of this agreement, all parties shall endeavor to settle the dispute

amicably through direct discussions among the parties.In case that the parties fail to settle the dispute amicably, the parties may refer arbitration to China International Economic and Trade Arbitration Commission, and the CIETAC's arbitration rules in effect at the time of applying for arbitration shall apply.本協議中的各方就本協議產生的任何爭議，各方應先進行友好協商，如協商不一致，則應向中國國際經濟貿易仲裁委員會進行仲裁，按照仲裁申請時中國國際經濟貿易仲裁委員會現行有效的仲裁規則進行仲裁。This Agreement will be signed in English and Chinese.In case of any discrepancy between the

常見工程咨詢中英文對照

問題：客戶未告知采用什么標準進行制作與檢查。

建議： 我們按IPC-6012B Class2與IPC-A-600G Class2 做。

Question: Customer doesn’t tell us material type.Suggestion: We will use FR4.問題： 客戶要求成品厚度為1.60+/-0.10mm，此公差對六層板而言太緊，難以控制。建議: 將公差放松到+/-0.15mm.Question: Customer requires “1.60+/-0.10mm” finished board thickness, the tolerance is too tight for

問題：客供圖紙上“A”處數據與“B”處數據相矛盾，請看下圖。建議： a）按“A”處數據做。

value is 100.34mm in Gerber.Suggestion: a)Follow drawing to do.b)Follow Gerber to do.問題：請看下圖，紅色圓圈圈住的Slot寬度為0.65mm，長度為12mm。由于長度比較長，不宜鉆出。如果鑼出，其寬度又比最小鑼刀的直徑（0.8mm）還小，也無法鑼出。

建議：將Slot寬度改為0.80mm以便鑼出。

Question: Customer requires +0.05/-0mm for 3.0mm PTH, the tolerance is out of capability.Suggestion: Relax it to be +0.10/-0mm.問題：客戶沒有規定哪些孔為PTH，哪些孔為NPTH。建議： 3.0mm，4.10mm孔做成NPTH，其余做成PTH。

Question: Customer doesn’t indicate which holes are PTH and which holes are NPTH.Suggestion: 3.0mm,4.10mm holes are made into NPTH, others are made into PTH.問題： 請看下圖，“a”處PTH（1.0mm）與“b”處PTH（2.10mm）的距離只有10mil（我司工藝能力為14mil），電鍍時易滲鍍造成兩孔短路。建議：A）將兩孔分別往相反方向移動2mil。

B）將兩孔Size分別縮小0.05mm，即做成0.95mm與2.05mm。

Question: See below picture, the distance is only 10mil between 1.00mm hole marked “a” and 2.10mm hole marked “b”(it’s 14mil min distance for our normal workmanship), the close distance will easily cause shorts between the two holes in plating process.Suggestion: A)shift the two hole 2mil away individually towards counter-directions.B)Reduce 0.05mm for hole sizes, i.e.make them as 0.95mm and 2.05mm.問題： 板上沒有NPTH，用PTH做鑼板定位孔時易損傷孔壁銅。

建議：A）為平衡壓板時的板厚，我們于工藝邊加Dummy copper，并將避開外層各種標記。

問題：VIA孔兩面都沒有開窗。

建議：A）依原裝做，允許綠油入孔或塞孔。

B）補加單邊大孔4mil的開窗，不允許綠油入孔。

Question: Via holes have no solder mask openings on both sides.Suggestion: A)Follow Gerber and allow solder mask to enter into or to plug holes.B)Add solder mask openings which are 4mil bigger than holes in all directions and not allow solder mask to enter into holes.問題： 部分VIA孔只有一面開窗。

建議：A）依原裝做，允許綠油入孔但不塞孔。

B）于無開窗的一面補加單邊大孔4mil的開窗，不允許綠油入孔。

一、在本協議有效期間內，乙方應按照甲方指令，從甲方利益出發，向甲方提供技術和/或商務咨詢，協助甲方在項目中中標并與（以下簡稱“客戶”）簽署項目合同。在競標的談判、協商過程中，甲方將獨立評估、判斷，自主決定是否競標，簽署有關的合同文件。乙方應做到：

1、隨時向甲方通報項目競標情況；

6、乙方承諾，除履行咨詢服務工作所需外，未經甲方事先書面許可，不得擅自披露、使用、復制、傳播甲方的版權、商標字號、標志、商業信息、技術及其他資料。

7、雙方確認，本協議中的任何內容或甲方對乙方所作的任何秘密信息的披露均不應視為甲方已賦予乙方有關版權、商標專利、專利申請或屬于披露方的其它知識產權的權利或權益的任何許可或其他權利的推定或默示許可。乙方對甲方所提供的所有秘密信息的使用，不得以任何方式侵犯甲方的知識產權及其它權利，并不得做出任何可能損害甲方形象或任何第三方合法權利的行為。

8、乙方為甲方提供咨詢服務過程中產生的一切知識產權和有關的成果（包括但不限于：任何發明、發現、設計、開發成果、改進、作品、專利、計算機軟件、半導體芯片、享有版權的書面資料、技術秘密和商業秘密）的所有權應屬于甲方，乙方應即時、全部、完整地向甲方批露和提供；在法律許可的最大限度內，乙方

有義務提供一切必要的信息資料和采取一切必要的行動，協助甲方證明、獲得、維持、維護、實現或抗辯與這些知識產權和/或成果有關的權利，包括但不限于專利申請、商標注冊、版權（軟件）登記和/或在法律糾紛中的協助或合作等，協助甲方取得和行使有關的知識產權。

9、乙方保證，在為甲方提供咨詢服務的工作中沒有、將來也不會擅自使用侵犯他人知識產權或其他合法權利的產品、工具或軟件等，否則將承擔相應的責任，并補償甲方由此受到的損失。

10、在本協議有效期內及協議期滿后3年內，乙方不得：a.自行或協助他人與甲方的業務發生直接或間接的競爭；b.直接或間接地唆使或試圖影響甲方的員工離職，去為乙方或任何其他個人或實體服務；c.引誘、帶走甲方的客戶或以前的客戶以攫取他們的業務而直接或間接獲利；d.以任何其它形式直接或間接損害甲方的利益。

11、若甲方在項目中最終沒有中標或即使中標但最終沒有簽署項目合同，則甲方不向乙方承擔任何費用；若乙方在競標及項目合同簽署中未按本協議約定提供咨詢服務，則甲方也無須向乙方支付咨詢服務費（如出現爭議，由乙方承擔其主張的已按照協議約定提供咨詢服務的舉證責任）；若經乙方協助，甲方在項目中中標并簽署項目合同，則甲方就乙方服務向乙方支付咨詢服務費即人民幣元整（￥）。

三、支付方式：在甲方收到項目合同中客戶支付的全額款項及乙方開具的與付款金額等額的服務業正式發票后十個工作日內，甲方向乙方支付咨詢服務費總額的款項即人民幣元整（￥）。

四、本協議期滿或終止之日起或在甲方書面要求后的五個工作日內，乙方應交還任何仍為乙方（含其雇員、代理、代表和/或顧問）持有但屬于甲方或由甲方提供給乙方的文件、資料或其它甲方財產，或征得甲方書面同意銷毀含有甲方專有信息或商業機密的文件和資料；乙方應向甲方書面確認已全部返還相關資料或完成上述銷毀。乙方不得保留這些文件和資料的任何形式的復印件。

五、除本協議所列雙方各自獨立的權利義務外，雙方之間不存在代理、商業合伙或雇傭關系，亦不相互隸屬。除非經由甲方書面授權，乙方不得以甲方名

義承擔或使甲方受制于任何約束及義務。乙方對其一切行為自行、獨立承擔全部的經濟、法律責任，與甲方無關。

六、不正當行為約束：

1、乙方為項目所實施的一切行為應遵守中國的法律、法規，尊重商業道德；不得從事任何將對甲方產生不利影響的行為。

2、乙方應維護甲方權益并使甲方權益最大化，但不得因此采取非法手段侵犯他人合法權益或違反有關的法律法規或商業道德。若侵犯了他人合法權益或違反有關的法律法規，相關責任全部由乙方承擔，甲方不承擔任何責任。

3、如因乙方的行為導致甲方的名譽、知識產權、經濟利益等受損，乙方應補償甲方所受損失并立即采取措施停止不當行為并消除影響，但不影響甲方其他權利的行使。

4、乙方不得以任何方式向甲方相關工作人員個人提供傭金、回扣、股權權益等直接或間接的利益以換取該工作人員利用職務之便對乙方進行非正當支持。

5、在咨詢服務中，若甲方工作人員利用職務之便以任何方式（明示或暗示）向乙方或乙方所屬人員索取或接受直接或間接的物質利益，乙方有義務拒絕，并立即向甲方公司書面投訴。

6、如果甲方發現乙方對甲方工作人員提供非正當、不符合法律法規或商業道德要求的物質利益，無論是被動提供還是主動提供，甲方除對該甲方工作人員按內部規章制度進行最嚴厲的處罰外，同時將追究乙方的違約責任并有權拒付有關酬金。

七、違約責任

1、雙方確認并同意，如果乙方未依照本協議約定使用保密信息或違反本協議規定將保密信息披露給任何第三方（包括乙方的附屬公司和/或關聯公司），或乙方違反本協議第六條與甲方工作人員私自串通，均構成乙方在本協議下的違約行為，乙方應向甲方支付相當于咨詢服務費總額50%的違約金，違約金不足以彌補甲方損失的，乙方還應補償甲方實際損失。

2、如乙方出現違約行為，甲方有權拒付有關費用（包括甲方本已承諾或按其他

協議應支付的顧問咨詢費等費用）和/或終止本協議，直至獲得乙方的賠償或雙方達成其他協議。

八、本協議具專屬性質，乙方未經甲方事先書面同意，不得向任何第三方轉讓本協議項下的全部或部分權利和義務。但若向乙方發出合理的通知，甲方可不經乙方同意向其關聯公司部分或全部轉讓本協議項下的權利或義務；本協議對雙方各自的繼承人和/或允許的受讓人自承繼或受讓之日起自然產生約束力。本協議中，乙方對甲方承擔的義務延及于甲方的關聯公司。

九、協議解除與終止

1、本協議有效期內，任何一方因對方無法提供相關滿意支持、服務或未能按時付款，經守約方書面提出異議后15天內仍未糾正的，守約方可以立即以書面通知終止本協議。協議終止并不免除支付已提供服務的款項或退回已支付但尚未提供服務部分的款項的責任。

2、如果發生以下情況，可以視為本協議自動解除或終止，有關責任方承擔相應的責任，但在第（1）和/或（2）種情況下，本協議自協議對方發出解除本協議效力的書面通知之日起終止：

十、法律適用及爭議解決：

1、本協議的解釋、履行適用中華人民共和國法律。

2、如發生爭議，雙方應首先通過友好協商解決。協商不成的，雙方同意將爭議提交北京仲裁委員會按其規則仲裁解決。仲裁裁決為終局，對雙方均有約束力。仲裁期間，除必須在仲裁過程中進行解決的部分外，不影響協議其余部分的效力，雙方應該繼續履行。

一方進入解體或清算階段； 一方被判為破產或其它原因致使資不抵債； 本合同已有效、適當、全面得到履行； 雙方共同同意以書面文件提前解除合同； 根據仲裁機構的裁決，合同解除或終止。

十一、附則：

1、協議雙方均保證其有權簽署并履行本協議，其簽署并履行本協議不會違反對其具約束力的其他文件，其已獲得有關的政府審批（如需）和/或其他必要的授權。乙方應提供其最新營業執照副本復印件作為本協議之附件。

2、如果本協議中的任何約定無論因何種原因無效或不具有執行力，或違反任何適用的法律，則該約定視為刪除。但本協議的其余約定仍應有效并且有約束力。

3、本協議之變更和/或補充須經雙方同意并采取書面形式。在雙方未達成一致意見的情況下，原協議繼續有效。

Modification

此協議書只有經雙方共同簽字后才能作修改，This Agreement may not be modified except by amendment reduced to writing and signed by both Parties.No waiver of this Agreement shall be construed as a continuing waiver or consent to any subsequent breach thereof.8.不可抗力

Force Majeure

由于水災、火災、地震、干旱、戰爭或協議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發生的事件通知另一方，并在不可抗力事件發生15天內將有關機構出具的不可抗力事件的證明寄交對方。Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing

as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.9.仲裁

Arbitration

因履行本協議所發生的一切爭議應通過友好協商解決。如協商不能解決爭議，則應將爭議提交中國國際經濟貿易仲裁委員會（北京），依據其仲裁規則進行仲裁。仲裁裁決是終局的，對雙方都有約束力，仲裁費用，除另有規定外，由敗訴一方負擔。

All disputes arising from the performance of this agreement shall be settled through friendly negotiation.Should no settlement be reached throught negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission(Beijing)and the rules of this Commission shall be applied.The award of the arbitration shall be final and binding upon both parties.Arbitration fees shall be borne by the losing party, unless otherwise awarded.10.協議有效期

Validity of Agreement

本協議經有關雙方如期簽署后生效，有效期為 年，從 年 月 日到年 月日。

This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from October 1, 1992 to September 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.11.協議的終止

Termination

在本協議有效期內，如果一方被發現違背協議條款，另一方有權終止協議。
