依照中華人民共和國法律和有關法規規定，為明確雙方的權利、義務關系，經甲乙雙方 協商一致，特訂立本合同條款供共同遵守執行：

In accordance with relevant Chinese statutory laws, to clarify the rights and responsibilities of both sides, through A, B both parties negotiate amicably before signing the tenancy agreement.一、甲方將座落于XX市建筑面積約平方米的房產及附屬設施租給乙方作使用、甲方房屋產權要保證清晰，租賃期間，雙方應遵守合同約定。

1、Party A will let _______________ and its affiliated facilities to party B to use as __________________________________________.The estate is located in XX which covers an area of about __________square meters.Party A’s house rights and responsibilities must be made clear;both parties should abide by this contract during the tenancy term.二、租賃期限自共個月，月租金人民幣元。

RMB in total.The second installment will be paid RMB in total.The third installment will be paid RMB in total.The fourth installment will be paid RMB in total.(year), whichRMB in total.The sixth installment will be paid(year),RMB in total.四、雙方同意于年日由甲方將上述房屋交付給乙方使用，如甲方沒有按期將房屋交付給乙方使用，應賠償乙方的經濟損失，如乙方拖欠租金，甲方除追回所欠租金款項，可終止合同，并有權收回出租房屋。

4.Party A agrees to provide the premises and associate amenities for Party B for use.Party A should make appropriate compensation for any losses due to the property not being ready on time.Party A has the right to recover funds, in addition, Party A also has the right to take back the premises and take actions against Party B in case of breach of contract.五、乙方經過甲方同意方能轉租，租賃期間，乙方如需改變用途，必須征得甲方同意。

5、Party B will not transfer or sublet the premises, Party B must get the approval from Party A if Party B wants to change the use of the property during the tenancy term.六、租用期間，該房產的正常維修由乙方負責，乙方如需改變租賃房屋的原有建筑格局必須事先征得甲方同意，方可進行，如沒有告知甲方，按被損壞建筑物的價值賠償甲方。租賃期滿，固定裝修不得拆除，歸甲方所有。

6.Party B should be responsible for the day to day repair and maintenance during the tenancy term.If Party B requires, for any reason, to alter the original structural layout of the property, they must seek approval from Party A before taking any action.Otherwise, Party A will make appropriate compensation to Party B.Upon the expiration of the contract, Party B cannot remove the fixtures and decorations or any furniture belonging to Party A.七、租賃期間乙方不得將租賃房屋作為抵押物或非法活動場所使用，同時要做好防火、防 水、防風等工作，否則一切經濟損失和法律責任由乙方單方負責承擔(除不可抗力原因)。

7.Party B cannot use the property as collateral or use for illegal activities.Party B is responsible for taking appropriate action to safeguard the property against fire, water and wind damage.Party B will make appropriate compensation for any losses and is held legally responsible(except for mitigating circumstances)for failing to safeguard the property against the aforementioned.八、該房屋如發生產權糾葛，應由甲方妥善解決，與乙方無關。

8.Party A will be responsible for resolving any issues or disputes unrelated the Party B.九、因不可抗力的原因導致本合同無法履行時，本合同自然終止，雙方互不承擔責任。

9.Party A and Party B cannot be held responsible for criminal damage or breaches of contract instigated by third parties.十、甲乙雙方應該嚴格履行本合同規定。如果甲方違約，應該賠償乙方因此造成的損失；如果乙方違約，甲方有權終止合同，收回出租房屋，并追究乙方因違約而造成的一切責任。

10.Both parties shall strictly adhere to the terms and obligations under this contract.Party A will be liable for any compensation to Party B, should Party A breach the terms and conditions of the contract.Party A has the right to terminate the contract and take back the premises, and take any appropriate action against Party B in case of breaches of contract.十一、乙方承租期間，該房屋使用水費、電費、工商、稅務、房產稅、物業管理費等費用都由乙方單方負責。

11.During the tenancy terms, Party B shall be responsible for the of any payments pertaining to water, electricity and amenities charges;industry tax, commerce tax, property tax, management fees and any other fees related to the property.十二、乙方在付給甲方租賃金額同時，應付給甲方租賃保證金人民幣)元。租賃期滿時乙方如付清當月水費、電費、物業管理費，該房屋內配套的家電沒有人為損壞時，甲方將退還乙方租賃保證金(人民幣)元。

12.Party B shall pay a deposit of ______RMB at the commencement of the tenancy agreement.At the expiration of the agreement, Party B shall pay any outstanding of remaining charges such as water, electricity and property management fees.Party A, then, shall refund Party B ________RMB if the dwelling, facilities and household appliances are undamaged.十三、租賃期滿或合同終止，乙方必須按時搬出全部物品，期滿五天內租賃房屋如仍有物品，視為乙方放棄所有權，由甲方處理；期滿后在同等條件下，乙方有續租優先權。

13.Upon the expiration or termination of the tenancy agreement, Party B shall, duly, remove all their belongings and vacate the property.Party A reserves the right to remove any items or belongings, left behind by Party B, after five day;Party B, thereafter, shall lose all rights to the aforementioned items.On expiration of the tenancy agreement, Party

B has the right to renew the contract and continue with rental payments.十四、乙方內外債權債務與甲方及見證人無關。

14.Party A and the witnesses are responsible for Party B’s financial circumstance or business undertakings.十五、本合同一式三份，由甲方、乙方、見證方各執一份。任何一方不得籍詞中途解除合同，否則由違約一方承擔完全責任。本合同自簽訂之日起生效，租賃期滿本合同自然作廢。This contract is in triplicates.Each party(i.e.Party A, Party B and the witness)will retain an original copy.The contract is binding for the agreed duration its term.Early termination of the contract by either Party A or Party B may incur compensation to the other party.The contract is legal on binding immediately upon signing and will cease on the date of expiry.備注：

important nations for the global economy – for the next four years in the United States’ case, and for a decade in China’s.By the time President Obama is ready to leave office, China will have passed the U.S.in GDP terms, at least according to a report by the OECD.But with GDP no longer Chinese leaders’ top concern, the country has its sights set on catching up with the U.S.in another area – innovation.On a recent to visit to speak at the World Economic Forum's Summer Davos in Tianjin, I was struck by the sense of urgency among Chinese leaders to close the gap when it comes to innovation.It was clear to me that it is time for the U.S.to pay close attention, because urgency in China is generally followed by execution.Unfortunately, America has worked itself up over the wrong issues as far as “competitiveness” is concerned: we bemoan the fact that China has taken our jobs(and 42 percent of Americans believe that China is already the world’s largest economy, a Pew survey suggested).But those worried about the country’s future would be better served focusing on U.S.competitiveness in innovation, something that has the potential to put this country’s growth back on track.The problem is that there is a general(and misplaced)belief that China will always be a loser, that it can only imitate, not innovate.Critics argue that its society is too top-down and that American innovation will always be buoyed by Silicon Valley.More from CNN: U.S.needs an infrastructure bank But the reality is that it is na?ve to believe China cannot narrow the gap in innovation, and the second Obama administration would do well to consider that America could actually learn a thing or two from across the Pacific.And it could start by grappling with some widely held myths: 1.There is no innovation in China, only piracy and imitation.Most innovation begins with imitation;America got its start by imitating inventions from the Old World.Meanwhile, many Chinese “imitations, ” such as Alibaba, Tencent or Sina Weibo, have moved far beyond being mere copies of their U.S.counterparts.Each is solving problems uniquely relevant to Chinese businesses and consumers, something that could create platforms for innovations that are propelled into global markets.2.The Chinese approach to innovation is too top-down and state-led – real innovation only comes from the bottom-up.The Chinese state is committed to bringing China to the ranks of the innovative nations by 2020.Silicon Valley entrepreneurs might shudder at this top-down approach.Yet consider, for example, where the American entrepreneur would be if the U.S.government had not funded the Defense Advanced Research Projects Agency that gave birth to the Internet.The state must play a role in investing in foundational innovations, such as the Internet and mobile technologies.Once these foundations are laid, then a competitive bottom-up ecosystem will encourage creative destruction.But sadly, U.S.government investment in such foundational innovations has been on a steady decline.3.Intellectual property rights protection in China is too weak to encourage innovation.China's weaker intellectual property protection could, arguably, make it easier to foster a climate conducive to open innovation.Of course, a balance needs to be struck between open access to intellectual property and protecting it – with no protection, innovation will stall, because investors need returns on their investment.Unfortunately, in the U.S., intellectual property protections block innovation just as much as they promote it.4.In a globalized economy, sustaining innovation requires investment in international markets;China's brand and soft power abroad is weak and dated.Despite several unresolved issues such as territorial disputes and balance of trade, China's influence in the world's fast-growing regions, including Africa, Latin America and East Asia, is growing more rapidly than that of the United States.When Chinese innovations look for inputs or consumers and they turn to these markets, they are likely to have as many opportunities as well-known U.S.brands – perhaps even a better chance.Indeed, when it comes to ties with Africa and Latin America, China is often one step ahead of the U.S.5.China's education model emphasizes rote learning;innovation can only flourish in environments that encourage exploration, critical thinking and a broad education in the liberal arts tradition.The danger with the Chinese approach is that if you don’t expose students to other disciplines and encourage critical thinking, they may lack the breadth to blossom into creative problem-solvers and risk takers.However, the U.S.system has some severe deficits of its own.A recent U.S.Department of Commerce report, for example, highlights a growing gap in science, technology, engineering and mathematics education.Notably, immigrants are the ones filling the education gap – half the start-ups in Silicon Valley were founded by immigrants.Sure, the Chinese model of innovation needs plenty of work, but in many ways China is also learning from the U.S.and following in our early footsteps.As China moves up the curve and adds the uniqueness of its own experience and approach, it may create a new hybrid model that has lessons for other nations, including the United States.Remember, it’s true that the global positioning system is a product of the U.S.Department of Defense.But the Chinese were the ones who gave us the compass in the first place.Chakravorti is 大多數的創新都始于模仿；美國也是從模仿舊世界的發明開始的。同時，中國的許多“模仿”，例如阿里巴巴、騰訊或者新浪微博則遠不是僅僅復制其美國同行的產品。他們每一家都是解決特別與中國的商業和消費者相關的問題，有些產品可以創建創新的平臺，并推進到全球市場。

2、中國的創新太偏重自上而下，而真正的創新只能是自下而上。中國承諾要在2020年之前將中國帶入創新國家行列。硅谷的企業家們也許會對這種自上而下的計劃不寒而栗。是的，例如，想想如果美國政府沒有設立國防部高級研究計劃局，創建英特網，美國的企業家們將會是怎樣。國家在投資基礎創新方面必須有所作為，例如英特網和移動技術。一旦這些基礎技術建立了，有競爭性的自下而上的生態系統將能夠鼓勵創造性的破壞。但是，很可悲，美國政府在基礎性創新上的投資一直在穩定下降。

3、中國的知識產權保護太弱，無法鼓勵創新。

可以說，中國知識產權保護的弱勢可以更容易地培育一個開放創新的環境。當然，需要在知識產權的開放和保護兩方面找到平衡，如果沒有保護，創新就將熄滅，因為投資者的投資需要獲得回報。不幸的是，在美國，知識產權的保護阻礙創新抵消了其推動創新的作用。

4、在一個全球化的經濟中，持續創新要求投資于國際市場；中國在國外的品牌和軟實力是弱的且過時的。

盡管中國有一些不能解決的問題，例如領土紛爭和貿易平衡問題，但是，中國在世界上高速發展地區，包括非洲、拉丁美洲和東亞的影響力比美國要增長得快得多。當中國的創新尋找投入或者消費者時，他們會轉向這些市場，他們可能與知名的美國品牌有同樣多的機會，甚至可能有更好的機會。實際上，在與非洲和拉丁美洲的關系上，中國經常走在美國的前面。

5、中國的教育模式強調死記硬背；創新只有在鼓勵開放、批判性思維的環境和廣泛的文化傳統教育中培育出來。

中國方式的危險是，如果學生不接觸其他領域并且不被鼓勵批判性思維，他們可能缺乏成為有創造性的問題解決者和風險承擔者。但是，美國的體系有它自己的嚴重問題。例如，美國商務部最近的一項報告顯示，美國在科學、技術、工程和數學教育方面的差距在擴大。值得注意的是，移民填補了教育的差距，硅谷中有一半的新創公司是移民創建的。

當然，中國創新的模式還有很長的路要走，但是中國在許多方面也是在學習美國，并且沿著我們早期的路在走。隨著中國在前進，并且加入他們自己的經驗和方法的獨特性，它可能創造出一種新的混合體模式，包含有其他國家，包括美國的經驗。

不要忘記，全球定位系統確實是美國國防部的產品。但是，中國是首先為我們提供指南針的國家。

第四篇：房產租賃合同

根據《中華人民共和國城市房地產管理法》、《中華人民共和國合同法》及有關法律規定，甲乙雙方現就乙方租用甲方房產及相關事項，訂立以下合同。

第1條　合同前提條件

1．1　鑒于本合同項下的房產所有權人均系甲方或其下屬的子公司及其所控制的企業或單位，且其下屬的公司、企業或單位已同意委托甲方行使本合同項下房產的出租權，甲方同意將合同房產出租給乙方，乙方同意承租。

第2條　合同房產范圍、使用和處置

2．1　合同房產是指甲方及其下屬的公司、企業或單位所擁有的部分房產共_________處，所占總建筑面積共為_________平方米（以下簡稱“合同房產”）。對該等房產的詳細描述見附件一“合同房產一覽表”及附件二“股份有限公司總部辦公大樓租賃合同”，該等附件構成本合同之一部分。

2．2　甲方下屬擁有房產的企業將嚴格按照本合同規定的條款和條件就其所擁有的一處或多處房產與乙方簽署具體房產租賃合同。具體合同的約定與本合同有沖突的，以本合同為準。

2．3　乙方須根據各具體合同約定用途使用合同房產，并接受甲方的監督，如改變用途，需征得甲方同意。

2．4　非經甲方同意，乙方不得改變合同房產主體結構。

2．5　租賃期滿不再續約的，乙方須及時、完整地向甲方交回合同房產。

2．6　租賃期間，如合同房產所有權人將合同房產所有權轉讓給第三方，本合同對該第三方具約束力。

第3條　租賃期限

3．1　除乙方總部辦公大樓租賃期限為二年外，合同房產租賃期限為_________年，追溯自_________年_________月_________日起算。

3．2　如果乙方要求延長房產的租賃期限，乙方應在前述租賃期限期滿之前至少6個月以書面形式通知甲方。

3．3　甲方在收到乙方按前款發出的延長租賃期通知后，應同意該等延長，并應同乙方在前述租賃期滿前簽訂新的租賃合同。甲方應在租期屆滿前辦理完畢該房產續租的一切與政府部門有關的審批及手續。續租的租金標準依國家的有關規定標準或（在無該等標準時）依當時的市場價格執行。

3．4　甲乙雙方同意，乙方可以在本條第1款租賃期滿前的任何時候終止租賃本合同項下的部分或全部合同房產，但乙方須在其所要求的終止日前6個月書面通知甲方。

第4條　租金和稅費

4．1　乙方每年應按照平均每個平方米人民幣_________元（_________元）的價格向甲方支付租金。但對其中乙方總部辦公大樓一萬平方米租金的約定見附件二《股份有限公司總部辦公大樓租賃合同》。

4．2　本合同所規定的租金，由乙方按季度向甲方支付，每次支付的租金額為該租金總額的四分之一。每一筆租金應于每年1月10日、4月10日、7月10日、10月10日、（前述每個日期均為“付款日”）之前交付甲方。無論前款規定如何，第一筆租金應按下述計算方法計算并在本合同生效后第一個付款日支付給甲方：年租金／365×合同生效日至合同生效后第一個付款日的實際天數。

4．3　甲方負責辦理租賃期間該合同房產的房產稅及其他法定稅費的繳納手續。但除本合同附件二所指的辦公大樓的租賃外，該等費用應由乙方實際負擔，于收到甲方通知及相關憑證之日起十日內匯入甲方指定帳戶。

4．4　租賃期間，合同房產的房屋水、電、暖費、維修費及其他有關使用該合同房產的費用由乙方負擔。

第5條　運作方式

5．1　甲乙雙方應于每年11月30日前分別制定各自的租金分配計劃，并就該等租金計劃達成一致，分別下發。甲方在制定該計劃時，應考慮按不同區域和不同房產的情況，內部調整房產單價，并于每年11月30日前將該計劃提交給乙方。

第6條　雙方權利義務

6．1　甲方權利：

（a）甲方有權依據本合同的約定收取租金。

（b）甲方有權對乙方使用合同房產的情況進行監督。

（c）租賃期限內，對因乙方原因造成的合同房產的損壞，甲方有向乙方索賠的權利。

（d）甲方有權享有本合同規定的其他權利。

6．2　甲方義務：

（a）甲方保證合同房產的產權所有人的合法性以及根據本合同出租房產的合法性，同時保證合同房產不存在任何抵押權和其他第三方權利。甲方保證采取一切必要措施使根據本合同項下所出租的房產在租賃期限內持續符合有關法規對出租該等房產的規定。如果因此類原因使乙方受到損害，甲方保證對乙方進行賠償。

（b）對乙方提出的與使用合同房產相關的合理請求，甲方應及時提供必要的幫助。

（c）甲方不得因自身任何作為或不作為而影響乙方正常使用合同房產。

（d）甲方應在本合同生效之日起六十日內向有關部門辦理房產租賃登記手續。

（e）除非本合同另有規定，本合同有效期內，甲方不得提前收回合同房產。

（f）對于甲方暫無法取得房產證的房產，甲方允許乙方使用，同時甲方應保證自_________年_________月_________日起一年內辦理相關手續，在此期間，乙方對該等房產的權利義務參照本合同執行。

6．3　乙方權利：

（a）乙方有權依據各具體合同及本合同約定的原則使用合同房產。

（b）乙方依據生產經營需要，并征得甲方同意，可對合同房產進行改造添附，并享有改造添附部分的所有權。

（c）乙方可以轉租，但需經甲方同意。

（d）乙方可以退租，但應至少提前6個月書面通知甲方。

6．4　乙方義務：

（a）乙方必須依法使用合同房產。

（b）依照本合同約定交付租金。

第7條　雙方進一步的責任

7．1　合同雙方有義務采取進一步的其他必要的行動，包括簽署其他有關的協議或合同或文件，以確保實現本合同的宗旨和規定的內容。

第8條　合同的變更和終止

8．1　本合同的任何變更，須經雙方同意，并以書面形式作出方可生效。為了避免歧義，乙方按本合同要求延長對房產的租期或提前退租，應按本合同的有關條款進行。

8．2　本合同按下列方式終止：

（a）本合同期限屆滿，或

（b）本合同有效期限內雙方達成終止協議，或

（c）本合同任何一方因地震、風暴、水災、戰爭等不可抗力喪失繼續履行本合同的能力，或

（d）根據法律、法規的規定，或有管轄權的法院或仲裁機構所做出的終止本合同的判決、裁定或決定而終止本合同。

甲、乙雙方經友好協商,根據合同法有關規定,簽訂合同條款如下:

1、甲方自愿將位于昆明市 小區56棟 1 單元 7 樓 706 號 3房2 廳建筑面積90平方米房租給乙方作居住使用,租期為壹年，從 2019 年 月 日起至2019 年 月 日止。

2、乙方需繳納每月租金1500元整,租金為三個月壹付,計人民幣4500元整,簽訂合同時乙方即向甲方交清房租并向甲方交納租房押金2000元。

3、出租房的維修、房產稅、土地使用費等由甲方負責，每月管理費、水電費、電話費等由乙方負責。

4、租貨期間，甲乙雙方都不得無故解除合同，否則，違者處以2000元罰款。

5、租賃期滿后，乙方是否續租，甲方是否出租都應提前壹個月告知對方，乙方合同期滿應提前壹個月支付甲方續租租金，租賃期滿后，如甲方收取了乙方押金，在房屋完好無損、各種費用結清時，應如數退還乙方。

6.乙方在使用房屋期間，不得擅自改變房屋結構及用途,并嚴格基守國家的有關法律、法規，如乙方對房量設施故意或過失造成損毀，應負責修繕恢復原狀或按價賠償。

7、租賃期滿，乙方須按時搬走,不得故意拖延時間，未經甲方同意，過期三天仍未搬走，甲方有權自行處理屋內財物并收回房屋，如甲方的房產繼續出租或出賣，在同等條件下乙方享有優先權。

9、本合同如發生糾紛，甲、乙雙方應通過發好協商解決，不能解決即提請有關部門裁決。

10、本合同一式三份，甲、乙、丙三方各執一份，三方簽字后，此合同生效。
