Force Majeure

由于水災、火災、地震、干旱、戰爭或協議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發生的事件通知另一方，并在不可抗力事件發生15天內將有關機構出具的不可抗力事件的證明寄交對方。Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing

Arbitration

因履行本協議所發生的一切爭議應通過友好協商解決。如協商不能解決爭議，則應將爭議提交中國國際經濟貿易仲裁委員會（北京），依據其仲裁規則進行仲裁。仲裁裁決是終局的，對雙方都有約束力，仲裁費用，除另有規定外，由敗訴一方負擔。

Validity of Agreement

2.1 我們，公司名稱和地址

4.1 該協議不可轉移，不可分配，不可分開，并且有條件包含所有條款和協議。交易開始該協議按照條款1.1所述生效并執行，該協議在有效期中持續生效和執行，若要對本協議進行更新、擴充、轉移或另外相關內容的增加需在簽訂本協議之日起5年內提出申請。

5.1 任何一方同意不得直接或間接披露，在簽訂此協議5年內不得設法避免和/或避開任一方當事人進行交易且所有當事人需遵從本協議所有條款、條件，有義務履行在2008（填入和中間方簽訂的保密協定的時間）簽訂的保密協定。所有當事人同意該不可撤銷傭金保護協議作為保密協定的附件，該保密協定涉及到包含如下對象但不限所有當事人、及其雇主、雇員、合作伙伴、代理商、附屬企業、子公司和總公司。

6.1該不可撤銷傭金的支付于買方

根據中華人民共和國合同法，甲乙雙方本著自愿平等的原則，協商一致，簽署以下協議，以資共同遵守。

第一條委托事項

甲方委托乙方尋找海外合作伙伴為甲方銷售的潛在客戶。

第二條傭金的計算，給付方式，給付時間

（1）甲方同意按每個成交客戶的成交總額的10%支付傭金給乙方，訂單，合計金額，傭金。

（2）給付方式及時間

在甲方與乙方所介紹的海外合作伙伴簽訂合作協議并支付款項到賬后，甲方應在一周內按照本協議支付給乙方。

（3）乙方促成成交所開支的費用，由乙方自己承擔。

第三條 違約責任

（1）甲方若不按本協議第二條（1）執行，逾期一天應付乙方逾期違約金，按所應付款的日萬分之二計算。

（2）甲方同意乙方介紹的海外客戶，其將來與甲方發生的每筆業務，甲方都將按本協議的第二條支付傭金給乙方，否則，甲方愿意承擔本條第（1）款約定的逾期付款違約金。

（3）乙方應當就有關訂立協議的事項向委托人如實報告，乙方故意隱瞞與訂立協議有關的重要事實或者提供虛假情況，損害甲方利益的，不得要求支付報酬并應承擔損害賠償責任。

第四條 爭議解決方式

對違約行為若雙方協商不成，可憑此協議向甲方所在地的人民法院提出訴訟并按照中文文本含義適用中華人民共和國法律解決糾紛。

第五條 本協議未盡事宜雙方協商解決，本協議一式貳份，雙方各執壹份，具有同等法律效用，本協議雙方簽字蓋章即為有效。

根據《中華人民共和國合同法》和有關法律法規的規定，生產廠家與中間人就傭金事宜，雙方經協商一致，簽訂本協議。

一 甲方責任

1、甲方應保證所生產產品的合法性及保證產品質量。

2、甲方與海外客商交易的具體價格，交貨方式，支付方式等由甲方與海外客商雙方協商約定，并將簽署的協議、合同等法律文書備份一份給乙方，以便乙方知悉。

3、乙方不對甲方與海外客商的交易提供任何信用擔保，以及甲方在以后的協議履約時和海外客戶發生的一切糾紛，乙方概不承擔連帶和賠償責任。甲方應嚴格按“FOB、C&F或者CIF或其他條款”執行與海外客商所簽訂的合同。

4、甲方對于乙方介紹的國內外買方之間的一切商業信函，以及附件或者抄送的形式及時通知乙方。

5、甲方承諾不得為回避乙方而采取直接或者間接的手段與乙方已經介紹給甲方國內外買方接觸以獲得訂單。如果甲方實施此行被乙方以相關材料證明后，則甲方除了應付該被查證交易的傭金外，還需向乙方支付不低于改部分傭金50%的違約罰金。本條說是的傭金標準以不低于雙方已經發生的改產品傭金的最高標準執行。

二 乙方責任

1、乙方的主要工作職責是為甲方介紹國內外買方。乙方的工作主要是為甲方尋找買方，一旦國內外買方與甲方形成固定交易關系（包括第一筆交易），則所有今后甲方與國內買方之間形成的交易額均視為乙方的工作成果。

2.、乙方對已經介紹給甲方的國內外買方的商業機密嚴格保密，如果乙方將介紹給甲方的國內外買方的機密直接或者間接泄露，乙方應承擔由此造成的一切經濟損失和后果。

三 傭金的計算、支付方式、支付時間

1、甲方承諾按每筆FOB合同成交總額的5%-10%（視具體情況而定），支付給乙方。第一次介紹，加拿大客戶訂單，傭金按5%來計算。

2、給付方式及時間：在甲方與乙方所介紹的國內外客商簽訂每筆合同且國內外客商貨款100%付至甲方后，甲方承諾在五天內將全部傭金一次性支付給乙方，一筆合同支付一次傭金。傭金匯至乙方指定銀行。

四 違約責任

1、甲方若不按本協議第三條的第2款執行，逾期應支付乙方滯納金，滯納金系數為：每天付總傭金的千分之三。

2、甲方同意凡乙方所介紹的國內外客商，其將來與甲方的每筆業務，甲方都將按本協議第三條第1款支付貨款的5%-10%傭金給乙方，否則，甲方愿承擔本條第1款約定的逾期付款違約金。

五 爭議解決方式

如因本協議的履行而發生任何爭議，經雙方友好協商無法解決的，由廣州仲裁委員會仲裁，仲裁結果對于雙方具有法律約束力。

六 其他條款

1、但任何一次單次交易都將以本協議為基礎，接受本協議的調整。涉及到單次交易的傭金、價格及條件由甲方與乙方根據本協議而確定。所有單次交易確認書都將作為本協議的附件并與本協議具有同等的法律效力。

2、本協議根據中華人民共和國法律而制定，并適用中華人民共和國法律。

3、甲乙雙方對于本協議的簽署以簽字及加蓋蓋章的方式進行。

4、一旦本協議經雙方簽字（蓋章），本合同即生效。

5、本合同未盡事宜雙方協商解決。本協議一式兩份，雙方各執一份。
