法律英文寫作最應注意的六個細節

如今，律師業務的范圍相比從前已經擴大了很多，比如國際投資與貿易、國際爭議解決以及為境外客戶提供法律環境綜合評價的咨詢等涉外業務不斷增加，因此對中國律師的英語水平和其他綜合素質的要求也就越來越高。中國律師要想適應不斷開放的法律市場，英語，尤其是英文法律文書的撰寫是律師工作中十分重要的內容。

在處理法律事務的過程中，用英文起草文稿，審核英文文件等是涉外法律人士的日常要務。這些看似基礎的英語文書工作其實非常凸顯律師法律英語的專業素養，而在日常寫作中，又有很多常見的細節問題很容易被大家忽略，諸如法條引用、英文縮寫、首字母大小寫及標點的合理使用等這些所謂的“小”問題。今天，我們將就上述問題提供一些建議，希望能夠幫助您將英文法律文書寫得更加專業、更加地道。

中國法律的引用

? 當在文書正文中引用法律條文時，請注意不要整段整句地全文引用。

? 盡可能使用一般描述性語言概括法條，并用腳注進行輔助說明。

這是為什么呢？

因為讀者希望能夠在短時間內了解法條的大概內容。整段整句地引用法條會降低讀者的興趣，也不會額外提供任何實質性的信息。

正確引用示例：

文章正文：“Chapter VI of the Civil Procedure Law provides the legislative framework for pre-trial evidence collection in China.[FN1] In 1991, the Supreme People’s Court supplemented the Civil Procedure Law by issuing evidentiary rules to guide the management of cases.[FN2]”

腳注：“FN1: See Civil Procedure Law of the People's Republic of China, effective on April 9, 1991;amended on October 28, 2007;further amended on August 31, 2012.”

“FN2: See Several Provisions of the Supreme People’s Court on the Evidence for Civil Actions, issued on December 21, 2001 and effective on April 1,2002.”

如何正確使用“etc.”

? Etc.是“et cetera”的縮寫形式，意為“其他同類事物”。

? 常被用來省略不必要全部列舉出來的事物。但是只適用于同一種類的事物。如果不屬同類則會誤導讀者。

舉個例子，我們可以說“We could use cupcakes, cookies, etc.” 這說明除了杯子蛋糕和曲奇餅干之外，還有其他的甜點可以選擇。因此也可以這樣表達“We could use cupcakes, cookies, and other kinds of dessert.”

但我們不能說“Bring hamburger buns, paper plates, cupcakes, etc.” 因為漢堡、紙盤和杯子蛋糕并不屬于同一類別，讀者不知道您想要的到底是什么。

? 不要在法律文書中使用“etc.”。

法律文書力求簡明精準。“Etc.”的用法比較模糊，界定過于寬泛，并不符合法律寫作的要求。

如果您想要表達相同的意思，可以使用“including, among others, ?.”這樣的句式。

比如下面這句話“Persons who perform public services in State organs are typical State Functionaries.They

include,e.g.,officials,directors,chiefs of bureau,etc.”就可以改為“State Functionaries perform public services in state organs.They include,among others,officials,directors,and chiefs of bureau.”

除此之外，您還可以使用一個一般描述性的詞語來結束以上的眾多列舉。就像這樣“They include, e.g., officials,directors, chiefs of bureau,etc.”等同于“They include officials,directors,chiefs of bureau,and other employees with managerial responsibilities.”

首字母大寫

? 被定義項和專有名詞通常需要首字母大寫。

比如“London”或“Woolworths Company Limited”。

? 被定義項的每一個詞都需要首字母大寫。比如“Sinopec Yangzi Petrochemical Company Limited”，介詞和連接詞除外（“Event of Default”中的“of”就不用大寫）。在標題中只需要對第一個詞語的首字母大寫即可，被定義項除外。標題應寫作“Your claim against ABC”而不是“Your Claim Against ABC”。請勿將整個詞語全部大寫。注意“the Company”不要寫成“the COMPANY”。使用序列逗號序列逗號是指直接用在并列連接詞（通常是指“and”、“or”或“nor”）連接三個以上事物之前的逗號。比如，“France,Italy,and Spain”（這里使用了序列逗號），而“France,Italy and Spain”（沒有使用序列逗號）。逗號可以改變一個句子的意思。“He eats shoots and leaves”和“He eats,shoots,and leaves.”這兩句話的意思就完全不一樣。這是一個關于標點的笑話，原文的意思是“熊貓主食竹筍和竹葉”。而第二句多了兩個逗號則變成“熊貓吃了東西，開槍射擊之后又離開了”。意思完全改變了。序列逗號使得句意更加清楚。

例句：“She took a photograph of her parents,the president and the vice president.”

“She took a photograph of her parents,the president,and the vice president.”

第一句容易被誤解為“她為她的父母——正副主席拍了張照片。”其實句子的正確意思應該是“她為她的父母和正副主席一起拍了張照片。”

如果并列連接詞“and”和“or”無前置逗號的話，就會理解為將所列舉的各個單獨部分連接起來。

例句：“He ordered scrambled eggs,whisky and soda and a selection from the trolley.”

這句話的意思是“他在路邊的小吃攤上點了一份炒雞蛋，一杯威士忌和蘇打和一份套餐”。這個句子少了一個序列逗號，就會產生誤解。我們不清楚他到底是“點了一杯威士忌和一杯蘇打”，還是“一杯威士忌加蘇打”，后者在英美也非常常見。

而加上一個序列逗號后就十分清楚了，“He ordered scrambled eggs,whisky and soda,and a selection from thetrolley.他點的就是“一杯威士忌加蘇打”。

在新聞報道中通常會將序列逗號省略，但我們作為法律文件寫作者，作為專業領域的作者，就要力求清晰嚴謹。

一位杰出的美國法律學者曾說過，“是否使用序列逗號引起了大家的廣泛討論。但毫無疑問的是，只要使用了序列逗號，就一定會避免不必要的誤解。”

請勿使用“and/or”

? 示例：“The Liquidated Damages apply if Party Amaterially breaches its obligations under the Tolling agreement and/or IP Licensing Agreement.”

這個句子想要表達什么呢？大意應為“當甲方違反了《設施使用協定》或《知識產權許可協議》兩者中的任意一個或同時違反時都要支付違約金。

而”The LDs apply if Party A breaches the Tolling Agreement or the IPLicensing Agreement.“這句話表達的是相同的意思。但是這樣表述起來就更加清楚，其實也可以這樣表述”TheLDs apply if Party A breaches one or the other or both agreements.“

? 如果您想要表達“X或Y，或者兩者都包括”，可以寫成“X or Y”。“or”本身就有包括的意思，除非文中對此做出了其他說明。

那么，“or”該怎樣使用才是表達“不包括”的意思呢？（意思就是“or”表示為“X或者Y，不同時包括兩者”）這時，我們應該使用“either”，這樣就可以理解為“X或者Y”的意思。

示例：”He will eat either brownies, cake, or pie." 意思就是他只會在布朗尼，蛋糕和派中間選擇一樣，不會都選。

合理使用“kindly”和“please”

? 使用“please”就已經能足夠表達禮貌之意，不必使用“kindly”。

請盡量避免如下表達：“Please kindly provide your comments by?,”或是“Kindly provide your comments by?.”其實說成“Please provide your comments by?.”就已經非常得體了。

相信文中提到的六個問題應該是您在法律英文寫作中經常會遇到的，對您是否有所啟發？細節決定成敗，一個力求精準專業的小細節在工作中也許就會達到事半功倍的效果。

第二篇：金杜2013試題

金杜2013試題

閉卷考試，共三個小時，中間會被叫出去面試，筆試共三個部分，第一部分是案例，兩道大題，每答題三小問；第二部分是英翻中；第三部分是中翻英。

第一道案例大意是一個公司的董事兼高管，致使公司內的財務主管共同通過虛報發票的方式密下公司150萬，財務主管單獨利用職務之便密下公司10萬。

1.共同犯罪的構成要件。

2.自首的要件

3.分析案件的法律關系和刑事責任。

第二道案例大意是國有企業管理人員利用職務收受賄賂為他人謀取不正當利益，多次為不同事情受賄，包括一個項目，一個安排工作，其中項目公司向他行賄100+萬吧，求他安排工作的也是項目公司中的一個人，具體數額記不清了，好像就幾萬元。此外這個國企管理人員還從其他地方受賄，共計1600多萬。事發后委托趙某擔任其辯護律師。

2.趙某如何會見這個在押的國企管理人

3.分析案件的法律關系和刑事責任。

第二部分是是CSRC中國證監會2006.5.6日《上市公司證券發行管理辦法》的一篇key contents的英翻中。

2013-2014學上學期九年級

英語教學工作總結

富裕一中杜金英

一個學期即將過去，忙碌過后終于可以坐下來細數這一學期收獲來的經驗。這學期，我擔任九年一班的英語教學工作，為了更好完成今年的教學任務，我按時上課，積極參加學校組織的各種教學活動，結合本校的實際條件和學生的實際情況，認真備課、聽課，及時反思教學，認真研究中考題型，在教學過程中對學生進行考點灌輸，使教學有計劃、有組織、有步驟、有效率地開展，現對本學期以來的教學工作做以下總結：

一、開學初認真制定了教學計劃，明確了教學目的。在新課改的理念指導下，依照教學大綱、教材、學生實際和教育教學規律，制定了學期教學計劃。

二、認真備課，做好課前準備工作。備課不充分或者備得不好，會嚴重影響課堂氣氛和積極性，因此我每天花很多的時間來備課，認認真真鉆研教材和教法。雖然辛苦，但事實證明是值得的。

三、認真組織好課堂教學。一堂課的四十五分鐘，就是一個教師表演技能的階段。上課時，本著“傳道、授業、解惑”的原則，努力提高教學質量，使講解有條理、清晰、準確、生動。使每堂課學生有所獲，努力使學生打好基礎，培養能力，發展智慧，培養學生的正確思維方式，養成良好的學習習慣，特別注意調動學生的積極性，加強師生交流，充分體現學生的主體作用，讓學生學得容易，學得輕松，學得愉快。在課堂上，根據不同學生設計不同層次的問題，樹立學生的自信心，讓各層次的學生都得到提高。

四、認真批改作業。堅持布置適量的作業，使學生所學知識得到鞏固和提高。布置作業時，堅持做到有針對性，有層次性，形式多樣化。

五、認真反思教學。教學這一活動，沒有反思的伴隨就不會有進步。堅持每次授課后，認真回想，進行反思。

六、做好課后輔導工作。英語學習是語言的學習，因此在課后，對不同的學生進行相應的輔導。從平時的課堂反應，課后交流，作業記錄中掌握各個學生的心理狀況，抓住他們的特點和個性，有的放矢地與其進行交流，做到按層次、按情況進行輔導。及時給予關懷和關愛。善于發現學生的優點，并給予表揚；積極發現后進生的閃光點，及時給予鼓勵，樹立他們的自信心。

八、經過一個學期的努力，一部分學生的成績有所提高，但存在的不足也很多，學生的知識結構還不是很完整，而且無法正確運用所學知識。

總之，在這一學期的教學過程中，我盡力地做好每項工作，其中學到的東西固然不少，但不足之處也很多。在以后的教學工作中，我將不斷總結經驗，發揚優點，改進缺點，不斷探索新的教學方法和教學手段，提高教學質量，做一名合格的人民教師。
