1.The Leased and its usage : 租賃物和用途 :
The Lessee rents from the Lessor all spaces on the area of m2 of the Real Estate Development , which is located in , including but not limited to the rooms, corridor and car parking area, as offices.承租方租用出租方位于 的建筑面積為平方米的區域作為寫字間,包括但不限于所有房間、走廊及停車位。
Hereinafter referred to as the Leased Offices.以下稱“租賃寫字間”。

4.Payment and term : 付款方式和期限 :
4.1 Payment can be made by check or bank transfer.可用支票或電匯支付租金。
4.2 The Lessee shall prepay the quarterly rental for the following three months in advance.承租方需按季度預付隨后三個月的租金。
4.3 If the Lessee fails to make payment as stipulated in the preceding clause, the overdue amount payable shall bear simple annual interest at the then prevailing interest rate of deposits announced by the People's Bank of China until such time as the payment is made.If the Lessee fails to make payment in 60 days after the rental becomes payable the Lessor has the right to terminate the agreement.如承租方未能按上款支付租金,則應加付延期付款期間的利息,直至租金得以支付。利率按中國人民銀行公布的同期存款年單利率執行。
如果承租方在60天內未按約定支付租金,出租方有權解除本租賃協議。
4.4 The Lessee shall pay the yearly central heating fee within one week upon receipt of payment notice and the Lessor will issue an official invoice on the same day of receipt of the payment.承租方在收到支付采暖費通知后,支付年度采暖費,出租方在收到付款的當日開具正式發票。
4.5 The Lessor shall supply the Lessee with an official invoice(tax receipt)on the same day of the receipt of rental payment.出租方應在收到租金當日向承租方出具正式(含稅)發票。
4.6 The Lessee will pay the Lessor amount of RMB One Hundred Thousand Yuan(100,000.00)as a deposit for starting the internal decoration upon signature of this Agreement.The deposit will be deducted from the first quarterly rental due.本租賃協議簽訂后,承租人將支付出租人人民幣壹拾萬元押金,啟動內部裝修。該押金將從第一個季度租金應付款中扣除。
5.Rights and Obligations of the Parties : 雙方權利與義務:
5.1 The Lessor shall permit the Lessee to move in and install some office furniture to the Leased Offices during final decoration stage before the official contract term commences for moving purpose.出租方應允許承租方在正式協議租賃期限開始前在裝修末期搬入并安裝部分辦公家具,為辦公環境做好準備。
5.2 The Lessor shall have the Lessee's written acceptance of the leasing condition at the time of handing over including but not limited to the following points: 出租方應得到承租方對以下幾點交接時的出租環境的書面認可,包括但不限于:
The Lessor shall start internal decoration to the Leased Offices at its own cost upon signing of this lease agreement with standard as following: white painted wall, white window blind, ceramic tile floor in office and granite stone floor in corridor, good quality air conditioner, hot water for wash basin, auto flush urinal, one sitting and one squatting type toilets in Men’s room, two squatting type toilets in Lady’s room.Partition entry double security door in front of elevator.Security doors on stairway entry.Coffee and tea room next to washroom shall have a sink with hot and cold water pipe installed.Partition wall and door change may be needed as required.Details of these decoration specifications will be provided by the Lessee.自本租賃協議簽字生效之日起,出租方應自費對租賃寫字間進行內部裝修,其裝修標準如下:白色墻漆墻面、白色百葉窗、寫字間房間內為瓷磚地面、走廊為花崗巖地面、高品質空調機、衛生間洗手盆有熱水、男衛生間小便池自動感應沖水,一個蹲便和一個坐便、女衛生間兩個蹲便、衛生間旁邊的茶水間要有冷熱水管和水池、電梯前安裝入戶雙開防盜門、樓梯入口安裝雙開防盜門、隔墻和房間門可能會根據要求進行改動。承租方將提供這些裝修要求詳細說明清單。
All Leased Offices shall be professionally cleaned and tidy by , including but not limited to all floors, ceilings, windows, walls, blinds, washroom and the corridor.截止,所有出租寫字間應是職業性的整潔狀態,包括但不限于所有的地面、天花板、門窗、墻壁、百葉窗、衛生間及走廊。
All air-conditioners, lighting and water pipe and plumbing shall be in good working condition, and all lights shall be in place.所有的空調、照明和上下水管道應工作狀態良好。所有的照明燈均就位。
Lights in office room and on the corridor shall be energy-saving fluorescent lamp with switches.房間和走廊上的照明均為開關式節能日光燈。
There are at least four power sockets in each office and telephone and internet lines in each room shall be laid as per the Lessee’s requirement.每個租用寫字間應具備至少四個電源插座,各寫字間配備足夠的網線和電話線接頭(承租方將提出具體布線要求)。5.3 The Lessor shall allow the Lessee to put the company name board of the Lessee in the entry area of the office yard for the function of directing lessees’s visitors.出租方應準許承租方在辦公樓院門前掛立公司標牌,為承租方的來訪者提供指示。
5.4 The Lessor shall provide three(3)vehicle parking space included in the rental for day and night and allow free parking during day time inside the yard for the Lessee if any vehicles of lessee or hired by the Lessee would park inside the yard of the.租金包含出租方為承租方在辦公大樓院里提供三個晝夜停車位,并允許承租方自己或租用車輛在白天免費停車。
5.5 The Lessor shall include the Leased Office within its own security checking area twenty four hours per day through out the whole year.However the Lessor has no responsibility to compensate for loss if the Lessee’s property is stolen in the office.The Lessee shall observe the security rule of the Lessor, and have the liabilities to watch the security inside the Leased Office area.出租方應將租賃寫字間劃為其保安范圍內,全年每天二十四小時值班。然而,出租方不承擔承租方在寫字間被盜損失的賠償責任。承租方應遵守出租方的安全保衛制度,有義務維護辦公區域的安全。
5.6 The Lessor shall keep one set of the key to the entry door, sealed in a package by the Lessee, to all the rooms inside the Leased Office area.The Lessor shall not open the package unless under the emergency(such as fire)and the explanation shall be given to the Lessee of the package opening.出租方應保留一套由承租方打包封存的租賃寫字間大門的鑰匙。除非在緊急情況下(如火災等)出租方不得啟封。啟封后應向承租方做出說明。
5.7 The Lessor shall perform the duty of the maintenance work of the Leased Offices and common areas such as the elevator including but not limited to the air-conditioning, heating, electricity supply, water supply and plumbing.If there is no response by the Lessor within one week after the Lessee’s application for the above maintenance, or if the Lessor can not perform its duty of maintenance, after the agreement of the Lessor, the Lessee may maintain the Leased Offices at its own discretion, and the costs incurred shall be deducted from the rental payment.The maintenance in this article refers to the recovery of normal function of the Leased Office.出租方應履行對租賃寫字間及公共區域如電梯的維修義務,包括但不限于空調、供暖、供電、及上下水管道。如果在承租方提出維修申請一周內,沒有答復或出租方不能維修,承租方在征得出租方同意后,可以自行維修,維修費用從租金中扣除。
5.8 The staff of the Lessee shall have the right of access to the Leased Offices from 6:30am to 9:00pm on any day during the year.For anytime out of the above time, the Security Department shall be notified in advance.Lessee personnel shall not stay overnight in the Leased Office.The Security Guard of the Lessor has the right to inquiry the staff and associates of the Lessee and the entry registration will be asked to enter.Access to the Lessee's office by staff, Contractor or associates of the Lessor shall be by authorization of the Lessee.承租方的雇員有權在一年內任何日期的早上6:30到晚上9:00進出租賃寫字間,超出該時間范圍應提前與出租方保衛部門通報。承租方人員不得在租賃寫字間內留宿。出租方保衛有權對承租方員工及客戶進行詢問和出入登記。對于出租方的員工、其合同商及與出租方有關的單位進入租賃寫字間,應得到承租方的認可。
5.9 The Lessee will be responsible for the payment of electricity charges for the Lessee's office space as measured by the Lessor's separate meter for the floor space occupied by Lessee.The electricity will be charged by the Lessor based on the electricity charging standard.承租方將負責支付其辦公區域內的用電,電量將由出租方提供的單獨用于承租人租賃樓層的電表計量。出租方將按本地收費標準收取電費。
5.10 If the Lessee or its visitors damage the Lessor's facilities, the Lessee shall compensate the Lessor for the loss, with the exception of normal wear and tear and damages caused by normal use.如承租方或其訪客損壞出租方的設施,承租方應予賠償,但正常使用中造成的損壞和磨損除外。
5.11 The Lessee shall be responsible for its own valuables, cash, furniture, equipment and documents held at the Leased Offices.If the Lessor or its personnel cause the damage or loss of the Lessee’s or its personnel’s valuables, cash, document and the like, the liabilities and compensations would be decided by the agreement between two parties.If the criminal case or civil case has incurred thereof, the liabilities and compensations would be decided by the judgment of the law executive body.承租方應負責其放在租賃寫字間的貴重物品、現金、家具、設備及文件的安全。如出租方或其人員造成承租方或其人員的貴重物品、現金、文件等的損壞或丟失,責任及賠償應由雙方協商處理。如由此引發各類刑事、民事案件,賠償責任應以執法機關的最終判決為準。
5.12 The Lessee shall have the right to sub-lease part of its leased floor to other company or organization on the basis of being a sole Lessee to the Lessor for its leasing responsibility.承租人有權部分再出租其租賃面積給其它公司或機構,但條件是對于出租人而言,承租人承擔全部承租人責任。
5.13 If the Lessee intends to terminate this agreement, it shall give the Lessor sixty(60)days notice in writing.In the case of intentional malicious conduct by the Lessee which have taken serious harm to the Lessor, the Lessor shall have the right to terminate this Contract by giving the Lessee sixty(60)days notice in writing.如承租方欲中止本協議,需提前六十(60)天書面通知出租方。若承租方有故意的惡意行為而給出租方帶來了重大損失,出租方有權提前六十(60)天書面通知承租方中止本協議。
5.14 Any amendment of this agreement shall be discussed between the Lessee and the Lessor and mutually agreeable terms and conditions arrived at.對本協議的修改,需經出租方與承租方協商,并就其條款達成一致。5.15 The issues not covered by this agreement shall be implemented according to the Contract Law of the People's Republic of China that has been promulgated.The issues not covered by the said law shall be resolved through friendly consultation between the parties.本協議未盡事宜按已頒布的《中華人民共和國合同法》執行,該法未涵蓋的,雙方通過友好協商解決。

Decoration Standard and Specifications for office space 裝修標準和說明
Decoration standard and style shall be similar to the 4th floor in Real Estate Development Company.與房地產開發公司樓的四層裝修標準和風格類似。
Surface of wall: white painting wall with environment-friendly paint 墻面:環保型白色墻漆
Ceiling: hanging ceiling same as the 4th floor天花板:吊頂,與四層一樣。
Light: Fluorescent lamp same as the 4th floor 照明燈:日光燈,與四層一樣。Curtain: White window blinds窗簾: 白色百葉窗簾
Floor: Ceramic tile in office room and granite stone for corridor 地面:寫字間內地面為瓷磚,走廊為花崗巖地面。
Air Conditioner: heating and cooling(Haier preferred), low noise, cooling input power(horsepower)fits room size 空調:冷暖型(最好是海爾空調),低噪音, 制冷輸入功率應與房間面積相配。
Washroom: sitting toilets for Lady’s;One squatting and one sitting toilets for Man’s, Auto flushing urinal.Hot water for wash basin for both washrooms.Mirror, cabinet for each washroom for storing cleaning tools(height is about person’s height).洗手間:女廁:蹲便。男廁:一蹲便、一坐便、小便池自動感應沖水。隔離間需要比四層的稍微大一些。洗手盆有冷熱水混合(帶水加熱器),鏡子,男女衛生間各做一個衛生潔具儲藏柜(高度一人高左右)。

甲方和乙方根據《中華人民共和國合同法》、《中華人民共和國城市房地產管理法》及其他有關法律法規,在平等、自愿、誠實、信用原則的基礎上,同意就乙方向甲方租用其房屋事項等達成協議如下:
一、房屋的座落、面積及裝修、設施
(1)甲方將其擁有房屋位于__________________________________________,出租給乙方使用,用途為_________,該房屋建筑面積共________平方米。
(2)該房屋現有裝修及設施情況見附件。該附件做為甲方按照本合同約定交付乙方使用和乙方在本合同租賃期滿交還房屋的驗證依據。
二、租賃期限
(1)該房屋租賃期共_____個月,自______年___月____日起至______年___月____日止。
(2)租賃期滿,甲方有權收回全部出租房屋,乙方應如期交還。乙方如要求續租,則必須在租賃期滿前的一個月向甲方提出書面意向,重新簽定租賃合同。
三、租金及支付方式

四、租賃條件
(1)甲方應向乙方出示該房屋的《房屋所有權證》或有權決定該房屋出租的相關證明。(2)乙方不得在該房屋內進行違反法律法規及政府對出租房屋用途有關規定的行為。未經甲方書面同意,乙方不得將該房屋部分或全部轉租他人,若擅自轉租,甲方有權終止合同,由乙方承擔對甲方及第三方的違約責任。
(3)乙方承擔租賃期內的(水費、電費、電話費、寬帶費、物業管理費、暖氣費、有限電視費等)實際使用的費用,租金稅費由乙方按有關規定自行承擔。
(4)因乙方使用不當或不合理使用致使該房屋或其內部設施出現損壞或發生故障,乙方應及時聯絡進行維修并負擔所發生的費用。由于不可抗力及非乙方原因造成的損失由甲方負責承擔有關維修的費用。

五、產權變更
(1)如甲方依法定程序將房屋所有權轉移給第三方時,無特別約定情況下,本合同對新的房屋所有人繼續有效。
(2)甲方若出售該房屋,須提前三個月書面通知乙方,同等條件下乙方有優先購買權。
六、關于押金
根據甲方要求乙方應支付甲方房屋押金人民幣_______元(大寫________________元整),待租賃期滿乙方結清有關費用,甲方驗房并認可后,乙方將該房屋鑰匙交與甲方,同時甲方將押金退還乙方。乙方如未按規定結清有關費用,甲方有權拒退押金。
七、合同的終止
(1)租賃期限屆滿或經甲、乙雙方協商一致本合同終止。
(2)乙方應在期滿當日將房屋鑰匙及正常使用狀態下的附件中所列物品交給甲方。房屋留置的一切物品均視為放棄,甲方有權處置,乙方絕無異議。
(3)若甲、乙雙方中的一方違約,另一方有權終止合同,并向對方提出賠償要求。
八、違約的處理
1、甲方違約的處理
(1)甲方未按合同規定的時間將功能完備及附屬設施完好的房屋提供乙方使用的,每逾期一天,甲方應按月租金0.5%向乙方支付違約金,逾期10天仍不履行,乙方有權終止合同。甲方應按上述規定支付違約金,若乙方實際損失超過違約金的,甲方應據實賠償。
(2)租賃期內若非乙方過失甲方擅自解除本合同提前收回該房屋的,甲方應按總租金的10%向乙方支付違約金,若違約金不足彌補乙方損失的,甲方應另行賠償。
2.乙方違約的處理
(1)未經甲方書面同意,乙方擅自將房屋轉租、轉借,擅自拆改結構或改變用途的;利用該房屋進行違法活動的;拖欠房租壹個月以上的;乙方應向甲方支付相當于年租金20%的違約金,若違約金不足彌補甲方損失的,乙方還應另行據實賠償,甲方有權終止合同。
(2)租賃期內乙方逾期交納水費、電費、暖氣費、寬帶費及物業管理費等有關費用達壹個月時,甲方有權用押金支付上述費用,乙方承擔造成的一切后果。
(3)租賃期限屆滿,若乙方未能將設施完好的房屋及時交給甲方,乙方應按原日租金的貳倍實際天數向甲方支付違約金。
(4)如用該房屋注冊公司地址的,乙方應于解除合同之日前五日內到房屋租賃管理所辦理相關注銷(解除)房屋租賃合同登記(備案)手續。乙方每逾期一天,應按原日租金的貳倍向甲方支付違約金。
(5)租賃期內若乙方中途擅自退租,乙方應按合同月租金的貳倍向甲方支付違約金,所預付的租金和押金甲方不再退還。
九、免責條款
(1)房屋及其附屬設施由于不可抗力造成的損失,甲、乙雙方互不承擔責任。(2)由于政府政策等原因導致合同不能全面履行時,甲、乙雙方互不承擔責任。(3)若發生本條款第1、2條情況時,租金按實際使用時間計算,多退少補。
十、特別約定
承租前,甲方應將室內水、電及其它設施,完好交給乙方使用。乙方在租用期間,應確使用水電及其它設施,如空調、熱水器等其它電器使用不當發生故障應負責維修,出現意外后果自負。乙方在租用期間,不得擅自改變房屋結構。保持室內清潔,文明住房,遵紀守法,不能從事違法犯罪活動。租用期滿后,要對室內進行一次徹底清掃,保持原狀況。乙方租滿后,室內物品無損壞,物業無欠費,甲方退還乙方房屋押金,如果續租應提前30 天通知甲方,并重新簽訂租房協議。
十一、其他
(1)本合同一式兩份,甲、乙雙方各執一份,簽字后即行生效。
(2)甲乙雙方履行本合同時所發生的爭議應協商解決,協商不成的可以向房屋所在地人民法院起訴。
(3)本合同附件是本合同不可分割的一部分,與本合同有同等的法律效力。

根據《中華人民共和國合同法》及相關法律、法規的規定,出租方、承租方雙方本著友好互利的原則,在平等、自愿、公平和誠實信用的基礎上,就租賃中天廣場寫字間事宜,經協商一致,為明確雙方權利義務,訂立本合同。
一、租賃物業范圍及基本情況

五、房屋交付及管理
5.1、甲方將房屋附屬設施設備交付乙方使用,乙方負有合理使用看管義務。除自然損耗外,乙方應當保證房屋及附屬設施設備完好,租期屆滿后完好返還甲方,如有損壞乙方應予以照價賠償。
5.2、乙方不得改變本合同約定的房屋使用用途,否則乙方對其遭受的損失自行承擔責任,給甲方及第三方造成損失的應承擔賠償責任。
5.3、乙方不得擅自轉租或者以承包、合作等方式變相轉租給他方,否則甲方有權終止合同。
六、裝修約定
6.1、未經甲方同意,乙方不得進行裝飾裝修,乙方在裝飾裝修該房屋前,需將裝修方案和施工圖紙,向該項目物業管理部門申報,經審核同意后,方可入場施工,否則甲方有權要求乙方恢復原狀、賠償損失。如涉及改變房屋結構、原有消防布局等裝修,乙方必須向政府有關部門進行報批并經主管部門審核同意后,方可實施裝修。
6.2、乙方所有裝修活動應遵守國家有關法律法規及強制性標準,遵守裝飾裝修中的禁 2
止行為和注意事項。
6.3、乙方進行房屋裝飾裝修、增添設施、中央空調和消防設施改造等產生的費用,由乙方自行承擔。
6.4、租賃合同終止后,為了不影響房屋的二次租賃,依附于房屋的裝修歸甲方所有。
七、物業管理約定
7.1、乙方同意由甲方委托的廣匯物業管理有限公司進行物業服務,服務的內容及費用根據與物業服務單位所簽《物業服務合同》約定。
7.2、乙方須與甲方委托的物業服務單位簽定《物業服務合同》,在交納房屋租金時,交納同期物業服務相關費用后,方可入住所租物業。
八、甲方的權利義務: 8.1、負責定期對該物業主體結構及該物業公共設施設備進行檢查,承擔物業主體結構自然損壞的維修費用。
8.2、甲方保證交付時上述房屋及所屬設施的正常安全使用。在租賃期限內出現故障的,乙方應立刻告知甲方負責修理,如因未及時告知或未及時發現造成的擴大損失部分,甲方不承擔責任。
8.3、甲方有權進入該物業內安裝、使用和維修管道、線路及甲方提供的設備和固定裝置,甲方有權在給予乙方合理之預先通知后(緊急情況下可以不予通知)進入該物業,以便于上述情況的檢查、維修或改建工作。
8.4、甲方有權根據需要修改該物業大廈的功能設施及其布局。8.5、甲方保留該物業大廈外墻的使用權和管理權。
九、乙方的權利義務: 9.1、乙方應嚴格遵照物業管理規章制度,該物業管理規章制度乙方已知悉,乙方應自覺服從物業的統一管理。按時足額繳納該房屋租金及本合同內明確的有關費用。并享有以下權利和承擔以下義務:
9.1.1租賃期內擁有該房屋及其公用設施的使用權。
9.1.2如乙方使用不當或人為損壞房屋設施設備的,由乙方負責賠償損失并恢復原狀。9.1.3負責做好該房屋的消防管理、安全防范等工作,如因乙方疏忽或管理不善,造成安全事故,由乙方自行承擔責任。
9.1.4乙方自用部位的設施設備、裝飾裝修的日常修繕、維護費用由乙方承擔。
十、合同的變更、解除與終止
10.1、經甲乙雙方協商一致,可以解除、變更、終止本合同。10.2、租賃期滿合同終止。
10.3、有下列情形之一的,甲方可單方面解除合同,收回房屋:
10.3.1、乙方擅自將該房屋轉租、分租、轉讓、轉借、聯營、入股或與他人調劑交換的;
10.3.2、乙方利用房屋進行非法活動,損害公共利益的; 10.3.3、未經甲方書面同意,拆改變動房屋結構的。
十一、違約責任:
11.1、乙方無故拖欠租金及服務費1個月以上的(含1個月),則甲方有權單方面解除合同,收回該房屋,并追繳所欠相關費用。
11.2、未經甲方書面同意,乙方不得將該房屋轉租,否則視為乙方違約,乙方應向甲方支付兩個月房租為違約金,并承擔給甲方造成的經濟損失。
11.3、乙方違反《物業服務合同》中相關約定,甲方或甲方委托的物業管理公司有權制止、要求其限期整改、恢復原狀,賠償損失,并由乙方承擔一切法律責任,如乙方未限期整改、恢復原狀、賠償損失的,甲方有權單方面解除合同,收回該房屋。
11.4、甲乙雙方任何一方無法律依據提前終止合同的,違約方應賠償對方違約金;造成對方經濟損失的,應給予賠償。
十二、文件信函、通知的送達
12.1根據本合同需要發出的全部通知,均采取書面形式,標明收件人為乙方,如送至
該物業或發特快專遞寄給乙方,即視為送達乙方。
12.2本租賃合同中所列甲乙雙方的通訊地址如有變更,變更方應書面通知對方,否則通知或送達不到的責任由其自行承擔。
十三、甲乙雙方因執行本合同發生爭執,應友好協商解決,如協商未果,任何一方有權向該房屋所在地的人民法院起訴。
十四、合同未盡事宜,雙方可另行簽定補充協議。
十五、本合同一式五份,甲方四份,乙方一份。經雙方簽字、蓋章、并與物業管理公司簽定《物業服務合同》并支付首期合同約定費用后生效。

一、乙方因辦公之需現向甲方訂購租賃由甲方擁有全部物業權益可供出租的位于成都市提督街與西溝頭巷交匯處“四川建行大廈”第層、房號為室的房產,租賃面積平方米(以下簡稱“該房產”)。
二、甲乙雙方同意并確認,該房地產的租賃定價為每月元/平方米,乙方所租賃寫字間每月租賃金共計。
三、甲乙雙方同意并確認,在簽定本協議書時,乙方向甲方支付相等于一個月租金共計人民幣元,作為乙方履行本《四川建行大廈租賃寫字間協議書》的定金。

如甲方在《四川建行大廈租賃寫字間協議書》規定的期限內悔約不向乙方出租本協議第一條規定的房產,即視為甲方違約,甲方必須在違約之日起十五天內雙倍返還定金給乙方,本協議則隨之作廢。
六、該房產的用途為辦公使用的寫字間。
七、本協議書在履行過程中如發生糾紛,雙方應協調解決。如雙方協商不成,可依法向成都市仲裁委員會申請仲裁,或協議簽定地的人民法院提起訴訟。

Party A will guarantee the lease right of the premises.Otherwise, Party A will be responsible to compensate Party B's losses.七、乙方義務 Obligations of Party B 1.乙方應按合同的規定按時支付定金、租金及保證金。
Party B will pay the rental, the deposit and other expenses on time.2.乙方經甲方同意,可在房屋內添置設備。租賃期滿后,乙方將添置的設備搬走,并保證不影響房屋的完好及正常使用。
Party B may decorate the premises and add new facilities with Party A's approval.When this contract expires, Party B may take away the added facilities which are removable without changing the good conditions of the premises for normal use.3.未經甲方同意,乙方不得將承租的房屋轉租或分租,并愛護使用該房屋如因乙方過失或過錯致使房屋及設施受損,乙方應承擔賠償責任。
