1.被 委 托 方 應 通 過 閉 路 電 視 系 統 在 指 定 收 視 點 播 放 完 整 的 NGC節 目，包 括 但 不 限 于

節 目 原 有 的 廣 告 和 推 銷 材 料、版 權 告 協 助 和 制 作 人 名 單，不 得 變 動 或 修 改，但 可 以 為 保 證 節 目 符 合 中 國 有 關 法 律 和 法 規 的 要 求 而 進 行 必 要 的 刪 除。NGC對 其 節 目 以 及 其 中 選 用 的 全 部 節 目 保 留 全 部 權 利，包 括 以 任 何 每 天 在 全 世 界 使 用 這 些 節 目 的 權 利。被 委 托 方 不 得 在 指 定 收 視 點 以 外 的 任 何 地 方 以 非 閉 路 電 視 方 式 播 放 或 允 許 他 方 播 放 NGC 節 目。

2.對 于 NGC 節 目 發 生 的 延 誤、先 占 或 其 他 故 障，如 果 是 由 NGC 和/ 或 委 托 方 無 法 控 制的 原 因 所 致 的，不 由 NGC和 委 托 方 負 責。被 委 托 方 違 反 本 合 同 的，由 此 產 生 的 任 何 索 賠、責 任、費 用 和 支 出 一 概 由 被 委 托 方 負 責，并 應 使 NGC和 委 托 方 不 受 任 何 損 害。

3.NGC C.V.可 在 提 前 三 十 天 書 面 通 知 被 委 托 方 后 隨 時 終 止 本 合 同 書。如 果 被 委 托 方

違 反 本 合 同 書，并 且 在 收 到 違 約 通 知(通 知 應 明 確 支 出 違 約 之 處)后 七 天 內 未 作 出 補 救，則 NGC 可 在 提 前 至 少 七 天 向 其 發 出 書 面 通 知 后 隨 時 終 止 本 合 同 書。NGC 與 委 托 方 之 間 的 協 議 期 滿 或 終 止 時，本 轉 播 授 權 協 議 書 即 自 動 終 止。

4.被 委 托 方 簽 署 本 合 同 書 后，應 即 支 付 上 述 規 定 款 項，不 得 扣 除、預 提 或 充 抵 任何

金 額。因 本 合 同 書 或 播 放 NGC節 目 而 被 中 國 政 府 或 其 任 何 部 門 征 收 的 稅 費，以 及 其 他 有 關 費 用，一 概 由 被 委 托 方 負 責 支 付。

5.被 委 托 方 未 經 NGC 和 委 托 方 事 先 書 面 同 意 不 得 轉 讓 其 在 本 合 同 書 項 下 的 任 何 權

利 或 義 務。

6.本 合 同 書 載 入 雙 方 就 本 合 同 書 議 題 達 成 的 全 部 協 議，未 經 雙 方 簽 署 書 面 文 件，不

得 修 改。

1.Authorized Party shall exhibit NGC’s program service known as “NGC”via the closed

circuit television system at the Authorized Premises, in its entirety, including without limitation, all advertising and promotion material, copyright notices, credits and billings, as and when transmitted by NGC, without alteration or amendment other than deletions made to ensure that NGC complies with all applicable PRC laws and regulations.NGC retains all rights for use in all media.Authorized Party shall not exhibit, or authorize any other party to exhibit NGC anywhere other than at the Authorized Premises or via any media other than closed circuit television.2.NGC and Authorizing Party shall not be responsible for any delays, preemptions or other

failure toprovide NGC where such delays, preemptions or failures are due to any cause(s)beyond the control of NGC and/or Authorizing Party.Authorized Party shall indemnify and hold NGC and Authorizing Party harmless against any claims, liabilities, costs and expenses arising out of any breach by Authorized Party of this agreement.3.NGC may terminate this agreement, effective at any time, by giving Authorized Party 30

days’ prior written notice.NGC may terminate this agreement effective at any time by giving the Authorized Party at least 7 days’ prior written notice, if the Authorized Party has breached this agreement and such breach(which shall be specified in such notice)is not cured within 7 days of such notice.This agreement shall automatically terminate on the termination or expiration of the agreement between NGC and the Authorizing Party.4.Payment by Authorized Party of the amount specified above shall be made without any

一.為確保用戶在協議起始日能接收到所需的節目，轉播授權協議書簽定后，簽約方應在三天之內把解碼器款匯至授權方指定開戶銀行、帳戶，授權方在收到解碼器款或見到匯款憑證的傳真件后，應在一周內將解碼器送至當地的管理部門。

二.收費標準及付費方式:

三、四星級飯店: 0.50元/天/房間

五星級飯店: 0.59元/天/房間

使領館、涉外公寓/國際商業公司: 0.59元/天/房間

（以上簽約用戶如不足100個終端將按100個終端計算）解碼器價格: 4,000.00元/臺

三.付費期限: 按預付收視費

四.收視費匯款應在協議起始后的一周之內按所簽協議的付款周期將收視費匯至指定銀行帳戶，匯款時請注明ESPN節目收視費。

Addendum:

1.In order to ensure that Licensee is able to receive the Service from the starting date of the Contract, Licensee shall remit the decoder payment into Licensor's designated bank account within three days after the contract is signed.Licensor shall send the decoder to related regional broadcasting administrate authority within one week after receiving Licensee's remittance or a copy of bank receipt of the remittance made by Licensee for the decoder.2.Price of the decoder: The price of the NHK decoder is RMB4,000.00

3.The unit subscription fee of NHK program:

2.授權方保留未言明授予被授權方的有關NHK頻道的一切權利。被授權方不得以任何方式錄制、復制和傳播頻道節目，用于本合同以外的目的。被授權方不得向其范圍內的公共場所傳送NHK節目。

3.被授權方同意,對于被授權方違反協議所造成的損失,授權方將不負任何責任,同時授權方的利益將不受損害。

4.本協議一經簽署,在協議的有效期內,被授權方不得提出解除協議。協議到期時,被授權方如果決定不再續簽協議,必須提前至少九十天通知授權方。續約協議的單價雙方另行協商。

5.NHK頻道是衛星加密頻道,需要專用解碼器以接收和轉播。授權方同意向被授權方出售一臺專用解碼器。

6.本協議及其附加條款及附件,是授權方和被授權方共同達成的具體法律效力的約定,一經正式簽署,雙方都應嚴格執行。
