11.裝運通知：一俟裝運完畢，賣方應即電告買方合同號、品名，已裝載數量、發(fā)票總金額，毛重，運輸工具名稱及啟運日期等。

賣方應在合同規(guī)定的裝運日期前30天，以電報/電傳/傳真通知買方合同號、品名、數量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船只按期到達裝運港后，如賣方不能按時裝船，發(fā)生的空船費或滯期費由賣方負擔。在貨物超過船舷并脫離吊鉤以前一切費用和風險由賣方負擔。

□cif或cfr

賣方須按時在裝運期限內將貨物由裝運港裝船到目的港。在cfr術語下，賣方應在裝船前2天電傳/傳真/電報買方合同號、品名、發(fā)票價值及開船日期，以便買方安排保險。

□ddu

賣方須按時在裝運期限內將貨物由裝運港裝運至目的港。

14．裝運通知

一俟裝載完畢，賣方應在_________小時內電傳/傳真/電報買方合同編號、品名、已發(fā)運數量、發(fā)票總金額、毛重、船名/車/機號及啟程日期等。

15．質量保證：

16．商品檢驗：

17．索賠

18．延期交貨違約金

除雙方認可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應同意對信用證有關條款進行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過貨物總價值的5%，差率按7天0.5%計算，不滿7天仍按7天計算。在未采用信用證支付的情況下，賣方應將前述方法計算的違約金即付買方。

19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負責，但賣方應將上述發(fā)生的情況及時通知買方。

20．爭議之解決方式：

□任何因本合同而發(fā)生或與本合同有關的爭議，應提交中國國際經濟貿易仲裁委員會，按該會的仲裁規(guī)則進行仲裁。仲裁地點在中國深圳。仲裁裁決是終局的，對雙方均有約束力。

14.fob/fas條件

15.1.賣方在本合同第8條規(guī)定的時間之內應將貨物裝上由裝運港到中國口岸的直達船.未經買方事先許可，不得轉船.貨物不得由懸掛中國港口當局所不能接受的國家旗幟的船裝載.15.2.賣方所租船只應適航和適貨.賣方租船時應慎重和認真地選擇承運人及船只.買方不接受非保賠協(xié)會成員的船只.15.3.賣方所租載貨船只應在正常合理時間內駛達目的港.不得無故繞行或遲延.15.4.賣方所租載貨船只船齡不得超過__年.對超過__年船齡的船只其超船齡額外保險費應由賣方負擔.買方不接受船齡超過二十年的船只.15.5.一次裝運數量超過一千噸的貨載或其它少于一千噸但買方指明的貨載，賣方應在裝船日前至少10天用電傳或電報通知買方合同號、商品名稱、數量、船名、船齡、船籍、船只主要規(guī)范、預計裝貨日、預計到達目的港時間、船公司名稱、電傳和電報掛號.15.6.一次裝運一千噸以上貨載或其它少于一千噸但買方指明的貨載，其船長應在該船抵達目的港前7天和24小時分別用電傳或電報通知買方預計抵港時間、合同號、商品名稱及數量.15.7.如果貨物由班輪裝運，載貨船只必須是______船級社最高船級或船級協(xié)會條款規(guī)定的相同級別的船級，船只狀況應保持至提單有效期終了時止，以裝船日為準船齡不得超過20年.超過20年船齡的船只，賣方應負擔超船齡外保險費.買方絕不接受超過25年船齡的船只.15.8.對于散件貨，如果賣方未經買方事前同意而裝入集裝箱，賣方應負責向買方支付賠償金，由雙方在適當時間商定具體金額.15.9.賣方應和載運貨物的船只保持密切聯(lián)系，并以最快的手段通知買方船只在途中發(fā)生的一切事故，如因賣方未及時通知買方而造成買方的一切損失賣方應負責賠償.16.cif條件

貨物在目的口岸卸畢60天內(如果用集裝箱裝運則在開箱后60天)經中國進出口商品檢驗局復驗，如發(fā)現品質、數量或重量以及其它任何方面與本合同規(guī)定不符，除屬于保險公司或船行負責者外，買方有權憑上述檢驗局出具的檢驗證書向賣方提出退貨或索賠.因退貨或索賠引起的一切費用包括檢驗費、利息及損失均由賣方負擔.在此情況下，凡貨物適于抽樣及寄送時如賣方要求，買方可將樣品寄交賣方.22.賠償費

因“人力不可抗拒”而推遲或不能交貨者除外，如果賣方不能交貨或不能按合同規(guī)定的條件交貨，賣方應負責向買方賠償由此而引起的一切損失和遭受的損害，包括買價及/或買價的差價、空艙費、滯期費，以及由此而引起的直接或間接損失.買方有權撤銷全部或部分合同，但并不妨礙買方向賣方提出索賠的權利.23.賠償例外

由于一般公認的“人力不可抗拒”原因而不能交貨或延遲交貨，賣方或買方都不負責任.但賣方應在事故發(fā)生后立即用電報或電傳告買方并在事故發(fā)生后15天內航空郵寄買方災害發(fā)生地點之有關政府機關或商會所出具的證明，證實災害存在.如果上述“人力不可抗拒”繼續(xù)存在60天以上，買方有權撤銷合同的全部或一部.24.仲裁

雙方同意對一切因執(zhí)行和解釋本合同條款所發(fā)生的爭議，努力通過友好協(xié)商解決.在爭議發(fā)生之日起一個合理的時間內，最多不超過90天，協(xié)商不能取得對買賣雙方都滿意的結果時，如買方決定不向他認為合適的有管轄權的法院提出訴訟，則該爭議應提交仲裁.除雙方另有協(xié)議，仲裁應在中國北京舉行，并按中國國際貿易促進委員會對外貿易仲裁委員會所制訂的仲裁規(guī)則和程序進行仲裁，該仲裁為終局裁決，對雙方均有約束力.仲裁費用除非另有決定，由敗訴一方負擔.
