業(yè)務(wù)委托合同
鑒于,(以下簡(jiǎn)稱甲方)與XXX(以下簡(jiǎn)稱乙方),就本合同的第一條的相關(guān)委托事項(xiàng)協(xié)商一致,特如下簽定本合同。
第一條(委托事項(xiàng))

7. 每月的報(bào)稅(不含抄稅)
8. 每月費(fèi)用明細(xì)表的提供
9. 年度審計(jì)如委托其他公司,則乙方提供說(shuō)明。
10. 相關(guān)財(cái)稅咨詢業(yè)務(wù)
第二條(資料提供)
1. 甲方根據(jù)乙方的要求,須及時(shí)提供處理本業(yè)務(wù)時(shí)乙方所認(rèn)為必要的文件、證明等資料,并
給于乙方必要的協(xié)助。
甲方指定以下人員,作為辦理本合同業(yè)務(wù)時(shí)對(duì)乙方進(jìn)行聯(lián)系的聯(lián)絡(luò)負(fù)責(zé)人(以下簡(jiǎn)稱“聯(lián)
絡(luò)負(fù)責(zé)人”)。如通過(guò)其他人員進(jìn)行聯(lián)絡(luò)時(shí),須事先通知乙方。
聯(lián)絡(luò)負(fù)責(zé)人:
2. 如甲方存捏造事實(shí)、隱匿真相或者提供虛假的資料等情況,乙方可以解除本合同,并對(duì)于
已經(jīng)收取甲方的費(fèi)用不予返還。如由于本項(xiàng)所述的行為,造成乙方蒙受損失的,甲方須負(fù)責(zé)賠償。
3. 如由于乙方未盡到善管義務(wù)以及忠誠(chéng)義務(wù)而造成甲方受到損失的,乙方須負(fù)責(zé)賠償。
第三條(保密)
1. 乙方在沒(méi)有甲方書(shū)面同意的情況下,不得向第三方泄漏由甲方提供的任何情報(bào)、資料和文

第四條(費(fèi)用)

另外,涉及本委托業(yè)務(wù)的所有政府費(fèi)用及交通費(fèi)、快遞費(fèi)等實(shí)費(fèi),由甲方承擔(dān)。乙方每月就實(shí)費(fèi)進(jìn)行結(jié)算,并憑票據(jù)及明細(xì)向甲方請(qǐng)求支付。
第五條(適用法律)
本合同的成立和效力適用中華人民共和國(guó)的法律。
第六條(紛爭(zhēng)的解決)
1. 因本合同的履行所發(fā)生的、或者與本合同有關(guān)的甲乙雙方間發(fā)生的所有紛爭(zhēng),甲乙雙方須
本著誠(chéng)意、通過(guò)友好協(xié)商努力解決。
2. 如果通過(guò)前款的協(xié)商依然不能解決的,甲乙任何一方均可以向中國(guó)上海市的管轄人民法院
提起訴訟。
第七條(合同期間)
本合同的有效期間為2008年月至200 年月計(jì)一年。合同有效期滿之前一個(gè)月,甲乙各方如不提出異議,則本委托合同按照相同條件自動(dòng)延續(xù)。
由于甲方的業(yè)務(wù)量的增加,乙方認(rèn)為有必要調(diào)整上述第一條記載的委托事項(xiàng)的費(fèi)用的,在得到甲方同意的基礎(chǔ)上,可以在以后的合同期內(nèi)實(shí)施。
第八條(附則)
本合同用中文一式兩份作成,甲乙雙方各持一份。

1.Party A shall, in accordance with Party B’s requirements, promptly provide materials Party B deems
necessary to deal with these businesses, such as documents, certificates, etc., and offer necessary assistance to Party B.Party A designates the following person(s)to act as the contact(hereinafter referred to as the
“Contact”)to communicate with Party B when the business herein is being dealt with.If Party A desires to communicate with Party B via other person(s), Party A shall give a prior notice to Party

with this Contract, Party A and Party B shall, on a sincere basis, try hard to settle them through consultations.2.In case such dispute fails to be settled through consultations referred to in the above section, either
Party A or Party B may bring a lawsuit with the governing People’s Court located in Shanghai, P.R.China.Article 7(Contract Term)

7.Obligations of Party A

dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades, otherwise any and all losses suffered by buyer/lessee therefore shall be borne by Party A.b)Party A shall notify Party B as quickly as possible if its Real Estate hereunder has been

8.Obligations of Party B
a)Party B shall fulfill the transaction entrusted by Party A through its own distribution channel as
quickly as possible, and shall provide assistances to Party A for its negotiation with potential buyer.b)Party B shall provide assistances to Party A and Buyer/Lessee for the conclusion of
Sales/Tenancy Contract or similar instruments, and for the fulfillment of transfer formalities to such Real Estate.c)Party B may not prejudice the interests of Party A by collusion with any third party.第九條:法律責(zé)任
若乙方在促成甲方與買受方/承租方達(dá)成買賣合同或租賃合同后,甲方以任何理由不再進(jìn)行交易或與買受方/承租方合意解除已訂立的合同的,則甲方應(yīng)依上述轉(zhuǎn)讓總價(jià)的1%(出售居住用房)、2%(出售非居住用房)、或上述月租金的35%(出租居住用房)、50%(出租非居住用房)向乙方支付預(yù)期利益損失。對(duì)于本條款,乙方已提示甲方予以注意和重視,并對(duì)條款進(jìn)行了充分的解釋和說(shuō)明。Legal Liabilities

顧問(wèn)業(yè)務(wù)委托合同
株式會(huì)社日建設(shè)計(jì)(以下簡(jiǎn)稱甲方)和X(蘇州)房地產(chǎn)開(kāi)發(fā)有限公司(以下簡(jiǎn)稱乙方),有關(guān)甲方對(duì)于乙方所進(jìn)行的事業(yè)給與的咨詢業(yè)務(wù),按照以下事項(xiàng)達(dá)成協(xié)議并簽訂本合同。
第一條(合同期限)
本合同期限從2010年4月日至2010年月日止。
但是,經(jīng)過(guò)雙方協(xié)商并達(dá)成一致的情況下,即使在簽約期限未滿時(shí)也可以終止本協(xié)議。
第二條(委托費(fèi)用)
1)乙方應(yīng)向甲方支付委托費(fèi)用6,416,660日元。
2)乙方應(yīng)向甲方在簽訂合同后工作日以內(nèi)支付日元。

應(yīng)支付到甲方制定的日元賬戶內(nèi)、以乙方在中國(guó)的匯款日作為支付日。
1)匯款手續(xù)費(fèi)以及產(chǎn)生稅金的情況下,此費(fèi)用由乙方承擔(dān)。

第三條(委托業(yè)務(wù)內(nèi)容)
乙方向甲方委托以下記載的業(yè)務(wù)(以下簡(jiǎn)稱【委托業(yè)務(wù)】)。

詳細(xì)的業(yè)務(wù)內(nèi)容記載在另紙譯本內(nèi)。
第四條(其他經(jīng)費(fèi)負(fù)擔(dān))
1)在委托業(yè)務(wù)執(zhí)行時(shí)產(chǎn)生的住宿費(fèi)、交通費(fèi)、辦公用品費(fèi)及備用品等由甲方負(fù)擔(dān)。2)在產(chǎn)生前項(xiàng)所規(guī)定的費(fèi)用時(shí),由甲乙雙方通過(guò)其他途經(jīng)協(xié)商解決。
第五條(語(yǔ)言)
本合同用中文制定。
第六條(未規(guī)定事項(xiàng))
關(guān)于本合同內(nèi)未規(guī)定事項(xiàng),由甲乙雙方友好協(xié)商解決。
以上、作為本合同簽訂的證明,本合同一式二份,由甲、乙雙方簽字蓋章后,各自保存一份。
