We also confirm that the Company shall continue to indemnify, defend and hold you harmless from any claim, loss, demand, lawsuit, cause of action, judgment of any third party or expense incurred by you as a result of or in connection with the performance of your duties as a member of the Board of Directors and as Chairman of the Audit Committee to the fullest extent provided for under our Company charter, by-laws, and applicable law.我們亦確認(rèn)，針對由您按照公司相關(guān)章程法規(guī)而履行公司獨(dú)立董事及審計(jì)委員會主席職責(zé)而引起的來自第三方的索賠、損失、訴訟及審判，我公司將保障您免受相關(guān)訴訟及損失。

If a claim is asserted against you arising out of or related to the performance of your duties as a director of the Company, you shall promptly give the Company notice of such claim.若出現(xiàn)針對您履行公司董事職務(wù)或與之相關(guān)的索賠情況，務(wù)將相關(guān)事項(xiàng)及時(shí)告知本公司。

The Company shall, at its sole expense, timely engage counsel to jointly represent you and/or the Company, and shall retain the right to control the defense and/or settlement of such matter, with any settlement amounts being borne solely by the Company, except as specifically prohibited by applicable law.公司將以自身費(fèi)用及時(shí)為您與公司（或公司）聘請共同代理律師，且有權(quán)決定相關(guān)事項(xiàng)最終解決，相關(guān)費(fèi)用公司獨(dú)自承擔(dān)，除非相關(guān)適用法律明確禁止。

Should there be a circumstance where an actual or potential conflict arises which prevents joint representation, you have the right to retain counsel of your choosing to protect your interests, and your counsel’s legal fees and expenses will be reimbursed to your counsel by the Company on a current(as-billed)basis.若有實(shí)際的或潛在的沖突情況阻止聘請共同律師代表，則您有權(quán)聘請律師以保護(hù)自身利益，且公司補(bǔ)償您聘請律師的相關(guān)費(fèi)用。

We will submit the proposed wording of the Company’s description of your resignation in any public filings or statements(including, without limitation, press releases)to you for your review and approval prior to filing or publication。

在把您的辭職報(bào)告存檔及公告之前, 我們會把公司就您的辭職報(bào)告所發(fā)表在公開文件及陳述之意見（包括新聞發(fā)布會）提交給您過目及確認(rèn)同意。

We have enjoyed working with you as an Independent Director of the Company, and wish you every success in the future.We appreciate your offer to remain available for any questions we may have and we sincerely hope that we can reconnect in the future。
