增資流程

一：增資公司提交增資方案（確定增發價格，增發數量等事項）。增資方案必須經出席股東大會會議的股東所持表決權2/3以上通過，且增資方案一經通過后不得變更。（關注價格不得低于每股凈資產，實物資產評估作價問題），如存在實物資產出資，需提交具有證券從業資格的專業評估機構出具的評估報告。

二：參與定向增資的自然人或機構及公司開立增資賬戶并辦理三方存管業務

1.參與定向增資的自然人在柜臺辦理開戶（中國工商銀行資金賬戶和重慶股份轉讓中心股權賬戶）并開通三方存管業務

親自辦理：身份證，工商銀行卡（如有），滬深股市代碼卡和個人資產證明

批量辦理：身份證復印件，授權委托書，經辦人身份證

（如采取批量辦理，時間大概為5個工作日。無特殊情況，建議采用親自辦理。）個人開戶30元/人

2.公司或參與定向增資的機構在柜臺辦理開戶（中國工商銀行資金賬戶和重慶股份轉讓中心股權賬戶）并開通三方存管業務

所需資料：法定代表人證明，法人身份證，經辦人證明，經辦人身份證，營業執照，組織機構代碼證。

三：參與定向增資的自然人或機構辦理好開戶手續之后，公司應確保其將增資款繳存至中國工商銀行資金賬戶中。（應當包含千分之5的手續費/登記結算部增加賬戶可用額度）

四：參與定向增資的自然人或機構繳存增資款后，公司將其認購股份明細提交中心并將增資款通過客戶端轉入證券賬戶中。該資料提交本中心后不得變更。（認購明細包括認購者客戶號、認購數量、認購金額、與公司關系、限售股份）

五：中心確定增發股份申購代碼，填好增發股份審批表報領導審批，審批后將增發的股份總額登記到公司股權賬戶上。

六：如免除公司，增資股東的手續費，需向領導報變更交易手續費審批表，領導審批后，對公司、增資股東賬戶進行傭金定價策略進行調整。（交易系統-股份參數管理-傭金定價對象設置）

七：公司與參與定向增資的機構及自然人在隨后的1個工作日協議轉讓時間段（14：00-15：00）內以事先確定的增資價格，增資數量和協議交易編號完成增資的股份交易；

八：中心提供蓋中心業務章的增資證明，增資股東繳款明細，增資前后股東清冊，增資交易明細給公司。

九：公司完成驗資后需向中心提供驗資報告復印件。

十：公司完成工商登記后，增資公司需確立新增股份可流通時間，并及時向中心提交注冊資本變更的公告和變更后的營業執照，中心將注冊資本變更公告披露，并將增發股份登記到增資股東名下，同時對限售的股份進行相關處理。

增資過程公司需向中心提交的材料：

1.增資方案。
