合同翻譯

（二）涉外經(jīng)貿(mào)合同的翻譯步驟

因英文合同涉及締約當(dāng)事人的權(quán)利、義務(wù)關(guān)系，其一旦生效便具有法律約束力，任何違背合同約定的行為，都應(yīng)承擔(dān)相應(yīng)的責(zé)任。

在翻譯的過程中，我們必須忠于原文，不得做與原文有出入的翻譯，若有不慎，就會(huì)帶來難以預(yù)估的法律責(zé)任。

1、分析

通讀全文并研究其結(jié)構(gòu)，做到全面理解、掌握內(nèi)涵，并從宏觀上了解合同原文的總體精神和篇章結(jié)構(gòu)。

要充分理解合同文本的第一步就是要對(duì)合同的體裁和種類進(jìn)行分類。不同的體裁和種類的合同有不同的章法可循。英文合同種類繁多，只有了解合同種類、吃透條款的內(nèi)涵，才能保證譯文的質(zhì)量。

2、理解

翻譯前要讀懂原文。合同文件十分枯燥、乏味，句子長、術(shù)語多，理解上頗費(fèi)功夫。所以耐心讀懂合同原文至關(guān)重要。理解合同文件中的規(guī)約用語。

here: hereafter, hereby, herein, hereof, hereto, hereunder, hereupon, herewith, hereinbefore, hereinafter;there: thereafter, thereby, therein, thereinafter, thereon, thereof.這些詞匯的共同特點(diǎn)是使文體更具莊重感，同時(shí)意義確定，能將復(fù)雜的含義集中到一個(gè)簡潔的表達(dá)里，在合同文件中使用這些詞，可以避免重復(fù)、誤解和歧義，使行文莊重嚴(yán)謹(jǐn)。

理清合同文件中的句子結(jié)構(gòu)

合同類法律文件的起草者為了使行文完整嚴(yán)密，不造成曲解、誤解，往往選擇使用結(jié)構(gòu)復(fù)雜的長句，句序變化大，從句的插入手法多，經(jīng)常使用被動(dòng)語態(tài)和否定提前等。在翻譯時(shí)，一定要理順句子之間的邏輯結(jié)構(gòu)，注意行文的條理性及嚴(yán)謹(jǐn)性。

3.表達(dá)

在分析和理解的基礎(chǔ)上，要用目的語將原文內(nèi)容表達(dá)出來。譯者對(duì)原文的理解程度、翻譯技巧、翻譯手法和風(fēng)格等都決定著翻譯的質(zhì)量。在合同翻譯中絕不能提筆就譯，草率行事。詞語是構(gòu)成合同文本的基本單位，是翻譯合同文件的基礎(chǔ)。所以選詞是關(guān)鍵。

4.校正

校正是翻譯活動(dòng)的最后一關(guān)。

在準(zhǔn)確表達(dá)的前提下，力求使譯文的格式和文體符合合同規(guī)范的要求。

在校正的過程中要注意的問題是細(xì)節(jié)，如合同中的重要條款、細(xì)節(jié)部分（如合同的標(biāo)的物和關(guān)于貨幣的支付形式）以及容易被忽略的細(xì)微之處是否有漏譯或錯(cuò)譯等。

商務(wù)合同語篇特色 語體正式、嚴(yán)肅、穩(wěn)重； 措辭嚴(yán)密準(zhǔn)確；

固定行文程式，以符合合同行業(yè)規(guī)范；

多用長句、被動(dòng)語態(tài)、名詞化結(jié)構(gòu)；語言特點(diǎn)：主題突出、指稱直接、邏輯性強(qiáng)、限定詳盡、指向明確。

合同詞匯特征

1、專業(yè)詞匯豐富。

經(jīng)貿(mào)合同種類繁多，涉及貿(mào)易、技術(shù)、法律等學(xué)科。而專業(yè)詞匯是用來準(zhǔn)確表達(dá)科學(xué)概念的詞匯，具有豐富的內(nèi)涵和外延。

為了準(zhǔn)確描述合同雙方的權(quán)利和義務(wù)，合同中往往使用法律類的專業(yè)術(shù)語。

商務(wù)合同種類

商品交易（貨物買賣、設(shè)備進(jìn)出口、包銷、代理、寄售、易貨、補(bǔ)償貿(mào)易等）

勞務(wù)服務(wù)（工程承包、工程合作、勞務(wù)合作、來料加工、承攬、加工裝配等）

科研（技術(shù)開發(fā)、技術(shù)合作、技術(shù)引進(jìn)與輸出、技術(shù)轉(zhuǎn)讓、技術(shù)許可實(shí)施）

投資（合資經(jīng)營企業(yè)、合作經(jīng)營企業(yè)、合作生產(chǎn)、商標(biāo)使用許可）

資金融通（商業(yè)信用貸款、銀行信用貸款、補(bǔ)償貿(mào)易貸款、技術(shù)引進(jìn)貸款、設(shè)備進(jìn)口貸款、工程項(xiàng)目貸款、開發(fā)基金貸款、協(xié)議基金貸款、專項(xiàng)貸款）其他：保證、保險(xiǎn)、委托、租賃、職工勞動(dòng)、培訓(xùn)、廣告、仲裁、經(jīng)營管理。

2、用語正式規(guī)范

國際貿(mào)易合同屬于法律文體，是規(guī)范程度較高的一種文體，其用語保守，經(jīng)常使用正式程度很高的書面語言，以體現(xiàn)合同的正規(guī)、莊重和嚴(yán)肅。

例：要約可以撤回，撤回要約的通知應(yīng)當(dāng)在要約到達(dá)受要約人之前或者與要約同時(shí)到達(dá)受要約人。

The offer may be withdrawn, if, before or at the same time when an offer arrives, the withdrawal notice reaches the offeree.例：The Appendix hereto shall, through the contract period, be deemed to be construed as part of this Contract.整個(gè)合同期間，本合同的附件應(yīng)被解釋為合同的一部分。

3、使用舊體詞

舊體詞均為副詞，一般是here, there,或where與in, on, after, of 等介詞結(jié)合構(gòu)成復(fù)合詞。

使用舊體詞不僅可以使合同語言更為簡練、規(guī)范、嚴(yán)肅，文體更為正式莊重、嚴(yán)謹(jǐn)，而且避免了用詞重復(fù)和文句冗長。

4、使用縮略語

國際貿(mào)易合同中的縮略語主要為首字母縮略詞和簡短詞，其中，價(jià)格、支付及包銷方式大多以首字母縮略詞形式出現(xiàn)。

B/L: bill of lading 提單

CIF: coast, insurance, and freight到岸價(jià)格、保險(xiǎn)費(fèi)加運(yùn)費(fèi) D/D: demand draft 即期匯票

FOB: free on board 船上交貨價(jià)格，離岸價(jià)格 M/T: mail transfer 信匯，郵匯 T/T: telegraphic transfer電匯

計(jì)量單位及相關(guān)名稱通常以簡短詞形式出現(xiàn)： CM: centimeter KG: kilogram MA: maximum No: number PC: piece T: ton

同一個(gè)首字母縮寫詞可指代不同的短語：P.O.D.既可指交貨地點(diǎn)（place of delivery），也可指目的港、卸貨港（port of destination;port of discharge）大小寫不同,意義不同： SC：sales contract銷售合同 Sc: scilicet.亦即，換句話說 書寫形式不同，但指代同一意義：

C.O., C/O均指cash order 現(xiàn)金匯票，現(xiàn)金訂貨

用詞選擇： 同義詞的選擇：

根據(jù)單詞的內(nèi)涵進(jìn)行選擇。

例：在合同有效期內(nèi)，雙方對(duì)合同產(chǎn)品涉及的技術(shù)如有改進(jìn)和發(fā)展，應(yīng)相互免費(fèi)將改進(jìn)和發(fā)展的技術(shù)資料提供給對(duì)方。

Within the validity term of the Contract, both parties shall provide each other with the improvement and development of the technology related to the Contract Products free of charge.(provide: give sb.sth.free of charge.supply不明確)例：改進(jìn)和開發(fā)的技術(shù)，其所有權(quán)屬于改進(jìn)和開發(fā)的一方。The improved and developed technology shall be owned by the party who has improved and developed the technology.(belong to, possess)本細(xì)則的解釋權(quán)屬于中華人民共和國財(cái)政部。

The right of interpreting the detailed rules and regulations resides in the Ministry of Finance of the People’s Republic of China.根據(jù)搭配關(guān)系進(jìn)行選擇

例：合資經(jīng)營企業(yè)的一切活動(dòng)應(yīng)遵守中華人民共和國的法律。

All the activities of a joint adventure shall comply with the laws of the People’s Republic of China.(observe, abide by, obey, comply with-activities)

根據(jù)合同的文體進(jìn)行選擇-正式、約定俗成

買方須于銷售確認(rèn)書第三條所規(guī)定日期之前開出本批交易的信用證。否則，售方有權(quán)不經(jīng)通知取消確認(rèn)書，或接受買方對(duì)本銷售確認(rèn)書未履行的全部或一部，或?qū)σ虼嗽馐艿膿p失提出索賠。

The Buyer shall establish the covering letter of credit before the date specified in Clause Three of this Sales Confirmation, failing which the Seller reserves the right to rescind without further notice, or to accept whole or any part of this Sales Confirmation not fulfilled by the Buyer, or to lodge a claim for losses sustained, if any.例：Party A shall not be required to pay at once/forthwith any royalties in default on the part of Party B to the Delivery of Technical Documentation.如乙方在技術(shù)資料的交付方面違約，不應(yīng)要求甲方立即支付任何專利權(quán)使用費(fèi)。

如果許可方允許任何第三方在任何地方使用本專利或相應(yīng)的專利，及有關(guān)特許產(chǎn)品的生產(chǎn)、使用和銷售的許可證，而且其條件比本協(xié)議規(guī)定的條件更優(yōu)惠，許可方應(yīng)立即以書面形式將這些優(yōu)惠許可的細(xì)節(jié)通知被許可方，被許可方有接受相同優(yōu)惠條件的選擇權(quán)。

例：If the Licensor allows/grants any other license under the Patent or their other responding patents to any third party in connection with the manufacture, use and sale of the licensed products in any place under such conditions as are more favorable to a licensee than those provided herein, the licensor shall promptly/forthwith inform/notify the Licensee in written form of the details of such other license and the licensee has the choice/option to adopt equally favorable conditions.一詞多義的處理 根據(jù)詞性確定詞義

例：The prices quoted include a progressive commission, to be calculated on FOB basis, of 2% for a single order for 10 dozen or up 3% for 30 dozen or up.所報(bào)價(jià)格包括累進(jìn)傭金，按FOB價(jià)（free on board離岸價(jià)格）為基礎(chǔ)計(jì)算，每訂單在10打及以上時(shí)傭金為2%，30打及以上時(shí)為3%。

Party B is commissioned by the manufacturers to buy steel plated and this contract shall supersede all previous commitments.乙方受制造廠家的委托購買鋼板，因此本合同將取代以前的一切承諾。

例：The time limit for inspection and claim is 60 days after discharge of the cargo at the port of destination.檢驗(yàn)與索賠的期限為貨物卸至目的港后60天。

Party B agrees that the expiration of this license shall not discharge Party B from its obligation.乙方同意在許可證到期時(shí)并不免除乙方應(yīng)盡的義務(wù)。Routine duties of the Joint Venture Company are to be discharged by the general manager appointed by the Board of Directors.董事會(huì)任命的總經(jīng)理負(fù)責(zé)履行合營公司的日常職權(quán)。

根據(jù)專業(yè)確定詞義

例：The invoice shall be subject to the usual trade discounts allowed by the Consignor.發(fā)票須按照發(fā)貨人所給予的通常批發(fā)折扣開立。

The Buyer shall lodge a 90-day note in Bank of China, Taiyuan Branch for discount.買方將把一張90天的期票提交中國銀行太原分行貼現(xiàn)。

Our end-users consider the Voltmeter to be unfit from application and claim that the instrument be replaced by you with a sound one.我方(終端)用戶認(rèn)為該電量計(jì)不適于使用，要求你方用一只好的替換。儀器

The board of directors may authorize any agent or agents to enter into any Contract or execute and deliver any instrument in the name of and on behalf of the Corporation.董事會(huì)可授權(quán)任何代理人以公司名義并代表公司簽訂合同或簽發(fā)單據(jù)。正式單據(jù)或文件

The price difference should in no case be as big as USD 25 per metric ton.價(jià)格的差額決不會(huì)大到每公噸25美元。

In the case of an order for more than 6000 pieces, Party B allows a special discount of 6%.對(duì)于數(shù)量在6000件以上的訂單，乙方愿給予6%的特別折扣。

易混淆的詞的處理

書寫基本近似，但意義不同的詞。

Party B shall request his bankers to open an irrevocable letter of credit in Party A’s favour upon receipt of Party A’s confirmation of this order.一旦收到甲方關(guān)于此項(xiàng)訂貨的確認(rèn)，乙方即要求其銀行開立以甲方為受益人的不可撤銷的信用證。

Our goods that we offer you are much in favour on the European Continent.我方向你方報(bào)盤的貨物在歐洲大陸頗受好評(píng)。

The Borrower agrees to transfer to the lender the right to accept and substitute other assigned accounts subsequent to this date, in lieu of accounts this day assigned.借款人同意向出借人轉(zhuǎn)讓收取和兌取自即日起的一后各項(xiàng)應(yīng)收帳款的權(quán)利，用以取代今天的各項(xiàng)應(yīng)收帳款。accept a cheque in lieu of cash接受支票替代現(xiàn)金

同一概念但表達(dá)不同權(quán)利義務(wù)關(guān)系的詞

The Contract Price set forth in this Contract shall not include any withholding tariff and any charges imposed on the contractor by the government in New Zealand.合同中規(guī)定的合同價(jià)格不應(yīng)包括新西蘭政府向承包人征收的扣繳關(guān)稅和任何費(fèi)用。

例：當(dāng)事人一方有另一方不能履行合同的確切證據(jù)時(shí)，可以中止履行合同，但是應(yīng)當(dāng)通知另一方。

The Party shall terminate its performance of the contract if it has conclusive evidence that the other party is unable to perform the contract.However, it shall inform the other party of such termination.由于發(fā)生地震、臺(tái)風(fēng)、水災(zāi)、火災(zāi)、戰(zhàn)爭及其他無法預(yù)見并且對(duì)其發(fā)生和后果均不能防止或避免的不可抗力事件，導(dǎo)致直接影響合同的履行或者不能按約定的條件履行時(shí)，遇有上述不可抗力事件的一方應(yīng)立即將事件情況書面通知對(duì)方，并在其后15日內(nèi)，提供事件詳情及全部或部分合同不能或需要延期履行的理由的有效證明文件，此項(xiàng)證明文件應(yīng)由事件發(fā)生地區(qū)的公證機(jī)構(gòu)出具。按照事件對(duì)履行合同影響的程度，由雙方協(xié)商決定是否解除合同，或者部分免除履行合同的責(zé)任，或者延期履行合同。

Should either of the parties to the Contract be prevented from executing the Contract by Force Majeure, such as earthquake, typhoon, flood, fire, war and other unforeseen events, and their happenings and consequences are unpreventable and unavoidable, the presented party shall notify the other party by a written notice without any delay, and within 15 days thereafter provide the detailed information of the events and a valid document for evidence issued by the relevant public notary organization for explaining the reasons of its inability to execute or delay the execution of all or part of the Contract.Both parties shall, through consultations, decide whether to terminate the Contract or to exempt part of the obligation for implementation of the Contract or whether to delay the implementation of the Contract according to the effects of the events on the performance of the Contract.乙方將其50萬美元的定期存款單移交甲方占有，將該單證作為債權(quán)的質(zhì)押憑證。

Party B shall deliver his certificate of fixed deposits of USD 500,000 to Party A for possession and take the said fixed deposits as mortgage of the obligatory right.借款合同中的擔(dān)保條款。乙方將存款移交給甲方作為擔(dān)保屬于擔(dān)保方式中的“質(zhì)押”，而且是一種“權(quán)利質(zhì)押”。Pledge Mortgage 也表示用財(cái)產(chǎn)擔(dān)保，但該擔(dān)保方式是以不轉(zhuǎn)移財(cái)產(chǎn)的占有向債權(quán)人擔(dān)保。

涉外合同的翻譯方法

句子長是英語合同的特點(diǎn)之一。這些句子結(jié)構(gòu)復(fù)雜，邏輯性強(qiáng)，翻譯起來相當(dāng)困難。

在長句的英譯漢實(shí)踐中，我們應(yīng)記住英漢在句法結(jié)構(gòu)上的差異；英語注重結(jié)構(gòu)形式，嚴(yán)禁而序列性強(qiáng)；漢語注重表達(dá)意思，形散而神不散。

這就需要譯者弄清英語原文的句法結(jié)構(gòu)，找出整個(gè)句子的中心骨架成分，分清于發(fā)層次，然后分析各層意思之間的邏輯關(guān)系，再按漢語的特點(diǎn)表達(dá)出來。

1、順序而譯。即按照原文的順序組織譯文。在經(jīng)貿(mào)合同中，當(dāng)英語長句陳述的是一連串的動(dòng)作并按發(fā)生的事件或邏輯關(guān)系排列時(shí)，此類長句與漢語的表達(dá)方式比較一致，可按原文的順序譯出。

In the event that the Company’s operations are reduced substantially from the scale of operation originally anticipated by the Parties, or the Company experiences substantial and continuing looses resulting in negative retained earnings not anticipated by the Parties in the agreed Business Plan, or in any other circumstances permitted under applicable laws or agreed by the Parties, the Parties may agree to reduce the registered capital of the Company on a pro rata basis.如果公司的經(jīng)營規(guī)模比雙方原來預(yù)期的規(guī)模有大幅度縮減，或公司持續(xù)遭受嚴(yán)重虧損，導(dǎo)致雙方商定的業(yè)務(wù)計(jì)劃中所未能與其的盈余保留負(fù)數(shù)，或在任何相關(guān)法律允許或雙方一致同意的情況下，雙方可以協(xié)議按原有出資比例減資。該句邏輯關(guān)系非常清楚，即三個(gè)假設(shè)條件，一個(gè)結(jié)論，表達(dá)順序與漢語一致，因此，可按照原文的語序進(jìn)行翻譯。

2、逆序而譯。英語長句按照英語語法習(xí)慣和順序進(jìn)行表達(dá)，與漢語的語序有可能完全相反。為了符合漢語的表達(dá)，可以根據(jù)情況逆向翻譯。

The Seller shall not be responsible for the delay of shipment or non-delivery of the goods due to force majeure, which might occur during the process of manufacturing or in the course of loading or transit.在制造或裝船運(yùn)輸過程中，因不可抗力致使賣方不能或推遲交貨時(shí)，賣方不負(fù)責(zé)任。

原文的行文方式是把信息的重心放在句首，先表明賣方的免責(zé)事項(xiàng)，接著再規(guī)定什么原因引起的不能交貨或延遲交貨才會(huì)免責(zé)。

而按照漢語的思維習(xí)慣往往是先談原因再講結(jié)果，因此翻譯時(shí)應(yīng)采用逆譯的方法將原文表示的免責(zé)條件移到前面。

3、重組而譯。

由于英語和漢語在表達(dá)上的不同，因此在翻譯時(shí)無法在譯文中按照原文的順序翻譯或體現(xiàn)原文面貌

在某些情況下，就需要對(duì)原文進(jìn)行仔細(xì)分析，采用不同的處理措施進(jìn)行重組，把英語原文翻譯成符合漢語合同表達(dá)習(xí)慣又忠實(shí)原文的漢語合同。

The Contract is made by and between the Buyer and the Seller, whereby the Buyer agrees to buy and the Seller agrees to sell the under-mentioned commodity subject to the terms and conditions stipulated below.買賣雙方同意按下述條款購買出售下列商品并簽訂本合同。這是以英文開頭的固定套語表達(dá)，在譯成漢語時(shí)必須將句子拆分按照漢語合同的習(xí)慣表達(dá)。

4、斷句而譯。

英語習(xí)慣于用長句表達(dá)比較復(fù)雜的概念，而漢語則不同，常常使用若干短句進(jìn)行敘述。

為此，可將英語的長句拆開翻譯，將英語長復(fù)合句翻譯成漢語短小精悍的句子。為使意思連貫，有時(shí)還可以適當(dāng)增加詞語。

分譯的目的是化整為零，消除譯文的阻塞；分譯后的譯文必須連貫，有整體感。
