鑒于你方作為發(fā)包人已經(jīng)與（承包商名稱，以下稱“承包商”）于年月日簽訂了（工程名稱）施工合同（以下稱“主合同”），應(yīng)承包商申請，我方愿就承包商履行主合同約定的義務(wù)以保證的方式向你方提供如下?lián)＃?/p>

一、保證的范圍及保證金額

我方的保證范圍是承包商未按照主合同約定履行義務(wù)，給你方造成的實際損失。我方保證的金額是主合同約定的合同總價款%，數(shù)額最高不超過人民幣（大寫）：。

二、保證的方式及保證期間 我方保證的方式為：連帶責任保證。

我方保證的期間為：自主合同生效之日起至承包商取得竣工驗收記錄后日內(nèi)。

你方與承包商協(xié)議變更工程竣工日期的，經(jīng)我方書面同意后，保證期間按照變更后的竣工日期做相應(yīng)調(diào)整。

三、承擔保證責任的形式

我方按以下第種方式向你方承擔保證責任：

（1）由我方提供資金及技術(shù)援助，使承包商繼續(xù)履行主合同義務(wù)，支付金額不超過本保函第一條規(guī)定的保證金額。

（2）由我方代為承包商履行主合同剩余部分義務(wù)。

（3）由我方在本保函第一條規(guī)定的保證金額內(nèi)賠償你方的損失。

四、代償?shù)陌才?/p>

你方要求我方承擔保證責任的，應(yīng)向我方發(fā)出書面索賠通知及承包商未履行主合同約定義務(wù)的證明材料，并隨附本保函原件。索賠通知應(yīng)寫明要求索賠的金額，支付款項應(yīng)到達的賬號，并附有說明承包商違反主合同造成你方損失情況的證明材料。

如索賠的理由是工程施工質(zhì)量問題，你方還需提供項目總監(jiān)理工程師、監(jiān)理人對索賠的理由的書面確認意見及法定的工程質(zhì)量檢測機構(gòu)出具的檢測報告；如索賠的理由是合同違約問題，你方則需提供證明承包方違約的有效證明。

我方收到本保函原件和你方的書面索賠通知及相應(yīng)證明材料后，在個工作日內(nèi)進行核定后按照本保函的承諾承擔保證責任。

五、保證責任的解除

1、在本保函承諾的保證期間內(nèi)，你方未書面向我方主張保證責任的，自保證期間屆滿次日起，我方保證責任解除。

2、承包商按主合同約定履行了義務(wù)的，自本保函承諾的保證期間屆滿次日起，我方保證責任解除。

3、我方按照本保函向你方履行保證責任所支付的金額達到本保函保證金額時，自我方向你方支付（支付款項從我方賬戶劃出）之日起，保證責任即解除。

4、按照法律法規(guī)的規(guī)定或出現(xiàn)應(yīng)解除我方保證責任的其它情形的，我方在本保函項下的保證責任亦解除。

我方解除保證責任后，你方應(yīng)自我方保證責任解除之日起個工作日內(nèi)，將本保函原件返還我方。超出本約定期限的，無論本保函原件是否退還我方，我方均不再承擔保證責任。

六、免責條款

1、因你方違約致使承包商不能履行義務(wù)的，我方不承擔保證責任。

2、依照法律法規(guī)的規(guī)定或你方與承包商的另行約定，免除承包商部分或全部義務(wù)的，我方亦免除其相應(yīng)的保證責任。

3、你方與承包商協(xié)議變更主合同（符合主合同條款約定的變更除外），如加重承包商責任致使我方保證責任加重的，需征得我方書面同意，否則我方不再承擔因此而加重部分的保證責任。

4、因不可抗力造成承包商不能履行義務(wù)的，我方不承擔保證責任。

5、本保函不得轉(zhuǎn)讓，我方對除你方以外的任何第三方不承擔任何責任。

七、爭議的解決

因本保函發(fā)生的糾紛，由你我雙方協(xié)商解決，協(xié)商不成的，任何一方均可提請奉化市仲裁委員會仲裁。

八、保函的生效

本保函自我方法定代表人（或其授權(quán)代理人）簽字并加蓋公章后生效。

B.貴方聲明確認：貴方認為前述情形已導(dǎo)致貴方有權(quán)要求委托人償付該通知所要求支付的金額；

C.貴方聲明確認：貴方通知我行支付的款項并未由委托人或其代理人以其他方式直接或者間接支付給貴方。

1.2 貴方的付款通知必須以書面形式提出，注明日期并應(yīng)由貴方法定代表人或委托代理人簽字并加蓋貴方公章。

1.3 貴方的付款通知必須在本保函有效期間內(nèi)在我行對公營業(yè)柜臺提交給我行或以掛號郵件方式寄至我行（聯(lián)系方式詳見本保函落款）。

1.4 貴方出具付款通知的同時，應(yīng)向我行出示本保函文本原件。

2.在本保函的有效期內(nèi)和擔保限額內(nèi)，貴方可以一次或多次提出付款通知，但貴方的全部付款通知的累積金額不得超過本保函的保證金限額。

3.本保函的效力及我行在本保函項下對貴方承擔的義務(wù)和責任是完全獨立的，并不取決于任何交易、合同、承諾（包括但不限于主合同）的存在或有效性，也不取決于本保函中未列明的任何條款或條件，并且不受主合同及/或貴方與委托人之間的任何協(xié)議所作的任何變更、補充、終止或提前及延遲終止的影響；對即將履行的合同條款的任何變更、貴方時間上的寬限或由貴方采取的如果沒有本款可能免除本行責任的任何其他行為，均不能解除或免除本行在本保函項下的責任。但貴方有權(quán)以書面形式通知我行解除或免除我行在本保函項下的全部或部分的義務(wù)和責任，該等通知一經(jīng)我行收到即發(fā)生效力。

4.本保函在有效期內(nèi)，可隨該主合同中權(quán)利義務(wù)的轉(zhuǎn)讓而轉(zhuǎn)讓，貴方轉(zhuǎn)讓保函權(quán)益的書面通知自送達本行即發(fā)生效力。

5.本保函對我行及繼受人均有不可撤銷的約束力。

7.8.9.任何根據(jù)本保函發(fā)出的通知，在交付時即被視為送達。用信件發(fā)出的通知，在郵戳的日期四十八小時后即視為送達。

第五篇：履約保函--一般格式

履約保函

鑒于

（下稱“被保證人”）已/擬與貴方簽訂編號為 的 合同（下稱“主合同”）。我行在此接受被保證人的委托，向受益人提供履約保證擔保：

一、本保函最高擔保金額為人民幣（大寫），￥（小寫）。

二、本保函的有效期自 年 月 日至 年 月 日。

三、被保證人在履行主合同過程中不承擔主合同約定的相關(guān)責任與義務(wù)，且被保證人已不能履行應(yīng)對受益人所負擔的責任與義務(wù)時，我行保證在收到受益人的書面索賠通知后30天內(nèi)在本保函的最高擔保金額內(nèi)向受益人承擔一般保證責任。

我行承擔責任的前提為主合同糾紛已經(jīng)審判或者仲裁，并就被保證人財產(chǎn)依法強制執(zhí)行仍不能履行應(yīng)對受益人所承擔的責任。

四、書面索賠通知須于我行營業(yè)時間內(nèi)送達，當日營業(yè)時間結(jié)束后送達的視為下一個銀行工作日送達。

五、我行提供本保函后，受益人與被保證人對主合同進行修訂如加重我行擔保責任的，應(yīng)經(jīng)我行書面同意，否則我行對加重的部分不承擔保證責任。

六、本保函有效期屆滿受益人未依法主張權(quán)利的，或我行向受益人支付的索賠款已達本保函的最高擔保金額，我行的保證責任免除。

七、本保函項下的權(quán)利不得轉(zhuǎn)讓及設(shè)定擔保。

八、本保函適用中華人民共和國法律，如有爭議，訴訟管轄法院為我行所在地人民法院。

九、本保函以中文文本為準，涂改無效。
